COOPERATIVE TELECOMMUNICATIONS AGREEMENT
BETWEEN MONROE COUNTY, FLORIDA
AND KEYS MICRO CABLE CORPORATION
THIS COOPERA TIV~ TELECOMMUNICATIONS AGREEMENT (this
"Agreement"), is entered into this ~th day of~, 1996, by and between MONROE
COUNTY, FLORIDA, a governmental body within th'e State of Florida (the "County"), and
KEYS MICROCABLE CORPORATION, a Florida corporation ("Microcable").
WIT N E SSE T H:
WHEREAS, the Federal Communications Commission (the "FCC") has issued
and the County holds licenses as described on Exhibit B (the "Licenses") to operate twenty-five
facilities (the "Facilities") in the Television Translator Service (the "TIS") operating on various
channels (the "Channels"), forming a translator system (the "Translator System") retransmitting
five Miami television stations in the area of Monroe County, Florida; ~ :.:' ~ -11

WHEREAS, Microcable is in the process of establi~ng wireJpss f~tleo
programming facilities serving Monroe County and is willing to upgrade' and to nmintain: the

County's Facilities in exchange for the use of the program capacity of the Facilit~ and,:..~ther
consideration; and
WHEREAS, the County is willing to provide Microcable with such program
capacity and other consideration in exchange for Microcable's undertaking to upgrade the
Facilities, to provide subsidized wireless video programming service to less fortunate residents of
Monroe County and other consideration.
NOW, THEREFORE, in consideration of the premises and mutual
representations, warranties, covenants and promises herein contained, the County and Microcable
agree as follows:
SECTION 1. TERM,
(a) Initial Term. The term of this Agreement shall commence upon the date
hereof and shall continue in full force and effect for a period of five (5) years (the "Initial Term").

(b) Renewal Terms. This Agreement shall be automatically renewed for ~ C'5j y-
additional five (5) year terms (the "Renewal Terms") unless Microcable delivers to the County
written notice of non-renewal between the fifteenth (15th) and the twelfth (12th) months before ,
the end of the then cunen! term. . ~

(c) Rh!ht of First Refusal. In the event that this Agreement shall terminate due to the
completion of all Renewal Terms, then prior to the County making any arrangement with a third
party on or with respect to the transmission capacity of the Translator System, the County (i)
shall have obtained a bona fide, unconditional and subsisting written offer for with respect
thereto from such third party (such offer clearly setting forth all material terms), (ii) shall have
delivered such written offer to Microcable along with (X) the County's written and signed
statement that the County intends to accept such offer, (Y) the County's written and signed offer
to Microcable to extend this Agreement upon the same terms and conditions as those which have
been offered by such third party, and (Z) the County's written and signed agreement to be bound
by an acceptance by Microcable of such offer within 90 days of the actual receipt by Microcable
of such written offer and the County's statement of its intent to accept the same.
SECTION 2. USE OF THE CHANNELS.
(a) Use of the Channels. Beginning on the Start Date (as defined in Section
8(n)) and for the term of this Agreement, the total airtime of the Translator System shall be
allocated to Microcable, including all main carriers, all subcarriers and vertical blanking
intervals. If requested by Microcable, the County shall notify the FCC in writing that the
Translator System constitutes a low power television system, which notification shall be prepared
by and at the expense of Microcable,
(b) Scope of Use. Microcable may use the capacity of the Channels to transmit
information of any kind then allowed by FCC regulations, Microcable may provide services with
the capacity of the Channels to paying subscribers, for a fee determined by Microcable, and/or to
the public without charge, as determined by Microcable in its discretion. The County shall
cooperate with Microcable by seeking such authorization of the FCC as may be required for
Microcable to use the capacity of the Channels as Microcable may wish to use such capacity.
Microcable shall have the right to retransmit the signals received via the Facilities and to use the
retransmitted signals in Microcable's wireless video programming systems without charge, other
than the Royalty (as defined in Section 4(a)). The County shall cooperate with Microcable in
Microcable's efforts to obtain any consent of the Miami TV stations retransmitted as is required
for Microcable to retransmit such stations via the Channels, it being understood that such consent
is required for such retransmission and that, if any payment is required by any such stations to
retransmit its signal, and Microcable agrees to such payment (in its sole discretion), that
Microcable shall be responsible for such payment.
SECTION 3. FACILITIES.
(a) Transmission EQuipment. The County represents that attached as Schedule
A is a true and complete list of the material components of transmission equipment owned by the
County (including all towers, transmitter buildings, wave guide, antennas, transmitters, receivers,
combiners and air conditioners) and used or useful in the operation of the Translator System (the
"Present Equipment"), and none of such equipment is leased or subject to any lien or
encumbrance. The County shall make all of the Present Equipment, along with any replacements
and additions tbereto (collectively, but excluding such items as are the property of Microcable

pursuant to Section 3(g), (i), (j) and (k)), the "Transmission Equipment"), available at all times
to Microcable to use to transmit Microcable's transmissions. The County shall own all
Transmission Equipment, shall not sell it, shall not transfer any rights in it and shall not place any
lien or other encumbrance upon it.
(b) Operation of the Transmission EQuipment: Maintenance. Beginning on
the Start Date (as defined in Section8(n)) and subject to Section 3(m), Microcable shall supply,
at its sole cost and expense, personnel to operate and maintain the Transmission Equipment so
that it meets the technical operating requirements set forth in the Licenses and FCC rules.
Microcable shall (at its sole expense) cause the repair and replacement of all components of the
Transmission Equipment when required to ensure that each Facility complies with its Licenses
and FCC rules, Microcable shall inform the County of repair activities on the Transmission
Equipment. All maintenance personnel, to the extent that they work on Transmission
Equipment, shall be under the technical direction, supervision and control of the County but shall
be contracted for and shall be supervised on a day-to-day basis by Microcable all at Microcable's
sole expense; provided. however, that should the County explicity direct work on the County's
facilities, then the County shall bear all costs of work performed at the County's direction. The
County and Microcable shall have access to the Transmission Equipment at all times for any of
the foregoing activities.

(c) Transmission Sites. The County represents that attached as Schedule B is a
true and complete legal description of each of the parcels of property at which the Facilities are
located, including ingress and egress roads (the "Transmission Sites"). The County represents
that it owns fee simple absolute title to the Transmission Sites, that the County owns fee simple
absolute title to adequate ingress and egress roads for access to the Transmission Sites from
public roadways, that the County has not granted and does not suffer any lease rights of third
parties or other rights of third parties to enjoy or use any of the foregoing property, and that there
is no lien or other encumbrance on any of the foregoing property; provided. however, that the
Sigsbee Key site is on U.S. Navy property, and the U.S, Navy may restrict access to the site for
National security reasons, and the Grassy Key site is either leased or deeded to the County with a
covenant requiring its use as a translator site. The County shall maintain its unencumbered
ownership (or lease, with regard to the Grassy Key and Sigsby Key sites) of the Transmission
Sites, and, subject to Exhibit T and the rights of the landlords of Sigsbee Key and Grassy Key,
shall not allow any use of the Transmission Sites by any third party which would interfere with
Microcable's use of the Transmission Sites as herein contemplated. The County hereby grants
Microcable, and its agents, staff and employees, complete and unrestrained access to the
Transmission Sites (subject to the rights of the U,S, Navy to restrict access to Sigsby Key for
National security reasons) to maintain the Transmission Equipment, to operate the Facilities, to
. erect, operate and maintain the Link System (as described in Section 3(j)), Microcable's wireless
video programming business and the proposed TV translator relay system, and to conduct and
support Microcable's businesses. Without limiting the foregoing, Microcable may (at no
additional charge) run electrical power lines, cable, telephone lines and other utility lines from
off-premises points to points selected by Microcable within the Transmission Sites.
(d) Certain New Construction bv Microcable. Microcable shall replace
feedlines, antennas and such other equipment as described in Schedule C or as Microcable, in its
reasonable judgment, shall find unfit for its intended uses, Such replacement shall include
converting each of the Channel's transmitter final amplifiers to solid state electronics. Further,
Microcable shall establish emergency auxiliary power sources at the Islamorada, Grassy Key and
West Summerland Transmission Sites for the use of all telecommunications users at those sites
subject to Microcable having sufficient capacity for its uses. Finally, Microcable shall move the
Facilities to the new towers PCS Primeco has agreed to build at each of the Transmission Sites.
Microcable shall not be obligated to make any repairs, modifications or replacements of the
Transmission Equipment or to establish auxiliary power supplies until after the FCC shall have
granted applications filed by the County to modify the Translator System to improve its coverage
in a manner reasonably acceptable to Microcable and in accordance with Schedule C.
Microcable shall prepare such applications to the FCC as are required for the foregoing and shall
present such applications to the County for the County to execute and to return to Microcable for
filing at the FCC. Microcable shall bear all costs of preparing and prosecuting such applications.
The County shall cooperate with Microcable in the preparation, the filing and the prosecution of
such applications. Microcable shall endeavor to implement the improvements to the Translator
System described in such applications within eighteen (18) months of the later of (X) the date of
grant of the last of such applications and (Y) the completion of the construction of new towers at
the Transmissio,! Sites. The County shall cooperate with Microcable's implementation of such

changes. If requested by Microcable, the County shall seek FCC authorization to extend the
construction time for implementing such changes, the costs of seeking such extension to be borne
by Microcable. Promptly upon the implementation of any changes made pursuant to FCC
authorization, Microcable shall prepare such applications and certifications as may be required to
conduct the operations pursuant to such changes and the County shall execute and return the
same to Microcable so that Microcable may file the same at the FCC, the cost of preparing and
filing such FCC applications and certifications to be borne by Microcable,
(e) Access to New Towers and Transmitter Buildilll~S.
(1) Towers. At present, the towers at the Transmission Sites are not
capable of holding the Facilities plus all of the equipment which Microcable intends to install
pursuant to this Agreement and the equipment that the County intends to allow others to install
on such towers. The County shall enter into an agreement with PCS PrimeCo. for the erection at
each of the Transmission Sites by PCS PrimeCo, of towers (the "Replacement Towers") to
replace the existing towers, such agreement to be substantially in accordance with the
"Memorandum of Understanding Between Monroe County Communications Department and
PCS Primeco," of February 6, 1996 (the "PrimeCo MOU"). Without limiting the generality of
the foregoing, (i) each Replacement Tower shall be constructed so that each intended use thereof
'can be accommodated without causing any Replacement Tower to fail to meet standards as set
forth in Exhibit S; (ii) Microcable shall have the right to mount antennas for all of the Facilities
on the top of each Replacement Tower, or at such lower position as Microcable may reasonably
request; (iii) Microcable shall have the right to install antennas for the transmission and reception
of the Link System on such locations on the Replacement Towers as selected by Microcable; (iv)
Microcable shall have the right to install its MDS/ITFS antennas on anyone or more of the
Replacement Towers at such position or positions on the tower as Microcable shall select; (v) the
County shall own each Replacement Tower in fee simple absolute, without allowing any lien or
other encumbrance thereon to exist; (vi) the construction of the Replacement Tower at a site shall
be a condition precedent (waiveable by Microcable in its discretion) to Microcable's obligations
to modify the Facilities at such site and to install other equipment at that site; and (vii)
Microcable shall have the right to install on the Replacement Towers such wave guide,
connectors and other components of the Facilities, the Link System and the MDS/ITFS systems
as Microcable may reasonably require, Microcable will attempt to cooperate with PCS PrimeCo
to share point-to-point microwave antennas, to the extent technically feasible and allowed by
FCC rules, so as to limit tower wind loading. The radio frequency studies (including
intermodulation and other interference studies) required for a new County-sanctioned use of a
Transmission Site, and the management of each such site, are governed by Exhibit I.
Microcable's initial antenna locations on each tower are shown on Exhibit T, The parties
understand that future antennas, waveguide and related transmission equipment may be required
and the County shall not unreasonably withhold or delay approval of the placement of such
devices,
(2) Transmitter Buildings. At present, there is a transmitter building at
each of the Transmission Sites. Microcable shall have the complete use of all space in such
buildings not cl!rrently occupied by the County's operating transmission equipment for the

installation and operation of Microcable's Link System and MDS/ITFS system. It is the intention
of the parties that the County shall contract to build new, one story transmitter buildings (the
"New Buildings") will be constructed within the confines of the Transmission Sites at Key
Largo, Islamorada, Grassy Key and West Summerland, Microcable shall bear the County's cost
of the portion of such buildings allocated to the County, such cost not to exceed the actual, out-
of-pocket construction cost multiplied by the fraction having as its numerator the total linear
square footage allocated to the County (not to exceed 168 square feet) and as its denominator the
total linear square footage of the building. The County shall cooperate with Microcable and
implement its reasonable advice so as to limit, as best as possible, the cost of the New Buildings.
Upon the erection of a New Building at a Transmission Site, all of the radio equipment (other
than Translator System equipment) belonging to the County and public agencies at each site shall
be relocated to the New Building (at no expense to Microcable) and Microcable shall have the
right to use the whole of the pre-existing building.
(1) Further Chane:es to Translator System. The parties acknowledge that
changes in technology or other exigencies may warrant further changes to the Translator System.
Accordingly, the County agrees to cooperate with any request by Microcable to further modify
the Translator System to, among other things, change the effective radiated power of one or more
Channels, change the frequency used by one or more of the Channels, change Transmission
. Equipment or change the type of antenna used with one or more of the Channels. Such
cooperation shall include joining with Microcable in seeking such FCC, FAA, County and State
approvals, permits and consents as may be required to implement such changes. Microcable
shall bear the costs of such Federal and State ~pplications as may be required, and the County
shall not unreasonably withhold or delay the delivery of such permits, approvals and consents as
are required under its own laws, regulations and ordinances.
(g) Die:ital Modulation. Subject to FCC authorization, Microcable may install
digital input equipment to allow each Channel to transmit at each Transmission Site such number
of virtual channels of video and associated audio as is technically feasible at that time, subject to
considerations of transmission quality, equipment price, reliability and service support and
financial constraints. The County shall cooperate with Microcable's efforts to obtain FCC
authorization of digital modulation for the Channels, Such cooperation shall include joining with
Microcable in seeking such FCC, FAA, County and State approvals, permits and consents as may
be required to implement such changes. Microcable shall bear the costs of such Federal and
State applications as may be required, and the County shall not unreasonably withhold or delay
the delivery of such permits, approvals and consents as are required under its own laws,
regulations and ordinances. All digital encoding and decoding equipment installed pursuant to
this subsection shall be owned and maintained by Microcable,
(h) Taxation Exemption. The County shall not impose any tax, fee or assessment
upon Microcable for any activity conducted under this Agreement or for the operation or on the
income of Microcable's wireless video programming system or its Link System, other than such
taxes as the County imposes upon businesses in general without regard to their lines of business.

(i) EQuipment and Site Lease. Commencing on the Start Date, the County
hereby leases the Transmission Equipment to Microcable. Additionally, the County hereby
leases the portion of Transmission Sites (consisting of the existing translator buildings, space for
wave guide and antennas on the existing tower, space yet to be determined for satellite dishes and
standby power generators, space on the new towers in accordance with Exhibit T including
ingress and egress rights) to Microcable for Microcable's use to install and to operate such
equipment and facilities as Microcable may wish to install to operate its wireless video
programming system and to meet Microcable's responsibilities to the County hereunder.
Microcable shall be entitled to bring its equipment onto the Transmission Sites, to operate such
equipment at such sites, to run electrical cable, communications cable and telephone lines to such
sites from off-premises locations, to bring trucks and other vehicles upon such sites, to construct
permanent structures upon such sites (whether owned by Microcable, leased by Microcable or the
property of a third party), to place signs upon such structures and to conduct any other lawful
activity upon such sites. Such lease grants Microcable and its staff and contractors unfettered
access, at all times, to the Transmission Sites (subject to the ability of the V,S, Navy to restrict
access to the Sigsby Key site for National security reasons), The County shall cooperate with
Microcable in any and all of the foregoing activities by not unreasonably withholding or delaying
the grant to Microcable and its staff and contractors of such permits and approvals as may be
required by Monroe County law, regulation or ordinance for any of the foregoing activities.

(j) Provision of Point-to-Point Radio Capacity. Microcable intends to construct
a digital point-to-point, two way radio system (the "Link System") interconnecting each of the
five Transmission Sites, subject to FCC licensing, to carry traffic for Microcable's subscribers
and to allow the microwave feed of TV programming to the Facilities. The County consents to
such construction. During the time that Microcable's digital point-to-point radio system is in
operation, Microcable will allocate six (6) T -1 channels to the County for the County's internal
communications traffic, such as police, fire department and administrative traffic, The County
shall be responsible for providing such multiplexing equipment, connections to the transmitter
site, signal generation and processing equipment as the County requires to utilize the channels.
The County shall not unreasonably withhold or delay the delivery of such permits, approvals and
consents as are required under its own laws, regulations and ordinances to install and to operate
the Link System.
(k) Microcable's EQuipment. Only the Transmission Equipment (as defined in
Section 3 (a) shall belong to the County, All other equipment and construction added to the
Transmission Equipment or used by Microcable is and shall remain the property of Microcable,
free and clear of all liens and encumbrances of any kind in favor of the County.
(I) Interference to Microcable's Systems. Microcable's facilities and those of
the County shall be protected from radio frequency interference from sources within the
Transmission Sites (including intermodulation products) in accordance with Exhibit I.
(m) Power Supply. Beginning on the Start Date, (i) Microcable shall supply its
own electrical power for the Translator System; but (ii) in the instance of Sigsbee Key, the
County shall fo~ward the U.S. Navy electrical bill to Microcable along with a check payable to

Microcable for the agreed fair estimated share of the County's non-Translator use of the
electricity shown on the bill, and Microcable shall pay the whole of that bill. If an electrical
meter is shared between the Translator System and other services, the County shall reimburse
Microcable for the power used by such other services until they are separately metered.
Microcable shall have the right to attach its equipment to the County's emergency generators at
Key Largo and Sigsbee Key and to use the power generated thereby at no cost to Microcable,
The County shall maintain, repair and replace those generators, as required, so that they are
available to Microcable throughout the term of this Agreement.
(n) Risk of Loss. Beginning on the Start Date (as defined in Section 8(n)), the
County shall have no responsibility for any loss or damage to the Transmission Equipment
except for such loss or damage as is caused directly by the County. The County shall maintain
the Transmission Equipment in accordance with past practices until the Start Date,
SECTION 4. ROYALTIES AND OTHER BENEFITS GRANTED TO THE COUNTY.
(a) Rovalties.
(1) Calculation. Microcable shall pay the County a royalty (the "Royalty")
. equal to five (5) percent of Microcable's Gross Recurring Revenues. As used herein, the term
"Gross Recurring Revenues" means all revenue received by Microcable from subscribers for
Microcable's programming service provided by the Translator System and all revenue received
by Microcable from subscribers for the transmission of information for the subscribers over the
Link System. The Royalty shall be payable, in arrears, on a calender quarterly basis as explained
in paragraph (2). In the event that the Translator System and/or the Link System is used along
with other communications capacity to provide a single service to subscribers, or in the event that
services to subscribers are combined on a single bill, then the amount of revenues so derived
shall be prorated so as to derive the portion of revenues constituting "Gross Recurring
Revenues."
(2) Address and Time for Payments: Certificate, All payments from

such other add ss as the County shall designate in writing to Microcable, Each monthly Royalty
shall be paid by the thirtieth (30th) day following the last day of the calender quarter for which it
is assessed. Each payment of Royalties shall be accompanied by a certificate, executed on behalf
of Microcable by an authorized agent thereof in the form of Exhibit A hereto, setting forth the
computation of Gross Recurring Revenue in accordance with paragraph (1) for the month for
which the charge is tendered. If the term of this Agreement begins or ends on a day other than
the first day of a calendar quarter, the Royalty for the portion of the quarter during the term shall
be the product of the Royalty otherwise due for the full quarter and the fraction having as its
numerator the number of days of the quarter within the term and as its denominator the number of days in the quarter.

(3) Ri2:ht to Audit. Within 120 days after the end of each calendar years
during which Royalties were due, Microcable shall cause its accountant to deliver to the County a
certified statement of the calculation of royalties for such year. In the event that there shall have
been an underpayment or an overpayment of Royalties for such year as shown on that statement,
then the County shall refund the overpayment or Microcable shall pay the underpayment within
30 days of the date of delivery of such statement.
(b) Provision of an Over the Air Channel. Microcable shall make one Channel
available at each of the Transmission Sites for the transmission of programs and information
tailored to the tastes, needs and desires of the residents of the Florida Keys ("Keys
Programming"). Microcable shall be responsible for procuring programming for this channel.
Microcable shall endeavor to begin to program the channel no later than eighteen (18) months
after the Start Date. If the Channels are converted to a compressed digital system, Microcable
shall use to provide Keys Programming such portion of the Channel as is required to provide one
virtual channel based upon the channel compression ratio then employed and the remainder of
the capacity of the Channel shall be allocated to Microcable to program as it wishes. In the event
that Microcable implements a change in such digital compression technology or in the channel
compression ratio, then the amount of the capacity of the Channel allocated to Keys
Programming (which shall include Monroe County governmental meetings and other
governmentally sponsored programming) shall be adjusted so that one virtual channel shall be
available for Keys Programming based upon such adjusted compression ratio or new digital
compression technology,
(c) Lifeline Service. After converting to digital transmission, Microcable will
make the basic tier of service provided by the Translator System available to permanent residents
of Monroe County capable of receiving the signals of the Translator System who Microcable
determines, in its reasonable opinion, to be truly needy.
(d) Customer Service Line. Beginning on the Start Date, Microcable shall
provide its subscribers and translator viewers with a toll free telephone number by which they
can advise Microcable of reception problems 24 hours a day, seven days a week. Such telephone
number shall be printed on Microcable's subscriber bills,
(e) New Low Power Television Channels at West Summerland Site. Subject to
FCC authorization, Microcable shall cause the LPTV stations currently licensed to Kelly
Bloomer to be relocated to the West Surnmerland Transmission Site. The County consents to the
installation and operation of such stations at that site, and consents to the interconnection of the
stations to the Facilities at that site through a combiner or other system. The transmission
facilities and licenses used with such channels shall remain the property of Microcable or Kelly
Bloomer, as appropriate,
(0 Studio-to- Transmitter Link. Microcable shall cooperate with the County in
installing one single channel studio-to-transmitter link between the County's television broadcast
center on Stock Island and Microcable. The reasonable cost of seeking FCC authorization of the
link and the co~struction of the transmitter, the antennas and wave guide for the link shall be

borne by Microcable and the County shall bear all other costs associated with the link, including
maintaining, operating, repairing and replacing the link.
SECTION 5. LIMITATION OF LIABILITY.
(a) Force Majeure. In no event shall either the County or Microcable have any
liability for any failure to comply with this Agreement, if such failure results from the occurrence
of any contingency beyond the reasonable control of the party, including, without limitation,
strike or other labor disturbance, riot, theft, flood, lightening, storm, any act of God, power
failure, war, declared national emergency, interference by any government or governmental
agency, embargo, seizure, or enactment of any law, statute, ordinance, rule or regulation.
(b) Indemnification. Microcable shall forever protect, save, defend and keep the
County harmless and indemnify the County against and from any and all claims, demands, losses,
costs, damages, suits, judgments, penalties, expenses and liabilities of any kind or nature
whatsoever arising directly or indirectly out of the acts, omissions, negligence or willful
misconduct of Microcable, its employees or agents in connection with Microcable's performance
of its obligations under this Agreement. Moreover, Microcable shall forever protect, save,
defend and keep the County and its owners, employees and agents harmless and indemnify them
. against any and all claims, demands losses, costs, damages, suits judgments, penalties, expenses
and liabilities resulting from (i) claims of libel, slander or the infringement of privacy or
copyright or the unauthorized use of any trademark, trade name, service mark or any other
claimed harm or unlawfulness arising from the transmission by Microcable over the Facilities of
any programming or other material including, without limitation, claims that such programming
or other material violates pornography or obscenity laws or violates the rights of third parties; (ii)
claims for infringement of patents arising from Microcable's use of the Transmission Equipment
in connection with apparatus or systems of Microcable; and (iii) claims that the structures
supporting the Transmission Equipment (or any part thereof) violates Part 17 of the FCC's Rules,
violates the rules of the FAA, or otherwise constitutes or has created a hazard to air navigation,
Where such indemnification is sought by the County (a) it shall notify Microcable promptly of
any claim or litigation or threatened claim to which the indemnification relates, (b) upon
Microcable's written acknowledgment of its obligation to indemnify in such instance, in form and
substance satisfactory to the County, the County shall afford Microcable the opportunity to
participate in and, at the option of the County, control, compromise, settle, defend or otherwise
resolve the claim or litigation (and the County shall not effect any such compromise or settlement
without prior written consent of Microcable) and (c) the County shall cooperate with the
reasonable requests of Microcable in its above-described participation in any compromise,
settlement, defense or resolution of such claim or litigation.
SECTION 6. REPRESENTATIONS AND WARRANTIES.
(a) Microcable represents and warrants to the County as follows:
(i) Microcable is a corporation in good standing in the State of Florida.

(ii) The execution and delivery of this Agreement by Microcable has been
duly and validly authorized and approved by all necessary action and this Agreement is valid and
binding upon Microcable in accordance with its terms except as such enforceability may be
limited by bankruptcy laws, other creditor relief laws and general principles of equity.
(iii) The execution and carrying out of this Agreement and compliance with
the provisions hereof by Microcable will not violate any provision of law or regulation and will
not, with or without the giving of notice and/or the passage of time, conflict with or result in any
breach of any of the terms or conditions of, or constitute a default under, any indenture,
mortgage, agreement, or other instrument to which Microcable is party or by which Microcable
or its assets is bound,
(iv) Other than stated herein, no consent, approval or authorization of,
designation, declaration or filing with any person is required in connection with the execution,
delivery, validity or enforceability of this Agreement by or against Microcable or the
consummation by Microcable of the transactions contemplated hereby.
(b) The County represents and warrants to Microcable as follows:

SECTION 7. TERMINATION,
(a) Termination of FCC Authorization, Microcable my elect to terminate this
Agreement in the event that any of the Licenses shall ,be terminated, canceled or revoked by the
FCC. As an alternative to such termination, Microcable may elect by notice to the County to
continue this Agreement as to the remaining Licenses, whereupon Royalty paid to the County
shall henceforth be reduced by one twenty-fifth (l/25th) for each lost License. If termination
shall occur pursuant to this Section 7(a), such termination shall extinguish and cancel this

Agreement thereafter and its effect absolutely thereafter without further liability on the part of
either party to the other.
(b) Termination bv Reason of Default and Nonperformance, At the option of a
nondefaulting party, this Agreement may be terminated upon a material breach or default by the
other party of its duties and obligations hereunder if such breach or default shall continue for a
period of thirty (30) consecutive days after notice from the nondefaulting party to the defaulting
party specifying the exact nature of the default. Such termination shall not affect or diminish the
rights, claims or remedies available in equity or at law to the nondefaulting party arising by
reason of such breach or default. The discovery by a party that any of the other party's
representations pursuant hereto is false or incorrect shall constitute a default by the
misrepresenting party hereunder.
SECTION 8. MISCELLANEOUS.
(a) Assh~nment of Ri2hts and Obli2ations, Neither party hereto shall assign this
Agreement, or its rights and obligations hereunder, to another person, without the prior written
consent of the other party hereto, such consent not to be unreasonably withheld or delayed.
(b) Notice. Any notice or communication given pursuant to this Agreement by
one party to the other party shall be effective only if in writing and delivered by hand, or mailed
by registered or certified mail, postage prepaid, return receipt requested, addressed as follows:

(c) Severability of Provisions. If any prOVISIon hereof is held invalid, the
remainder of this Agreement shall not be affected thereby.
(d) Mer2er. Amendment. This instrument contains the entire agreement between
and among the parties, and supersedes any prior understandings with respect to the subject matter
hereof. This Agreement, or any portion thereof, shall not be changed, waived, released or
discharged except by a writing signed by each party or authorized representatives thereof.

(e) Benefit. This Agreement shall be binding upon and inure to the benefit of the
parties hereto, their respective successors and assigns.
(0 Survival. All representations, warranties, covenants and agreements made by
the parties hereto shall survive the execution and delivery hereof.
(g) GoverninS! Law. This Agreement shall be governed by the laws of the State
of Florida and the rules of the FCC. In the event of a dispute between the parties as to the rights
or obligations of this Agreement, the parties shall attempt to reconcile and negotiate the dispute
in good faith for a thirty (30) day period, If the dispute is not resolved during that time period,
either party may bring an action in the United States District Court for the Southern District of
Florida or, if such court shall not have jurisdiction to hear the action, in any court of competent
jurisdiction.
(h) Further Assurances, The parties shall perform such further acts and execute
such additional documents as may reasonably be required to effectuate the arrangement
contemplated by this Agreement.
(i) Counterparts. This Agreement may be executed in any number of counterpart
copies, each of which shall be deemed an original, but which together shall constitute a single
instrument.
(j) Limitation of RiS!hts and Relationship. Nothing in this Agreement,
expressed or implied, is intended to or shall (a) confer on any person other than the parties hereto
or their respective heirs, legal representatives, successors or assigns, any rights, remedies,
obligations or liabilities under or by reason of this Agreement, or (b) constitute the parties hereto
partners or participants in a joint venture.
(k) RESERVED.
(1) The County's Covenant Not to Compete with Microcable. The County, in
order to induce Microcable to enter into this Agreement, hereby agrees that, throughout the time
that this Agreement is in effect and for a period of three (3) years thereafter, unless this
Agreement is terminated for cause by the County under Section 7 (b), the County shall not
become or act as a proprietor, partner, stockholder, joint venturer, investor, lender or in any other
capacity whatsoever engage (whether for compensation or not) in any business activity (including
but not limited to ITFS, MDS, or cable television) which, by reason of its operating within or
broadcasting to the Market Area, shall compete in whole or in part, directly or indirectly, with
Microcable's wireless video programming service offering in Monroe County. This Section 8(1)
shall not prohibit the County from issuing such licenses, permits or franchises for other
telecommunications services, broadcast services and cable television services as authorized or
required by the laws and regulations of the State of Florida or of the United States.

(m) CaDtions. The section captions and headings in this Agreement are for
convenience and reference purposes only and do not affect in any way the meaning or
interpretations of this Agreement.

ATTACHMENT "I"
INTERFERENCE / CONFLICTS
Lessee shall, at it's own expense, maintain their equipment on or attached to the premises
in a safe condition, in good repair and in a professional manner, suitable to Monroe
County and in accordance to any County, State or FederaIlaws and regulations,
Lessee's equipment shall be installed and maintained in a manner so as not to conflict or
interfere with Monroe County or any other entity utilizing the facility.
IN THE EVENT OF INTERFERENCE:
I. The entity being affected by the interference will notify the Monroe County
Emergency Communications Department.
2. The Monroe County Emergency Communications Department in joint
participation with the entity being affected will- respond within 24 hours to the
facility and begin analysis of the problem.
3. Upon identification of the interference source, the responsible entity will be
immediately contacted, followed with a written notice.
4. The licensee responsible for the interference will within 24 hours begin all steps
necessary to correct and eliminate the interference at their expense.
5. Should the interference not be minimized within 72 hours or eliminated within
30 days, Monroe County may elect to terminate this agreement or correct the
interference problem at the lessee's expense.
Lessee has satisfied itself and hereby represents and warrants to Monroe County that no
such obstruction or interference with transmitting or receiving shall result to Monroe
County or other licensees located at the facility. Lessee agrees to indemnify, hold harmless
and defend Monroe County against any damage, including attorney's fees, arising out of
such obstruction or interference with respect to uses which are in effect as to the date of
this agreement.

The attached sheets are the allocated antennas, feedlines and locations engineered and
negotiated for the proposed new towers. This attachment as part of this agreement insures
compliance and understanding of the allocated antenna loading and space requirements.
Monroe County will maintain control to assure compliance of tower loading. AU changes,
additions or loading requirements will be approved or denied by Monroe County's
Emergency Communications Department. Monroe County will not without reasonable
cause deny or delay changes or additions, however, Monroe County may require current
market value considerations for additional loading requirements,

GENERAL INSURANCE REQUIREMENTS
FOR
CONTRACT BETWEEN
MONROE COUNTY, FLORIDA
AND
KEYS MICRO CABLE CORPORATION
Prior to the effective date of this agreement, the Vendor shall obtain, at hislher own expense,
insurance as specified in any attached schedules, which are made part of this contract. The
Vendor will ensure that the insurance obtained will extend protection to all Subcontractors
engaged by the Vendor. As an alternative, the Vendor may require all Subcontractors to obtain
insurance consistent with the attached schedules.
The Vendor will not be permitted to commence work governed by this agreement (including pre-
staging of personnel and material) until satisfactory evidence of the required insurance has been
furnished to the County as specified below. Delays in the commencement of work, resulting from
the failure of the Vendor to provide satisfactory evidence of the required insurance, shall not
extend deadlines specified in this contract and any penalties and failure to perform assessments
shall be imposed as if the work commenced on the specified date and time, except for the
Vendor's failure to provide satisfactory evidence.
The Vendor shall maintain the required insurance throughout the entire term of this agreement to
include any and all extensions.
The Vendor shall provide, to the County, as satisfactory evidence of the required insurance,
either:
. Certificate of Insurance
or
. A Certified copy of the actual insurance policy.
The County, at its sole option, has the right to request a certified copy of any or all insurance
policies required by this contract.
All insurance policies must specify that they are not subject to cancellation, non-renewal, material
change, or reduction in coverage unless a minimum of thirty (30) days prior notification is given
to the County by the insurer.
The acceptance and/or approval of the Vendor's insurance shall not be construed as relieving the
Vendor from any liability or obligation assumed under this contract or imposed by law.
The Monroe County Board of County Commissioners, its employees and officials will be included
as "Additional Insured" on all policies, except for Workers' Compensation.
Any deviations from these General Insurance Requirements must be requested in writing on the
County prepared form entitled "Request for Waiver of Insurance Requirements" and approved
by Monroe County Risk Management.

WORKERS' COMPENSATION
INSURANCE REQUIREMENTS

Prior to the commencement of work governed by this contract, the Vendor shall obtain Workers'
Compensation Insurance with limits sufficient to respond to the applicable state statutes.
In addition, the Vendor shall obtain Employers' Liability Insurance with limits of not less than:
$1,000,000 Bodily Injury by Accident
$1,000,000 Bodily Injury by Disease, policy limits
$1,000,000 Bodily Injury by Disease, each employee
Coverage shall be maintained throughout the entire term of the contract.
Coverage shall be provided by a company or companies authorized to transact business in the
state of Florida and the company or companies must maintain a minimum rating of A-VI, as
assigned by the A.M. Best Company.
If the Vendor has been approved by the Florida's Department of Labor, as an authorized self-
insurer, the County shall recognize and honor the Vendor's status. The Vendor may be required
to submit a Letter of Authorization issued by the Department of Labor and a Certificate of
Insurance, providing details on the Vendor's Excess Insurance Program.
If the Vendor participates in a self-insurance fund, a Certificate of Insurance will be required. In
addition, the Vendor may be required to submit updated financial statements from the fund upon
request from the County.

Prior to the commencement of work governed by this contract, the Vendor shall obtain General,
Liabili!y, Insurance. Coverage shall be maintained throughout the life of the contract and include,
as a rmmmum:

. Products and Completed Operations
. Blanket Contractual Liability
. Personal Injury Liability
. Expanded Definition of Property Damage
The Vendor will ensure that such insurance will extend to property damage to property owned by,
rented to, or controlled by the County.
The minimum limits acceptable shall be:
$1,000,000 Combined Single Limit (CSL)
An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy, its
provisions will include coverage for claims filed on or after the effective date of this contract. In
addition, the period for which claims may be reported should extend for a minimum oftwelve (12)
months following the termination of this, and any extensions of this agreement.
The Monroe County Board of County Commissioners shall be named as Additional Insured on all
policies issued to satisfy the above requirements.

Recognizing that the work governed by this contract requires the use of vehicles, the Vendor,
prior to the commencement of work, shall obtain Vehicle Liability Insurance. Coverage shall be
maintained throughout the life of the contract and include, as a minimum, liability coverage for:
. Owned, Non-Owned, and Hired Vehicles
The minimum limits acceptable shall be:
$1,000,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:

$1,000,000 per Occurrence

1. Publish a statement notifying employees that the unlawful manufacture, distribution, dispens-
ing, possession, or use of a controlled substance is prohibited in the workplace and specifying the
actions that will be taken against employees for violations of such prohibition.
2. Inform employees about the dangers of drug abuse in the workplace, the business's policy of
maintaining a drug-free workplace, any available drug counseling, rehabilitation, and employee
assistance programs, and the penalties that may be imposed upon employees for drug abuse
violations,
3. Give each employee engaged in providing the commodities or contractual services that are
