This agreement covers the period beginning May 1, 2001, and ending May 31, 2001, unless amended in writing by both CONTRACTOR and MC. = = R _n CD r— rn I. SCOPE OF WORK rn �. ro `n A. CONTRACTOR Agrees: "`-' `a' rn 1. To provide one four -day presentation of Level I of the Certify bli n Manager course series in Key West, FL on May 22-25, 2001 f' rn x- � = w o 2. To provide all participant materials including films, notebooks, copyrighted test instruments, and handouts for a maximum of thirty (30) participants for the course presentation. B. MC Agrees: To pay CONTRACTOR $5050.00, plus travel expenses pursuant to 112.061 Florida Statutes for the delivered course in the Scope of Work Statement I.A.1 for a total of $5050.00. The $5050.00 fee is for up to twenty-five (25) participants. MC will pay an additional $202.00 per person over twenty-five (25), but not to exceed thirty (30) for the course presentation. 2. To be invoiced for $5050.00, plus travel expenses, plus $202.00 for any participants over twenty-five (25), at the conclusion of each delivered course in the Scope of Work Statements I.A.1. 3. To select participants and provide CONTRACTOR with a roster ten (10) working days prior to the course presentation. 4. To provide facility space agreeable to both CONTRACTOR and MC on the days of the course presentation. "Building Leadership for the Future" 5. To provide all audio-visual equipment necessary for the delivery of the course presentation. II. ADDITIONAL CONDITIONS A. This agreement can be terminated by either party upon 30 day written notice to the other party. In the event of termination the contractor shall be reimbursed for all cost incurred and irrevocable commitments made. B. If the signed Letter of Agreement is not returned at least twenty (20) working days prior to the first delivery date, the presentation(s) is subject to rescheduling. EGAL 5 U F F I C I v ANNE HU ON Tr % CLERK CLERK Page 2 of 2 Attachment A MONROE COUNTY, FLORIDA RISK MANAGEMENT POLICY AND PROCEDURES CONTRACT ADMINISTRATION MANUAL Indemnification and Hold Harmless For Inter -Governmental Agreements The parties to this agreement stipulate that each is a state governmental agency as defined by Florida Statutes and represents to the other that it has purchased suitable Public Liability, Vehicle Liability, and Workers' Compensation insurance, or is self -insured, in amounts adequate to respond to any and all claims within the limitations of Florida Statute 768.28 and 440, arising out of the activities governed by this agreement. Each party shall be responsible for any acts of negligence on the part of its employees, agents, contractors, and subcontractors and shall defend, indemnify and hold the other party harmless from all claims arising out of such actions.
