SECTION THREE
CONTRACT
THIS AGREEMENT, made and entered into this 19th day of Septem-
ber, 1996, A.D., by and between MONROE COUNTY, FLORIDA, party of
the first part (hereinafter sometimes called the "COUNTY" and
NATIONAL UNIFORM SERVICE, party of the second part (hereinafter
sometimes called the "CONTRACTOR").
WITNESSED: That the parties hereto, for the consideration
hereinafter set forth, mutually agree as follows:
3.01
SCOPE OF THE WORK
The CONTRACTOR shall provide uniform service, including all neces-
sary supplies and equipment required in the performance of same,
and perform all of the work described in the Specification enti-
tled:

The County shall pay to the CONTRACTOR for the faithful perfor-
mance of said service on a per month in arrears basis on or be-
fore the 30th day of the following month in each of twelve (12)
months. The CONTRACTOR shall invoice the County monthly for uni-
form services performed under the Specifications contained here-
in. Invoice shall be itemized by department and shall include
the names of employees. The Contract amount shall be as stated
by the contractors bid as follows:
A. Material Type 65/35 polyester/cotton - shirt/pant combination
Four Dollars and Fifty Cents ($4.50) per employee per week.
B. Material Type 100% cotton - shirt/pant combination
Six Dollars and Fifty Cents ($6.50) per employee per week.
C. Total Contract amount shall not exceed forty-five thousand
dollars ($45,000.00) per year.

3.02
THE CONTRACT SUM
3.03 CONTRACTOR'S ACCEPTANCE OF CONDITIONS
A. Any ambiguity or uncertainty in the Specifications shall be
interpreted and construed by the COUNTY, and his decision
shall be final and binding upon all parties.
B. The passing, approval, and/or acceptance of any part of the
work or material by the COUNTY shall not operate as a waiver

by the COUNTY of strict compliance with the terms of this
Contract, and Specifications covering said work. Failure on
the part of the CONTRACTOR, immediately after Notice to Cor-
rect materials and/or delivery shall entitle the COUNTY, if
it sees fit, to correct the same and recover the cost of
replacement from the CONTRACTOR, who shall in any event be
liable to the COUNTY for all damage, loss, and expense caused
to the COUNTY by reason of the Contractor's breach of this
Contract and/or his failure to comply strictly and in all
things with this Contract and with the Specifications.
3.04 TERM OF CONTRACT/RENEWAL
A. This contract shall be for a period of one (1) year, commenc-
ing on October I, 1996 and terminating on September 30,
1997. This Contract is renewable in accordance with Article
3.04B.
B.The COUNTY shall have the option to renew this agreement for
two additional one year periods. The contract amount agreed
to herein may be adjusted annually in accordance with the
percentage change in the Consumer Price Index (CPI) for Wage
Earners and Clerical Workers in the Miami, Florida area in-
dex, and shall be based upon the annual average CPI computa-
tion from January 1 through December 31 of the previous
year. Increases in the contract amount during each option
year period shall be extended into the succeeding years. The
County will notify the Contractor in writing at least thirty
(30) days prior to the expiration of the initial or subse-
quent term of it's intention to renew.
.3.05 CANCELLATION
A) The County may cancel this contract for cause with seven (7)
days written notice to the Contractor. Cause shall consti-
tute a breach of the obligations of the Contractor to perform
the services enumerated as the Contractor's obligations under
this contract.
B) Except for the County's termination because of nonappropria-
tion (paragraph 3.12), either of the parties hereto may
cancel this agreement without cause by giving the other party
sixty (60) days written notice of its intention to do so.
3.06 HOLD HARMLESS
The CONTRACTOR shall defend, indemnify and hold the County, its
officials, employees and agents harmless, from any and all
claims, liabilities, losses and causes of action which may arise
out of the performance of the Contract except such claims, liabil-
ities, losses and causes of action which may arise because of the
County's negligent actions or omissions. Compliance with the
insurance requirements shall not relieve the CONTRACTOR from the
obligations imposed by this article.

3.07
INDEPENDENT CONTRACTOR
At all times and for all purposes under this agreement the CON-
TRACTOR is an independent contractor and not an employee of the
Board of County Commissioners for Monroe County. No statement
contained in this agreement shall be construed so as to find the
contractor or any of his/her employees, contractors, servants, or
agents to be employees of the Board of County Commissioners for
Monroe County.
3.08
ASSURANCE AGAINST DISCRIMINATION
The CONTRACTOR shall not discriminate against any person on the
basis of race, creed, color, national origin, sex, age, or any
other characteristic or aspect which is not job related, in its
recruiting, hiring, promoting, terminating, or any other area
affecting employment under this agreement or with the provision
of services or goods under this agreement.
3.09
ASSIGNMENT/SUBCONTRACT
The CONTRACTOR shall not assign or subcontract any of its respon-
sibilities under this agreement, except in writing and with the
prior written approval of the Board of County Commissioners for
Monroe County, which approval shall be subject to such conditions
and provisions as the COUNTY may deem necessary. This agreement
shall be incorporated by reference into any assignment or subcon-
tract and any assignee or subcontractor shall comply with all of
the provisions of this agreement. Unless expressly provided for
therein, such approval shall in no manner or event be deemed to
impose any obligation upon the COUNTY in addition to the total
agreed-upon price of the services/goods of the contractor.
3.10
COMPLIANCE WITH LAW
In providing all services/goods pursuant to this agreement, the
contractor shall abide by all statutes, ordinances, rules and
regulations pertaining to, or regulating the provisions of, such
services, including those now in effect and hereinafter adopted.
Any violation of said statutes, ordinances, rules and regula-
tions shall constitute a material breach of this agreement and
shall entitle the COUNTY to terminate this contract immediately
upon delivery of written notice of termination to the contractor.
3.11
INSURANCE
Upon execution of this agreement, the CONTRACTOR shall furnish
the COUNTY Certificates of Insurance indicating the minimum cover-
age limitations as indicated by an "X" on the attached forms
identified as INSCKLST 1-4, as further detailed on forms WC1,
GL1, VL1, GIRl & GIR2, each attached hereto and incorporated as
part of this contract document.

FUNDING AVAILABILITY
In the event that funds from the Public Works Division Contractu-
al Services are partially reduced by the Board of County Commis-
sioners or cannot be obtained or cannot be continued at level
sufficient to allow for the purchase of the services/goods speci-
fied herein, this agreement may then be terminated immediately at
the option of the Board of County Commissioners by written notice
of termination delivered in person or by mail to the contractor.
The Board of County Commissioners shall not be obligated to pay
for any services provided by the contractor after the contractor
has received written notice of termination.
3.13
PROFESSIONAL RESPONSIBILITY
The CONTRACTOR warrants that it is authorized by law to engage in
the performance of the activities encompassed by the project
herein described, subject to the terms and conditions set forth
in the Contract Specifications entitled "Contract Specifications
/Uniform Service/Public Works Division", which is attached hereto
and incorporated herein as a part of this contract/agreement.
The provider shall at all times exercise independent, profession-
al judgement and shall assume professional responsibility for the
services to be provided. Continued funding by the COUNTY is con-
tingent upon retention of appropriate local, state, and/or feder-
al certification and/or licensure of contractor.
3.14
NOTICE REQUIREMENT
Any notice required or permitted under this agreement shall be in
writing and hand delivered or mailed, postage prepaid, to the
other party by certified mail, returned receipt requested, to the

NOTICE IS HEREBY GIVEN TO WHOM IT MAY CONCERN that on AUGUST 22,
1996 at 10:00 am, at the Purchasing Office, a committee consisting of the Director ofO.M.B, the
County Administrator, the County Attorney and the Division Director of Public Works, or their
designees, will open sealed bids for the following:

All bids must be received by the Purchasing Office, 5100 College Road, Public Service
Building, Cross Wing, Room #002, Stock Island, Key West, Florida 33040 on or before
1 0:00AM on AUGUST 22, 1996. Any bids received after this date and time will be
automatically rejected "per" BOCC 7/17/91.
All bids, including the recommendation of the County Administrator and the requesting
Department Head, will be presented to the Board of County Commissioners of Monroe County,
Florida, for final awarding or otherwise.
The Board will automatically reject the bid of any person or affiliate who appears on the
convicted vendor list prepared by the Department of General Services, State of Florida, under
Section 287.133(3)(d), F.S. (1995).
All bidders submitting bids for construction, improvement, remodeling or repair of
public buildings, will furnish evidence that the bidder holds an appropriate current certificate or
registration per Ch. 489.131 F .S. unless exempt under Ch. 489.103 F .S.
All bidders must submit two (2) signed originals and one ( 1) complete copy of each bid
in a sealed envelope marked on the outside, "Sealed Bid for "Uniform Services - Public Works
Division". All bids must remain valid for a period of ninety (90) days.

SECTION ONE
INSTRUCTIONS TO BIDDERS
INSURANCE/INDEMNIFICATION/HOLD HARMLESS
A.
The CONTRACTOR shall defend, indemnify and hold harmless
the County as outlined on the attached form identified
as IND1.
B.
The CONTRACTOR will be responsible for all necessary
insurance coverage as indicated by an "X" on the at-
tached forms identified as INSCKLST 1-4, as further
detailed on forms GL1, VL1, WC1, GIRl, & GIR2.
If the bidder is exempt from Workers Compensation under
Florida Statute 440, a copy of the exemption certificate
is to be submitted with the bid. Workers Compensation
Insurance will only be waived for those companies that
demonstrate that they are exempt employers.
Certificates of Insurance must be provided to Monroe
County within fifteen days after award of bid. If the
proper insurance forms are not received within the fif-
teen days, bid may be awarded to the next selected bid-
der.
DISQUALIFICATION OF BIDDERS
A.
One Bid: Only one bid from an individual, firm, partner-
ship or corporation under the same or under different
names will be considered. If it is discovered that a
bidder is interested in more than one bid for the work
involved, all bids in which such a bidder is interested
may be rejected.
B.
NON-COLLUSION AFFIDAVIT: Any person submitting a bid or
proposal in response to this invitation must execute the
enclosed NON-COLLUSION AFFIDAVIT and submit it with his
bid or proposal. Failure to complete this form in every
detail and submit it with your bid or proposal may re-
sult in immediate disqualification of your bid or propos-
al. If it is discovered that collusion exists among the
bidders, the bid or proposals of all participants in
such collusion will be rejected, and no participants
in such collusion will be considered in future bids
proposals for the same work.
PUBLIC ENTITY CRIME: A person or affiliate who has been
placed on the convicted vendor list following a convic-
tion for a public entity crime may not submit a bid on a
contract to provide any goods or services to a public
entity, may not submit a bid on a contract with a public
entity for the construction or repair of a public build-
ing or public work, may not submit bids on leases of

real property to public entity, may not be awarded or
perform work as a contractor, supplier, subcontractor,
or consultant under a contract with any public entity,

Category Two: $10,000.00.
ETHICS CLAUSE: Any person submitting a bid or proposal
in response to this invitation must execute the enclosed
ETHICS CLAUSE and submit it with his bid or proposal.
Failure to complete this form in every detail and submit
it with your bid or proposal may result in immediate
disqualification of your bid or proposal.

DRUG-FREE WORKPLACE FORM: Any person submitting a bid
or proposal in response to this invitation must execute
the enclosed DRUG-FREE WORKPLACE FORM and submit it
with his bid or proposal. Failure to complete this form
in every detail and submit it with your bid or proposal
may result in immediate disqualification of your bid or
proposal.
EXAMINATION OF CONTRACT DOCUMENTS
Each bidder shall carefully examine the specifications
and other contract documents, and inform himself thor-
oughly regarding any and all conditions and requirements
that may in any manner affect cost, progress, or perfor-
mance of the work to be performed under the contract.
Ignorance on the part of the CONTRACTOR will in no way
relieve him of the obligations and responsibilities
assumed under the contract.
Should a bidder find discrepancies or ambiguities in, or
omissions from, the specifications, or should he be in
doubt as to their meaning, he shall at once notify the
COUNTY.
INTERPRETATIONS, CLARIFICATIONS, AND ADDENDA
No oral interpretations will be made to any bidder as to
the meaning of the contract documents. Any inquiry or
request for interpretation received seven (7) or more
days prior to the date fixed for opening of bids will be
given consideration. All such changes or interpreta-
tions will be made in writing in the form of an addendum
and, if issued, will be mailed or sent by available
means to all known prospective bidders prior to the
established bid opening date. Each bidder shall acknowl-
edge receipt of such addenda in the space provided there-
fore in the bid form. In case any bidder fails to ac-
knowledge receipt of such addenda or addendum, his bid

will nevertheless be construed as though it had been
received and acknowledged and the submission of his bid
will constitute acknowledgement of the receipt of same.
All addenda are a part of the contract documents and
each bidder will be bound by such addenda, whether or
not received by him. It is the responsibility of each
bidder to verify that he has received all addenda issued
before bids are opened.
GOVERNING LAWS AND REGULATIONS
A.
The bidder is required to be familiar with and shall be
responsible for complying with all federal, state and
local laws, ordinances, rules, and regulations that in
any manner affect the work.
B.
The bidder shall include in his bid prices all sales,
consumer, use, and other taxes required to be paid in
accordance with the law of the State of Florida and the
County of Monroe.
PREPARATION OF BIDS
A.
Signature of the bidder: The bidder must sign the Bid
forms in the space provided for the signature. I f the
bidder is an individual, the words "doing business as
" or "Sole Owner" must appear be-
neath such signature. In the case of a partnership, the
signature of at least one of the partners must follow
the firm name and the words "Member of the Firm" should
be written beneath such signature. I f the bidder is a
corporation, the title of the officer signing the bid in
behalf of the corporation must be stated and evidence of
his authority to sign the bid must be submitted. The
bidder shall state in the bid the name and address of
each person interested therein.
B.
Basis for Bidding: The price bid for each item shall be
on a unit price basis according to the form of the bid.
The bid prices shall remain unchanged for the duration
of the contract and no claims for cost escalation during
the progress of the work will be considered.
SUBMISSION OF BIDS
Two (2) signed originals and one (I) copy of each bid
shall be submi tted in a sealed envelope which shall be
marked so as to clearly indicate its contents and the
name of the bidder. If forwarded by mail, the above
mentioned envelope shall be enclosed in another envelope
addressed to the entity and address stated in the Notice
of Calling For Bids, and preferably by special delivery,
registered mail; if forwarded otherwise than by mail, it

shall be delivered to the same address. Bids will be
received until the date and hour stated in the Notice of
Calling For Bids.
WITHDRAWAL OF BID
Any bid may be withdrawn prior to the time scheduled in
the Notice of Calling For Bids for the opening thereof.
A bid may also be withdrawn thirty (30) days after the
date of the opening of the bids, provided that the bid-
der has not been notified that his bid has been accepted.
MODIFICATION OF BIDS
A.
Written bid modification will be accepted from bidders
if addressed to the entity and address indicated in the
Notice of Calling For Bids and received prior to bid due
date and time.
B.
A bidder may modify his bid by. telegraphic communication
at any time prior to the scheduled closing time for
receipt of bids, provided such telegraphic communication
is received prior to the closing time, and provided
further, the COUNTY is satisfied that a written confirma-
tion of the telegraphic modification over the signature
of the bidder was mailed prior to the closing time. The
telegraphic communication should not reveal the bid
price, but should provide the addition or subtraction or
other modification so that the final prices or terms
will not be known until the sealed bid is opened. If
written confirmation is not received within two days
from the closing time, no consideration will be given to
the telegraphic modification.
RECEIPT AND OPENING OF BIDS
Bids will be received until the designated time and will
be publicly opened and read aloud at the appointed time
and place stated in the Notice of Calling For Bids. The
person whose duty it is to open them will decide when
the specified time has arrived and no bids received
thereafter will be considered. No responsibility will
be attached to anyone for the premature opening of a bid
not properly addressed and identified. Bidders or their
authorized agents are invited to be present.
DETERMINATION OF SUCCE$SFUL BIDDER
Until the final award of the contract, the COUNTY does
not bind to accept the minimum bid, but reserves the
right to reject any and all bids and to waive technical
errors and irregularities as may be deemed best for the
interests of the COUNTY. Bids which contain modifica-
tions, are incomplete, unbalanced, conditional, obscure,

or which contain additions not requested or irregulari-
ties of any kind, or which do not comply in every re-
spect with the Instructions to Bidders, and the contract
documents, may be rejected at the option of the COUNTY.
AWARD OF CONTRACT
A.
The COUNTY reserves the right to reject any or all bids,
or any part of any bid, to waive any informality in any
bid, or to re-advertise for all or part of the work
contemplated. If bids are found to be acceptable by the
COUNTY, written notice will be given to the selected
bidder of the acceptance of his bid and of the award of
the contract to him.
B.
If the award of the contract is annulled, the COUNTY may
award the contract to another bidder or the work may be
re-advertised or may be performed by day labor as the
COUNTY decides.
C.
The contract will be awarded to the qualified bidder
complying with the applicable conditions of the contract
documents.
The COUNTY also reserves the right to reject the bid of
a bidder who has previously failed to perform properly
or to complete contracts of a similar nature on time.
EXECUTION OF CONTRACT
The bidder to whom a contract is awarded will be re-
quired to return to the COUNTY four (4) executed counter-
parts of the pJ;'escribed contract together with the re-
quired certificate of insurance within fifteen (15) days
from the date of notice of acceptance of the bidder's
bid.

SCOPE OF WORK
A.
Upon award of contract, the Monroe County Public Works
Division shall furnish the CONTRACTOR with a list of
employees names, departments, and sizes of uniforms
required. The Contractor shall supply eleven (11) new
clean shirts and eleven (11) new clean pairs of pants or
shorts, or combination of both, for each employee on the
list. The garments shall be in the sizes, color, style,
and material type as referenced on the list provided to
the Contractor.
B.
Each shirt shall have two (2) sewn on patches: one on
the right side of the chest, "Monroe County Public
Works", and one on the left side of the chest indicating
the employee's name and title. Please note that the
"Monroe County Public Works" patch shall also indicate
the employee's designated department.
C.
Monthly, the Public Works Division will update the em-
ployee list, which will indicate additional uniform
requirements and deletions.
On Thursday of each week, the CONTRACTOR shall obtain
soiled uniforms from the locations described in Article
2.01. Soiled uniforms shall be replaced with the exact
amount of clean garments.
E. All the garments shall be, and at all times remain, the
property of the Contractor.
F. Worn out or damaged garments shall be replaced by the
Contractor on an as needed basis as directed by the Coun-
ty. The Contractor shall be responsible to provide a
system to allow for alterations and uniform repair at no
extra cost to the County.
G. Bid prices shall include all installation, preparation,
style/color, and swing suit charges.

COMMENCEMENT AND COMPLETION
Upon receipt of Notice to Proceed, the Contractor shall
take no longer that thirty (30) days to implement uni-
form service.
COORDINATION OF THE WORK
Upon delivery, a Contractor Employee, in the presence of
the County's Designated Representative, will count the
number and types of garments delivered, and shall pro-
vide the County with a receipt stating the number and

time, and the same locations, the Contractor shall col-
lect and count, in the presence of the County's Designat-
ed Representative, all the garments previously supplied,
which have become soiled, for laundering and subsequent
re-delivery, and shall provide the County with a receipt
both as to the numbers and types of garments collected,
which receipt shall be acknowledged by the signature of
the County's Designated Representative as to accuracy
and receipt.
B. I f the receipt system of Article 2. 04A shows that the
number of garments supplied to any of the departments in
any given week is in an insufficient amount according to
the number of employees or types of garments enumerated
on the department's list, then the County, through the
appropriate department head or director, shall promptly
notify the Contractor, by certified mail, of the short-
fall and the Contractor shall thereafter have one week
from the date of its receipt of the notice to correct
the shortfall.
