AGREEMENT
AUTOMOTIVE AND ROLLING EQUIPMENT PARTS AND
SUPPLIES
Monroe County, Florida
This AGREEMENT is made by and between Monroe County, 5100 College Road, Stock
Island, Key West, Florida 33040 (hereinafter referred to as "owner") and Genuine Parts
Company d/b/a NAPA Miami Distribution Center, 9250 NW 58th Street, Miami, FL 33178
/NAPA franchises (NAPA Auto Parts, 2334 N. Roosevelt Blvd., Key West, FL 33040;
~ Parts, D.S 1, Stock Island, Key West, FL, 33040; Vincent Auto Parts, 4801
~i, Marathon, FL 33050; Beckman Auto Paris, Mile Marker 99.5, Key Largo, FL
33037, a joint venture, hereinafter referred to as "contractor") for AUTOMOTIVE AND
ROLLING EQUIPMENT PARTS AND SUPPLIES contract. The OWNER and the
CONTRACTOR agree as set forth as follows:
ARTICLE 1 - THE CONTRACT DOCUMENTS
The Contract Documents consist of this Agreement, the Non-Collusion Affidavit,
the Lobbying and Conflict of Interest Clause (Sworn Statement under Monroe County
Ordinance # 10-1990), the Drug-Free Work Place Form, the Insurance Documents,
Appendix A, Vehicle List, the contractor's bid, and all Modifications issued after execution
of this Agreement. These form the Contract, and all are as fully a part of the Contract as if
attached to this Agreement or repeated herein. An enumeration of the Contract Documents
appears in Article 8.
ARTICLE 2 - THE WORK
A. All stock items, parts and supplies shall be approved standard brands and of
the highest quality available. 'Stock items' are defined as all parts and supplies delivered
from the NAPA Distribution Center in Miami, Florida. The Owner reserves the right to
purchase from other vendors, e.g. limited items are available at State Contract prices which
the Contractor may not be able to match.
B. Resaleable and slow moving inventory, as determined by the contractor,
shall be picked up and credit written to Monroe County in return for new reclassified parts
and supplies.
C The Contractor shall provide in stock deliveries within one working hour
and special order shipments of parts/supplies each workday morning at each area garage
located in Key West, Marathon and Plantation Key, Florida.

ARTICLE 3 - ASSIGNMENT
A. The Contractor shall not assign or subcontract this agreement, except in
writing and with the prior written approval of the Owner and Contractor, which approval
shall be subject to such conditions and provisions as the Owner and Contractor deem
necessary. This agreement shall be incorporated by reference into any assignment or
subcontract and any assignee or subcontractor shall comply with all of the provisions of
this agreement. Unless expressly provided for therein, such approval shall in no manner or
event be deemed to impose any obligation upon the Owner in addition to the total agreed-
upon price of the services/goods of the Contractor.
B. The Contractor shall not utilize in its performance under the contract any
Subcontractor, Supplier or other person or organization against whom the Owner may have
reasonable objection.
ARTICLE 4 - TERM OF CONTRACT
A. This contract shall be for a period of one (1) yea:, with two (2) one-year
options to renew at the discretion of the Owner. This contract shall commence on the day
in which it has been executed by both parties.
ARTICLE 5 - SCHEDULE
The Contractor shall commence Work to be performed under this Contract no later
than ten (10) calendar days from Notice to Proceed.
ARTICLE 6 - CONTRACT PRICE
The OWNER shall pay the CONTRACTOR in accordance with the following schedule:
A. Percentage above Contractor provided price sheets: cost as stated on price
sheet plus 0 (zero)%.
B. Percentage above original invoice price for items
picked up from dealers or second party distributors: cost plus 25%.
C: Up to two stock orders per week, per County garage, shall be shipped from
the NAP A Miami Distribution Center to the local NAP A store serving that garage. That
store shall deliver the stock order to the County Garage. These stock orders shall be priced
at true jobber cost (actual price paid by the NAPA Auto Parts Store) plus 3% to 5%
depending on the product line and manufacturer.
ARTICLE 7 - PAYMENT PROCEDURES
A. The Contractor shall submit invoices for payment monthly for all parts and
supplies provided under this contract for the previous month.

FORM OF AGREEMENT
IN WITNESS WHEREOF, the OWNER and CONTRACTOR have signed this Agreement
in four copies. One counterpart each has been delivered to the CONTRACTOR, OWNER
(DIRECTOR, FLEET MANAGEMENT SERVICES DEPARTMENT), COUNTY
ATIORNEY and CLERK OF THE CIRCillT COURT. All portions of the Contract
Documents have been signed or identified by the OWNER and CONTRACTOR.

MANUAL
General Insurance Requirements
for
Other Contractors and Subcontractors
As a pre-requisite of the work governed, or the goods supplied under this contract
(including the pre-staging of personnel and material), the Contractor shall obtain, at hisJher
own expense, insurance as specified in any attached schedules, which are made part of this
contract. The Contractor will ensure that the insurance obtained will extend protection to
all Subcontractors engaged by the Contractor. As an alternative, the Contractor may
require all Subcontractors to obtain insurance consistent with the attached schedules.
The Contractor will not be permitted to commence work governed by this contract
(including pre-staging of personnel and material) until satisfactory evidence of the required
insurance has been furnished to the County as specified below. Delays in the
commencement of work, resulting from the failure of the Contractor to provide satisfactory
evidence of the required insurance, shall not extend deadlines specified in this contract and
any penalties and failure to perform assessments shall be imposed as if the work
commenced on the specified date and time, except for the Contractor's failure to provide
satisfactory evidence.
The Contractor shall maintain the required insurance throughout the entire term of this
contract and any extensions specified in the attached schedules. Failure to comply with this
provision may result in the immediate suspension of all work until the required insurance
has been reinstated or replaced. Delays in the completion of work resulting from the
failure of the Contractor to maintain the required insurance shall not extend deadlines
specified in this contract and any penalties and failure to perform assessments shall be
imposed as if the work had not been suspended, except for the Contractor's failure to
maintain the required insurance.
The Contractor shall provide, to the County, as satisfactory evidence of the required
insurance, either:
. Certificate of Insurance or
. A Certified copy of the actual insurance policy.
The County, at its sole option, has the right to request a certified copy of any or all
insurance policies required by this contract.
All insurance policies must specify that they are not subject to cancellation, non-renewal,
material change, or reduction in coverage unless a mlnlmum of thirty (30) days prior
notification is given to the County by the insurer.
The acceptance and/or approval of the Contractor's insurance shall not be construed as
relieving the Contractor from any liability or obligation assumed under this contract or
imposed by law.

The Monroe County Board of County Commissioners, its employees and officials will be
included as "Additional Insured" on all policies, except for Workers' Compensation.
Any deviations from these General Insurance Requirements must be requested in writing
on the County prepared form entitled "Request for Waiver of Insurance Requirements"
and approved by Monroe County Risk Management.
INSURANCE REQUIREMENTS
FOR
CONTRACT
BETWEEN

Prior to the commencement of work governed by this contract, the Contractor shall obtain
General Liability Insurance. Coverage shall be maintained throughout the life of the
contract and include, as a minimum:
. Premises Operations
. Products and Completed Operations
. Blanket Contractual Liability
. Personal Injury Liability
. Expanded Definition of Property Damage
The minimum limits acceptable shall be:
$500,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$250,000 per Person
$500,000 per Occurrence
$ 50,000 Property Damage
An Occurrence Form policy is preferred. If coverage is provided on a Claims Made policy,
its provisions should include coverage for claims filed on or after the effective date of this
contract. In addition, the period for which claims may be reported should extend for a
minimum of twelve (12) months following the acceptance of work by the County.
The Monroe County Board of County Commissioners shall be named as Additional Insured
on all policies issued to satisfy the above requirements.

Recognizing that the work governed by this contract involves County property being
transported by the Contractor, and that most liability policies exclude coverage for such
items, the Contractor will be required to maintain Motor Vehicie Cargo Insurance in
amounts no less than the replacement value of the property in the possession of the
Contractor.
Maximum Value of the County's property which is in the possession of the Contractor:
$30,000.00

Recognizing that the work governed by this contract requires the use of vehicles, the
Contractor, prior to the commencement of work, shall obtain Vehicie Liability Insurance.
Coverage shall be maintained throughout the life of the contract and include, as a
minimum, liability coverage for:
. Owned, Non-Owned, and Hired Vehicles
The minimum limits acceptable shall be:
$300,000 Combined Single Limit (CSL)
If split limits are provided, the minimum limits acceptable shall be:
$100,000 per Person
$300,000 per Occurrence
$ 50,000 Property Damage
The Monroe County Board of County Commissioners shall be named as Additional Insured
on all policies issued to satisfy the above requirements.

WORKERS' COMPENSATION
INSURANCE REQUIREMENTS
FOR
CONTRACT

MONROE COUNTY, FLORIDA

Prior to the commencement of work governed by this contract, the Contractor shall obtain
Workers' Compensation Insurance with limits sufficient to respond to Florida Statute
440.
In addition, the Contractor shall obtain Employers' Liability Insurance with limits of not
less than:
$100,000 Bodily Injury by Accident
$500,000 Bodily Injury by Disease, policy limits
$100,000 Bodily Injury by Disease, each employee
Coverage shall be maintained throughout the entire term of the contract.
Coverage shall be provided by a company or companies authorized to transact business in
the state of Florida.
If the Contractor has been approved by the Florida's Department of Labor, as an authorized
self-insurer, the County shall recognize and honor the Contractor's status. The Contractor
may be required to submit a Letter of Authorization issued by the Department of Labor and
a Certificate of Insurance, providing details on the Contractor's Excess Insurance Program.
If the Contractor participates in a self-insurance fund, a Certificate of Insurance will be
required. In addition, the Contractor may be required to submit updated financial
statements from the fund upon request from the County.

DRUG-FREE WORKPLACE FORM
The undersigned vendor in accordance with Florida Statute 287.087 hereby certifies that:

possession, or use of a controlled substance is prohibited in the workplace and specifying the actions that will
be taken against employees for violations of such prohibition.

a drug-free workplace, any available drug counseling, rehabilitation, and employee assistance programs, and
the penalties that may be imposed upon employees for drug abuse violations.
3. Give each employee engaged in providing the commodities or contractual services that are under bid a
copy of the statement specified in subsection (1).
4. In the statement specified in subsection (1), notify the employees that, as a Condition of worldng on the
commodities or contractual services that are under bid, the employee will abide by the terms of the statement
and will notify the employer of any conviction of, or plea of guilty or nolo contendere to, any violation of
Chapter 893 (Florida Statutes) or of any controlled substance law of the United States or any state, for a
violation occurring in the workplace no later than five (5) days after such conviction.
5. Impose a sanction on, or require the satisfactory participation in a drug abuse assistance or rehabilitation
program if such is available in the employee's community, or any employee who is so convicted.
6. Make a good faith effort to continue to maintain a drug-free workplace through implementation of this
section.

DISQUALIFICATION OF BIDDERS
One bid: Only one bid from an individual, thm, partnership or cmpomtion under the same
or under different names will be considered. In the event evidence is disCOVered which
indicates a bidder has interest in more than one bid for the worlc involved, all bids in which
such. a bidder is interested may be rejected.
Non-collusion affidavit: Any person submitting a bid or proposal in response to this
invitation must execute the enclosed Non-collusion Affidavit. If it is disCOvered that
collusion exists among the bidders, the bid or proposals of all ~cipams in such collusion
shall be reJected, and no participants in such collusions will be considerai in future bids for
the same work.
Public Entity Crime Statement: A person or affiliate who has beeu placed on the convicted
vendor list following a conviction for public entity crime may not submit a bid on a
contract to provide any goods or services to a public entity, may ~ot submit a bid on a
contract with a public entity for the construction or repair of a public building or public
work, may not submit bids on leases of real property to public entity, and may not be
awarded or perform work as a contractor supplier, subcontractor or consultant under a
contract with any public entity, and may not transact business with any public entity in
excess of the threshold amount provided in 'CSection 287.017, for Category Two ~

GOVERNING LAWS AND REGULATIONS
The bidder is required to be familiar with and shall be responsible for complying with all
federal, state and local laws, ordinances, roles, and regulations that in any manner affect the

The bidder shall include in his bid prices all sales, consumer, use, and other taxes to be paid
in accordance with the law of the State of Florida and the County of Monroe.
PREPARATION OF BIDS
Signature of the bidder: The bidder must sign the Bid forms in the space provided for the
signature. If the bidder is an individual, the words "Doing Business As"
, or "Sole Owner" must appear beneath such
signature. In the case of a parmership, the signature of at least one of the parmers must
follow the film name and the words ''Member of the rum" should be written beneath such

by Dave Washington, will service the Fleet Management Garage located in
Marathon.
The NAPA Miami Distribution Center and the NAPA Auto Parts stores located in
Key West and Stock Island are owned and operated by Genuine Parts Company,
a corporation, incorporated under the laws of the State of Georgia.
The Stock Island and Key West stores will pool their resources to provide service
to the Fleet Management Garage located in Key West

1. The four partidpating stores are part of the largest automotive parts
distribution system in the world. They are serviced and supported by the
NAPA Miami Distribution Center which stocks over 200,000 part numbers,
represents over 90 manufacturers, and has inventory in excess of
$15,000,000.
2. Each individual store has the capability to check stock and place orders in
any of 14 NAPA Distribution Centers in the Southeast United States.
These 14 distribution centers have a combined total inventory of
approximately $100,000,000.
3. Every NAPA store offers the support, help, and guidance of over 17
manufacturers representatives. These reps can be utilized to help in
setting up your stock rooms.
4. Our manufacturers representatives will assist in inventorying and
re-numbering all existing county owned parts and supplies.
5. We offer Fleet Surveys, which are useful in determining the parts you will
need to stock.
6. With the cooperation of our manufacturers, we will identify and pick up
the slow moving items that you presently have in stock and no longer have
need for. These items will be credited/exchanged for new merchandise
that you can use.
7. Avai:able is our "PCINAPA Access" software system which can be installed
at your Fleet Management Garages and used to look up part numbers,
check our store inventory, check prices, interchange part numbers and
order parts at any time, day or night, even when the store is closed.
8. Our in-store inventories will be tailored to fit the needs of the County, and
our distribution center in Miami will back the store with additional inventory
if necessary.
9. We offer training for your mechanics (both classroom and hands-on)
through our manufacturers reps and factory trained instructors. Also
available are over 95 video training tapes.
10. Not only do we stock more auto and truck fJarts than anyone else in the
state; but we also have in stock, at the NAPA Miami Distribution Center,
parts for heavy equipment, lawnmowers, tractors, 2 cycle engines, diesel
engines, outboard motors and inboard marine engines.

Basis for Bidding: The price bid for each item shall be on a UDit price basis according to
the bid form. The bid prices shall remain unchmged for the dumtiOD of the COllttact and no
claims for cost escalation during the progress of the wOIk will be considered.
EXECUTION OF THE CONTRACT
The bidder to whom a contract is awasded will be required to rr:tum to the Owner four (4)
executed counterparts of the prescribed contract together with the required certificates of
insurance within fifteen (15) days from the date of notice of acceptance of the bidder's bid
CERTIFICATE OF INSURANCE
The Contractor will be-responsible for all necessary insurance coverage as indicated on the
attached fOIms. Certificates of Insurance must-' be provided to Monroe County within
fifteen days after award of bid If the proper insurance fonns are not received within the

SPECIFICATION IBID FORM
The purpose of this specification is to solicit an automotive and rolling equipment parts and
supply distributor for delivery and procurement of same for Monroe County Fleet
Management Garages located in Key West, Marathon and Plantation Key, Florida.
All bidders should, in detail, document their proven ability to provide all products and
supplies as described herein.
Bidders shall have the resources and ability for ex~sting resaleable and slow moving
inventory to be picIred up and credit written to Monroe County in return for new
reclassified parts and supplies.
All stock items, parts and supplies are to be approved standard brands and of the highest
quality available.
Bidders shall provide one (1) complete set of parts/supply price sheets along with summary
of brand name products. (Include warranty summary for parts offered).
Successful bidder shall have the resources to provide delivery ofin stock items within one
working hour, also the ability to provide special order shipments of parts/supplies each
workday morning at each area garage located in Key West, Marathon and Plantation Key,
Florida.

Term of contract shall be for one (1) year with two (2) one year options to renew.
