As you are aware, on May 29, 1990, the Board of County
Commissioners, approved and authorized execution of a
License Agreement between the County and the Department of
General Services concerning a radio tower in Plantation Key.
Attached are the bond and three duplicate original copies of
the Agreement, all of which are now executed and sealed on
behalf of the County. It is our understanding that your
Division will handle obtaining the remaining necessary
signatures. Please be sure to return one fully-executed
original to the undersigned as quickly as possible.

WHEREAS, the County of Monroe (county) is the Owner of
hereinafter described real property located on Pl~iltion Key,
Monroe County, Florida; and
WHEREAS, the Division of Communications of the Department
of General Services (DGS) is responsible for the design,
engineering, acquisition and implementation of a statewide law
enforcement radio communications system (radio system); and
WHEREAS, both the County and DGS are desirous of
facilitating the implementation of the radio system by constructing
a radio tower on the above-referenced property; and
WHEREAS, utilization of the tower for the intended
purposes will require a license to DGS:
NOW THEREFORE, in consideration of the mutual covenants
and promises hereinafter provided, the county hereby grants to DGS
a license to construct and maintain the tower, subject to the
following terms and conditions:
1.
LICENSED PREMISES:
The Licensed Premises to be
governed by this Agreement are 88800 U.S. Highway 1, Plantation
Key, Florida, 33070, further described in Exhibit A, a site plan
for said premises.
2. TOWER DESCRIPTION: DGS will construct a radio tower
on the Licensed Premises, as described in Exhibit B. Utilization
of the tower in the radio sy.stem will be as described in this
Exhibit. DGS will also place a shelter for radio equipment and a
generator on the Licensed Premises. A schematic drawing of the
shelter is attached as Exhibit C. All additions and alterations
provided in this paragraph will be paid for by DGS. The County
shall have the pption to utilize the tower for its own
communications at its own expense.
3. PERMITS: It shall be the responsibility of DGS to
obtain all permits necessary for its work contemplated herein.
4. ACCESS: The employees and agents of DGS authorized
to use the Licensed Premises shall, at all times during the terms
of this Agreement, have the unrestricted right to enter upon the
Licensed Premises where any equipment is located and to enjoy full
and complete access to the land on which the equipment is located,
provided such access is made in such a manner as to create the
least practical interference with each Party's use and operation
of its parts of the tower and communications equipment.
5. TELEPHONE LINES: Each Party desiring telephone
company communication lines or remote control circuits must arrange
for same with the company supplying such service at the
communications shelter.
6. ELECTRICITY: Each Party desiring electrical service
to its equipment must arrange for same with the company supplying
such service at the communications shelter.
7. OWNERSHIP OF TOWER, SHELTER AND GENERATOR: DGS
shall be the sole owner of any and all improvements which it makes
to the Licensed Premises, ti tIe to same vesting in DGS upon
installation.

8. TERM OF LICE~SE: The term of the grant of this
License by the County to DGS shall run for a period of thirty (30)
years (unless terminated or cancelled as hereinafter provided),
commencing on the' date that this License Agreement is last
executed, and shall be renewable for like terms thereafter on the
same terms and conditions as provided herein unless either Party
gives to the other not less than sixty (60) days written notice
prior to the expiration of this Agreement, that such Party does not
desire to renew same, or desires to change the terms and conditions
of the current or then existing Agreement.
9. CANCELLATION: If either Party defaults in
fulfilling any of the terms and conditions of this Agreement, then
DGS, upon serving a written thirty (30) day notice specifying the
nature of such default, and upon the expiration of such thirty (30)
day period if the notified Party has failed to comply with or
remedy such default, or if the said default or omission complained
of shall' be of such a nature that the same cannot be completely
cured or remedied within the thirty (30) day periOd, and the Party
does not within an additional thirty (30) days thereafter, with
reasonable diligence and in good faith, proceed to remedy or cure
such default, then DGS may serve a thirty (30) days written notice
of cancellation of that Party's rights hereunder and upon the
expiration of the said thirty (30) days, that Party's rights shall
terminate. In such an event, the Party in default shall promptly
remove its communications equipment from the tower and Licensed
Premises, provided however that each Party hereto shall be liable

for all obligations hereunder until the date of termination of such
rights.
10. SECURITY: Security of the Licensed Premises shall
be the responsibility of DGS.
11. MAINTENANCE: Maintenance of the grounds of the
Licensed Premises shall be the responsibility of DGS. Maintenance
of the tower and tower lighting shall be the responsibility of DGS.
12 . ASSIGNMENTS: This Agreement and each License
contained herein shall not be transferred, assigned, leased, sub-
leased, licensed or sub-licensed in whole or in part without
written consent of both Parties.
13. NEGLIGENCE: Any liability of the Parties and any
of their employees shall be as provided in Section 768.28, Florida
statutes. All damage caused by acts, omissions to act or
negligence shall be restored by the Party causing same.
14. ALTERATIONS: Except for structural improvements
necessary to keep the tower in good working condition, transmission
lines, changes in antenna types or locations, and the alterations
referred to in paragraph 3 hereof, DGS agrees not to make any
alterations, additions, or improvements to the tower without
written consent of the County. The County agrees not to make any
alterations, additions, or improvements to the tower without
written consent of DGS.
15. REMOVAL OF PROPERTY: On termination of this
Agreement, whether at the expiration of the first term (or any 30
year term thereafter) or by earlier cancellation as hereinabove

provided, DGS shall, within ninety (90) days thereafter, at its own
cost and expense, remove or cause to be removed all improvements
which it made on' the Licensed Premises. Upon such removal, DGS
shall restore the Licensed Premises to the same good order and
condition as they were on the date this Agreement was last
executed, normal wear and tear excepted.
16. CONSTRUCTION: This Agreement shall be interpreted
and construed as a license coupled with an interest in accordance
with the laws of the State of Florida.
17. WAIVER: The Parties agree that the waiver by either
Party of a breach of any provision of this Agreement shall not
operate or be construed as a waiver of any subsequent breach by
that same Party.
18. INDEMNIFICATION: The County covenants and agrees
that it will indemnify and hold the Department and its officers,
agents and employees harmless from any claims, loss, damage, cost,
charge or expense arising out of any act, action, neglect, or
breach of this Agreement by the County during the performance of
this Agreement, whether direct or indirect, and whether to any
person or property to which the Department or said parties may be
subject to the extent that such act, action, neglect or breach is
the cause of said claim, loss, damage, cost, charge or expense;
provided, however, that the County's liability hereunder shall not
exceed the monetary limits specified in Section 768.28, Fla.Stat.
19. SEVERABILITY: Any provisions of this Agreement in
violation of the laws of the State of Florida shall be ineffective

to the extent of such vi~lation without invalidating the remaining
provisions of this Agreement.
20. MISCELLANEOUS: Nothing contained herein shall be
construed as creating any principal-agent relationship between the
Parties. The Parties shall have the right to incorporate into and
make a part of this Agreement such conditions, changes, or
modifications which are, or may hereafter become necessary to
comply with any requirement or decision of the Federal
Communications Commission (FCC) so as not to prejudice or cause the
termination of any Party's FCC communications authorization.
21. ENTIRE AGREEMENT: This Agreement contains the
entire understanding between the Parties with respect to the
subject matter hereof. This Agreement may not be changed orally.
Any changes must be in writing and signed by the Parties.
22. AVAILABILITY OF FUNDS: Notwithstanding any
provision herein to the contrary, this Agreement is subject to the
availability of funds appropriated by the Legislature of the State
of Florida.
23. COOPERATION: Each Party shall cooperate with the
other to utilize the Licensed Premises for the purposes
contemplated herein and to minimize interference to equipment and
service.
24. SUCCESSORS: This Agreement
successors and assigns of the Parties.
24. EFFECTIVE DATE: This Agreement shall become binding
and effective on the date the second Party executes same.
