AMENDMENT NO. 1
TO THE CONTRACT FOR LiDAR DATA ELEVATION IN THE MUNICIPALITIES
THIS AMENDMENT NO. 1, dated this 15'h day of November, 2022, to the Contract for
Development of LiDAR Data Elevation in the Municipalities ("Agreement") by and between
Monroe County Board of County Commissioners ("COUNTY") and Wood Environment &
Infrastructure Solutions, Inc. ("Wood") is entered into as follows:
WITNESSETH:
WHEREAS, on June 15, 2022, COUNTY and Wood entered into the Agreement referenced
above; and
WHEREAS, on September 26, 2022, Wood was acquired by WSP Global Inc., and henceforth
shall be known as WSP USA Environment& Infrastructure Inc. ("CONSULTANT"); and
WHEREAS, COUNTY and CONSULTANT desire to amend the Agreement in order to reflect
the change of the entity.
NOW, THEREFORE, in consideration of mutual promises, covenants and contracts stated
herein, and for other good and valuable consideration, the sufficiency of which is hereby
acknowledged, COUNTY and WSP USA Environment& Infrastructure Inc. agree as follows:
1. The name of the CONSULTANT is changed from Wood Environment &
Infrastructure Solutions, Inc. to WSP USA Environment & Infrastructure Inc. wherever it
appears in the Agreement.
2. CONSULTANT agrees to be bound by all of the terms and conditions of the
Agreement.
3. This Agreement is retroactive to September 26, 2022.
4. Both of the signatories to this Amendment have the full requisite authority to
enter into this Amendment on behalf of their respective bodies.
5. In all other respects, the terms and conditions of the Agreement remain
unchanged.
