Should you have any questions please feel free to contact Inc at (305) 292-3550. cc: County Attorney Financc File KEY WEST MARATHON PLANTATION KEY 500 Whitehead Street 3117 Overseas Highway 88770 Overseas Highway Key West, Florida 33040 Marathon, Florida 33050 Plantation Key, Florida 33070 FIRST AMENDMENT TO THE AGREEMENT FOR PROFESSIONAL ARCHITECTURAL AND ENGINEERING SERVICES This First Amendment ("Amendment") made and entered into this 711 day of December 2022,by and between Monroe County Board of County Commissioners, a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key West, Florida 33040, its successors and assigns, hereinafter referred to as "County" or"Owner", AND CPH,LLC whose address is 1992 SW 1st Street,Miami, Florida 33135, its successors and assigns, hereinafter referred to as "Consultant". WITNESSETH: WHEREAS, on the 19th day of December 2018,the parties entered into an Agreement for Professional Architectural and Engineering Services ("Agreement"), pursuant to Subsection 287.055(2)(g), Florida Statutes to provide professional services for miscellaneous projects in which construction costs do not exceed Two Million and 00/100 Dollars ($2,000,000.00) or for study activity if the fee for professional services for each individual study under the contract does not exceed Two Hundred Thousand and 00/100 Dollars ($200,000.00); and WHEREAS,the Agreement currently expires on December 18, 2022, and provides for an option to renew the Agreement for up to one additional year; and WHEREAS, the County is in the process of negotiating new continuing services agreements which are expected to be approved by the Board of County Commissioners at the January 2023 meeting; and WHEREAS, the County desires to use the option to renew the Agreement with the Consultant in order to cover the gap between the existing Agreement expiration and execution of the new continuing services agreements. NOW, THEREFORE, in consideration of the mutual promises, covenants and agreements stated herein and in the original Agreement, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Pursuant to Recital No. 3 thereof, the Agreement shall be extended until January 17, 2023. 1 2° The remaining visions of the Agreement datedDecember 19, 2018, not inconsistent herewith, remain in full force andeffect.
