ITEM BACKGROUND: On December 14, 2000, Monroe County entered into a twenty (20) year Community Swimming Pool Lease Agreement with the Upper Keys Community Pool, Inc. (UKCP) (Lease Agreement) for construction and operation of a portion of Key Largo Community Park now known as Jacobs Aquatic Center located at 320 Laguna Avenue in Key Largo. UKCP has operated the Aquatic Center since that time after various amendments to its initial Lease Agreement. The initial term was to terminate on December 13, 2020, but it was extended for an additional two years with the new termination date on December 13, 2022. The County and UKCP have been in negotiations to enter into a new lease for operation of the pool which was not finalized prior to the Board's December 2022 meeting. On December 12, 2022, the parties entered into an Eleventh Amendment to the Lease extending the term to March 13, 2023, while the parties continued negotiations, so that UKCP was not operating Jacobs Aquatic Center without a current lease. The Eleventh Amendment was executed by the County Administrator on behalf of the County and will be on the January 2023 BOCC agenda for ratification by the BOCC. Upper Keys Community Pool, Inc. now desires to sever its contractual relationship with the County and not enter into a new Lease upon the termination date in the most recent Eleventh Amendment of March 13, 2023. In following Monroe County Monroe County Code provisions and the Purchasing Policy, staff now seeks to advertise a Request for Proposals (RFP) for operation and management services of the Jacobs Aquatic Center to determine the best provider for those services now that UKCP does not wish to continue with a new contract. Staff seeks approval to advertise an RFP as soon as possible to engage a new provider prior to expiration of the current extended term of UKCP or soon thereafter. PREVIOUS RELEVANT BOCC ACTION: On December 14, 2000, Monroe County entered into a twenty-year Community Swimming Pool Lease Agreement with the Upper Keys Community Pool, Inc. for construction and operation of a portion of Key Largo Community Park known as Jacobs Aquatic Center. The County provided Packet Pg. 669 C.19 funding for capital costs and utilities through contracts in 2001, 2002, 2003, and 2004. In FY2005, the 1 st Amendment of the Agreement states the County agreed to pay UKCP an amount not to exceed $225,000 to assist with operation of the pool. In FY2006, FY2007, and FY2008, the 2na 3rd and 41h Amendments of the Agreement respectively state the County agreed to pay UKCP an amount not to exceed $225,000, payable up to $18,750.00 per month to assist with operation of the pool. In FY2009, FY2010, FY2011, and FY2012, the 51h 61h, 7�h and 81h Amendments to the Agreement state the County agreed to pay UKCP an amount not to exceed $180,000, payable up to $15,000.00 per month to assist with operation of the pool. On August 15, 2012, the 91h Amendment states that commencing October 1, 2012, and continuing indefinitely pursuant to the termination provisions in section 10, the County shall pay UKCP an amount not to exceed $180,000, payable up to $15,000.00 per month to assist with operation of the pool. On June 15, 2022, the 101h Amendment extended the lease term retroactively to December 14, 2020, and to terminate on December 13, 2022. On December 12, 2022, the parties, through the County Administrator on behalf of the County, entered into an 111h Amendment extending the term of the Lease from December 14, 2022, through March 13, 2023. The llth Amendment will be presented to the BOCC at its January 2023 meeting for ratification.
