SEVENTH AMENDMENT TO THE CONTRACT AGREEMENT FOR
ENGINEERING DESIGN AND PERMITTING SERVICES
FOR ROWELL'S WATERFRONT PARK
This Seventh Amendment to the Agreement(hereinafter, "Amendment"),between Owner and Engineer for
the Engineering Design and Permitting Services for Rowell's Waterfront Park, entered into between
MONROE COUNTY ("County") and S&ME, Inc. ("Consultant"), is made and entered into this 18" day
of January 2023,in order to amend the Contract Agreement as follows:
Witnesseth
WHEREAS, on June 21, 2017, the BOCC approved a Contract Agreement with the Consultant(rescinded
and replaced from the BOCC action on May 17, 2017) for the engineering design and permitting through
construction administration for the development of Rowell's Waterfront Park; and
WHEREAS, on June 7, 2018, a First Amendment to the Contract Agreement was entered into adding
geotechnical field exploration to the Consultant's scope of services in order to obtain information and
recommendations for site preparation and foundation support for the proposed restroom building; and
WHEREAS, on September 15, 2021, a Second Amendment to the Contract Agreement was entered into
adding services to assist in the preparation and submission of a special grant called the Community
Development Block Grant- Coronavirus Relief(CDGB-CV); and
WHEREAS,on October 20,2021, a Third Amendment to the Contract Agreement was entered into adding
design of a site layout and opinion of probable construction cost estimate as required by the special CDGB-
CV grant; and
WHEREAS, on November 17, 2021, a Fourth Amendment to the Contract Agreement was entered into
adding design services for Phase II of the redevelopment of the park including expanded parking areas,
office/restroom building,multi-use path and event lawn; and
WHEREAS, on May 18, 2022, a Fifth Amendment to the Contract Agreement was entered into providing
design services for the addition of a video surveillance system for the park and an updated corrected survey;
and
WHEREAS, on June 15, 2022, a Sixth Amendment to the Contract Agreement was entered into providing
design services for the addition of a new library kiosk inside the park; and
WHEREAS,due to changes in the design of the redevelopment of the park as requested by the County, the
current proposed stormwater retention pond will impact the park development necessitating revised
stormwater plans in order to provide a seamless transition from Phase I to Phase II park construction.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the parties
agree as follows:

1) In accordance with Article III, Additional Services, Subsection 3.1, of the Contract Agreement,
Consultant shall provide design through Construction Administration services for the relocation of
the stormwater/retention pond. Services shall include:
a. Consultant shall coordinate with a subconsultant to provide updated Architectural design
documents as needed.
b. Consultant shall provide 100% design documents including updated stormwater
calculations for submission to the Monroe County Building Department for permitting.
c. Consultant shall respond to any permit comments and make any corrections needed in order
for County to obtain approval of revised plan for building permit.
2) In accordance with Article VII, Subsection 7.1.1, of the Contract Agreement, the County shall pay
the Consultant a lump sum fee of Eighteen Thousand Eight-Hundred and 00/100 Dollars
($18,800.00) paid on a percent complete basis for each task, as described above in the Scope of
Work, for the following services:
a. Construction Documents - $10,500.00 lump sum paid upon receipt of documentation and
upon approval by the Director of Project Management.
b. Stormwater Calculations - $4,500.00 lump sum paid upon receipt of documentation and
upon approval by the Director of Project Management.
c. Permitting-$2,700.00 lump sum paid on a percent complete of services and upon approval
by the Director of Project Management.
d. Architect Updates - $1,000.00 lump sum paid upon receipt of documentation and upon
approval by the Director of Project Management.
e. Administrative Fee - $100.00 lump sum paid upon receipt of documentation and upon
approval by the Director of Project Management.
The total contract amount including the original agreement through this seventh amendment is a
not-to-exceed amount of Four Hundred Fifty-Six Thousand Eight-Hundred Seventy-Four and
00/100 Dollars ($456,874.00).
3) In all other respects,the original Contract Agreement dated June 21,2017,as first amended on June
7, 2018, as second amended on September 15, 2021, as third amended on October 20, 2021, as
fourth amended on November 17, 2021, as fifth amended on May 18, 2022, and as sixth amended
on June 15, 2022,remains unchanged.
