PREVIOUS RELEVANT BOCC ACTION: On September 9, 1998, Ordinance No. 026-1998 was
adopted in order to provide that the County Administrator may approve separate, non -cumulative
change orders for construction projects and professional service contracts in amounts not to exceed
$25,000.00 or 5% of the original contract price, whichever is greater. The BOCC requested a monthly
report of all change orders considered by the County Administrator.

AGENDA ITEM WORDING: Receipt of the monthly report on Change Orders reviewed by
the County Administrator's Office.
ITEM BACKGROUND: There were two change orders considered and approved by the
County Administrator totaling $48, 876.10. They are as follows:
1. Medical Examiner's Facility - Change Order No. 2 for an increase of $43, 876.10 to
reimburse the contractor costs for obtaining Builders Risk Insurance. Builders Risk insurance
was required at execution of the contract, and due to permitting & surveying delays, and the
unforeseen hauling of muck, the construction was delayed many months.
2. Medical Examiner's Facility - Change Order No. 4 for a no cost time extension of 104
days, from November 8, 2007 to February 20, 2008 due to the time required to obtain building
structural design revisions and permits for same to reduce the expected costs.

Detailed description of change order and justification:
The Contractor was asked to purchase Builders Risk insurance necessary for execution of his
contract. Builders Risk Insurance and a Citizens Wind Policy, were purchased effective from
January 9. 2006 to January 9 2007 Permittlno and surveying Issues caused months of delay in
commencement of construction at no fault of the Contractor and additional delays occurred from
the removal and haulino of muck

Action Requested: Resubmit Change Order #2 to County Administrator with a recommendation for
approval.
Recommendation: Approve the attached Change Order Request #2 for Fonticiella Construction
Corporation in the amount of $43,876.10 (1.48%).
Basis for Recommendation:
13he contractor acted in snood faith and in accordance with the contract provisions.
2.The County did not, at the time in question, ask him to cancel his insurance pending a revised Notice to
Proceed start date.
3.The contractor has submitted the attached letter (dated 29July 2007) requesting reconsideration of the
change order.
Background:
The contractor requested an additional payment for extension of his insurance due to project delays
beyond his control. These delays were primarily delays for permits from the U.S. Army Corps of
Engineers, FL Dept. of Environment Protection, and the City of Marathon. The first two of these were for
work in a wetland area and the latter arose after the two initial Notices to Proceed (NTP) were issued.
The net result was that there were several abortive attempts to start construction, each interrupted by
additional regulatory requirements that were not foreseen.
The standard County contract requires that the contractor provide evidence of insurance before the
contract can be effective and that it not be cancelable without County approval. This he did. The various
fits and starts of the project left the contractor in a virtually perpetual state of "be prepared to start"
pending imminent final permit issuance.
The County has asked that the contractor request a refund for his premiums based on the fact that the
project never actually started. This he has done and been advised by his insurance company that they
considered the premium earned and, therefore, not subject to a retroactive refund. The County has taken
the position that the contractor could have, and perhaps should have, cancelled his insurance until such
time as a firm start date was determined. While the contractor did not ask County permission to do so, it
appears that the County's standard contract language requires that the insurance be continuously in
force for the contract to remain valid unless otherwise agreed by the County. That said, the contractor
appears to have acted, much as the county did, on his assumption that start of construction was imminent
and, hence, did not request permission to cancel the insurance.

General Insurance Requirements
for
Contractors and Subcontractors
Prior to the commencement of work governed by this contract (including the pre -staging of
personnel and material), the Contractor shall obtain, at his/her own expense, insurance as
specified in the attached schedules, which are made part of this contract. The Contractor will
ensure that the insurance obtained will extend protection to all Sub -Contractors engaged by the
Contractor. As an alternative, the Contractor may require all Subcontractors to obtain insurance
consistent with the attached schedules.
The Contractor will not be permitted to commence work governed by this contract (including
pre -staging of personnel and material) until satisfactory evidence of the required insurance has
been furnished to the County as specified below. Delays in the commencement of work,
resulting from the failure of the Contractor to provide satisfactory evidence of the required
insurance, shall not extend deadlines specified in this contract and any penalties and failure to
perform assessments shall be imposed as if the work commenced on the specified date and
time, except for the Contractor's failure to provide satisfactory evidence.
The Contractor shall maintain the required insurance throughout the entire term of this contract
and any extensions specified in any attached scheduleat Failure to comply with this provision
may result in the immediate suspension of all work until the required insurance has been
reinstated or replaced. Delays in the completion of work resulting from the failure of the
Contractor to maintain the required insurance shall not extend deadlines specified in this
contract and any penalties and failure to perform assessments shall be imposed as if the work
had not been suspended, except for the Contractor's failure to maintain the required insurance.
The Contractor shall provide, to the County, as satisfactory evidence of the required insurance,
either:
• Certificate of Insurance
or
• A certified copy of the actual insurance policy.
The County, at its sole option, has the right to request a certified copy of any or all insurance
policies required by this contract.
� All insurance policies must specify that they are not subject to cancellation, nonrenewal,
material change, or reduction in coverage unless a minimum of thirty (30) days prior notification

would like to once more clarify and/or remind you of the events that lead to the renewal of the insurance
)olicy:
1. Insurances were purchased and maintained as required by Section 00400 of the General
Specifications. This insurance is required prior to signing of the contract and needs to be
maintained throughout the entire term of the contract and any extensions.
2. The County issued a notice to proceed in March 16, 2006 and requested that we start work, even
though the county knew that there were outstanding issues that would delay the progress of the
work. However in a spirit of cooperation, we followed those directives. Upon commencement we
encountered numerous obstacles which did not allow us to perform work in a normal sequential
manner. These obstacles were beyond our control, and in the process of being resolved by others.
There is copious amount of documentation in which we were led to believe that resolution to the
different obstacles was imminent and that work would resume at any time. This condition is evident
by the issuance of two additional notices to proceed, the final dated Sept. 25, 2006. Examples of
these obstacles included permitting for mitigation issues, permitting through Marathon, dimensional
information required to layout the silt fence and bldg., etc.
3. During the delay period the County never requested that we remove ourselves from the project nor
to cancel the insurance policies. In fact, during the delay period there were numerous meetings,
site visits and preparatory work performed. These site events included our own personnel,
subcontractors, county personnel and consultants.
4. After the insurance policy had elapsed and a change order had been requested by us, you verbally
requested to ask the insurance company for a refund. We followed your directives and the
insurance company replied that the contract period had elapsed and that all premiums were
earned. These documents were all previously sent to you, but we are attaching them for your use.

SUBJECT: Change Order #4 — Medical Examiner's Facility —No Cost Time Extension of 104 days
Action Requested: Approve Change Order #4 and forward to County Administrator with a
recommendation for approval.
Recommendation: Approve the attached Change Order Request #4 for Fonticiella Construction
Corporation for a time extension of 104 days to the substantial completion date. The new substantial
completion date will be 19 February 2008.
Basis for Recommendation:
1.The contractor acted in good faith to revise the structural drawings to reduce the overall cost (avoid
additional escalation costs) of the building.
2.The Contractor expected to receive expedited service from the City of Marathon based upon a meeting
attended by County representatives. The absence of this constituted the majority of the delay (76 days).
3.The delays due to "muck hole' were not foreseen when the funding for the extra costs were approved in
Change Order #3.
Background:
Upon issuance of the third revision of the Notice to Proceed (NTP) the contractor advised that the delay
of the start of the project was already causing price increase (escalation) pressures from some of his
suppliers and subcontractors. At a project meeting in October 2006, the contractor provided a list of
value engineering items that would, if implemented, offset a majority, if not all, of the price escalation
pressures. The contractor agreed at the time to retain his own structural engineer to revise and simplify
the structural design (and some other elements) to reduce approximately $400k from the escalations he
foresaw at the time. Initially, and after a meeting with the City of Marathon Building Department (permit
authority) in December 2006, the contractor believed it was possible to revise the structural design
without any schedule effect since the new design was a simpler one to construct. The review time, for
whatever reason, eventually evolved to over 10 weeks (partially since the time frame involved the year
end holidays). This delay was not foreseen at the time of the original meeting and according to the
contractor's request, accounts for 76 of the104 day extension requested.
The remaining 28 days are split evenly between the additional time required to deal with unforeseen
underground conditions (muck holes) and an initial delay waiting for site layout data from the architect.

Item #1— The 14 day request for delay at the beginning of the project stems from the fact that
:here was a lack of information in the Civil Engineering drawings to properly layout the building
)ad within the site. This information was requested as far back as July 2007, and the situation
liscussed with Mr. Barnett prior to the issuance of the Notice to Proceed date. However, the
lrawing file with the complete information did not arrive in our office until the afternoon of
1 0/9/06. The building pad construction is the critical path on this project.
'lease note that Fonticiella Construction is not requesting compensation for this delay, created by
he owner, and as allowed by the contract documents. Had Fonticiella Construction mobilized on
he date of the new Notice to Proceed, work would have been stopped after 2 or 3 days with the
esulting additional costs of demobilization and remobilization passed on to the owner. This
ituation was discussed with Mr. Barnett and we all agreed at the time that, since our company
vould not seek additional compensation, it would make more sense to wait a few days until all
he information was received. In retrospect, the decision was a wise one and saved the owner
honey.
tem #2 — As I recall, the Oct/Nov 2006 discussions, as well as the ones held in the June/July
ime period, in regards to Value Engineering arose out of concern that the unprecedented price
Icreases in the construction industry would jeopardize the viability of the project. These price
Icreases had occurred due to several postponements in the commencement date of the project for
alasons not created by Fonticiella Construction.

given suggested that we pay an additional fee so that they would hire an outside consultant in
)rder to expedite the plans processing to what we all assumed would be about a week or so.
Based on this information we were given a go ahead to proceed on December 13, and
mmediately hired a Structural Engineer. In spite of the holidays, we were able to submit the
Mans to the building department the first week of January 2007. On February 29th., and after
)aying a fee of $2,520.00 for "expediting the process", we received an email notification that the
foundation plans had been approved by the hired consultant.
n spite of the emailed approval, the building department did not issue the official foundation
)ermit until March 6th. due to some questions they had in regards to site drainage, a totally
znrelated issue. However, in order to save time, Fonticiella Construction started to work on the
;xcavations immediately after February 29th. and before the site drainage issue was resolved.
'ince work was not interrupted prior to the official issuance of the foundation permit our
;ompany is only claiming time up to February 29th. and not up to the official date of permit issue.
leither Fonticiella Construction nor the owner could foresee, predict, or control the inordinate
amount of time that it took to process the Foundation plans through the building department.
>ince the idea of the redesign was primarily to save money, Fonticiella Construction agreed, once
.gain, not to seek any compensation for the time delay in the schedule due to the redesign and
irocessing of the plans. In return, we were assured that we would not be penalized for that time

According to the ordinance adopted by the Board of County Commissioners,
proposed change orders are to be presented to members of the Board of County
Commissioners prior to approval, assuming they are within the Administrator's
prescribed limits. Change orders not within the Administrator's authority are
placed on the BOCC agenda.
