RAMSAY, SHERIFF n +g Monroe County Board of County Commissioners June 6, 2023 The Monroe County Sheriffs Office has an Sao MHz radio site that is located on the Old Court House at Soo Whitehead Street in Key West. The tower is on the roof and there is a room on the top floor that is used as a radio equipment shelter. Unfortunately this building is planned for demolition as soon as possible.Which would leave the City of Key West without Police, Fire, and EMS radio communications, not to mention utilities and transportation communications if a solution is not obtained. The project of finding a new location has lasted over 15 years, and we believe that we now have found a solution.The United States Navy is currently on a tower owned by Monroe County and located at Sigsbee Naval Base on Dredgers Key.This tower is at the end of life and they must vacate. The Navy approached MCSO Emergency Communications about moving onto the Monroe County owned tower on Stock Island at MCSO Headquarters as it would be a clear shot to the air station on Boca Chica Key and would markedly improve their radio coverage. We also discussed the possibility of moving our Monroe County Courthouse radio site to a tower on federal property at Truman Annex,thus facilitating the courthouse demolition at Jackson Square. Over time the group discovered that the Truman Annex tower is actually owned by the USCG,but sits on Navy Property. The USCG supports the relocation of MCSO Emergency Communications equipment to their tower on Truman Annex. The following attachments, includes documents that support, and commit to this solution.The Navy is asking for digital signatures from their Commanders and they are currently in the process of signing and providing their final approval.MCSO signatures on the IGSA will be finalized upon receiving the electronic document from the Navy and USCG Command. When referred to collectively, CNRSE,NAS KW, USFFC, NSWC Corona,USCG C5ISC, USCG CEU, MCSO, and Monroe County, FL are referred to as the "Parties." 1. BACKGROUND: NAS KW Enterprise Land Mobile Radio (ELMR) equipment and supporting infrastructure is located on a tower at Sigsbee Annex, owned by Monroe County. The Sigsbee Annex tower is rusted, in jeopardy of falling, and is located behind a municipal trash mound causing degraded coverage for the Navy's Boca Chica Annex. Monroe County owns the Sigsbee tower via Real Estate (RE) agreement/ easement, Enclosure (5) DTD 1985. Neither Monroe County nor MCSO use the Sigsbee tower radio site for radio capabilities and wish to vacate the RE agreement. MCSO has a radio site that is located on the Old Court House 500 Whitehead Street in Key West. The Old Court House is planned for demolition. This would leave MCSO, who supports l 2021 radio communications for Monroe County, in support of the City of Key West, without Police, Fire, and EMS, not to mention utilities and transportation communications. MCSO has been searching for a new location for over a decade and desires an agreement with the Navy to relocate radio equipment, and infrastructure to the Truman Annex radio site. CNRSE, in support of NAS KW, also desires an agreement with MCSO, to relocate radio equipment and infrastructure from the Sigsbee Annex radio site to the MCSO Stock Island radio site. MCSO Stock Island radio site provides NAS KW with a new tower and shelter, and it resolves the signal issues for Boca Chica. For the Truman Annex radio site, the tower is owned by the USCG and maintained by USCG CEU Miami, antennas on the tower are owned and managed by USFFC, and the shelter is owned and maintained by NWSC Corona. NAS KW is the landlord of the Truman Annex property. For the Stock Island radio site, the tower, shelter, and property are owned by Monroe County and maintained by MCSO. CNRSE (on behalf of NAS KW), and MCSO, in coordination with USFFC, NSWC Corona and USCG C51SC, who own and operate the Truman Annex radio site, conducted required engineering and spectrum inter-modulation studies to ensure technical feasibility for relocation of MCSO radio capabilities to Truman Annex and NAS KW to Stock Island. All engineering and spectrum requirements have passed for both entities moving to the new locations. USCG C51SC approved MCSO Co-Location package on 31 March 2022 (Enclosure (1)). MCSO approved NAS KW Co-Location package on 20 Dec 2022 (Enclosure (3)). The above-referenced Enclosures (1) through (8) are incorporated herein in their entirety. 2. AUTHORITIES: This IGSA is entered into by the Navy parties pursuant to 10 U.S.C. § 2679. This IGSA is entered into by the USCG pursuant to 14 U.S.C. § 701(a). This IGSA is entered into by Monroe County and MCSO pursuant to the Florida Inter-local Cooperation Act of 1969 §163.0 1, Fla. Stats. a. Under 10 U.S.C. § 2679, the Navy parties are permitted to enter into an IGSA on a sole source basis with a State or local government provided the IGSA will serve the best interest of the Navy by enhancing mission effectiveness, creating efficiencies, and/or economies of scale, including by reducing costs, and when the State or local government providing the installation services already provides such services for its own use. This IGSA will eliminate capitalization costs for constructing new radio site infrastructure and addresses signal issues at Boca Chica by leveraging the existing radio site at the MCSO Stock Island compound. MCSO also eliminates capitalization costs for constructing a new radio site by leveraging the existing radio site at NAS KW Truman Annex. Further, this IGSA promotes a partnership between the Navy and the local government for Key West. The Secretary of the Navy has delegated the signature authority to exec-Lite a non-Federal Acquisition Regulation (FAR) IGSA on behalf of the Navy, through the Assistant Secretary of the Navy, who further delegated approval authority for IGSAs to Commander, Navy Installations Command(CNIC). CNIC further delegated IGSA approval authority for IGSAs to Region Commanders and Commanding Officers (CO), as appropriate. Based on these delegations, the NAS KW Commanding Officer is the Navy's representative and has approval and signature authority for this IGSA. 2 2022 b. The USCG has authority to enter into this IGSA pursuant to 14 U.S.C. § 701(a), which allows the USCG to utilize its personnel and facilities to assist any Federal agency, State, Territory, possession, or political subdivision thereof, or the District of Columbia, to perform any activity for which such personnel and facilities are especially qualified. c. Per §163.01, Fla. Stats, Monroe County and MCSO are authorized to enter into this agreement to provide the Department of the Navy, as represented by the CO, NAS KW, with radio site infrastructure that MCSO already provides for its own use. MCSO and the Department of the Navy meet the definition of a "public agency." 3. PURPOSE: This IGSA is made by and between the Parties to provide each other infrastructure in support of operational and emergency radio communications capabilities. This agreement is complimentary to, and executed together with, the real estate instruments, Enclosures (6), (7), and (8). The purpose of this IGSA is to outline the roles and responsibilities of the Parties, identify the services to be furnished by each party, and establish operating, reimbursement, indemnification, and liability procedures. a. This IGSA is made by the Parties to enable NAS KW and MCSO to leverage existing radio site infrastructure to provide communications capabilities for both parties at Key West, FL. CNRSE and MCSO see this IGSA as an opportunity to further grow and strengthen the relationship between the Parties. This IGSA allows both MCSO and NAS KW to assist each other more efficiently, eliminate capitalization costs, and economically meet mission requirements. b. This IGSA is the result of the Parties' mutual efforts to reduce costs, create efficiencies, build relationships and enhance mission effectiveness. 4. RESPONSIBILITIES OF THE PARTIES: Responsibilities of the Parties, in the execution of this IGSA for radio site infrastructure and operations, are provided below. a. CNRSE. In coordination with and in support of NAS KW and USFFC, CNRSE is responsible for: (1) Submitting and sponsoring access requests to MCSO for personnel who require unescorted access to Stock Island radio site. (2) Providing necessary modifications to shelter cooling and power generation, tower and shelter electrical infrastructure, interior cable management runs, interior to exterior cable ports to include ice bridge, radio cabling raceways, and H-frame ingress/egress ports required to support MCSO radio equipment at Truman Annex radio site. (3) Providing electrical utility service for MCSO radio equipment at the Truman Annex radio site. (4) Informing MCSO of the technical requirements for necessary modifications to cooling and power generation, tower and shelter electrical infrastructure, interior cable 3 2023 management runs, interior to exterior cable ports to include ice bridge, radio cabling raceways, and H-frame ingress/egress ports required to support NAS KW radio equipment at Stock Island radio site. (5) Providing the installation,relocation, configuration, and testing of NAS KW radio equipment relocated from Sigsbee radio site to Stock Island radio site to include antennas, cabling, racks, radio and network equipment in racks, uninterruptible power supply, and electrical connections within racks to shelter provided electrical source. Providing for the day-to-day operations and maintenance of NAS KW radio equipment located on tower and within racks in shelter at Stock Island radio site. (6) Providing certified tower climbers in accordance with applicable law for the installation, operation and maintenance of NAS KW radio equipment on the tower at Stock Island radio site. (7) Coordinating with MCSO for NAS KW radio equipment installation and maintenance to ensure these activities do not negatively affect MCSO radio operations. (8) Following the applicable general provisions of Enclosures (6) and (7). b. NAS KW. NAS KW is responsible for: (1) Processing Defense Biometric Identification System DBIDS (or current system) base access requests for MCSO personnel who require unescorted access to Truman Annex radio site. Providing NSWC Corona access list of authorized MCSO personnel, to include designated MCSO escort employee, who require unescorted access to Truman Annex radio site. (2) Coordinating with USFFC, NSWC Corona and Naval Facilities Engineering Systems Command, Public Works, as appropriate, for tower and shelter modifications necessary for the proper operation of MCSO's radio equipment at Truman Annex radio site. (3) Coordinating with NSWC Corona to provide backup escort support for any non-approved MCSO personnel or contractors at the Truman Annex radio site that cannot be escorted by MCSO's designated and authorized escort employee. (4) Serving as key custodian and issuing keys to MCSO's designated and authorized escort employee for access to Truman Annex radio site. c. NSWC Corona. NSWC Corona is responsible for: (1) Coordinating with NAS KW, USFFC, and Naval Facilities Engineering Systems Command, Public Works, as appropriate, to ensure tower and shelter modifications necessary for the proper operation of MCSO's radio equipment at Truman Ampex radio site. 4 2024 (2) Providing authorized MCSO personnel appropriate access control measures and guidelines for accessing Truman Annex radio site in accordance with NAS KW access control policies and procedures. Providing primary escort responsibilities for non-approved MCSO personnel or contractors at the Truman Annex radio site that cannot be escorted by MCSO's designated and authorized escort employee. (3) Providing USCG C5ISC, USFFC, and NSWC Corona the priority for any remaining capacity on the Truman Annex tower and the right of refusal for any additions beyond this agreement requested by MCSO. d. USCG. USCG is responsible for: (1) Providing the use of Truman Annex radio tower for MCSO antennas and associated cabling to shelter. (2) Providing for backup power generation and fuel to support MCSO radio equipment at Truman Annex radio site. e. MCSO. MCSO is responsible for: (1) Submitting and sponsoring DBIDS (or current system)base access requests to NAS KW Security for MCSO personnel who require unescorted access to Truman Annex radio site. Designating an authorized MCSO employee, who has been cleared through DBIDS, to escort non-approved personnel who require access to Truman Annex radio site. Processing and authorizing NAS KW personnel and contractors who require unescorted access to Stock Island radio site. (2) Providing necessary modifications to shelter cooling and power generation, tower and shelter electrical infrastructure, interior cable management runs, interior to exterior cable ports to include ice bridge, radio cabling raceways, and H-frame ingress/egress ports required to support NAS KW radio equipment at Stock Island radio site. (3) Informing CNRSE, NAS KW, USFFC, and NSWC Corona of the technical requirements for necessary modifications to cooling and power generation, tower and shelter electrical infrastructure, interior cable management runs, interior to exterior cable ports to include ice bridge, radio cabling raceways, and H-frame ingress/egress ports required to support MCSO radio equipment at Truman Annex radio site. (4) Providing the installation, relocation, configuration, and testing of MCSO radio equipment relocated from Key West Courthouse to Truman Annex radio site to include antennas, cabling, racks, radio and network equipment in racks, uninterruptible power supply, and electrical connections within racks to shelter provided electrical source. Providing for the day-to-day operations and maintenance of MCSO radio equipment located on tower and within racks in shelter at Truman Annex radio site. (5) Providing certified tower climbers in accordance with applicable law for the installation, operation and maintenance of MCSO radio equipment on tower at Truman 5 2025 Annex radio site. (6) Coordinating with USFFC and NSWC Corona for MCSO radio equipment installation and maintenance to ensure these activities do not negatively affect USFFC, NSWC Corona or USCG C51SC radio operations. (7)Providing the use of Stock Island radio tower for NAS KW antennas and associated cabling to shelter. (8) Providing electrical utility service and backup generator fuel for NAS KW radio equipment at the Stock Island radio site. (9) Providing authorized NAS KW personnel appropriate access control measures and guidelines for accessing Stock Island radio site in accordance with MCSO access control policies and procedures. Providing all escort responsibilities for any non- approved NAS KW personnel or contractors at the Stock Island radio site. (10) Following the applicable general provisions of Enclosures (6), (7), and (8). 5. PUBLIC DISCLOSURE: To the extent permitted by the laws governing each Party, the Parties shall protect personal information and maintain the confidentiality of other exchanged information when requested in writing to do so by the providing Party. a. The Parties will comply with public requests for information related to this IGSA pursuant to the Freedom of Information Act (FOIA), 5 U.S.C. § 552, and Florida Public Records Law, Chapter 119, Fla. Stats. b. If MCSO receives a request for information about this IGSA made under either FOIA or the Florida Public Records Law, MCSO will notify NAS KW points of contact(POCs) designated in this IGSA before any such information is released. If USCG C51SC, USCG CEU, NSWC Corona, CNRSE and/or NAS KW receives a request for information about this IGSA under FOIA, the Party that receives the request will notify MCSO POCs designated in this IGSA before any such information is released. 6. RELATIONSHIP OF THE PARTIES: In exercising their respective rights, powers, and obligations under this IGSA, each Party acts in an independent capacity. No Party shall itself tself as the agent, officer, or employee of any other Party. Each Party is responsible for all costs of its personnel and contractors, including pay and benefits, support, and travel. Each Party is responsible for supervision and management of its personnel. Neither Party shall provide, without the prior written consent of the other Party, any contractor or employee with a release that waives or purports to waive any right a Party may have to seek relief or redress against that contractor or employee. 7. GENERAL PROVISIONS: a. ADMINISTRATION: This IGSA shall be mutually administered by the Parties. The IGSA administrators will identify personnel to coordinate and manage the provision of 6 2026 equipment and services under this IGSA. b. FINANCIAL DETAILS: a. IN-KIND REIMBURSEMENT: The Parties intend to have a reciprocal agreement for providing towers and the operation of the shelters that support CNRSE's and MCSO's radio equipment installed on the towers at Truman Annex and Stock Island radio sites. In exchange for providing CNRSE with a tower and shelter at MCSO's Stock Island radio site, including supporting utilities, CNRSE, in coordination with NSWC Corona and USCG C51SC, will provide MCSO with a tower and shelter, including supporting utilities, at Navy Truman Annex radio site. b. AVAILABILITY OF FUNDS: This IGSA does not document the obligation of funds between the Parties. Any obligation of funds by the Parties, resulting from this IGSA, is subject to the availability of funds pursuant to the DoD Financial Management Regulation. No provision 8 2028 of this IGSA will be interpreted to require obligation or payment of funds in violation of the Anti-Deficiency Act, Section 1341 of Title 31, United States Code. c. NO LIMITATION: Nothing in this IGSA shall limit or prohibit the ability of the parties from contracting with other persons or entities for the provision of the same or similar services. 9. REVIEW OF IGSA: This IGSA will be reviewed annually on or around the anniversary of its effective date for financial impacts and to ensure the IGSA remains mutually beneficial for the Parties. 10. TERM OF IGSA: This IGSA is being entered into for a term not to exceed ten (10) years from the effective date. 11. MODIFICATION OF IGSA: This prospective IGSA may only be modified by the written agreement of the Parties which must be duly signed by their authorized representatives. 12. SUSPENSION OF IGSA: The United States reserves the right to suspend performance of the agreement in event of emergencies, mobilizations, national security reasons, or for other reasons outside the control of the United States. MCSO reserves the right to suspend performance of the agreement in the event of emergencies, force major events or for other reasons outside the control of MCSO. 13. TERMINATION: a. MUTUAL: The prospective IGSA may be terminated by mutual written agreement at any time. In the event of mutual termination, no rights, responsibilities, benefits, or liabilities shall accrue to either Party. b. UNILATERAL: Each Party reserves the right to unilaterally terminate this agreement for its convenience upon 180 calendar days written notice to the POCs designated in this IGSA. When notified by the other Party of the termination, the Parties shall immediately negotiate a separate Termination Agreement and Schedule to define the roles and responsibilities and to mitigate impacts and all costs caused by the termination. The Parties recognize that the obligations under this IGSA are reciprocal. Any obligations or debts incurred hereunder prior to termination shall become immediately due and payable by the withdrawing Party upon termination. The withdrawing Party shall not be entitled to a refund or credit for any sums paid or incurred under this IGSA prior to termination. 14. APPLICABLE LAW: a. The Parties shall comply with all applicable federal, state, and local laws, federal executive orders, and federal rules and regulations applicable to its performance under this IGSA. If any federal statute expressly prescribes policies or requirements that differ from the terms and conditions of this IGSA, the provisions of the federal statute shall govern. If there is a conflict between federal and state law or any municipal laws, federal law will control. 9 2029 b. This IGSA is not governed by standard acquisition contracting methods of competitive bidding as delineated in the Federal Acquisition Regulation and supplements thereto. MCSO may provide services hereunder organically. However, where MCSO shall provide services through a. contract, the contract must be awarded through competitive procedures. 15. DISPUTES: a. If the Parties are unable to agree about interpreting or applying a material teen of this IGSA, the Parties agree to engage in an effort to reach mutual agreement in the proper interpretation of this IGSA, including amendment or termination of this IGSA, as necessary, or by escalating the dispute within their respective organizations. b. As a condition precedent to a Party bringing any action for breach of this IGSA, that Party must first notify the other Party in writing of the nature of the purported breach and seek in good faith to resolve the dispute through negotiation. If the Parties cannot resolve the dispute through negotiation, they may agree to a mutually acceptable method of non-binding alternative dispute resolution with a qualified third party acceptable to the Parties. Each Party must pay an equal share of any costs incurred by the use of a third-party. c. If any third-party dispute or litigation relates to, or potentially affects a Party's ability to perform under this IGSA, the Parties agree to promptly notify each other of such dispute or litigation. The existence of such a dispute or litigation shall not excuse the Parties from performance pursuant to this IGSA. d. If any dispute between the Parties arising out of this IGSA requires consideration of the law, the rights and obligations of the Parties shall be interpreted and determined according to the substantive and procedural laws of the United States of America. 16. LIABILITY: Each Party is responsible for the action of its agents, officers, and employees. Nothing in this IGSA is intended to modify the immunity held by either the United States Navy, the United States Coast Guard or Monroe County. Furthermore, nothing in this IGSA is intended, nor may it be construed, to create any rights, confer any benefits, or relieve any liability, of any kind whatsoever, in any third person not a party to this IGSA. 17. COOPERATION OF PARTIES: The Parties recognize that it is essential to cooperate fully concerning the handling of information and provision of services contemplated by this IGSA. In connection with this IGSA, the Parties therefore agree to provide any data, information, and documentation reasonably necessary for the other Party to perform its responsibilities under the terms of this IGSA. 18. SUCCESSORS AND ASSIGNS: The terms, covenants, and conditions contained herein shall apply to and bind the successors and assigns of the Parties. 19. WAIVER: No waiver of the breach of any of the covenants, terms, restrictions, or conditions of this IGSA by either Party shall be construed to be a waiver of any succeeding breach of the same or other covenants, terms, restrictions, or conditions of this IGSA. No delay or omission of either Party in exercising any right, power, or remedy herein provided in the event of default shall 10 2030 be construed as a waiver thereof or acquiescence therein or be construed as a waiver of a variation of any of the terms of this IGSA. 20. SEVERABILITY PROVISION: If any term or portion of this IGSA is held to be invalid, illegal, void, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this IGSA shall continue in full force and effect. 21. SIGNATURE IN COUNTERPARTS: This IGSA may be executed in counterparts by each of the Parties. The IGSA is effective as to each signatory Party on its execution and, for purposes of enforcement, true copies of signatures shall be deemed to be original signatures. 22. ENTIRE IGSA: It is understood and agreed that this IGSA, including the Enclosures (1) through (8) incorporated above, constitutes the entire integrated IGSA between the Parties. 23. No. N69450-23-RP-000ig 2089 LICENSE AGREEMENT (Navy License No. N69450-23-RP-00019) This Interlocal License Agreement ("Agreement") is entered into this day of 2023 by and between Board of County Commissioners of Monroe County, Florida, (hereinafter "County"), a political subdivision of the State of Florida and the United States of America, by and through the Department of Navy, Naval Facilities Engineering Systems Command Southeast (hereinafter "Navy"). The County and the Navy are sometimes referred herein collectively as "Parties". RECITALS WHEREAS, Section 163.01, Florida Statutes (the "Florida Interlocal Cooperation Act of 1969") authorizes public agencies to enter into interlocal agreements for mutual benefit and to provide facilities to serve the needs of local communities; and WHEREAS, Subsection 163.01(3)(b), Florida Statutes defines a "public agency" as a political subdivision of the State of Florida and any agency of the United States Government; and WHEREAS, Subsection 163.01(4), Florida Statutes provides that a public agency of Florida may exercise jointly with any other public agency of the United States Government any power, privilege or authority which such agencies share in common and which each may exercise separately; and WHEREAS, Subsection 163.01(5)0), Florida Statutes provides that a joint exercise of power pursuant to Section 163.01, Florida Statutes exercisable through an interlocal agreement includes the acquisition, ownership, custody, operation, maintenance, lease or sale of real or personal property; and WHEREAS, the Parties agree that this Agreement, pursuant to Section 163.01, promotes the mutual benefit of the County and the Navy and provides facilities to serve the needs of the residents of Monroe County and the United States as set forth herein; and WHEREAS, the Navy acknowledges that the County and the Office of the Monroe County Sheriff (hereinafter "MCSO") have entered into an Interlocal Agreement in which MCSO operates and maintains the public safety systems and other communications systems for the County and MCSO acts as the final decision maker for communications systems, designs, purchases, training and maintenance for communications towers under the control of the County; and WHEREAS, the Navy acknowledges that MCSO serves as the designated representative to municipal, county, state and federal agencies tasked with implementing United States Department of Homeland Security policy in Monroe County involving communication systems on behalf of the County and MCSO is the designated representative for Monroe County. 2090 Navy License No.N69450-23-RP-00019 NOW THEREFORE, in consideration of enhanced emergency communications for both parties, community goodwill, and with no monetary consideration, the sufficiency of which is hereby acknowledged,the Parties agree as follows: 1. Purpose. This License grants to Navy use of space on the County communications tower and in the County equipment shelter at the County Stock Island Radio site located at 5525 College Road, Key West, Monroe County, FL 33040 (hereinafter "Premises") for operation of the Navy Enterprise Land Mobile Radio equipment. Upon execution of this License, the County agrees to License to Navy use of the Premises as herein described and depicted in Exhibit "A" for the term of this License. 2. 'Ferris. Use of Leg A or Leg B of County communications tower and associated cabling to the equipment shelter. 4.1 County will maintain and operate the equipment shelter and the communications tower. County will provide tower and shelter electrical infrastructure, interior cable management runs, interior to exterior cable ports to include ice-bridge, radio cabling raceways, H-frame ingress/egress ports to support ELMR system and components at the Premises, electrical wiring and supporting panels, breakers, circuitry, and disconnects. 4.2 County will provide electrical utility service, backup power generation, and backup generator fuel for ELMR system and components at the Premises. 5. Operating Times. The ELMR is an unmanned system and will be operating continuously 24 hours per day/7 days per week/365 days per year. 6. Access to Premises. County grants Navy a right of access to the Premises. 6.1 County will provide unescorted access to approved Navy personnel and contractors. County will provide guidelines for accessing the Premises in accordance with County access control policies and procedures. 6.2 County will provide all escort support needed for any non-approved Navy personnel or contractors to access the Premises. 2 2091 Navy License No.N69450-23-RP-00019 6.2 Prior notification between County and Navy is desired with a minimum of 24 hours' notice for weekend, holiday, and access outside of normal operating hours. Advance coordination is not required during normal operating hours (0800-2000). However, Navy operations shall not interfere with County operations. 7. Damary Ayes to Premises/Property, erty, --( --------- 7.1 Navy shall promptly notify County of any loss, damage, harm, injury or death arising out of or in connection with any actions or operations performed on or near the Premises and shall take all appropriate required actions to respond thereto. Navy shall be responsible for any injury to persons or damage to property caused by the acts or omissions of Navy, its agents, officers, or employees, to the extent allowed by the Federal Tort Claims Act (FICA), 28 U.S.C. 1346(b), 2671-2680, or the Military Claims Act (MCA), 10 U.S.C. 2773, as applicable. In the event of such damage to property, Navy will, at its option, either repair such property damage or make a fall, reasonable and appropriate settlement with County for such damage. The cost or amount of such damages to property shall not exceed the fair market value of the interest so damaged immediately prior to such damage. Navy's liability for all injuries and damages under this clause is subject to and may not exceed appropriations available for such payment, and nothing contained in this License may be considered as implying that Congress will at a later date appropriate funds sufficient to meet deficiencies. The provisions of this clause are without prejudice to any rights County or other parties may have to make a claim under the FICA or the MCA, as applicable, for any and all damages as provided above. 7.2 In the event of damage, including damage by contamination, to any Navy property by County, its officers, agents, servants, employees, or invitees, County, at the election of the Navy, shall promptly repair, replace, or make monetary compensation for the repair or replacement of that property to the satisfaction of the Navy. That obligation includes any damage discovered from the physical condition inspection, notwithstanding the expiration or earlier termination or revocation of this License. 8. Federal Funds. This License does not obligate Navy to expend any appropriated funds. Nothing in this License is intended or should be interpreted to require any obligation or expenditure of funds on the part of Navy in. violation of the Anti-Deficiency Act (31 U.S.C. § 1341). 9. Responsibility. Navy shall conduct all activities upon the Premises pursuant to this License in an expeditious, safe and diligent manner that will minimize interference with County's use and without imposing any costs or expenses on County. 10. Modification. Modifications to this License shall only be made in writing upon agreement of both Parties. 11. Protection and Maintenance. This License confers no legal title or ownership interest in the Premises in Navy. Responsibility for the costs of proper handling and disposal of hazardous wastes and hazardous substances discovered on the Premises,including those hazardous wastes and hazardous substances generated by the Licensee,is governed by applicable law. The terms hazardous materials,hazardous wastes,and hazardous substances are as defined in Federal Water Pollution Control Act, Comprehensive Environmental Response,Compensation,and Liability Act of 1980,Solid Waste Disposal Act,the Clean Air Act,and Toxic Substances Control Act,and their implementing regulations,as they have been or may be amended from time to time.The Licensee's obligations pursuant to this paragraph shall survive the termination of this License. (6) The Licensee shall use all required means to protect the environment and natural resources from any damage arising from the Licensee's use of the premises and activities incident to such use.The licensee may not unlawfully pollute the air,ground,or water,nor create a public nuisance. The Premises are granted in an"as is,where is"condition without any warranty, representation,or obligation on the part of Licensor to make any alterations,repairs,improvements,or corrections to defects whether patent or latent. At such times and for such part of the Premises as Licensor may determine,the Licensee shall execute a Physical Condition Report to reflect the condition of the Premises prior to the Premises being disturbed by the activities of Licensee,which shall be used to indicate the condition of the Premises prior to the activities of the Licensee in comparison with the condition of the Premises subsequent to the activities of licensee to ensure Licensee returns the Premises to the condition required by this License. (c) RESTORATION OF PREMISES.On or before the date of expiration of this License or within 30 days after its abandonment by the Licensee or termination by the Licensor,licensee shall vacate the Premises,remove its property therefrom,and restore the Premises to their original condition without expense to the United States.Such restoration shall include,if applicable, removal of contamination caused by Licensee.The obligations of Licensee,including those regarding remediation of environmental damage and removal of any structures,facilities,and equipment installed by Licensee,shall remain In effect after the termination of this license,until restoration has been completed to the satisfaction of the Licensor. Licensee shall exercise due diligence in protecting the Premises against damage or destruction by fire,vandalism,theft, weather,environmental damage or contamination,or other causes related to Licensee's activities.If this License gives possession of United States property,the licensee shall at all times keep the Premises in a sanitary condition satisfactory to licensor. (g) DAMAGE.Licensee shall not destroy,displace or damage United States property in the exercise of the privilege granted by this License without the prior written consent of the Licensor and the express agreement of the Licensee promptly to replace,return,repair and restore any such property to a condition satisfactory to the Licensor upon demand.Any interference with the use of or damage or destruction to property under control of the Licensor,incident to the exercise of the rights and privileges herein granted shall be promptly corrected by Licensee to the satisfaction of Licensor. If Licensee fails to promptly correct such damage or destruction within a reasonable time after being notified to do so by licensor,the Licensor may correct such damage or destruction and licensee shall be liable for the costs of such correction. (h) ALTERATIONS TO PREMISES.The Licensee shall not make any substantive alterations,additions,improvements,construction or destruction to,upon,over or under the Premises of any kind or character,expect such as are specifically authorized herein. (i) LICENSOR PROPERTY.Any United States property which must be removed by the Licensee in the exercise of the privilege granted by this License shall be stored,relocated or removed from the site,and returned to its original location upon termination of this License,at the sole cost and expense of the Licensee,only as approved and directed In writing by the licensor. LICENSEE PROPERTY.Any property of the Licensee installed or located on the property affected by the Licensee shall be removed upon thirty(30)days written notice from Licensor. (k)OPERATION.The Licensee shall confine activities on the property strictly to those necessary for the enjoyment of the privilege hereby licensed,and shall refrain from marring or impairing the appearance of said property,obstructing access thereto,interfering with the transaction of United States business and the convenience of the public,or jeopardizing the safety of persons or property,or causing justifiable public criticism.
