AGENDA ITEM WORDING: Approval of Modification No, 1 restructuring the rental rate in the
Lease Agreement with the State of Florida Department of Juvenile Justice for office space on the
second floor of the Department of Juvenile Justice Building on Stock Island.
ITEM BACKGROUND: The State of Florida Department of Juvenile Justice has been leasing
approximately 2,525 square feet located on the second iloor of the Juvenile Justice Building since
2002, Due to the present economic conditions all State agencies have been mandated by SB 44A to
either reduce leased space and/or lease rates at all locations. On March 12,2009, the Department of
Juvenile Justice's Management Review Specialist contacted the County requesting a rate reduction to
$17.18/sq. ft. (current DMS rate), and to stabilize that rate through the current term ending in 2012.
Current rates for this period are as follows: May through October 2009 - $18.78; November 1,2009
through October 31, 2010 - $19.16; November 1, 2010 through October 21, 2011 - $19.54; and
November 1,2011 through October 31, 2012 - $19.93, The original lease also contains one remaining
a 5-year renewal option that, if exercised, would commence November 1,2012 and terminate October
31, 2017. Rates for this period remain the same as stated on the original lease agreement.
PREVIOUS RELEVANT BOCC ACTION: On October 16, 2002 the ROCC approved the Lease
Agreement and Amendment I with State of Florida. On January 15,2003, the HOCC approved a
Lease Amendment omitting the Indemnification and Hold Hannless statement from the original lease
agreement, and on August 15,2007, the BaeC approved renewal of the Lease Agreement.

The State of Florida Department of Juvenile Justice has been leasing approximately 2,525 square feet
located on the second floor of the Juvenile Justice Building since 2002 when the building was
completed,
On March 12, 2009, the Management Review Specialist for the Department of Juvenile Justice
contacted Facilities Maintenance Department stating that due to the present economic conditions all
State agencies have been mandated by SB 44A to either reduce leased space and/or lease rates at all
locations. The State is requesting a reduction in rate to $17,18 (current DMS rate) effective May 1,
2009, and to stabilize that rate through the current tenn ending in October 2012, Current monthly rates
per square foot, the State's requested reduced rate, and their differences are as follows:

There is one additional 5-year renewal option on the original lease agreement that, if exercised, would
commence November 1,2012 and tenninate October 31,2017, Rates for this period remain the same
as stated in the lease entered into on October 16, 2002, as amended and modified.
Should the County not be comfortable with the requested reduction, the State is proposing a possible re-
negotiation, and requests that the County provide what rates would be more acceptable. Any re-
negotiated rates would also be effective May 1,2009.

NOW THEREFORE, in consideration of the mutual promises and covenants contained
herein. the parties hereby agree as follows:
1. Commencing Mav 1. 2009 . the lease is amended to decrease the rental rate per square
foot per year paid to the Lessor by the Lessee to the amounts shown on the revised rent schedule
addendum attached hereto; and
2. The covenants and conditions contained in the origina11ease as amended hereby are readopted

The Lessor hereby leases to the Lessee and the Lessee hereby leases from the Lessor the above described

3. All services required above shall be provided during the Lessee's nomml working hours, which are

IV LIGHT FIXTURES
La. The Lessor agreea to install in the demised pmnises light fixtures for the use of the Lessee.
~. The Lessor sba1l be respoDSib1c for replacemcm of all bulbs, lamps, tubes and stIrteIs used in such
fixtures for the purpose offumishing light.
2. The Lessor certifies that the lighting levels within the demiaed premises are mAintAined at and do not
exceed the following levels: 10 foot-candles in halls and corridors: 30 foot-candlcs in other public mas; a
minimum of:50 foot-candles in office. conference moms, and other levels as set forth in the State Energy
Management PlIID, Volume n, Section F.
V MAINTENANCE AND REPAIRS
1. The Lessor shall provide for interior maintcmance and repairs in accordance with generally accepted
good practices, including repainting. the replacement of wom or ~ tloor covering and repairs or
replacement of interior equipment as may be necessary due to nonnaJ. usage. The Leasee shall. during tM term of
this lease, Iccep the interior of the demised premises in lIS good a state of repair as it is at the time of the
CommeDCemcnt of this lease, reasonable wear and tear and unavoidable casualties accepted.
2. The Lessor shall mAintAin and keep in repair the exterior ofthc demised pmnises during the tenn oftbis
lease and shall be responsible for the n:placement of all windows bmkan or damaged in tho demised premises,
except such bnlakagc or damage caused to the exterior of the demised prcmi.ses by the Lessee, its officers, agents
orcmpl~.
3. The Lessor shall maintain the interior and exterior of the demised premises including grounds and
parking area so as to confonn to all applicable health and safety laws, ordinances BOd codes which are presently in
effect and which may subscqucnt1y be enacted during the tcnn of this lease and any l'CIl8WB1. periods.
4. The Lessor agrees to fumish pest control scMCes fur the leased premises during the tenn of the lease at
the expense of the Lessor.
VI*lJTll.ITIES
That the Lessor will promptly pay all gas, watm. sewer. solid waste. power and electric light rates or
charges which may become payable during the teJm of this lease fur the gas. water. sewer and electricity used and
disposal of solid waste generated by the Lessee on the premises; and if the lease is for 5,000 square feet or greater,
separately metered for all energy and fuels which may be cxmsumed by Lessee, alone, Lessor win provide Lessee,
in a form and ID.lIDDCI" agreed upon. timely and IlWUIllte data on Lessec's monthly consumption or use of electricity,
natural gas, LP gas and/or fue1 oil, as appropriate, pursuant to Section 255.2:57. Florida Statutes.
VB ACCES8lBIL1TY STANDARDS AND ALTERATIONS
1. The Lessor agreclI that the demised premises now conform, or that, prior to Lessee's occupancy, said

vm INJURY OR DAMAGE TO PROPERTY ON PIUtMIsES
All property of any kind that may be on the premises during the continuance of this lease shall be at the
sole risk ofthc Lessee, lIDd ucept for any negligence oithe Lessor, the Lessor shall not be liablo to the Lessee for
loss or damage to the property.
IX FIRE AND OTHER HAZARDS
1. In the event that the demised premises or the major part thereof; are destroyed by fire. lightning. storm
or other casualty, the Lessor at its option may forthwith repair the damage to such demised premisca at its own cost
and expense. The rental thereon sbalI cease until the completion of such repairs and the Lessor will innnodiately
refund the pro rata part of any rentals paid in advance by the Lessee prior to such destruction; should the premises
be only partly deitroyed. SO that the ~or part thereof is usable by the Lessee, then the rental shall abate to the
extent that the ~ured or damaged part bears to the whole of such premises and &UCb. iDjury or damage shall be
restored by the Lessor as spccdily as is practicable and upon the completion of such rcpaira, the full rental. shall

protection equipment necessary to conform to the requirements of the State Fire Marshal. The Lessor agrees that
the demised premises shall be available for inspection by the State Fire Marshal. prior to occupancy by the Lessee.

3. The Lessor certifies that no asbestos was used in the construction of the demised premises or that if
asbestos was used, actions have been completed to correct the hazards caused by the use of asbestos.

X EXPIRATION OF TERM

XII NOT CONSENT TO SUE
The provisions, tenns or conditions oftbis lease shall not be construed as consent oftbe State of Florida to
be sued because of said leasehold.
xm WAIVER OF DEFAULTS
