06/21/2023 Agreement MEMORANDUM OF UNDERSTANDING THIS MEMORANDUM OF UNDERSTANDING is made and entered into this 21st day of June 2023, by and between the Monroe County Board of County Commissioners, a political subdivision of the State of Florida, whose address is1100 Simonton Street, Key West, Florida 33040, hereinafter referred to as"COUNTY,"and The Monroe County Sheriffs Office, hereinafter referred to as "SHERIFF." WITNESSETH WHEREAS, in FY2020 the U.S. Department of Homeland Security Office for Domestic Preparedness awarded a subgrant to Monroe County in connection with the FY 2020 Urban Area Security Initiative (UASI) program in the amount of $264,836.00, of which half or $132,418.00 was awarded by the County to Monroe County Sheriffs Office under a Memorandum of Understanding; and WHEREAS, of the remaining $132,418.00 held by Monroe County Emergency Management, Emergency Management had a small amount of funds that needed to be used in order to use the grant funds; and WHEREAS, with the remaining funds, Monroe County Emergency Management purchased the following assets ("Assets"), currently titled in the name of Monroe County: 84218 Mission Daftess Bt er Lo er 7 2/9/23 $4,825.00 84191 M.ISSION DARKNESS BLOCKESOX XL 219/23 2,725.00 2AO2V300584 MCNEIMM 8 WN STORAGE TOWER 32-m 2/9123 5,985.00 WHEREAS, Monroe County Emergency Management intended that these Assets would best be used by Monroe County Sheriffs Office for security purposes and title to the Assets should be transferred to the Sheriff; and WHEREAS, the Sheriffs Office has agreed to accept the donation of the items. NOW THEREFORE, in consideration of the mutual understandings and agreements set forth herein, the COUNTY and the SHERIFF agree as follows: 1. OWNERSHIP — Effective immediately, title to the above-listed Assets will be transferred to the SHERIFF, who will retain ownership of the approved equipment and will maintain the items on the Sheriffs inventory. The Director of Monroe County Emergency Management and/or her designee is hereby authorized to execute any and all necessary forms in order to effect the transfer of the Assets. 2. INCORPORATION BY REFERENCE -The provisions of those certain documents entitled Memorandum of Understanding Urban Area Security Initiative FY 2020, agreement number R0232 (attached as Attachment A) (hereinafter"FY2020 UAS Agreement"), and all laws, rules and regulations relating thereto are incorporated by reference. The parties agree to cooperate in all respects to ensure that the transfer of the Assets is consistent with the terms and conditions of the 2020 UASI Agreement. ENTIRE AGREEMENT (a) It is understood and agreed that the entire Agreement of the parties is contained herein and that this Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof as well as any previous agreements presently in effect between the parties relating to the subject matter hereof. (b) Any alterations, amendments, deletions, or waivers of the provisions of this Agreement shall be valid only when expressed in writing and duly signed by the parties.
