a Safety Observer on site when conducting operations onboard a Coast Guard tower or facility. The Safety Observer
may not be a member of the working party,and must always have active communication ability with the working

THIS INDENTURE, made the 19th day of August 1985
between the 'United States of America, herein called the Government, acting
through the Department of the Navy, and M- onroe County, FL, herein called the
Grantee®
WHEREAS, the Government owns that certain real property identified as
Sigsbee Park, Naval Air Station, Key West, FL, herein called the Station; and
WHEREAS, the Grantee has requested an easement for the construction,
installation, operation, maintenance, repair, and replacement of a television
translator tower, herein called the tower, on that portion of the Station
hereinafter described; and
WHEREAS, the Secretary of the Navy has found that the granting of
such easement on the terms and conditions hereinafter stated will not be
incompatible with the public interest-.
NOW THEREFORE, this indenture witnesseth that, in consideration of
Five Thousand Eight Hundred Twenty-Five and no/100 Dollars 05,825.w) paid by
the Grantee to the Government, �Ee Dove ant hereby grants to the said Monroe
County and Its successors and assigns, for a period of f-ifty,150) years from
the date hereof, an easement for the construction,, installatian, operation,
maintenance, repair and replacement of a television translator tower, such
easement being on that portion of the Station hereinafter called the Premises,
and described as follows:
Approximate location is as shown on a map marked "EXHIBIT A," attached hereto
and made a part hereof.
This easement Is granted subject to the following terms and
conditions..
lg A fence will be constructed by the Grantee around the tower in
order to restrict access, and appropriate R-F radiation hazard signs will be
posted.
2. All work in connection with the construction, °nstallation,
operation, repair a-ad replacement of the tower and fence shall be done without
cost or expense to the Government, and in accordance with plans previously
approved by the Commanding' Officer of the Southern Divisioa, Naval Facilities
'Engineering Command.
3® The Grantee shall maintain the Premises a-ad the tower in goy
condition at all times, and shall promptly make all repairs thereto that may
e necessary for the preservation of the conditionf the Premises and the
continued er ti. n and maintenance of the tower.
The Grantee's ri is hereunder shall be subject to such
reasonable rules and regulations as may be prescribed y the Government t
assure that the exercise of such rights will not interfere with Government
activities at the Station.
5. Upon the termination of this easement, the Grantee, at its
,expense, shall e v , to the extent requested by the Government, improvements
installed or constructed hereunder, and shall restore the Premises to the same
r as good a condition as that which existed r°ior to the exercise by the
Grantee f its rights hereunder. Such restoration shall be done in a manner
satisfactory to the Commanding Officer of the Southern ivi. in s Naval
Facilities i ri Command.
® If at any future time, the Government determines that the tower,
r any portionthereof, unduly interferes -with any of its activities, it shall
have the right to terminate this easement, in whole or in part, to the extent
necessary to eliminate such interference; that, unless sae Government
shall have determined that relocation i is not feasible, it shall convey to the
Grantee, -without r e, a substitute easement permitting he Grantee t
relocate the tower on adjacent Government property, at the Grantee's cost and
expense. The substitute easement shall contain the same terms and conditions
s those of this s ent, and shall bear the same expiration date.
7® All or any part of this easement may be terminated upon failure
by e Grantee to comply with any of its terms and nditi s; upon
abandonment of the rights granted herein; or upon non se of such rights for a
period f two consecutive years.
® The Government may use the Premises of this easement for any
purpose that does not unreasonably interfere with the use and enjoyment by the
Grantee of the rights granted by this easement.

1. USE OF AND ACCESS BY LICENSEE, The Licensor grants to the Licensee the right to use the premises or
facilities described in block 4 and Exhibit"A"("Premises"),together with the necessary rights of ingress and egress
authorized by the Installation Commanding Officer. The Licensee and its invitees and contractors agree to absorb all
costs,including time and expense, associated with gaining access to the Installation under the Defense Biometric
Identification System(DBIDS)or similar program. Any parking that accompanies the use of,and any routes of
access to and from,the Premises are subject to change at the sole discretion of the Installation Commanding Officer.
2. TERM. This License shall be effective for the period stated in block 3 and is revocable at any time without notice
at the option and discretion of the Licensor or its authorized representative.

6. PROTECTION AND MAINTENANCE OF PREMISES. The Licensee, at its own cost and expense, shall protect,
maintain, and keep the Premises under its control in good order. Licensee is responsible for repairing any damage to
the Premises caused by Licensee,or its agents,employees,contractors, guests or invitees.
7. IMPROVEMENTS AND RESTORATION. No additions to,or alterations of,the Premises shall be made without
the prior consent of the Licensor. Upon revocation or surrender of this License,to the extent directed by the Licensor,
the Licensee shall remove all alterations,additions,betterments and improvements made, or installed, and restore the
Premises to the same or as good condition as existed on the date of entry under this License,reasonable wear and tear
excepted.
8. INDEMNIFICATION,

• Notwithstanding the foregoing, any cancellation of insurance coverage based on nonpayment of the premium
shall be effective only upon thirty(30)days' written notice to the Licensor.
• The Licensee shall provide proof of insurance to the Licensor throughout the term of this License.
The Licensee will not be allowed entry on the Premises until it first delivers a certificate or certificates of required
insurance to the Licensor.
10. DAMAGE TO TI JE PREMISES.

a. In the event of damage, including damage by contamination,to any Government property by the Licensee, its
officers,agents,servants, employees, or invitees,the Licensee, at the election of the Licensor,shall promptly repair,
replace, or make monetary compensation for the repair or replacement of that property to the satisfaction of the
Licensor. That obligation includes any damage discovered from the physical condition and environmental condition
inspections notwithstanding the expiration or earlier termination or revocation of this License.
b. In the event that any item or part of the Premises shall require repair,rebuilding or replacement(collectively,
repair")resulting from loss or damage,the risk of which is assumed under this License,the Licensee shall promptly
Give notice to the Licensor and,to the extent of its liability as provided in this paragraph, shall either compensate the
Licensor for any loss or damage within thirty(30)days of receipt of a statement,or repair the lost or damaged item or

insurance carried by the Licensee and made available to the Licensor on account of loss of or damage to any itcm or
part of the Premises that may be necessary to enable the Licensee to effect the repair. In the event the Licensee shall
not have been required to effect the repair,and the insurance proceeds allocable to the loss or damage that has created
the need for the repair have been paid to the Licensee,the Licensee shall promptly refund to the Licensor the amount
of the proceeds.
11. OFFICIALS NOT TO BENEFIT. No member of,or Delegate to Congress,or Resident Commissioner shall be
admitted to any share or put of this License or to any benefit that may arise from it-'but this provision shall not be
construed to extend to this License if made with a corporation for its general benefit.
12.COVENANT AGAINST CONTINGENT FEES. The Licensee warrants that it has not employed any person to
solicit or obtain this License upon any agreement for a commission,percentage,brokerage or contingent I`ee. Breach
of this warranty shall give the Licensor the right to annul this License or in its discretion to recover from the Licensee
the amount of that commission,percentage,brokerage or contingent fee in addition to the consideration for this
license. This warranty shall not apply to commissions payable by the Licensee upon contracts or sales obtained or
made through bona fide established commercial or selling agencies maintained by the Licensee for the purpose of
acquiring business.
13.NON-DISCRIMINATION. In connection with the perfon-nance of work under this License,the Licensee agrees
not to discriminate against any employee or applicant for employment because of race,religion,color, sex, sexual
orientation,gender identity,or national origin. Non-discrimination shall include,but not be limited to,the following:
employment, upgrading, demotion,or transfer;recruitment or recruitment advertising; layoff or tennination-,rates of
pay or other forms of compensation;and selection for training, including apprenticeship. The Licensee agrees to post
in conspicuous places available for employees and applicants for employment,notices to be provided by the Licensor
setting forth the provisions of the nondiscrimination clause. The Licensee further agrees to insert the foregoing
provision in all subcontracts for work under this License, except subcontracts for standard commercial supplies or raw
materials.

15. FEDERAL FUNDS. This License does not obligate the Licensor to expend any appropriated funds. Nothing in this
License is intended or should be interpreted to require any obligation or expenditure of funds in violation of the Ann-
Deficiency Act(31 U.S.C. § 1341).
16. STORAGE OF TOXIC OR HAZARDOUS CHEMICALS. Storage,treatment, or disposal of toxic or hazardous
materials on the Premises is prohibited except as authorized by the Licensor in accordance with 10 U.S.C. §2692.
Any hazardous materials that the Licensor authorizes the storage,treatment, or disposal of in connection with the
use of the Premises shall be identified on a Hazardous Materials List and made a part of this License. Any such
approved storage,treatment, or disposal of toxic or hazardous material by Licensee on the Premises shall be strictly
limited to that material required or generated in connection with the authorized and compatible use of the Premises and
shall be conducted in a manner consistent with the best interest of national defense as determined by the Secretary of the
Navy and applicable law and regulations. As and to the extent caused by or attributable to the Licensee, Licensee shall
have continued financial and environmental responsibility or liability for any and all direct or indirect consequences of
the storage,treatment,or disposal of toxic or hazardous material within the Premises. Licensee will manage,control
and dispose of its hazardous waste and hazardous materials in accordance with Federal, state, and local laws. In
addition. Licensee shall implement the environmental requirements of applicable facility plans including but not
limited to Spill Plans, Emergency Response Plans, and Hazardous Waste Management Plans. In the event the

health hazards identified and listed as such in the JIIR shall be corrected at the Licensee's expense prior to use and
occupancy of the relevant portion of the Premises. Such safety and/or health hazards shall be limited to those
identified in the AIR. In the event this License is terminated and the parties have not agreed to enter into a new
License,or another agreement, Licensee shall return the Premises to the Licensor in the same condition in which it

This Interlocal License Agreement ("Agreement") is entered into this day of
2023 by and between Board of County Commissioners of Monroe County,
Florida, (hereinafter "County"), a political subdivision of the State of Florida and the United
States of America, by and through the Department of Navy, Naval Facilities Engineering
Systems Command Southeast (hereinafter "Navy"). The County and the Navy are sometimes
referred herein collectively as "Parties".
RECITALS
WHEREAS, Section 163.01, Florida Statutes (the "Florida Interlocal Cooperation Act of
1 969") authorizes public agencies to enter into interlocal agreements for mutual benefit and to
provide facilities to serve the needs of local communities; and
WHEREAS, Subsection 163.01(3)(b), Florida Statutes defines a "public agency" as a
political subdivision of the State of Florida and any agency of the United States Government;
and
WHEREAS, Subsection 163.01(4), Florida Statutes provides that a public agency of
Florida may exercise jointly with any other public agency of the United States Government any
power, privilege or authority which such agencies share in common and which each may
exercise separately; and
WHEREAS, Subsection 163.01(5)0), Florida Statutes provides that a joint exercise of
power pursuant to Section 163.01, Florida Statutes exercisable through an interlocal agreement
includes the acquisition, ownership, custody, operation, maintenance, lease or sale of real or
personal property; and
WHEREAS, the Parties agree that this Agreement, pursuant to Section 163.01, promotes
the mutual benefit of the County and the Navy and provides facilities to serve the needs of the
residents of Monroe County and the United States as set forth herein; and
WHEREAS, the Navy acknowledges that the County and the Office of the Monroe
County Sheriff (hereinafter "MCSO") have entered into an Interlocal Agreement in which
MCSO operates and maintains the public safety systems and other communications systems for
the County and MCSO acts as the final decision maker for communications systems, designs,
purchases, training and maintenance for communications towers under the control of the County;
and
WHEREAS, the Navy acknowledges that MCSO serves as the designated representative
to municipal, county, state and federal agencies tasked with implementing United States
Department of Homeland Security policy in Monroe County involving communication systems
on behalf of the County and MCSO is the designated representative for Monroe County,
Navy License No.N69450-23-RP-00019
NOW THEREFORE, in consideration of enhanced emergency communications for both
parties, community goodwill, and with no monetary consideration, the sufficiency of which is
hereby acknowledged, the Parties agree as follows:
1. PuKpose. This License grants to Navy use of space on the County communications tower
and in the County equipment shelter at the County Stock Island Radio site located at 5525
College Road, Key West, Monroe County, FL 33040 (hereinafter "Premises") for operation of
the Navy Enterprise Land Mobile Radio equipment. Upon execution of this License, the County
agrees to License to Navy use of the Premises as herein described and depicted in Exhibit "A"
for the term of this License.
2. Term. The term of this License shall be for Five (5)years commencing on the day
of......................._, 2023 and ending on the ............. day of , 2028 ("Term").
This License is revocable at any time with thirty (30) calendar days' notice at the option and
discretion of County or its duly authorized representative, or upon thirty days' notice from Navy.
3. Consideration. None.
4. Agreement/Understanding. Navy is authorized to conduct Navy Enterprise Land Mobile
Radio (ELMR) system and component operations on the Premises, including but not limited to:
a. Furnish and install ELMR system and components.
b. Maintain and operate ELMR system and components.
C. Test, Configure, Repair, and Replace ELMR system and/or components.
d. Use of Leg A or Leg B of County communications tower and associated cabling
to the equipment shelter.
4.1 County will maintain and operate the equipment shelter and the communications
tower. County will provide tower and shelter electrical infrastructure, interior cable management
runs, interior to exterior cable ports to include ice-bridge, radio cabling raceways, H-frame
ingress/egress ports to support ELMR system and components at the Premises, electrical wiring
and supporting panels, breakers, circuitry, and disconnects.
4.2 County will provide electrical utility service, backup power generation, and
backup generator fuel for ELMR system and components at the Premises.
5. Operating Times. The ELMR is an unmanned system and will be operating continuously
24 hours per day /7 days per week/365 days per year.
6. Access to Premises. County grants Navy a right of access to the Premises.
6.1 County will provide unescorted access to approved Navy personnel and
contractors. County will provide guidelines for accessing the Premises in accordance with
County access control policies and procedures.
6.2 County will provide all escort support needed for any non-approved Navy
personnel or contractors to access the Premises.

6.2 Prior notification between County and Navy is desired with a minimum of 24
hours' notice for weekend, holiday, and access outside of normal operating hours. Advance
coordination is not required during normal operating hours (08002000). However, Navy
operations shall not interfere with County operations.
7. Da a gas to Pre ices/Pro arty.
7.1 Navy shall promptly notify County of any loss, damage, harm, injury or death
arising out of or in connection with any actions or operations performed on or near the Premises
and shall take all appropriate required actions to respond thereto. Navy shall be responsible for
any injury to persons or damage to property caused by the acts or omissions of Navy, its agents,
officers, or employees, to the extent allowed by the Federal Tort Claims Act (FTCA), 28 U.S.C.
1346(b), 2671-2680, or the Military Claims Act (MCA), 10 U.S.C. 2773, as applicable. In the
event of such damage to property, Navy will, at its option, either repair such property damage or
make a full, reasonable and appropriate settlement with County for such damage. The cost or
amount of such damages to property shall not exceed the fair market value of the interest so
damaged immediately prior to such damage. Navy's liability for all injuries and damages under
this clause is subject to and may not exceed appropriations available for such payment, and
nothing contained in this License may be considered as implying that Congress will at a later
date appropriate funds sufficient to meet deficiencies. The provisions of this clause are without
prejudice to any rights County or other parties may have to make a claim under the FTCA or the
MCA, as applicable, for any and all damages as provided above.
7.2 In the event of damage, including damage by contamination, to any Navy
property by County, its officers, agents, servants, employees, or invitees, County, at the election
of the Navy, shall promptly repair, replace, or make monetary compensation for the repair or
replacement of that property to the satisfaction of the Navy. That obligation includes any
damage discovered from the physical condition inspection, notwithstanding the expiration or
earlier termination or revocation of this License.
8. Federal Funds. This License does not obligate Navy to expend any appropriated funds.
Nothing in this License is intended or should be interpreted to require any obligation or
expenditure of funds on the part of Navy in violation of the Anti-Deficiency Act (31 U.S.C. §
1341).
9. Responsibility. Navy shall conduct all activities upon the Premises pursuant to this
License in an expeditious, safe and diligent manner that will minimize interference with
County's use and without imposing any costs or expenses on County.
10. Modification. Modifications to this License shall only be made in writing upon
agreement of both Parties.
11. Protection and Maintenance. This License confers no legal title or ownership interest in
the Premises in Navy. County, at its own cost and expense, shall protect, maintain, and keep the
Premises in good repair and safe operating condition.

12. Improvements and Restoration. No additions to, or alterations of, the Premises shall be
made by Navy without the prior consent of the County. At the expiration or earlier termination
of this License, Navy shall remove or properly abandon, at its sole cost and expense, all
alterations, additions, betterments and improvements made or installed from the Premises and
shall completely restore the Premises to the satisfaction of County, to its condition at the
commencement of this License, reasonable wear and tear excepted.
13. Assignment/Transfer of Rights. Navy shall not assign or otherwise transfer this License
without obtaining the prior written consent of County.

1 GENERAL CONDITIONS. By the acceptance of this license,the licensee agrees to abide and be bound by the following.
a` COMPLIANCE WITH LAWS AND ORDINANCES.in the exercise of any privilege granted by this License,Licensee,its agents,employees,guests,or invitees,shall,at no cost to the Licensor,
comply with all applicable federal,state,tribal,local government,and municipal laws,statutes,ordinances,rules,regulations,codes,decrees,orders and other such requirements
(collectively,Laws)including without limitation laws regarding wages and hours,health,safety,building codes,emergencies,security,and accessibility of the Premises.The Licensor may
inspect the premises as needed to confirm licensee's compliance.In particular:
(1) The Licensee shall comply and ensure its agents,employees,guests,or invitees comply with 41 C.F.R.102-74 Subpart C"Conduct on Federal Property".
(2) Licensee is responsible for obtaining any necessary licenses,permits and other permissions,including without limitation for fire and life safety requirements,to engage
in Its activities.Licensor is not responsible for obtaining such licenses,permits and other permissions for Licensee or for allowing Licensee to use Ucensor's licenses,permits and
other permissions for Licensee's activities.
(3) The Licensee agrees that no person will be discriminated against in connection with the use made by the licensee of the property on the grounds of age,sex,handicap,
religion,race,color or national origin,nor will any person be denied the benefits of or be subjected to discrimination under any program or activity held,conducted or
sponsored by the Licensee in that any activity,program or use made of the property by the Licensee will be in compliance with the provisions of T'rtle VI of the Civil Rights Act
of 1964 and all other applicable regulations.The Licensee will obtain from each person or firm,who through contractual or other arrangements with the licensee,provides
services,benefits or performs work on the property,a written agreement whereby the person or firm agrees to assume the some obligations with respect to nondiscrimination
as those imposed upon the Licensee by law and will furnish a copy of such agreement to the Licensor.
(4) In its access and use of the Premises,Licensee shall comply with all applicable environmental requirements including requirements concerning regulating the quality of
the environment and the protection and enhancement of environmental quality,pollution control and abatement,safe drinking water,and solid and hazardous waste,
Responsibility for compliance with such requirements rests exclusively with Licensee,including liability for any fines,penalties,or other similar enforcement costs.The
Licensee's obligations pursuant to this paragraph shall survive the termination of this License.
(5)In its access and use of the Premises,Licensee shall comply with all applicable laws regarding occupational safety and health,the handling and storage of hazardous
materials,and the proper handling and disposal of hazardous wastes and hazardous substances. Responsibility for the costs of proper handling and disposal of hazardous
wastes and hazardous substances discovered on the Premises,including those hazardous wastes and hazardous substances generated by the Licensee,is governed by
applicable law. The terms hazardous materials,hazardous wastes,and hazardous substances are as defined in Federal Water Pollution Control Act,Comprehensive
Environmental Response,Compensation,and Liability Act of 1980,Solid Waste Disposal Act,the Clean Air Act,and Toxic Substances Control Act,and their implementing
regulations,as they have been or may be amended from time to time.The Licensees obligations pursuant to this paragraph shall survive the termination of this License.
(6) The Licensee shall use all required means to protect the environment and natural resources from any damage arlsing from the Licensee's use of the premises and activities
incident to such use.The Licensee may not unlawfully pollute the air,ground,or water,nor create a public nuisance. If any damage results to the environment or natural
resources,the Licensee shall restore the environment or damaged resources.The Licensee shall be solely responsible for all environmental cleanup cost and any claims for
damage done to any natural resources,resulting from the Licensees use of the premises and activities incident to such use. The Licensee shall Indemnify the Licensor and
hold it harmless from any claims for environmental cleanup or natural resource damage that may be made against the Licensor resulting from the Licensees use of the
premises and activities incident to such use. Except as agreed upon by the Licensor and the Licensee or reasonably demonstrated by appropriate investigation and analysis,all
contamination,degradation or other damage to the environment or natural resources at the premises will be presumed to be the responsibility of the Licensee,including any
contamination,degradation or other damage existing at the time this License becomes effective.The licensees obligations pursuant to this paragraph shall survive the
termination ofthis License.
(7) In its access and use of the Premises,Licensee shall not remove or disturb,or cause or License to be removed or disturbed,any historical,archaeological,architectural,
or other cultural artifacts,relics,vestiges,remains,or objects of antiquity. In the event Licensee discovers such items on the Premises,Licensee shall cease its activities at the
site and immediately notify the Installation Commander and protect the site and the material from further disturbance until the installation Commander gives clearance
to proceed. Any costs resulting from this delay shall be the responsibility of licensee.The Licensees obligations pursuant to this paragraph shag survive the termination of
this License.
(8)If the term of this License is greater than one(1)year,the Licensee shall provide reports to the Licensor,on an annual basis on the anniversary date of the commencement of
this License,demonstrating that Licensee is in compliance with all statutory and regulatory requirements such as:the National Environmental Policy Act,42 U.S.C.§§4321 et
seq.;Federal Water Pollution Control Act(aka the Clean Water Act),33 U.S.C.§§2251 et seq.;the Safe Drinking Water Act,42 U.S.C.%300f et seq.;the Clean Air Act,42
U.S.C.§§7401 et seq.;the Solid Waste Disposal Act,as amended(aka Resource Conservation and Recovery Act),42 USX.§§6901 et seq.;the Toxic Substances Control Act,15

(b)CONDITION OF PREMISES. Licensee has inspected and knows the condition of the Premises. The Premises are granted in an"as is,where is"condition without any warranty,
representation,or obligation on the part of Licensor to make any alterations,repairs,improvements,or corrections to defects whether patent or latent.At such times and for such part of
the Premises as Licensor may determine,the Licensee shall execute a Physical Condition Report to reflect the condition of the Premises prior to the Premises being disturbed by the
activities of Licensee,which shall be used to indicate the condition of the Premises prior to the activities of the Licensee in comparison with the condition of the Premises subsequent to
the activities of Licensee to ensure Licensee returns the Premises to the condition required by this License.
(c) RESTORATION OF PREMISES.On or before the date of expiration of this License or within 30 days after its abandonment by the Licensee or termination by the Licensor,Licensee shall
vacate the Premises,remove its property therefrom,and restore the Premises to their original condition without expense to the United States.Such restoration shall include,if applicable,
removal of contamination caused by Licensee.The obligations of Licensee,including those regarding remediation of environmental damage and removal of any structures,facilities,and
equipment installed by Licensee,shall remain in effect after the termination of this license,until restoration has been completed to the satisfaction of the Licensor.
(d) PREMISES SUBJECT To LICENSOR CONTROL.The Licensee's use of the Premises shall be subject to the control of and is governed by such regulations and orders as have been lawfully
promulgated or approved by the Secretary of Homeland Security,the Commandant of the U.S.Coast Guard,or by any designated military commander or other official responsible for the
Premises(the"Installation Commander").Violation of any such regulations,orders,or conditions may result in the termination of this license. The Licensee's rights shall be subject to
such rules and regulation as may be promulgated by the Licensor to ensure that the exercise of such rights shall not unreasonably interfere with the Licensor's activities or security on
l icensor's Property.
(a)OTHER GRANTS OF ACCESS.This License is subject to all outstanding easements,rights-of-way,leases,permits,licenses,and uses for any purpose with respect to the Premises.
Licensor reserves the right to grant additional easements,rights-of-way,leases,permits,and licenses,and make additional uses with respect to the Premises without regard to this
License.
(f) PROTECTION OF PREMISES. In the exercise of the privileges pursuant to this License,Licensee shall,at all times,protect,repair,and maintain the Premises In good order and condition at
its own expense and without cost or expense to Licensor. Licensee shall exercise due diligence in protecting the Premises against damage or destruction by fire,vandalism,theft,
weather,environmental damage or contamination,or other causes related to Licensee's activities.If this License gives possession of United States property,the Licensee shall at all times
keep the Premises in a sanitary condition satisfactory to Licensor.
(g) DAMAGE.Licensee shall not destroy,displace or damage United States property in the exercise of the privilege granted by this License without the prior written consent of the Licensor
and the express agreement of the Licensee promptly to replace,return,repair and restore any such property to a condition satisfactory to the Licensor upon demand.Any interference
with the use of or damage or destruction to property under control of the Licensor,incident to the exercise of the rights and privileges herein granted shall be promptly corrected by
Licensee to the satisfaction of Licensor. if Licensee fails to promptly correct such damage or destruction within a reasonable time after being notified to do so by Licensor,the Licensor
may correct such damage or destruction and Licensee shall be liable for the costs of such correction.
(h) ALTERATIONS TO PREMISES.The Licensee shall not make any substantive alterations,additions,improvements,construction or destruction to,upon,over or under the Premises of
any kind or character,expect such as are specifically authorized herein.
(1) LICENSOR PROPERTY.Any United States property which must be removed by the Licensee in the exercise of the privilege granted by this License shall be stored,relocated or removed
from the site,and returned to its original location upon termination of this license,at the sole cost and expense of the Licensee,only as approved and directed in writing by the Licensor.
0) LICENSEE PROPERTY.Any property of the Licensee installed or located on the property affected by the Licensee shall be removed upon thirty(30)days written notice from Licensor.
(k)OPERATION.The Licensee shall confine activities on the property strictly to those necessary for the enjoyment of the privilege hereby licensed,and shall refrain from marring or
impairing the appearance of said property,obstructing access thereto,interfering with the transaction of United States business and the convenience of the public,or jeopardizing the
safety of persons or property,or causing justifiable public criticism.
(1) INTERFERENCE. In the exercise of the rights granted by this License,the Licensee shall not in any way interfere with:operation and equipment under the control of the Licensor;
navigational aids or equipment;or equipmentor other property authorized,installed,and operated in the vicinity.The equipment,property,or fixtures installed and operated by Licensee
pursuant to this license shag not in any way pose any hazard to life,health,or safety.The Licensee shall at no time permit or allow:any interference with the Lcensor's operations or
access rights;or access to any licensor equipment or facilities,including but not limited to aids to navigation or radio beacons.
(m)CONTROLLED SUBSTANCES AND ALCOHOLIC BEVERAGES.Licensee shall not permit or allow any controlled substances or any alcoholic beverages to be brought onto,possessed,
used,solicited,transferred,or sold on the installation,except for evidence seized during performance of official law enforcement duties.
(n) SOLICITATIONS.Licensee,its officers,employees,contractors,agents and guests and the participants in its activities may not engage in any activities while on the Premises that may
reasonably be construed as the solicitation of funds for private or commercial interests,including fund raising for nonprofit organization or causes.
(o) EXPENSE.Any cost,expense or liability connected with or in any manner incident to the granting,exercise,enjoyment or relinquishment of this license shall be assumed and discharged by
the Licensee.The Licensee's use and occupancy of the premises shall be without cost or expense to the Licensor.
(p) INSURANCE.At all times this License shall be in effect,the Licensee,at no expense to the Licensor,shall carry and maintain,and require its contractors,if any,of any tier performing
work on the Premises to carry and maintain,the following insurances,which shall name the Licensor as an additional insured:

minimum protection at all times during the term of this License,with limits of liability in amounts approved from time to time by Licensor,but not less than ONE MILLION
DOLLARS($1,000,000)in the event of bodily injury and death to any one or more persons in one accident,and not less than FIVE HUNDRED THOUSAND DOLLARS($500,000)
for property damage.Such insurance shall also include coverage against liability for bodily injury or property damage arising out of the acts or omissions by or on behalf of
Licensee by an lavitee or any other person or organization,or involving any owned,non-owned,or hired automotive equipment in connection with Licensee's activities.
(2)If and to the extent required by law,workers'compensation and employer's liability or similar insurance in form and amounts required by law.
All policies of insurance which this License requires Licensee to carry and maintain or cause to be carried or maintained pursuant to this License shall be affected under valid and
enforceable policies,in such forms and amounts as may be required under this License,issued by Insurers of recognized responsibility.All such policies of insurance shall be for the mutual
benefit of Licensor and Licensee.Each such poky shall provide that any tosses shall be payable notwithstanding any act or failure to act or negligence of Licensee or Licensor or any other
person;provided that no cancellation,reduction in amount,or material change in coverage thereof shall be effective until at least sixty(60)days after receipt by Licensor of written
notice thereof;provided that the insurer shall have no right of subrogation against Licensor;and be reasonably satisfactory to Licensor in all other respects.In no circumstances will
Licensee be entitled to assign to any third party rights of action which Licensee may have against Licensor.The foregoing notwithstanding,any cancellation of insurance coverage based
on nonpayment ofthe premium shall be effective after fifteen(15)days written notice to Licensor.Licensee understands and agrees that cancellation of any insurance coverage required
to be carried and maintained by Licensee under this Section will constitute a failure to comply with the terms of the License.
Licensee shall deliver or cause to be delivered upan execution of this License,and thereafter not less than fifteen(15)days prior to the expiration date of each policy furnished pursuant
to this paragraph,to Licensor a certificate of insurance evidencing the insurance required by this License.
(q)LIABILITY AND INDEMNIFICATION.Licensor shall not be responsible for damage to property or injuries to persons which may arise from or be attributable or incident to,the condition or
state of repair of the Premises,due to its use and occupation by Licensee.Licensee agrees that it assumes all risks of loss or damage to property and injury or death to persons,whether to
its officers,employees,contractors or any tier,agents,invitees,or others by reason of or incident to Licensees use of the Premises,and its activities conducted under this License.
Licensee shall,at its expense,pay any settlements of or judgments on claims arising out of its use of the Premises.Licensee shall indemnify and hold Licensor harmless against any and
all judgments,expenses,and taxes.liabilities,claims,and charges of whatever kind or nature that may arise as a result of the activities of Licensee,whether tortious,contractual,or
other,except to the extent such claim or charges is cognizable under the Federal Tort Claims Act,The Licensee shall save,hold,indemnify and keep harmless the United States,its agents,
and employees from and against any and all payments,expenses,costs,attorney's fees,and from and against any and all claims and liability for losses or damage to property or injuries to
persons or death,directly or Indirectly due to the exercise by the Licensee,its agents,employees,guests,or Invitees,of the privilege granted by this License,or any other act or
omission of Licensee,including failure to comply with the obligations of this License.
(r)TRANSFER,ASSIGNMENT,LEASING OR DISPOSAL Licensee shall not transfer,permit,license,assign,lease,or dispose of in any way(including,but not limited to,sale,merger,
consolidation,receiuership,or other means)this License or any interest therein or the Premises or any portion thereof,or otherwise create any interest therein.
Is)LIENS AND MORTGAGES.Licensee shall not engage in any financing or other transaction creating any mortgage upon the Premises,place or suffer to be placed upon the Premises any
lion or other encumbrance or suffer any levy or attachment to be made on Licensees interest in the Premises under this License.On the date of the execution or filing of record of any
such mortgage,encumbrance,or lien,regardless of whether or when it a foreclosed or otherwise enforced,this License shall terminate without further action by Licensor.
(t)GUARANTEE DEPOSIT/BOND.Any deposit which may be required to guarantee compliance with the terms and conditions of this License shall be in the form of a certified check,
cashier's check or postal money order in the amount designated above,payable to licensor.Any bond required by this License shall be in the amount designated above,executed in
manner and form and with sureties satisfactory to Licensor.
(u)AVAILABILITY OF FUNDS.The obligations of licensor under this License shall be subject to the availability of appropriated funds.No appropriated funds are obligated by this License.
(v)VARIATIONS AND MODIFICATIONS.The Licensee shall promptly comply with such further conditions and requirements as Licensor may hereafter prescribe in writing. The Licensee
shall not vary or depart from the terms of this License without prior written consent of Licensor.This License may only be modified or amended in writing,which shall be duly executed by
the authorized representatives of the parties.
(w)TERMINATION.This License may be terminated at will and in the Licensor's sole discretion and such termination shall not create any liability on the part of Licensor for Licensee's costs,
anticipated profits or fees,and costs of construction,installation,maintenance,upgrade,and removal of facilities,or any other costs,profits,or fees,and any such costs and anticipated
profits or fees will not be recoverable from Licensor.
(x) ENTIRE AGREEMENT. It is expressly understood and agreed that this written Instrument embodies the entire agreement between the Parties regarding the use of the Premises by the
Licensee,and there are no understandings or agreements,verbal or otherwise,between the Parties except as expressly set forth herein.
(y)SECTION AND PARAGRAPH HEADINGS.The headings containing in this license,its Attachments,and Exhibits are to facilitate reference only and shall not in any way conflict with the
construction or interpretation of the rest of the text and meaning of the License.
(z)CONFLICT BETWEEN GENERAL AND SPECIAL CONDITION(S).If any special conditions)conflict with any general condition(s),then the general condition(s)shall be null and void to the
minimum extent necessary to give effect to the special condition(s).
(aa) No advertisements,commercial,political or otherwise,will be placed by Licensee or allowed on the Licensor's property.
