THIS AGREEMENT, made and entered into this day of
by and between the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, an agency of the State of Florida,
hereinafter referred to as the Department, and MONROE COUNTY

hereinafter referred to as Agency.
WITNESSETH:
WHEREAS, the Department and the Agency heretofore on the 27th day of June 12006
entered into a Joint Participation Agreement; and
WHEREAS, the Agency desires to accomplish certain project items as outlined in the Attachment "A" appended
hereto; and
WHEREAS, the Department desires to participate in all eligible items for this project as outlined in Attachment
"A" for a total Department Share of $8,708,580.00
NOW, THEREFORE THIS INDENTURE WITNESSETH: that for and in consideration of the mutual benefits to flow
from each to the other, the parties hereto agree that the above described Joint Participation Agreement is to be amended
and supplemented as follows:
1.00 Project Description: The project description is amended
The purpose of the agreement is modified to include the renovations to the existing terminal building. The revised
purpose of the agreement is the construction of a new terminal project at the Key West International Airport. The terminal
project includes the construction of a new terminal building and a remodeling and reuse of the existing terminal building.
Project elements include Construction of a Passenger Terminal Complex including a new elevated building of 30,000
square feet, vehicle ramps and roadway up to the new building, an elevated parking structure, vehicle parking underneath
the new building, bridges (one pedestrian and one baggage) connecting the new building to the existing building, and total
remodeling of the existing terminal to include conversion of the existing maintenance shop into airline operations offices.
Also part of the complex is the construction of a new bag make up building and a small vertical circulation building to
accept the passenger bridge where it meets the existing terminal.

bringing the revised total cost of the project to $ 31,186,901.00
