WHEREAS, in the event of an emergency or major disaster, including but not limited to storms, natural and man-made disasters, acts of terrorism or other declared State of Emergency, the County will need to provide feeding services for its emergency workers, including Monroe County employees and other authorized personnel when in the County performing essential work in order to be able to provide County services and to support response and recovery efforts, and WHEREAS, these emergency workers will be working throughout Monroe County and in or near the County Emergency Operations Center in Marathon, Florida, and therefore feeding services are expected to be required throughout Monroe County in order to restore and provide County services and provide the necessary response and recovery services; and WHEREAS, Contractor is located in Plantation, Florida and is willing and ableto provide feeding services during future emergencies or major disasters, should the County need feeding services for its emergency workers in the event of an emergency or major disaster; and WHEREAS, Contractor and County entered into an Original Agreement with Lean Culinary Services, LLC. (d.b.a. DeliverLean), after they were awarded the contract pursuant to a request for proposals initiated by the County, for the provision of emergency feeding services for a period of two years which expired October 20, 2022; and WHEREAS, Contractor and County entered into the First Renewal Agreement on October 19, 2022 which extended the Original Agreement by one year and expires October 20, 2023; and WHEREAS, Contractor and County entered into a First Amendment of the original agreement on December 7, 2022 which reflects Contractor's name change as Lean Culinary Services was acquired by NationsMarket LLC.; and WHEREAS, Contractor and County desire to renew the agreement for one (1) additional year as provided in the original agreement; and NOW THEREFORE, in consideration of the promises, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 1. Paragraph 3.0 of the original agreement is amended to reflect that the term of the Agreement has been extended for an additional one (1) year period, terminating on October 19, 2024. 2. Paragraph 1.3(H)(b)(1-5) of Addendum B of the original agreement, "Disadvantaged Business Enterprise (DBE) Policy and Obligation", is amended to read as follows: Affirmative steps must include: 1. Placing qualified small and minority businesses and women's business enterprises on solicitation lists; 2. Assuring that small and minority businesses, and women's business enterprises are solicited whenever they are potential sources; 3. Dividing total requirements, when economically feasible, into smaller tasks or quantities to permit maximum participation by small and minority businesses, and women's business enterprises; 4. Establishing delivery schedules, where the requirement permits, which encourage participation by small and minority businesses, and women's business enterprises; 5. Using the services and assistance, as appropriate, of such organizations as the Small Business Administration and the Minority Business Development Agency of the Department of Commerce. 6. Requiring the Prime contractor, if subcontractor are to be let, to take the affirmative steps listed in paragraph (1) through (5) of this section. 3.
