AGENDA ITEM WORDING: Approval of a Proposed Project with Siemens Industry, Inc., as a
Sole Source provider for testing, certification, and maintenance of Fire Alarm, Smoke Control, and
Building Automation Systems in Monroe County facilities, to perform under its current contract to
provide Fire Alarm Control Unit Upgrades on certain equipment at the Monroe County Detention
Center in Key West. American Rescue Plan Act Funding (ARPA)will be utilized for these upgrades in
the anticipated amount of$319,627.33.
ITEM BACKGROUND:
Siemens Industry, Inc. (Siemens), as a sole source provider, provides for the testing, certification, and
maintenance of the fire alarm system, building automation system, and smoke control system of the
Corrections' facilities and other County owned buildings under a contract approved by the Board on
April 20, 2022. Siemens provides its services on the new Desigo systems which were installed under a
May 2020 Siemens' Agreement. The Sole Source Agreement has an initial term of three (3) years
which commenced on October 1, 2021, and terminates on September 30, 2024, with three (3) optional
one-year renewals. The contract amount for the first year for the testing, certification, and maintenance
services was $239,000.00, plus repairs. The Agreement provides for an annual price adjustment which
shall be the annual CPI-U of the previous year as of December 31 or a 5.5% increase, whichever is
lower.
On October 19, 2022, the BOCC approved a First Amendment for an increase of 5.5%, which was less
than the CPI-U of 7% on December 31, 2022. The contract amount for the second year of services shall
be $252,145.00, plus repairs, with this price increase as of October 1, 2022. The First Amendment also
updated one Federal contract provision by including an Energy Efficiency clause. On September 20,
2023, the BOCC approved a Second Amendment increasing the contract amount by 5.5%.
Certain Monroe County facilities need the automation system Controls upgraded to eliminate numerous
ongoing issues that have been occurring since certain systems are not compatible in their current
configuration with the new Siemens system. In this agenda item, Staff is requesting approval of a
Proposed Project to allow Siemens, as the Sole Source provider for Building Automation, to make some

additional equipment upgrades. Siemens has provided a Controls Upgrade Proposal for equipment at the
Monroe County Detention Center in Key West as shown in the attached Proposal. It is anticipated that
the upgrades for the Project Proposal will be an expenditure in the amount of$319,627.33. The current
Agreement does not have a provision allowing for such an expenditure without BOCC approval.
Funding has become available for these upgrades from the American Rescue Plan Act Funds (ARPA-
06068).
PREVIOUS RELEVANT BOCC ACTION:
September 20, 2023 BOCC approved a Third Amendment to Agreement with Siemens increasing
contract payment amounts by a CPI-U increase of 5.5%.
March 22, 2023 BOCC approved a Second Amendment, to perform under its current contract to
provide Control Upgrades on certain equipment at Jackson Square and Key West Library and to update
contract provisions to comply with Federal, State or County contract provisions as well as the ARPA
Funding Agreement. American Rescue Plan Act Funding (ARPA)will be utilized for these upgrades.
October 19, 2022 BOCC approved a First Amendment to Agreement for an increase of five and
five-tenths percent (5.5%), which is less than the aforementioned CPI-U of 7%. The contract amount for
the second year for the testing, certification, and maintenance services shall be $252,145.00, plus
repairs, with this price increase retroactive to October 1, 2022.
April 20, 2022 BOCC approved a negotiated Agreement with Siemens Industry, Inc. as a Sole
Source provider for testing, certification, and maintenance of Fire Alarm, Smoke Control, and Building
Automation Systems on Monroe County facilities.
April 21, 2021 BOCC approved a month-to-month renewal agreement with Siemens Industry,
Inc. pending negotiations to take place with Siemens until a satisfactory Sole Source agreement was
achieved and then for it to be approved by the BOCC.
March 17, 2021 BOCC approved a request for a waiver of the Monroe County Purchasing Policy
provisions to designate Siemens Industry, Inc. as a Sole Source Provider so that the expiring Contract
with Siemens Industry, Inc. could be negotiated and renewed as a sole source contract.
May 20, 2020 BOCC approved the replacement of the existing, no longer supported
Environmental Building Management Systems (EBMS) with a Desigo Enterprise BMS for the amount
of $237,583.06 allowing the County to monitor additional sites remotely and locally in a unified
system. This replaces obsolete systems in critical facilities.
CONTRACT/AGREEMENT CHANGES:
Approval of a Project Proposal in the anticipated amount of$319,627.33 with Siemens Industry, Inc. as
a Sole Source provider, to provide the fire alarm material and installation, along with the engineering,
project management, and technical support for the upgrade of the Fire Alarm Control Unit and Field
initiating devices for the Monroe County Detention Center.

Scope of Work
This is a Project Proposal providing the fire alarm material, installation along with the engineering, project
management and technical support for the upgrade of the Fire alarm control unit and Field initiating
devices. Upon acceptance of this proposal, Siemens will assign a dedicated project manager who will be your
main point of contact for the duration on this project.
A project schedule was not available at the time of the bid and so this scope is based on an assumed project
duration time of approximately 220 days.
• Siemens will provide shop drawings that indicate the devices listed in plans specified.
• Siemens will provide parts and technical labor as detailed below for the fire alarm system at this
facility.
• Siemens will update the Firmware/hardware on the CPU to the latest Desigo Modular
• Siemens will replace the loop controller cards to latest XDLC loop controllers
• Siemens will replace initiating field devices
• Siemens will set the addresses of initiating devices prior to installation.
• Siemens will provide labor to certify the functionality of the devices after job is completed.
• Siemens will provide tech labor for AHJ final acceptance test (Not to exceed 10 days = 80 hours)

Exceptions and/or Clarifications:
• Siemens is not responsible for the design of this project. Additional devices may be deemed
necessary and could result in additional cost.
• Any AHJ required additional equipment or system upgrades are not included in this proposal and
will come at an additional charge.
• Existing Notification devices and power boosters will be reused
. All conduit, J boxes, pull boxes, and raceways to be reused
• In applications where the existing system is being modified, new strobes may not sync with the
existing strobes. If synchronization with existing strobes this will come with an additional cost.
• Any additional device required, will be quoted at an additional cost.
• Please note the turnaround time for drawing is usually 4 to 8 weeks at a minimum.
• Please note customer to provide us with CAD files and pdf drawing with exact location of devices
if none could be sourced internally.
• This proposal assumes a project timeline start date of 01/01/2024 and completion date of 11/15/
2024, any delays outside of included project scope will be handled and billed separately or
processed via proposed change order
• All contracts with a total value of less than $25,000 will be invoiced per the following schedule.
o 20% mobilization
o 55% Upon receipt of material to local Siemens Office
o 25% final payment upon project completion
All projects between $25,000 and $250,000 will have a 20% mobilization invoice and then
progress invoices.
All projects over$250,000 will have a mobilization invoice of 10% and then monthly progress
invoices.

Commodity Price Clause
Availability and Cost of Steel, Plastics and Other Commodities
This contract includes a price for the purchase of steel products or products made from plastics or other
commodities. Customer hereby agrees and acknowledges that the price and availability of steel, plastics and
other commodities is particularly volatile and unpredictable and that because of factors beyond the control of
Siemens, it may be difficult or nearly impossible for to acquire steel products and products made from
plastics or other commodities.Therefore, Customer agrees that Siemens shall not be responsible for failure to
provide services, deliver products, or otherwise perform on the contract due to the lack of available steel
products or products made from plastics or other commodities.
In the event Siemens is unable, after reasonable commercial efforts, to acquire and provide steel or steel
products, or products made from plastics or other commodities, if required for this project, the Customer
hereby agrees that Siemens may terminate the agreement, or the relevant portion of the Agreement, at no
additional cost and without penalty. Customer agrees to pay Siemens in full for all work performed up to the
time of any such termination.
If Siemens is able to obtain the steel products or products made from plastics or other commodities, but the
price of any of the products has increased by more than 10%from the date of the bid, proposal or the date
Siemens signed the contract, whichever occurred first, then Siemens may pass through that increase under
the contract through a reasonable price increase to reflect the increased cost of material.

The total price of: $319,627.33 and the estimated return on investment are based on the items outlined in
this proposal. ANY STATEMENTS MADE HEREIN REGARDING SAVINGS THAT MAY BE ACHIEVED BY
IMPLEMENTING THE SERVICES OFFERED IN THIS PROPOSAL ARE ESTIMATES ONLY. NO WARRANTY, EITHER
EXPRESSED OR IMPLIED, SHALL BE CONSTRUED TO ARISE FROM SUCH STATEMENTS, NOR SHALL SUCH
STATEMENTS BE CONSTRUED AS CONSTITUTING A GUARANTEE BY SIEMENS THAT SUCH SAVINGS WILL
