WITNESSETH WHEREAS, in 2021, the County updated its Vulnerability Assessment from 2015 and developed draft Adaptation Action Areas that are current moving through the Comprehensive Plan transmittal and adoption process with one being focused on Long Key and the Solid Waste Transfer Station; WHEREAS, the County submitted a grant request for funding to Florida Department of Environmental Protection (FDEP) for the Resilient Florida Grant Program; WHEREAS, the project provides coastal resiliency for a critical and regionally significant asset, the County's Long Key Transfer Station through construction of a 1,282-foot-long Living Shoreline. The purpose is to provide resilience benefit to the asset while also environmentally benefiting the Florida Key National Marine Sanctuary, an Outstanding Florida Waters. The County will maximize the nature-based features to increase water quality and habitat for the numerous threatened and endangered marine species in the area.; and WHEREAS, this Task Order covers the design and permitting services for the project with a budget of $100,000 with 100% funds being provided by the FDEP Grant 22FRP131; NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, County and Consultant agree as follows: ARTICLE 1.1 TERMS OF AGREEMENT: This Task Order is effective on October 18, 2023, and shall expire September 30, 2026. ARTICLE II SCOPE OF BASIC SERVICES, PARAGRAPH 2.1.1 IS AMENDED AS FOLLOWS: TASK 1: DATA COLLECTION WSP will conduct an on-site field inspection to evaluate the area and collect data required to develop the ecological and built aspects of the project design. WSP will collect data on existing vegetative and benthic communities, tidal limits, drainage features, and infrastructure, as necessary to design and permit the project. This agreement includes all anticipated survey(s) required to apply for permits and develop the 100% Construction Design to build the project. WSP proposes to conduct a site assessment to determine the approximate boundaries of wetland and aquatic resources including seagrass beds, oyster beds, and mangroves, as well as any threatened and endangered species habitats on the subject site as required for permitting. Site review will allow WSP staff to identify any areas of concern for permitting and collect additional information required for permitting and design. In addition, an assessment to ascertain stormwater drainage area improvements will be made. WSP will perform a topographic and hydrographic survey within the project area to support permitting and design efforts. WSP will collect sufficient ground elevations, elevations along the submerged area, topographic features, existing accessible significant surface improvements, and evidence of subsurface improvements within the project area to provide the project designers with sufficient planimetric and elevation data from which to design the required improvements. The survey will be relative to the North American Datum of 1983/2011 Realization (NAD83/11) and the North American Vertical Datum of 1988 (NAVD88) based on control established by the National Geodetic Survey (NGS) On-line User Positioning Service (OPUS) and verified by ties to either NGS or County survey control points. At least three (3) three-dimensional control points will be established near the project area while performing the survey. Upon completion of field survey activities, a certified survey, compiled in AutoCAD Civil 3D format, will be produced to map and portray existing site conditions within the survey project limits. Final deliverable products will include survey drawings in both PDF and DWG file formats. All work and products will be produced in conformance with Florida Administrative Code Rule Chapter 5J-17, Standards of Practice, pursuant to Chapter 472, Florida Statues. A limited geotechnical exploration will be performed (as needed) in areas proposed for green/gray infrastructure including areas of excavation to create estuarine shoreline wetlands or add shellfish habitat, install structural supports, and/or other proposed resiliency measures. The services will address the removal of portions of the existing seawall bulk-head structure, enhancements and modifications to the existing shoreline, infill, and stabilized sloped shoreline with revetment/erosion control system. All proposed drilling will be performed from the land. WSP will organize and perform a geotechnical subsurface exploration at the site to gather the information necessary to investigate the underlying geologic formations and evaluate the soils engineering properties (index, shear strength, and unit weights) in the general vicinity of the existing seawall bulk-head structure. TASK 2: DESIGN A hydrological evaluation will be performed (as needed) sufficient to permit a resilient, living shoreline that helps to mitigate tidal energy, storm surge, and rising tides, and is able to create filtration of surface waters due to weather extreme events. WSP will coordinate with the County to develop a permit design plan set and will provide the document as a PDF for county review and comment prior to submittal to the state and federal permitting agencies with the permit applications. Once the County's comments and agency RAls (Request for Additional Information) are addressed, a 100% construction design certified by a Professional Engineer will be produced for bidding and construction purposes. The 100% Construction Design will be prepared by WSP and provided electronically to the County for review and approval, signed and sealed by a Florida Professional Engineer, and submitted to the regulatory agencies for final approval. TASK 3: PERMITTING Pre-application coordination will include one (1) pre-application meeting with the South Florida Water Management District (SFWMD) to discuss the Environmental Resources Permit (ERP) and one (1) pre-application meeting with the U.S. (United States). Army Corps of Engineers (USACE) to discuss the Federal 404 permit. These two meetings may be held concurrently, depending on agency availability. WSP will collect information necessary to apply for state and federal permits and will include the compilation of environmental information in the form of an environmental narrative to be submitted to the regulatory agencies with the permit applications. The environmental document will include graphics, Uniform Mitigation Assessment Method (UMAM) forms, and other agency-required datasheets. The project's intent is to expand coastal wetlands, so it is anticipated that mitigation would not be required since the project is fundamentally wetland restoration, which will be reflected by the functional gain identified in the UMAM results. TASK 4: BIDDING SERVICES WSP will provide the County with the information necessary electronically for procurement to prepare a bid package, publish a public notice, solicit bids, conduct pre- bid meetings, and respond to bid questions in accordance with the County's procurement process. The Vendor shall comply in all respects with the terms and conditions contained in the grant agreement attached as Exhibit A, incorporated by reference. Article VII, Paragraph 7.1.1 is amended to include the following: The Consultant shall be paid One Hundred Thousand and Zero Dollars and Zero cents ($100,000.00) on a lump sum basis for the services described above. TASK COST Task 1: Data Collection $23,217.00 Task 2: Design $44,090.00 Task 3: Permitting $25,362.00 Task 4: Bidding $7,331.00 Total (Lump Sum) $100,000.00 IN WITNESS WHEREOF, each party caused the Task Order #6 to be executed by its duly authorized representative. -; -71 r , i- H r C) CONSULTANT: WITNESS: ;`J w, WSP USA ENVIRONMENT & o INFRASTRUCTURE INC x.. m , ,...--i 7 i / 10/25/2023 ,4_ (17Au-tez 10/26i02 Signature / D ate Signature Date Assistant Vice President, Civil Engineer FL Civil Design Team Lead Title % it " g • ._I L AA ; a 'EA ) , tA BOARD OF COUNTY COMMISSIONERS $yam, rT, e:a p x-' is '`4-' 4$ SfJEVIN MADOK CLERK OF MONROE COUNTY, FLORIDA _ r d ,,tom V s k r „id! ` B Q'/ by: .,ice". The Grantee shall not be liable for any cost, expense, or compromise incurred or made by Department in any legal action without Grantee's prior written consent, which shall not be unreasonably withheld. c. Notwithstanding sections a. and b. above, the following is the sole indemnification provision that applies to Grantees that are governmental entities: Each party hereto agrees that it shall be solely responsible for the negligent or wrongful acts of its employees and agents. However, nothing contained herein shall constitute a waiver by either party of its sovereign immunity or the provisions of section 768.28,F.S.Further,nothing herein shall be construed as consent by a state agency or subdivision of the State to be sued by third parties in any matter arising out of any contract or this Agreement. d. No provision in this Agreement shall require Department to hold harmless or indemnify Grantee, insure or assume liability for Grantee's negligence, waive Department's sovereign immunity under the laws of Florida, or otherwise impose liability on Department for which it would not otherwise be responsible. Any provision, implication or suggestion to the contrary is null and void. 19. Limitation of Liability. Waiver. The delay or failure by Department to exercise or enforce any of its rights under this Agreement shall not constitute or be deemed a waiver of Department's right thereafter to enforce those rights, nor shall any single or partial exercise of any such right preclude any other or further exercise thereof or the exercise of any other right. 22. Statutory Notices Relating to Unauthorized Employment and Subcontracts. a. The Department shall consider the employment by any Grantee of unauthorized aliens a violation of Section 274A(e) of the Immigration and Nationality Act.
