This Amendment extends the term of the contract on a month-to-month basis, not to exceed six (6) months. ITEM BACKGROUND: Key West Art and Historical Society (KWAHS) contracted with Monroe County initially on May 14, 1968, to operate and manage the Key West Lighthouse Property under a Management Contract. A second Management Contract was entered into on December 13, 1982, for a twenty (20) year term commencing on January 1, 1983, and terminated on December 31, 2003. On September 17, 2003, that Management Contract was renewed for an additional twenty (20) years and that last renewal of the contract expires on December 31, 2023. County staff and KWAHS have been in negotiations to finalize the terms of either another management contract or a lease in order to include current laws and regulations, update insurance requirements, historic property considerations, and other such terms and conditions. Staff and KWAHS request to extend the term of the current Management Contract, as renewed, on a month-to-month basis, but not to exceed six (6) months. This additional time will allow the parties to finalize terms of a new document to allow KWAHS to continue its operation and management of the Key West Lighthouse Property. PREVIOUS RELEVANT BOCC ACTION: September 17, 2003 - The term of the second Management Contract was renewed for a period of twenty (20)years with the renewal term to commence on January 1, 2004, and terminate on December 31, 2023. December 13, 1982- KWAHS and Monroe County entered into a second Management Contract for a 1447 new twenty(20)year term to commence on January 1, 1983, and terminate on December 31, 2003. May 14, 1968 - KWAHS and Monroe County initially entered into a Management Contract for a fourteen(14)year term commencing on January 1, 1968, through December 31, 1982, for KWAHS to manage and operate the property owned by Monroe County located at 938 Whitehead Street, Key West, Florida 33040, and commonly known as the Key West Lighthouse" (Property). The Management Contract dated December 13, 1982, and as renewed on September 17, 2003, is hereby amended to reflect that upon the expiration of the term of the second Management Contract on December 31, 2023, that the term of the contract shall be 1 1450 extended to continue on a month-to-month basis, but not to exceed six (6) months., until the execution of either a lease or new management contract by all parties. 2. That since there is no cost to the County for salaries or other expenses connected with said management, the County agrees to pay the light and water bills incurred in the operation of said premises, and to make minor repairs and maintain said property through the County Maintenance Department, as it may deem advisable. 5. The Manager agrees to make no improper or offensive use of said premises. 6. The Manager agrees, during the term of this agreement, to operate said premises in accordance with the laws of the State of Florida, and to make no illegal use of said premises. 7. The Manager agrees, at the expiration of the term of this agreement, without demand, to quietly and peaceably deliver up full possession of said premises to the County in as good condition as they now are, damage or destruction by fire and the elements only excepted. 8. The County agrees, that upon the performance by the Manager of the covenants and agreements hereinbefore set forth, the County will permit the Manager to quietly hold and enjoy said premises without any interruptions by the County or by any person or persons claiming by, through or under it. 9. It is mutually understood and agreed between the parties hereto that the Manager will continuously maintain and operate said premises as a public museum, without interruption, during the term of this agreement. In the event said Manager ceases to operate said premises for the purposes as hereinabove set forth, this agreement shall become null and void, and of no force and effect. 1456 -3- 10. It is further mutually understood, covenanted and agreed by and between the parties hereto that in the event the Legislature of the State of Florida creates a Monroe County Historical Commis- sion, the Manager will operate said museum in accordance with the law creating said Commission and/or rules and regulations to be adopted by said Commission. 11. In the event of destruction of said premises by fire or act of God to such an extent that it is impossible to operate said museum, the Manager shall not be held in default during the period of time said museum is inoperable. 12. Upon default of any of the covenants herein contained by the Manager to be performed, the County shall have the right to terminate this agreement by giving 60 days' notice in writing to the Manager.
