Approval of Second Amendment to the Master Fixed Based Operation(FBO) Lease Agreement with
Grantair Service, Inc. and Marathon Aviation Associates, revising milestone dates for the FBO to
relocate and construct, at FBOs sole expense, a new fuel farm and removing the requirement for
construction of a new hangar complex at the Florida Keys Marathon International Airport.
ITEM BACKGROUND:
On October 21, 2020 the County and the FBO entered into a new master lease agreement which
required that the FBO relocate the fuel farm which existed on his leasehold to a new location at the
western end of the airfield. Subsequent to the execution of the October 2020 lease, the county undertook
planning for safety projects at the Marathon Airport that impact the ability of the FBO to construct the
new hangar complex. In addition, the County and the FBO entered in to a first amendment to the master
lease which granted an additional parcel of land to the FBO upon which the FBO was required to
construct a new corporate hangar(the "Rich Hangar"). The FBO has requested additional time for the
planned relocation of the fuel farm as well as the construction of the new Rich Hangar and for purposes
of clarity the parties have agreed to remove the language requiring construction of a new hangar
complex at the western end of the airfield. The new timeline requires that the FBO submit plans and
specifications for the New Fuel Farm no later than February 1, 2024. Construction of the new fuel farm shall
be completed by December 31, 2024. Plans and specifications for the relocation and construction the new
Rich Hangar and associated access ramp shall be submitted no later than January 1, 2026. Construction of the
new Rich Hangar and access ramp must commence by January 1, 2027.
PREVIOUS RELEVANT BOCC ACTION:
Original 20-year Marathon Fixed Base Operator agreement approved April 10, 1998. On October 21,
2020, the April 1998 lease and all amendments were cancelled and a new Master FBO Agreement was
approved. On July 21, 2021, the First Amendment was approved.

THIS MARATHON FIXED BASE OPERATOR (FBO) SECOND AMENDMENT
is made and entered into this 13th day of December, 2023, by and between Monroe County, a
political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key West
Florida 33040 (hereafter, the "County"), and Grantair Service, Inc., a Florida corporation whose
principal address is 8800 Overseas Highway, Marathon, Florida 33050 and Marathon Aviation
Associates, LLC, a Florida limited liability company whose address is 8800 Overseas Highway,
Marathon, Florida 33050 (hereafter, the "FBO").
WHEREAS, on October 21, 2020, the County cancelled its then existing April 10, 1998,
lease and all of its amendments with Grantair Service, Inc., a Florida corporation and Marathon
Aviation Associates, LLC, and thereafter Grantair Service, Inc., a Florida corporation and
Marathon Aviation Associates, LLC entered into a new lease with Monroe County (hereafter
"Original Agreement"), incorporated herein by reference; and
WHEREAS, the Original Agreement required that the FBO relocate and construct a new
fuel farm and hangar complex; and
WHEREAS, construction of planned safety projects have to be completed prior to the
construction of the new hangar complex; and
WHEREAS, the parties wish to clarify the terms of the Original Agreement and remove
the requirement for the construction of the new hangar complex by the FBO in order to proceed
with the safety projects first; and
WHEREAS,on July 21,2021,the parties entered into the First Amendment to the Original
Agreement to provide for, and address the terms pursuant to, the relocation of the Rich Hangar;
and set forth the milestone dates for the relocation and construction of the Rich Hangar as well as
the milestone dates for the construction of the new fuel farm; and
WHEREAS,parties have agreed to revise the milestone dates as set forth herein.

NOW THEREFORE, in consideration of the mutual promises and benefits set forth
below, the receipt and sufficiency of which are hereby acknowledged, the parties agree to amend
the Original Agreement as follows:
Section 1. Article 2) (Premises) sub-Section a) of the Original Agreement is hereby amended
in its entirety to read as follows:
a) The County, as of the Effective Date of this Agreement, hereby leases to the FBO
three (3) individual parcels, also referred to as the premises, at the Florida Keys Marathon
International Airport as depicted in Exhibit A and Exhibit B,both dated October 21, 2020,
which are attached hereto and incorporated herein by this reference along with the vacant
land adjacent to the Monroe County Sheriffs Office on the East side of the airport as
depicted in Exhibit C on the terms and conditions set forth herein. The FBO is hereby
authorized to (i) decommission and dismantle the fuel farm located on the parcel depicted
on Exhibit A following the construction of a new fuel farm on the parcel depicted in Exhibit
B (the"New Fuel Farm") and(ii) demolish the existing Rich Hanger at its current location
and construct a new hangar on the Vacant Land parcel depicted in Exhibit C. The FBO
shall submit plans and specifications for the New Fuel Farm no later than February 1,2024.
Construction of the new fuel farm shall be completed by December 31, 2024. Plans and
specifications for the relocation and construction the new Rich Hangar and associated
access ramp shall be submitted no later than January 1,2026. Construction of the new Rich
Hangar and access ramp must commence by January 1, 2027.
Section 2. Article 2) (Premises , sub-Section b) of the Original Agreement is hereby amended
in its entirety to read as follows:
b) No buildings, structures or other improvements to real property may be added by
the FBO to the premises described in Exhibit A, Exhibit B, or the Vacant Land Exhibit C,
other than the new fuel farm on the parcel depicted in Exhibit B and the construction of the
Rich Hanger on the Vacant Land depicted in Exhibit C without a separate agreement
concerning the same with the COUNTY.
Section 3. Article 3) (Rent, Fees, Late/Dishonored Payments.), sub-Section a) of the Original
Agreement is hereby amended in its entirety to read as follows:
a) As of November 1, 2023 the monthly rent, paid on an arrears basis, for the premises is
as follows; $8,399.86 per month plus tax for the premises described in Exhibit A. Rent for
the premises depicted on Exhibit B shall be $1,182.08 per month and shall increase to

$4,943.84 per month plus tax upon completion of the New Fuel Farm ("completion" for
purposes of this Sub-Section 3(a) shall be defined as the day upon which fuel is first
received at the New Fuel Farm). Additionally, beginning on the earlier to occur of either
(i) January 1, 2027, or(ii)the completion of the construction of the Rich Hanger, the FBO
shall pay additional monthly rent plus tax for the premises depicted in Exhibit C pro rata,
on a per-square foot basis. Rent shall be paid in arrears in equal monthly installments each
calendar month during which this lease is in effect. Upon the failure of FBO to pay any
installments when due, the County will be entitled to charge and collect, and FBO will be
obligated to pay, a late fee of two percent (2%) of any such amount, if paid within thirty
(30) days of the date due, and five percent(5%)of any such amount, not paid within thirty
(30) days of the date due. Such late fees will be in addition to the amount of rent due. The
acceptance by the County of the overdue rental installment plus applicable late fees shall
cure what would otherwise constitute a default by FBO under the terms of this lease. The
County, at its option, however, may refuse a proffered overdue rental installment and late
fees, declare a default, and proceed according to paragraph 21 of this lease. In the event
that any check, draft, or negotiable instrument by which FBO has tendered any rent
payment is returned to the County and not honored, whether for insufficient funds or other
reason, the County will be entitled to charge and collect, in addition to any applicable late
payment fees as provided above, a fee of Twenty-five Dollars($25.00)for such dishonored
instrument. Such penalty fee shall also be in addition to the amount of rent due. The
acceptance by the County of the rental payment plus any applicable late fee and penalties
following the receipt of a dishonored instrument shall cure what would otherwise constitute
a default under the terms of this lease.
Section 4. Article 5) Term.), sub-Section b) of the Original Agreement is hereby amended in
its entirety to read as follows:
b) If the FBO completes construction of the New Fuel Farm by December 31, 2024,
then this FBO Lease shall terminate on October 31, 2054. ANY MODIFICATION OR
DEVIATION FROM THE APPROVED PROPOSED New Fuel Farm MUST BE
APPROVED BY THE DIRECTOR OF AIRPORTS. For purposes of this amendment,
completion of construction shall be deemed to occur upon the date of the issuance of the
Certificate of Occupancy. The intent of this Section 5(b) is to incentivize prompt
construction of the New Fuel Farm and the County acknowledges the benefit to the FBO
of completing the project as soon as possible in order to maximize the cost amortization
term. Unless otherwise agreed to in writing the planning, financing, commencement and
progress of the construction, and all costs related thereto, shall be the FBO's responsibility.
Upon completion of construction or as soon thereafter as possible,the County and the FBO

shall enter into a written lease extension documenting the new termination date of October
31, 2054.
Section 5. Except as set forth in sections one, two, three and four of`this 2`1 Amendment to the
Marathon Fixed Base Operator Agreement, all remaining pp-ovisiolls of the Original Agrccmcm
dated October 21, 2020 and the I"amendment dated July 21.1 2021 not inconsistent licrc\vitli, shall
remain in full force and effect.
