1st Addendum 01/18/1995 ADDENDUM TO AGREEMENT
THIS ADDENDUM is entered into this f _ day of Ja n LkjyY-j 1995, by
and between the BOARD OF COUNTY COMMISSIONERS, Monroe County, Fforida, hereinafter
referred to as the COUNTY and Tinsley Advertising & Marketing, Inc., hereinafter referred to as the
FIRM.
WITNESSETH
WHEREAS, the cooperative advertising program operated by the Firm has generated
numerous requests by businesses, primarily accommodations and attractions too small or low-
income to be able to retain an advertising agency for creative and mechanical services; and
WHEREAS, there is a benefit to the County every time a professional advertisement is run of
the caliber of the Firm's product; and
WHEREAS, advertising exposure of the Florida Keys is enhanced with each increase in the
volume of advertising; and
WHEREAS, the County wishes to establish a contingency fund to be utilized in the event
that there is a severance of communications with the Administrative Office of the TDC; and
NOW, THEREFORE, the parties, in consideration of the promises contained herein, agree
that the contract dated September 8, 1993 is amended as follows:
1 . Paragraph 9 shall be amended to read as follows:
Exclusive Representation: The Firm shall not represent any other municipal or county
destination in Florida. The Firm shall not represent any private resort or attraction in Monroe
County as that entity's exclusive representative. However, Firm shall be able to contract with
businesses in Monroe County to provide creative and mechanical services and to provide
services of any type in connection with volume-buy or cooperative advertising which facilitate,
supplement or complement the TDC's advertising and marketing programs.
2. Paragraph 4.13 shall be created to read as follows:
B. Emergency Action: In the event that communications are severed between the
agency and the TDC administrative office, the Firm shall confer with Stuart Newman Associates
and perform the same types of services as found in the scope of services of this agreement as the
agency deems to be in the best interest of tourism in the Florida Keys. In consideration of the
performance of such services, the County shall pay an amount not to exceed $150,000.00 in
excess of the compensation required under paragraph 4 of this agreement.
3. The remaining provisions of the contract dated Septe 8, 1993, which are not in
conflict with paragraph 9, remain in full fort and effe t.
