COURIER SERVICE AGREEMENT
Second Renewal
This Second Renewal of Agreement is entered into by and between Monroe
County, a political subdivision of the State of Florida and Buccaneer Courier
("Buccaneer"), this day of ,2007;
WTINESSETH:
WHEREAS, the parties entered into a Contract for Courier Service dated
March 15, 2005, and executed a First Renewal of that Contract in 2006;
WHEREAS, there was an Amendment to Contract on January 18, 2006; and
WHEREAS, in paragraph 5. TERM OF CONTRACT/RENEWAL this contract is
renewable for three additional one-year periods. At this time there are 2 one-year periods
remaining as an option for renewal; and
WHEREAS, the County desires to exercise its option to extend the contract from
March 15,2007 through March 14,2008; and
NOW THEREFORE, IN CONSIDERATION of the mutual promises contained
herein, the parties hereby agree to renew and extend the existing contract, as previously
amended, as follows:
1. This agreement shall be extended for a one-year period commencing
March 15,2007, and ending March 14,2008.
2. The rate of $190.00 per month per courier stop shall remain the same as
agreed to in Amendment to Agreement dated January 18,2006.
3. In all other respects, the Agreement entered March 15,2005, as amended
January 18,2006, shall remain in full force and effect.

ThiS Amendment to Agreement is made and entered into ti1is 16th day of January, 2006,
between the BOARD OF COUNTY COMMISSIONERS OF MONROE COUNiY, FLORIDA, hereinafter
referred to as "COUNTY," and Buccaneer Courier, hereinafter referred to as "COURIER."
WHEREAS, the COUNTY and the COURIER entered Into an agreement on April 21, 2005,
regarding the provision of courter services, and
WHEREAS, COURIER has requested a rate increase due to high cost of fuel, and
WHEREAS, the COUNTY desires to amend said agreement to Increase the rate per stop per
month; NOW, THEREFORE,
1. The contract Is amended by changing paragraph 3 to show a new rate of $ 190.00 per month
per courier stop.
2. The effective date of the increase is to begin on February 15, 2006.

3. THE CON CT SUM

4. CONTRAC OR'S ACCEPTANCE OF CONDmONS

Any ambiguity or certainty in the specifications shall be interpreted and construed by the Owner, and his decision

the services. Fail on the part of the Contractor, immediately after Notice to Correct shall entitle the Owner, if it
sees fit, to correct e same and recover the reasonable cost of such replacement and/or repair from the Contractor,
who shall in any ent be jointly and severally liable to the Owner for all damage, loss, and expense caused to the
Owner by reason the Contractor's breach of this Contract and/or his failure to comply strictly and in all things

TRACTIRENEWAL
This contract shall be for a period of one (I) year, commencing March IS, 2005 and terminating March 15,2006.
TIle County shall ve the option to renew this agreement after the first year, and each succeeding year, for three
additional one y periods. The Contract amount agreed to herein might be adjusted annually in accordance with
the percentage c ge in the Consumer Price Index for all urban consumers (CPI-V) for the most recent twelve (12)
months available.
6. HOLD
ESS
The Contractor enants and agrees to indemnify and hold h.arm.less Monroe County Board of County
Commissioners fr m any and all claims for bodily injury (including death), personal injury, and property damage
(including prope owned by Monroe County) and any other losses, damages, and expenses (including attorney's
fees) which arise t of, in connection with. or by reason of services provided by the Contractor or any of its
Subcontractor(s)' any tier, occasioned by the negligence, errors, or other wrongful act of omission of the
Contractor or its srtx:ontractors in any tier, their employees, or agents.
In the event the COfPletion of the project (to include the work of others) is delayed or suspended as a result of the
Contractor's f~~~o purchase or maintain the required insurance. the Contractor shall indemnify the County from
any and all in~ expenses resulting from such delay.
The first ten dOl' ($10.00) of remuneration paid to the Contractor is for the indemnification provided for above.
The cxtent of liabi~ty is in no way limited to, reduced, or lessened by the insurance requirements contained
e1~where within tl)is agreement.
7. INDEPENDENT CONTRACTOR

employee of the of County Commissioners for Monroe County. No statement contained in this agreement
shall be consuued as to find the contractor or any of ttislher employees, contractors, servants, or agents to be

8. ASSURANCE AGAINST DISCRIMINATION

b) lnterpre on, Costs, and Fees:
Th.e Coon and Contractor agree that, in the event of conflicting interpretations of the tenns or a term of
this Agreement by r between any of them the issue shall be submitted to mediation prior to the institution of any
other administraliv or legal prcx:eWing. The County and Contractor agree that in the event any cause of action or
administrative eding is initiated or defended by any party relative to the enforcement or interpretation of this
Agreement, the ailing party shall be entitled to reasonable attorney's fees, court costs, investigative, and out-of-
pocket expenses, an award against the non-prevailing party, and shall include attorney's fees, courts costs,
investigative, and 0 t-of-pocket expenses in appellate proceedings. Mediation proceedings initiated and conducted
pursuant to this A ment shall be in accordance with the Florida Rules of Civil Procedure and usual and
customary proced required by the circuit court of Monroe County.
c) Sevembili. If any term, covenant, condition or provision of this Agreement (or the application thereof to
any circumstance person) shall be declared invalid or unenforceable to any extent by a court of competent
jurisdiction, the re ., g terms, covenants, conditions and provisions of this Agreement, shall not be affected
thereby; and each maining term, covenant, condition and provision of this Agreement shall be valid and shall be
enforceable to the est extent permitted by law unless the enforcement of the remaining terms, covenants,
conditions and isions of this Agreement would prevent the accomplishment of the original intent of this

shall be discussed t a public meeting of the Board of County Commissioners. If the issue or issues are still not
resolved to the sati ction of the parties, then any party shall have the right to seek such relief or remedy as may be
provided by this A ment or by Florida law.
i) Coopemti n. In the event any administrative or legal proceeding is instituted against either party relating to
the formation, ex~' on, performance. or breach of this Agreement, County and Contractor agree to participate, to
the extent required the other party, in all proceedings, hearings, processes, meetings, and other activities related

Statutes, regarding but not limited to. solicitation or acceptance of gifts; doing business with one's agency;
unauthorized com nsation; misuse of public position, conflicting employment or contractual relationship; and

k) Covenant f No Interest. County and Contractor covenant that neither presently has any interest. and shall
not acquire any int rest, which would conflict in any manner or degree with its performance under this Agreement..
and that only inte of each is to perform and receive benefits as recited in this Agreement.
m) tionlPayment. The County and Contractor warrant that, in respect to itself, it bas neither
employed nor ed any company or person, other than a bona fide employee working solely for it, to solicit or
secure this Agree ent and that it has not paid or agreed to pay any person, company, corporation, individual, or
firm, other than a na fide employee working solely for it. any fee, commission, percentage. gift, or other
considerntion con' gent upon or resulting from the award or making of this Agreement. For the breach or violation
of the provision, Contractor agrees that the County shall have the right to terminate this Agreement without

of the County and e Contractor in this Agreement and the acquisition of any commercial liability insurance
coverage, self-i ce coverage. or local government liability insurance pool coverage shall not be deemed a
waiver of immunity to the extent of liability coverage, nor shall any contract entered into by the County be required
to contain any pro.vision for waiver.

p) Privileges and Immunities. All of the privileges and immunities from liability, exemptions from laws,
ordinances, and and pensions and relief, disability. workers' compensation, and other benefits which apply to
the activity of offi rs. agents. or employees of any public agents or employees of the County. when performing
their respective fu ions under this Agreement within the territorial limits of the County shall apply to the same
degree and extent t the performance of such functions and duties of such officers. agents. volunteers., or employees
outside the territori, limits of the County.
q) Legal Obllgations and Responsibilities: Non-Delegation of Constitutional or Statutory Duties. This
Agreement is not ~teoded to. nor shall it be construed as, relieving any participating entity from any obligation or
responsibility impqsed upon the entity by law except to the extent of actual and timely performance thereof by any
participating entity; in which case the performance may be offered in satisfaction of the obligation or responsibility

Contractor or any a ent, officer, or employee of either shall have the authority to inform, counsel, or otherwise
indicate that any . cu1ar individual or group of individuals, entity or entities, have entitlements or benefits under
this Agreement te and apart,. inferior to, or superior to the community in general or for the purposes
contemp\ated in thi Agreement.

5) Attestatiorjs. Contractor agrees to execute such documents as the County may reasonably require, to
mclude a Public Enpty Crime Statement, an Ethics Statement, and a Drug-Free Workplace Statement.

t) No Perso Liability. No covenant or agreement contained herein shall be deemed to be a covenant Of
agreement of any ember, officer, agent or employee of Monroe County in his or her individual capacity, and no
member, officer, a nt or employee of Monroe County shall be liable personally on this Agreement or be subject to
any personailiabili or accountability by reason of the execution of this Agreement
u) Execution in Counterparts. This Agreement may be executed in any number of counterpartB, each of which
shall be regarded an original, all of which taken together shall constitute one and the same instrument and any of
the parties hereto execute this Agreement by singing any such counterpart.
v) Section H dings. Section headings have been inserted in this Agreement as a matter of convenience of
refenmce only, and it is agreed that such section headings are not a part of this Agreement and will not be used in
the interpretation any provision of this Agreement.

The Contractor not assign or subcontract its obligations under this agreement, except in \Vriting and with the
prior written ap al of the Board of County Commissioners for Monroe County and Contractor, which approval
shall be subject to ch conditions and provisions as the Board may deem necessmy. This paragraph shall be
incorporated by re rence into any assignment or subcontract and any assignee or subcontractor shall comply with
all of the provision of this agreement. Unless expressly provided for therein. such approval shall in no manner or
event be deemed t impose any obligation upon the board in addition to the total agreed-upon price of the

In providing all ices/goods pursuant to this agreement. the contractor shall abide by all statutes, ordinances, rules

Prior to execution f this agreement, the contractor shall furnish the Owner Certificates of Insurance indicating the
minimum coverag limitations as indicated by an "X" on the attached fonus identified as INSCKLST 1-5, as further
detailed on forms C I, GL I, and VL I, eacll attached hereto and incorporated as part of this contract document, and
all other requireme s found to be in the best interest of Monroe County as may be imposed by the Monroe County
Risk Management epartment
12. FUNDING gAILABILITY
In the event that ds from Purchasing Office Contractual Services are partially reduced or carmot be obtained or
cannot be continu at level sufficient to allow for the purchase of the services/goods specified herein, this
agreement may the be terminated immediately at the option of the Board of County Commissioners by written
notice of tenninatiT}elivered in person or be mail to the contractor. The Board shall not be obligated to pay for
any services provii by the contractor after the contractor has received written notice of termination.
13. PROFESSIO]\JAL RESPONSmILITY
The Contractor wahnts that it is authorized by law to engage in the performance of the aylivities encompassed by
the projoct herein d~scribed, subject to the terms and conditions set forth in these contract documents The provider

Monroe County' performance and obligation to pay under this contract is contingent upon an annual appropriation
