FOR TESTING, CERTIFICATION, AND MAINTENANCE OF ENVIRONMENTAL BUILDING MANAGEMENT SYSTEMS MONROE COUNTY, FLORIDA This Fourth Amendment to Sole Source Agreement is made and entered into this 17th day of April, 2024, by and through MONROE COUNTY,FLORIDA("COUNTY" or"OWNER") a political subdivision of the State of Florida,whose address is 1100 Simonton Street,Key West, Florida 33040, and SIEMENS INDUSTRY, INC. ("CONTRACTOR" or "SIEMENS") a Delaware corporation, authorized to do business in the State of Florida as a Foreign-for-Profit Corporation, whose principal address is 100 Technology Drive, Alpharetta, Georgia 30005, and whose mailing address for the purposes of this Agreement is 3021 N. Commerce Parkway, Miramar, Florida 33025, and whose mailing address for payment is 1000 Deerfield Parkway, Buffalo Grove, Illinois 60089-4513, (with each being a "PARTY" and collectively referred to as the "PARTIES"). WHEREAS, the Board of County Commissioners ("BOCC") approved on May 20,2020, the replacement of the existing Environmental Building Management Systems (EBMS) with a Desigo Enterprise BMS, due to EBMS no longer being supported, in the amount of$237,583.06, which would allow the County to monitor additional sites remotely and locally in a unified system; and WHEREAS,the BOCC approved on March 17,2021,a request for a waiver of the Monroe County Purchasing Policy provisions to designate Siemens Industry,Inc.as a Sole Source Provider so that the expiring Contract with Siemens Industry, Inc. could be negotiated and renewed as a sole source contract; and WHEREAS, on April 21, 2021, the BOCC approved a month-to-month renewal agreement with Siemens Industry, Inc. pending completion of negotiations with Siemens and approval of the agreement by the BOCC; and WHEREAS, on April 20, 2022, the BOCC approved a negotiated Agreement with Siemens Industry,Inc. as a Sole Source provider for testing, certification, and maintenance of Fire Alarm, Smoke Control, and Environmental Building Management Systems in Monroe County facilities ("Original Agreement"); and WHEREAS,on October 19,2022,the BOCC approved a First Amendment to the Original Agreement which increased payment amounts by five and five tenths percent (5.5%) retroactive to October 1, 2022, and updated the Federal Required Contract Provisions; and WHEREAS,on March 22,2023,the BOCC approved a Second Amendment to Agreement 1 Fourth Amendment to Siemens Agreement—Effective May 1,2024 which updated certain Federal provisions to allow additional necessary upgrades to current equipment by Siemens with funding from American Rescue Plan Act("ARPA") funds; and WHEREAS, on September 20, 2023, the BOCC approved a Third Amendment to Agreement which increased payment amounts by five and five tenths'percent(5.5%), effective as of October 1, 2023; and WHEREAS, County staff recommends including Building Automation Integrations and Cloud Ops FDD Services and Monitoring for the new Emergency Operations Center, Lester Building(Rear),and Key West Library with each location having newly installed Siemens' sensors and equipment; and WHEREAS, this Fourth Amendment is to also amend the Original Agreement, as amended, to clarify that the Original Agreement includes Fire Alarm Testing and Inspection services for the Plantation Key Courthouse and Detention Center; and WHEREAS,County staff seeks to include ten(10)additional critical points in the Siemens System Performance Monitoring and reflect such change in the Revised Scope of Services for the additional annual costs as noted herein; and WHEREAS,this Fourth Amendment also seeks to update Exhibit"A"—Scope of Services and the accompanying Appendix"A",Maintained Equipment Table, and correct or update certain other County, State, or Federal contract provisions; and WHEREAS, the parties find that it would be mutually beneficial to amend its Original Agreement, as amended, and enter into this Fouth Amendment to Agreement. NOW, THEREFORE, IN CONSIDERATION of the mutual promises and covenants contained herein, it is agreed as follows: 1. Paragraph 2, SCOPE OF SERVICES, of the Original Agreement, as amended, is hereby deleted in its entirety and replaced with the following paragraph: 2. SCOPE OF SERVICES CONTRACTOR shall perform the Scope of Services required under this Agreement which shall include,but is not limited to, the work specified in Exhibit "A-Revised" (the "Scope of Services"), attached hereto and made a part hereof. The Scope of Services is a description of CONTRACTOR'S obligations and responsibilities and is deemed to include preliminary considerations and prerequisites, and all labor, materials, equipment, and tasks that are such an inseparable part of the work described that exclusion would render performance by CONTRACTOR impractical, illogical, or unconscionable. CONTRACTOR shall provide its services at the COUNTY facilities as identified in Exhibit "A - Revised", attached hereto, as amended throughout the term of this Agreement. 2 Fourth Amendment to Siemens Agreement—Effective May 1,2024 Any services under this Agreement deemed as "Additional Services," and identified herein as "Corrective Maintenance and Component Replacement," shall be further delineated in the Scope of Services attached hereto as Exhibit "A - Revised". 2. Any references to Exhibit"A" in the Original Agreement shall now be replaced to reflect Exhibit"A—Revised", as attached hereto. 3. The Maintained Equipment Table,which is attached to the Original Agreement and marked as Appendix "A" is hereby revised to update the table to include the Plantation Key Courthouse and Detention Center equipment. The updated Maintained Equipment Table, now identified as Appendix "A—Revised", is attached hereto and made a part hereof as the Appendix "A—Revised"to Exhibit"A—Revised." 4. Any reference to Appendix"A"in the Original Agreement shall now be replaced to reflect Appendix"A—Revised", as attached hereto. 5. Paragraph 10. E. of the Original Agreement, as amended, and Section TT., Facilities Covered under this Agreement, of the initial Scope of Services (Exhibit "A"), are both hereby amended to include services for the Facilities at the Emergency Operations Center, Key West Library, and Lester Building(Rear). 6. Paragraph 6,STAFFING/SERVICE TEAM PERSONNEL,of the Original Agreement, as amended, is hereby revised to reflect new County personnel for Subparagraph b), Operations Administrator, as being Chrissy Collins, and for Subparagraph c), Information Technology (TT Liaison) as being Joe Tuttle. All other provisions of Paragraph 6 remain the same. 7. Paragraph 10. E. PAYMENTS TO CONTRACTOR, of the Original Agreement, as amended, is hereby revised to increase the Contract amounts for Maintenance,Testing,and to also include Monitoring Services, excluding Additional Services, to include new services at the locations as outlined below and in Attachment"A", attached hereto, for a partial year with an effective date of May 1, 2024, through September 30, 2024, in an amount of Eleven Thousand Two Hundred Seventy-one and 21/100 ($11,271.21) Dollars. The new services and locations, as outlined below, and in Attachment"A,"are as follows: Emergency Operations Center—Automation Monitoring $ 1,856.55 for 5 months Lester Building (Rear)—Automation Monitoring $ 1,856.54 for 5 months Key West Library--Automation Monitoring $ 1,856.55 for 5 months Sheriff's Administration Building—Cellular Dialer Off-Site $ 315.00 for 5 months Monitoring Extra 10 Points System Performance Monitoring (SPM) $5,386.57 for 5 months TOTAL INCREASE $11,271.21 for 5 months 3 Fourth Amendment to Siemens Agreement—Effective May 1,2024 The amended Total Contract amount for the Maintenance, Testing, and Monitoring Services is Two Hundred Seventy-seven Thousand Two Hundred Eighty-four and 19/100 ($277,284.19),Dollars,excluding Additional Services and other one-time fees, as set forth herein. 8. The Total Contract Amount for Maintenance, Testing, and Monitoring Services,excluding Additional Services, shall be amended in Paragraph 10. E. of the Original Agreement, as amended,to include the services and locations outlined in Attachment"A",and as set forth below, for the new contract year with an effective date of October 1,2024,in the amount of Fifty-four Thousand One Hundred Two and 91/100 ($54,102.91)Dollars: Emergency Operations Center-—Automation Monitoring $4,455.72 annually Lester Building (Rear)—Automation Monitoring $4,455.71 annually Key West Library --Automation Monitoring $4,455.71 annually Sheriff s Administration Building—Cellular Dialer Off-Site $ 756.00 annually Monitoring PK Courthouse and Detention Center Fire Alarm Inspections $18,252.00 annually Extra 10 Points System Performance Monitoring (SPM) $12,927.77 annually Building Control Inspection Additions $ 8,800.00 annually TOTAL INCREASE $54,102.91 annually 9. Siemens has assessed the County a one-time fee of Eighteen Thousand Two Hundred Ninety-two and 50/100($18,292.50)Dollars for the initial C1oudOps and SPM Setup for new locations in which Siemens' equipment has been installed. The equipment being tested and inspected is outlined in Attachment"A". 10. Siemens has assessed the County a one-time fee of Nineteen Thousand Eight Hundred Thirty and 49/100 ($19,830.49) Dollars for the integration of the Controls System at the new Emergency Operations Center(EOC) into the County's Desigo CC Enterprise Building Management System(EBMS),as outlined in Attachment"A". 11. Siemens has assessed the County a one-time fee of Fourteen Thousand One Hundred Ninety-six and 00/100 ($14,196.00) Dollars for a Fire Alarm Inspection at the Plantation Key Detention Center at 88870 Overseas Hwy., Tavernier, FL 33070. A subsequent Fire Alarm Inspection will be conducted at the Plantation Key Courthouse at that same location for which an additional charge will be assessed. 12. With the addition of several new buildings and previous service call history, the Total Compensation for Additional Services under this Agreement shall be increased. Paragraph 10.,PAYMENTS TO CONTRACTOR, Sub-paragraph F.4, of the Original 4 Fourth Amendment to Siemens Agreement—Effective May 1,2024 Agreement, as amended, is hereby deleted in its entirety, and replaced with the following paragraph: 10. F. 4. Total Compensation to CONTRACTOR for Additional Services under this Agreement shall not exceed Three Hundred Thirteen Thousand and 00/100 ($313,000.00)Dollars per contract year,unless pre-approvcd emergency work requiring additional funds is implemented and approved by the Board of County Commissioners. 13. Paragraph 18,NONDISCRIMINATION/EQUAL EMPLOYMENT OPPORTUNITY, of the Original Agreement, as amended, is hereby amended by deleting the first paragraph only and replace it in its entirety with the following paragraph: 18. NONDISCRIMINATION/EQUAL EMPLOYMENT OPPORTUNITY CONTRACTOR and COUNTY agree that there will be no discrimination against any person, and it is expressly understood that upon a detennination by a court of competent jurisdiction that discrimination has occurred, this Agreement automatically terminates without any further action on the part of any party, effective the date of the court order. CONTRACTOR and COUNTY agrees to comply with all Federal and Florida statutes,and all local ordinances,as applicable, relating to nondiscrimination. These include but are not limited to: 1) Title VII of the Civil Rights Act of 1964 (PL 88-352) which prohibits discrimination in employment on the basis of race, color,religion, sex,or national origin;2)Title IX of the Education Amendment of 1972, as amended (20 USC ss. 1681-1683, and 1685-1686), which prohibits discrimination on the basis of sex; 3) Section 504 of the Rehabilitation Act of 1973, as amended (20 USC s. 794), which prohibits discrimination on the basis of disability; 4) The Age Discrimination Act of 1975, as amended(42 USC ss. 6101-6107)which prohibits discrimination on the basis of age; 5) The Drug Abuse Office and Treatment Act of 1972 (PL 92-255), as amended, relating to nondiscrimination on the basis of drug abuse; 6) The Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation Act of 1970(PL 91-616),as amended,relating to nondiscrimination on the basis of alcohol abuse or alcoholism; 7) The Public Health Service Act of 1912, ss. 523 and 527 (42 USC ss. 690dd-3 and 290ee-3), as amended, relating to confidentiality of alcohol and drug abuse patient records; 8) Title VIII of the Civil Rights Act of 1968 (42 USC s. 3601 et seq.), as amended, relating to nondiscrimination in the sale, rental or financing of housing; 9) The Americans with Disabilities Act of 1990 (42 USC s. 12101 Note), as may be amended from time to time, relating to nondiscrimination on the basis of disability; 10) Monroe 5 Fourth Amendment to Siemens Agreement—Effective May 1,2024 County Code Chapter 14,Article II, which prohibits discrimination on the basis of race, color, sex, religion, national origin, ancestry, sexual orientation, gender identity or expression, familial status or age; 11) Any other nondiscrimination provisions in any Federal or state statutes which may apply to the parties to, or the subject matter of, this Agreement. All other provisions of Paragraph 18 as set forth in the Original Agreement, as amended, remain the same. 14. Paragraph 23, EMPLOYMENT OR RETENTION OF FORMER COUNTY OFFICERS OR ET TPLOYEES, of the Original Agreement, as amended, is hereby amended by deleting Paragraph 23 in its entirety and replace it with the following paragraph: 23. EMPLOYMENT OR RETENTION OF FORMER COUNTY OFFICERS OR EMPLOYEES CONTRACTOR warrants that he/she/it had not been employed, retained or otherwise had act on his/her/its behalf any former County officer or employee subject to the prohibition of Section 2 of Ordinance No. 010-1990 or any County officer or employee in violation of Section 3 of Ordinance No. 010-1990. For breach or violation of this provision the County may,in its discretion,terminate this contract without liability and may also, in its discretion, deduct from the contract or purchase price, or otherwise recover the full amount of any fee, commission,percentage, gift,or consideration paid to the former County officer or employee. 15. Paragraph 27, TERMINATION, of the Original Agreement, as amended, is hereby amended to delete the current Paragraph 27. F. in its entirety and replace it with the following paragraph: F. For Contracts of$1,000,000 or more: (1) If the County determines that the Contractor/Consultant submitted a false certification under Section 287.135(5), Florida Statutes, the County shall have the option of(1) immediately terminating the Agreement after it has given the Contractor/Consultant written notice and an opportunity to demonstrate the agency's determination of false certification was in error pursuant to Section 187.135(5)(a), Florida Statutes, or (2) maintaining the Agreement at the County's option, if the conditions of Section 287.135(4), Florida Statutes, are met. (2) If the Contractor/Consultant has been placed on the Scrutinized Companies with Activities in the Sudan List, or if the Contractor/Consultant has been placed on a list created pursuant to Section 215.473, relating to scrutinized active business operations in Iran, or been engaged in business operations in Cuba or Syria, the County shall have the option of(1) terminating the 6 Fourth Amendment to Siemens Agreement—Effective May 1,2024 Agreement,or(2)maintaining the Agreement,at the County's option,if the conditions of Section 287.135(4), Florida Statutes, are met. All other provisions of Paragraph 27 as set forth in the Original Agreement, as amended, remain the same. 16. Paragraph 44, PUBLIC ENTITY CRIME INFORMATION STATEMENT, of the Original Agreement, as amended, is hereby amended to delete the current Paragraph 44, and replace it in its entirety with the following paragraph: 44 . PUBLIC ENTITY CRIME STATEMENT "A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid, proposal, or reply on a contract to provide any goods or services to a public entity, may not submit a bid, proposal, or reply on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids,proposals, or replies on leases of real property to a public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017, Florida Statutes, for CATEGORY TWO for a period of thirty-six (36)months from the date of being placed on the convicted vendor list." 17. Paragraph 54.1, DAVIS-BACON ACT, of the Original Agreement, as arnended, is amended to only reflect an updated Davis-Bacon Wage Determination Statement dated March 15,2024,which is attached hereto as Exhibit"C-Revised"and made a part hereof. The reference in the first Paragraph 54.1 to the exhibit shall also be amended to reflect the new Exhibit"C—Revised". All other provisions of Paragraph 54.1 remain the same. 18. Paragraph 54.7, Compliance with Recovery of Recovered Materials as set forth in 2 CFR§200.322,of the Original Agreement, as amended, is hereby amended to correct the citation in the heading of this paragraph by deleting the current heading of Paragraph 54.7 and replacing it with the corrected heading of"Compliance with Recovery of Recovered Materials as set forth in 2 CFR§200.323". All other provisions of Paragraph 54.7 remain the same. 19. Paragraph 55, UNCONTROLLABLE CIRCUMSTANCE, of the Original Agreement, as amended, is hereby amended to delete the current paragraph, and replace it in its entirety with the following paragraph: 55. UNCONTROLLABLE CIRCUMSTANCE 7 Fourth Amendment to Siemens Agreement—Effective May 1,2024 Any delay or failure of either Party to perform its obligations under this Agreement will be excused to the extent that the delay or failure was caused directly by an event beyond such Party's control,without such Party's fault or negligence and that by its nature could not have been foreseen by such Party or, if it could have been foreseen, was unavoidable: (a) acts of God; (b) flood, fire, earthquake, explosion, tropical storm,hurricane or other declared emergency in the geographic area of the Project; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest in the geographic area of the Project; (d) government order or law in the geographic area of the Project; (e) actions, embargoes, or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority prohibiting work in the geographic area of the Project; (each, a "Uncontrollable Circumstance"). Contractor's financial inability to perform, changes in cost or availability of materials, components, or services, market conditions, or supplier actions or contract disputes will not excuse performance by Contractor under this Section.Contractor shall give County written notice within seven (7) days of any event or circumstance that is reasonably likely to result in an Uncontrollable Circumstance, or as soon as possible after such Uncontrollable Circumstance has occurred if reasonably anticipated, and the anticipated duration of such Uncontrollable Circumstance. Contractor shall use all diligent efforts to end the Uncontrollable Circumstance, ensure that the effects of any Uncontrollable Circumstance are minimized and resume full performance under this Agreement. The County will not pay additional cost as a result of an Uncontrollable Circumstance. The Contractor may only seek a no cost Change Order or Amendment for such reasonable time a as the Owner's Representative may determine. 20. Except as set forth in Paragraphs 1 through 19 of this Fourth Amendment to Sole Source Agreement, in all other respects,the terms and conditions set forth in the Original Agreement, as amended,remain in full force and effect. BMS Health Optimize the health of the building management system by automating maintenance diagnostics reports to target and prioritize remote and onsite service Online Data Backup&Protection Siemens will perform scheduled database backups remotely of all graphics, reports,configurations, user information and databases, and store this information on a cloud-based secure server. If,for any reason, any of the backed-up information or data is lost from your system, Siemens can reload the information or data on-site or remotely, with your backup copy(if covered elsewhere within this service agreement). Using fault detection and diagnostics (FDD) Siemens Digital Service Center team will remotely assess the overall performance of your systems and provide analysis to implement corrections. The objective of the HVAC Analytics service is to provide guided insight and data analytics on your building. Emergency Operations Center, 7280 Overseas Highway, Marathon, FL 33050 BUILDING SERVICES—AUTOMATION Through the Siemens Building Automation Services, SIEMENS will provide the following services: 1) Digital Services 2) Manage System Operation and Compliance 3) Protect Lifecycle Investment 4) Optimize Performance and Productivity A. DIGITAL SERVICES: 1. C1oudOps Automation Advanced The CONTRACTOR will utilize data-drivcn analytics to test the operational performance of selected systems and ensure that critical faults are addressed by its remote services team whenever possible. This is achieved through the application of data analytics intended to identify issues and a prioritization of faults based upon their impact on the COUNTY'S operations and equipment. Using Fault Detection and Diagnosis ("FDD"), the CONTRACTOR will assess the overall performance of the COUNTY systems while assisting in the troubleshooting of recurring intermittent issues. By using FDD, this will provide quicker response time to correct faults affecting the overall performance of the COUNTY systems. The CONTRACTOR will leverage remote service specialists to either resolve issues rapidly or to provide a branch technician with the results of their initial troubleshooting,in order to reduce the time it will take to make repairs when an on-site professional is required. On any systems, equipment, and spaces that are included in the Scope of Services, the CONTRACTOR will analyze those remotely and provide periodic reports, helping to improve system reliability, enabling focused maintenance activities, and helping prioritize resolution of pending faults. Furthermore, any critical faults will be routed to a remote service specialist for troubleshooting and resolution. SIEMENS may thus be able to identify a critical fault, even before COUNTY staff, and begin work to correct the issue. 29 In utilizing the Digital Services, CONTRACTOR will establish key performance indicators ("KPIs") aligned with the COUNTY equipment, spaces, and goals. Any results will be documented by CONTRACTOR and shared through Navigator TM and other COUNTY reporting platforms at the frequency specified in the Maintained Equipment Table, attached hereto as Appendix "A -Revised" and made a part hereof. In order to access CloudOps Advanced,the COUNTY shall maintain cRSP and Navigator TM. 2. C1oudOps Mechanical Building mechanical systems deviate from their intended design over time,thus resulting in decreased performance and reliability. Further, as digital technologies evolve, building owners and operators approach system maintenance using improved data analytics to drive operational efficiencies. Traditionally,the more common approaches to service maintenance have been either a reactive or a preventive measure. CloudOps Mechanical is built around the Reliability Centered Maintenance model ("RCM"). This RCM model will use a structured approach of reviewing the systems and components to select and apply the most appropriate of maintenance strategies for each asset in a County facility. The result is a more proactive and effective maintenance 31 program. By utilizing a condition-based approach, the COUNTY and the CONTRACTOR will service the equipment based on its condition and a set of predefined performance parameters. The CloudOps Mechanical service will not only identify critical issues before they become a problem,but will also help prioritize non-urgent faults and avoid the endless cycle of reacting to emergencies. CloudOps Mechanical will use FDD to employ a rules-based analysis of system performance. By using four (4) levels of fault priority, each fault level will correspond to a different phase in the failure probability curve. The levels will range from Level 1, normal operation, with minor issues that can be corrected but have low urgency;Level 2,early warning,with months before failure;Level 3,high priority,with weeks before failure;up to a Level 4, critical,with failure imminent or ongoing, where SIEMENS will recommend prompt remedial action. On Level 4 critical faults, responses will be pursuant to the procedures defined in a fully executed CloudOps Point List and instructions document having beeen finalized by the CONTRACTOR and COUNTY following execution of this Agreement and updated after installation of any additional sensors or integrations as needed. The CloudOps Point List and Instructions document will be a customized document which details the notification and resolution process for the COUNTY's Monitored Equipment. By utilizing the above approach, SIEMENS can provide a consistent analysis of equipment performance by utilizing ist skilled remote service specialists to either resolve issues rapidly or to provide a COUNTY technician / mechanic with the results of their initial troubleshooting. Any on-site repairs that may become necessary may be subject to additional fees as outlined further in Appendix "B" to this Agreement. The CONTRACTOR will additionally deliver scheduled reports on established KPI's as shown below four(4) times per year: • Critical System Uptime Percentage • Historical Fault Comparison by Period • Overall System Faults by Criticality • Status of Critical Faults • Top Recurring Faults • Fault Prioritization Summary • Detailed Fault Reporting • Space Condition Monitoring within Acceptable Limits 4. C1oudOps MECHANICAL (EXCLUSIONS) The C1oudOps Mechanical offering will identify the specific Level 1-4 faults defined herein on the Monitored Equipment. To accurately report faults, appropriate sensors and integrations are required. Based on the instrumentation at current COUNTY facilities, the CONTRACTOR may be unable to test for certain faults such as those listed below: a. Refrigerant Leak Suspected— Integration to refrigerant monitor b. Chiller Surge Condition—Amp Meter or Chiller Panel integration required c. Excessive Boiler Makeup—Makeup Water Meter required. 6. CloudOps MECHANICAL (CLARIFICATION) The following clarifications are included: a. cRSP remote connectivity and data integration to the Siemens 33 Navigator platform, will be included as part of this Agreement. b. When C1oudOps Mechanical identifies Level 4 critical issues for monitored equipment, the SIEMENS remote service specialist will begin to triage the fault and hand it off to an onsite technician if necessary. c. This C1oudOps Mechanical service offering does not create an obligation of Siemens to perform any on-site repairs. SIEMENS must provide Monroe County with a detailed proposal for review and approval prior to commencing any on-site activities. d. Level 4 Critical faults will trigger a response from Siemens as defined in the fully executed C1oudOps Point List and Instructions document. The Siemens service coordinator will dispatch for resolution or contact the COUNTY for direction pursuant to the procedures defined in the C1oudOps Point List and Instructions document. 7. System Performance Monitoring Through System Performance Monitoring, the Siemens Digital Service Center remotely monitors the Building Automation System's performance 24 hours per day, 36.5 days per year. An initial 100 Critical Points was established for monitoring. Due to new facilities having come on- line since the inception of the services, ten (10) new Critical Points need to be established as set forth in the Fourth Amendment to Agreement. The System Performance Monitoring paragraph herein is revised to now reflect 110 Critical Points. Monitored systems include: a. Up to 110 Critical Points and alarms: Limit violation alarm: Monitoring of operational parameters (e.g. temperature, air quality, humidity; Equipment, sensor failures); Detect usage changes (e.g. manual operation mode); Monitoring of frequency of events (event cluster). b. In the event of an alarm condition at any of the designated monitored points or infrastructure, System Performance Monitoring initiates the alarm and associated response instruction to the Siemens Digital Service Center. When an alarm is received, Siemens specialists implement a customer specific response process. c. SIEMENS will implement the required software protocols and service technology to enable performance of this service. The number of points 34 and infrastructure to be monitored and managed shall be itemized in the 110 Critical Points List and provided to the COUNTY and shall be updated as appropriate throughout the term of this Agreement. d. This service supplements COUNTY's staff in monitoring each facility with a focus on conditions that if not quickly recognized and resolved, could possibly result in significant damage to any particular facility and/or cause potential interruption of business. This service by SIEMENS is not a guarantee against damage or business interruption from these conditions and does not insure against the same occurring in the future. Instead, this service will help to provide problem detection and also to enable a timely response by the COUNTY's facility staff. The System Performance Monitoring platform uptime target is ninety- seven percent(97%) on an annual basis with an expectation of no more than three percent(3%) non-planned downtime. e. The 110 Critical Points will be identified and an updated list compiled by Monroe County with the help of Siemens at a future date, but no later than sixty (60) days after this Agreement is approved by the Board of County Commissioners. The 110 Critical Points list will be subject to change periodically throughout the term of this Agreement. SIEMENS and COUNTY staff will review the 1 10 Critical Points list on an annual basis on the anniversary date of the Agreement, or sooner if necessary, for any suggested modifications or updates. Any updated 110 Critical Points List shall be implemented and provided to the COUNTY within ten (10) days of any agreed modification. This service will supplement the COUNTY's staff in monitoring each facility with a focus on conditions that if not quickly recognized and resolved, could possibly result in significant damage to a facility and/or cause potential interruption of business. This service shall also help to provide problem detection and to enable a timely response by the COUNTY's facility staff. B. MANAGE SYSTEM OPERATION AND COMPLIANCE 1. Automation Health Report An Automation Health Report ("Report") will provide a complete view of the Automation system. This shall include Asset Management with equipment firmware to ensure the COUNTY system is up to date with a summary of the panels and floor level equipment installed at each facility. The Report shall also provide a summary of the top alarms and frequency of the last 30 days, 60 days, or 90 days. 35 2. Preventative Maintenance—Automation SIEMENS will provide preventive maintenance in accordance with a program of routines as determined by its experience, equipment application, and location. All Internet Protocol C TP") or Building level controllers are included in this service for listed facilities. This service bean in year two (2) of this Agreement. 3. Preventative Maintenance—Pneumatic Controls Pneumatic controls can drift out of calibration with changes in mechanical component performance, building use, and climatic conditions. SIEMENS will provide preventative maintenance in accordance with a program of standard routines that include calibration as determined by its experience, equipment application, and location. The equipment included under this service are the HVAC controls at the Monroe County Detention Center and Dept. of Juvenile Justice facility. 4. Software Maintenance Using appropriate tools from SIEMENS' suite of diagnostic tools, SIEMENS will periodically perform system diagnostics and then take corrective actions to ensure that the Building Automation System is performing at peak efficiency or to COUNTY requirements. SIEMENS will make sure that software changes are clear and consistent, address any failed points,points in alarm,points in operator priority,and take corrective action. SIEMENS will identify and correct software corruption and inconsistencies; eliminate duplicate points, redundant loops and causes of unnecessary traffic; and address unresolved points and alarm reporting problems. This will be done to ensure that the system operates quickly, accurately, and efficiently as originally designed and installed or as determined by current standards or requirements. C. PROTECT LIFECYCLE INVESTMENT Software Subscription Service - Desigo CC SIEMENS will provide COUNTY with software upgrades to its existing Siemens Desigo CC software as upgrades are released. These upgrades include both Service Releases and all New Version Releases of Software. SIEMENS will also provide corresponding support documentation outlining the features of the releases. Included in this service is onsite 36 formal training to help familiarize COUNTY staff with the new features along with their associated benefits. The upgrades will act to deliver the benefits of SIEMENS' commitment to compatibility by design. Upgrades to PC's and related workstation hardware are excluded. D. OPTIMIZE PERFORMANCE & PRODUCTIVITY 1. BACnetTM Network Analysis Using a combination of proprietary diagnostic technologies and network analysis software, SIEMENS will analyze, and report on the performance of Monroe County's BACnet networks a minimum of four (4) times per year or any other specified number of times per year as agreed upon between the CONTRACTOR and COUNTY. Proper BACnet network performance helps to ensure the highest speed of communication and accuracy of control, alarming, and reporting across the facility. Using BACnet network diagnostic and analytic tools, SIEMENS proactive evaluation of the BACnet data network shall include an analysis of bandwidth, disturbances, network traffic, communication over the network, misconfigurations, conflicts, sub-optimal setup, and overall operation. SIEMENS wilt also make recommendations on changes to the BACnet network infrastructure if structural limitations are identified during the analysis. The number of networks to be analyzed and the frequency of the service are documented in the Maintained Equipment Table (see Appendix "A—Revised"). SIEMENS BACnet equipment and third party BACnet equipment is included in this analysis if it is connected on the same network and is visible from the point of connection. 2. Operator Coaching Through individual Operator Coaching, SIEMENS will review and reinforce learned skills, leading to greater operator knowledge and productivity. SIEMENS will assist COUNTY operators in identifying, verifying, and resolving problems found in executing tasks. During the coaching sessions, SIEMENS can address logbook issues, assist COUNTY operators in becoming more self-sufficient, and improve the skills of COUNTY operators to better meet the needs of the facility and their specific job responsibilities. This will promote better utilization of systems and applications implemented in each County facility. Under this Agreement, SIEMENS shall provide up to eight(8)hours coaching annually, which will be conducted on normal business days and hours, during scheduled visits. SIEMENS shall provide a quarterly report on the total 37 number of coaching hours conducted for the year,which shall include the date of training and the name of any County staff attending such training. E. EMERGECNY RESPONSE TIMES -AUTOMATION 1. Emergency Online/Phone Response—Billable Service Online system and software troubleshooting, and diagnostics and phone support will not be provided under the coverage of this Agreement. SIEMENS will respond to Monroe County's request for emergency online/phone support, 24 Hours per Day, excluding holidays, upon receiving notification of an emergency, as determined by COUNTY staff and SIEMENS, but all service performed will be provided as a billable service. If remote diagnostics determine a site visit is required to resolve the problem, a technician can be dispatched. Depending on Monroe County's contract coverage, the on-site dispatch will be covered or will be a billable service. 2. Emergency On-site Response—Billable Service Emergency On-site Response is not included within the coverage of this Agreement. SIEMENS will respond to Monroe County's request for emergency on-site service as soon as COUNTY Staff is available. An emergency is determined by COUNTY staff and SIEMENS. All service performed will be provided as a billable service. SIEMENS will respond to Monroe County's request for emergency on-site support within four (4) hours,twenty-four (24)hours per day, seven (7) days a week, excluding holidays, upon receiving notification of an emergency, as determined by COUNTY staff and SIEMENS, but all service performed will be provided as a billable service. if SIEMENS is unable to provide emergency on-site support within four (4) hours of notification for service, it must provide an explanation for any further delay. The CONTRACTOR shall provide a contact person to ensure twenty-four(24) hour service. IV. BUILDING SERVICES—FIRE Through the Siemens Building Fire Services,CONTRACTOR will provide its services to Manage System Operations and Compliance in accordance with the laws,rules, and regulations of the authority or authorities having jurisdiction and the National Fire Protection Association (NFPA) standards. ANNUAL TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct annual tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 2. SEMI-ANNUAL TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct semi-annual tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 40 3. QUARTERLY TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct quarterly tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 4. SYSTEM PREVENTATIVE MAINTENANCE: The CONTRACTOR shall develop and perform preventative maintenance in accordance with a program of standard maintenance routines as determined by the manufacturer's recommendations and reviewed by the OWNER. The CONTRACTOR shall maintain and test the EST"FIREWORKS"fire control system and provide and install the latest software upgrades as they become available. 5. CORRECTIVE MAINTENANCE AND COMPONENT REPLACEMENT: With the OWNER's prior approval, the CONTRACTOR shall repair or replace failed or worn components to maintain the system in peak operating condition. Upgrade equipment by systematically modernizing existing components as may be necessary. Components that are suspected of being faulty will be repaired or replaced in advance to prevent system failure. The CONTRACTOR shall provide cost estimates of such repairs or replacements for OWNER'S approval. Invoicing for these services shall be in accordance with this Agreement. 6. FIRE DOOR EGRESS SYSTEM(FEAR): The CONTRACTOR shall conduct tests as recommended by NFPA 101 on the Fire Door Egress System. The CONTRACTOR shall test to verify proper function of the Fire Door Egress System in response to automatic activation from the fire alarm system or manual activation from the system operator's console. This test will also verify proper operation of Fire Door Egress System override priorities and system reset. C. LOCATIONS: Monroe County Detention Center 5501 College Road Stock Island, Key West,FL 33040 SYSTEM: Smoke Control System 41 The CONTRACTOR shall furnish all labor, material, equipment, and documentation to comply with the service requirements of the authority or authorities having jurisdiction and NFPA 92A for the certification, maintenance, and testing for the Monroe County Detention Center's Smoke Control System, at the above-designated one (1)location, including but not limited to the following: 1. ANNUAL TESTING OF ALL COMPONENTS AS FOLLOWS: a) Smoke Control System Activation Test: The CONTRACTOR shall test to verify proper function of the Smoke Control System in response to automatic activation from the fire alarm system or manual activation from the system operator's console. This test will also verify proper operation of Smoke Control System override priorities and system reset. b) Smoke Control System Activation Test: The CONTRACTOR shall: • Check Firefighter's Smoke Control Station for switch settings in auto position. • Deactivate stair tower pressurization system. • Run point log and verify that the system is in the normal state. • Perform manual smoke control system activation priority test. • After performing individual zone test, reset system. Document that system has been made ready. • Return stair tower pressurization system to active mode. • Reset smoke control system and verify that system is ready for smoke control. • Document findings. Test performed per requirements set forth in the HVAC prints for Monroe County Detention Center(Reference Sheet 10.37). c) Firefiahter's Smoke Control Station (FSCS) Test: The CONTRACTOR shall test to verify operation of the FSCS by placing each FSCS switch into each of its active positions and observing the actual status or position of the corresponding smoke control equipment. d) Firefighter's Smoke Control System(FSCS) Cabinet Test: The CONTRACTOR shall perform the following: • Check diagnostic LED's, fuses and surge transient protection devices. • Check line cards and function cards. Check cabling and ensure that all wiring and terminations are secure. • Check incoming AC power and power supply. Check power supply voltages and adjust to+5 volts if necessary. • Check the time and reset if necessary. 42 • Visually inspect FSCS cabinet and observe operating environment. e) Smoke Control System Control Test per Smoke Control Zone: The CONTRACTOR shall perform the following: • Check and/or set starters of supply and return fans to their auto settings. • Initiate the auto smoke strategy from fire alarm system interface. Record all results on "Smoke Control Activation Test Record" form. • Verify, using PT group tables or wild carding, that each piece of smoke control equipment has been commanded per the schedule. • Verify operation. Record and document any problems. Reset smoke control system. f) Emergency Power Test: The CONTRACTOR shall verify operation of smoke control system emergency power. Verify operation of each smoke control fan, damper, and air-handling unit. Verify operation of FSCS under emergency power. 2. CORRECTIVE MAINTENANCE AND COMPONENT REPLACEMENT: The CONTRACTOR shall repair or replace failed or worn components to maintain the system in peak operating condition. Upgrade equipment by systematically modernizing existing components as may be necessary. Components that are suspected of being faulty will be repaired or replaced in advance to prevent system failure. CONTRACTOR shall provide cost estimates of such repairs or replacement for O"ER's approval. Invoicing for these services shall be in accordance with this Agreement. D. Tavernier,FL 33070 43 SYSTEM: Fire Alarm System-EST The CONTRACTOR shall furnish all labor, materials, equipment, and documentation to comply with the authority or authorities having jurisdiction for the certification, maintenance, and testing of the Monroe County Courthouse Annex Fire Alarm System, at the above-designated three (3) locations, including but not limited to the following: 1. ANNUAL TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct annual tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 2. SEMI-ANNUAL TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct semi-annual tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 3. QUARTERLY TESTING OF ALL COMPONENTS AS FOLLOWS: The CONTRACTOR shall conduct quarterly tests of all required system components as per the latest edition of NFPA 72H, Testing Frequencies. 4. SYSTEM PREVENTATIVE MAINTENANCE: The CONTRACTOR shall develop and perform preventative maintenance in accordance with a program of standard maintenance routines as determined by the manufacturer's recommendations and reviewed by the OWNER. 5. CORRECTIVE MAINTENANCE AND COMPONENT REPLACEMENT: The CONTRACTOR shall repair or replace failed or worn components to maintain the system in peak operating condition. Upgrade equipment by systematically modernizing existing components as may be necessary. Components that are suspected of being faulty will be repaired or replaced in advance to prevent system failure. CONTRACTOR shall provide cost estimates of such repairs or replacement for OWNER'S approval. Invoicing for these services shall be in accordance with this Agreement. E. FIRE SYSTEMS EMERGENCY REPSONSE TIMES - AUTOMATION 1. Emergency Online/Phone Response-Billable Service Online system and software troubleshooting, and diagnostics and phone support will not be provided under the coverage of this Agreement. SIEMENS will respond to Monroe County's request for emergency online/phone support, twenty-four (24) hours per day, excluding 44 holidays, upon receiving notification of an emergency, as determined by Monroe County staff and Siemens, but all service performed will be provided as a billable service. If remote diagnostics determine a site visit is required to resolve the problem, a technician can be dispatched. Depending on Monroe County's contract coverage, the on-site dispatch will be covered or will be a billable service. 2. Emergency On-Site Response-Billable Service Emergency On-site Response is not included within the coverage of this Agreement. Siemens will respond to Monroe County's request for emergency onsite service as soon as Monroe County Staff is available. An emergency is determined by your Monroe County Staff and Siemens. All service performed will be provided as a billable service. Siemens will respond to Monroe County's request for emergency on-site support within four- (4) hours, twenty-four (24) hours per day, seven (7) days per week, excluding holidays, upon receiving notification of an emergency, as determined by Monroe County staff and Siemens,but all service performed will be provided as a billable service. If SIEMENS is unable to provide emergency on-site support within four(4)hours of notification for service, it must provide an explanation for any further delay. The CONTRACTOR shall provide a contact person to ensure twenty-four(24) hour service. V. SIEMENS' SERVICES REGARDING CONTROLLERS OR OTHER EQUIPMENT OF THIRD-PARTY VENDORS The COUNTY utilizes controllers and other equipment provided by third party vendors, including, but not limited to, Alerton, Delta, Johnson, and Trane. In the event of a failure of such controllers or equipment provided by the third-party vendor, SIEMENS will troubleshoot to identify the cause of the failure. If the failure requires the third-party vendor's controller or other equipment to be programmed or repaired in any manner, SIEMENS will make an initial recommendation for the COUNTY to pay for the repair of the controller or other equipment pursuant to this Agreement or to replace the controller with a Siemens' controller. Such recommendation shall be based on an analysis that is in the best interests of the COUNTY. If the controller or other equipment must be replaced, SIEMENS will first provide a quote for the costs of such replacement and only proceed upon written authorization from the COUNTY. SIEMENS should always contact the third-party vendor directly to troubleshoot such vendor's controller or other equipment. In the event of a failure of a third-party vendor controller or other 45 equipment,COUNTY employees shall not troubleshoot nor engage in initiating any service calls with such vendor, as those services shall be conducted solely by SIEMENS. It is the intent of the COUNTY, to manage all services calls through its sole provider, SIEMENS, pursuant to the terms and conditions of this Agreement. Invoicing for these services shall be in accordance with this Agreement. VI. EXCLUSIONS AND CLARIFICATIONS 1. Unless expressly stated otherwise in this Scope of Services, Services do not include and SIEMENS is not responsible for: a) service or provision of consumable supplies, including but not limited to batteries and halon cylinder charging; b) reinstallation or relocation of Equipment; c) painting or refinishing of Equipment or surrounding surfaces; d) changes to Services; c) parts, accessories, attachments or other devices added to Equipment but not furnished by Siemens; f) failure to continually provide suitable operating environment including, but not limited to, adequate space,ventilation,electrical power and protection from the elements; g) the removal or reinstallation of replacement valves, dampers,waterflow and tamper switches, airflow stations, venting or draining systems, and any other permanently mounted integral pipe or air duct component; h) replacement of more than ten percent(10%) of refrigerant charge per piece of equipment per incident; i) installation,removal, and/or rental fees for any temporary HVAC equipment, if necessary; or j) latent defects in the Equipment that cannot be discovered through the standard provision of the Services. SIEMENS is not responsible for services performed on any Equipment other than by SIEMENS or its agents. VII. CONNECTIVITY AND COMMUNICATIONS (`SERVICE IMPLEMENTATION PLAN") 46 1. Siemens Remote Services for Building Technology (SRS) A secure remote connection to COUNTY facilities enables SIEMENS to respond quickly and maintain a high level of system up-time and performance. Siemens Remote Service (SRS) is the efficient and comprehensive infrastructure for the complete spectrum of equipment-related remote services. Services that formerly required on-site visits are now available via data transfer. This includes rapid error identification as well as immediate remote repair. By proactively monitoring COUNTY systems, SIEMENS can detect parameter deviations before problems occur. SIEMENS will access COUNTY systems via a secure cRSP connection. 2. Siemens Service Portal The Service Portal complements the personalized services the COUNTY will receive from its local SIEMENS' office by providing greater visibility into equipment and services delivered by SIEMENS. This web-based portal allows the COUNTY the ability to confirm schedules, track repairs, manage agreements, generate reports, and access critical information; then share it across the COUNTY'S entire enterprise quickly and efficiently. The Service Portal is a user--friendly way to increase COUNTY productivity and the value of its service program. 3. Data Security as a Basic Requirement SIEMENS values confidentiality and long-term partnerships and will give the security of the COUNTY's data the highest priority. Before SIEMENS implements an enhanced service package with remote support, it will conduct an in-depth analysis of the situation, taking into account national and international regulations, technical infrastructures, and industry specifics.
