1st Amendment 05/03/2024 FIRST AMENDMENT TO AGREEMENT WITH SEARCHWIDE GLOBAL THIS FIRST AMENDMENT TO AGREEMENT, is made and entered into this 3rd day of May 2024, by and between Monroe County, Florida, (hereinafter called the "County"), and SearchWide Global, Inc. (hereinafter called the "Contractor"). WHEREAS, the County and Contractor entered into an Agreement for Professional Consultant Services on April 23, 2004 ("Agreement") to assist with a nationwide search to hire a new Chief Execution Officer(CEO)for the TDC administrative office; and WHEREAS, the Payment and Billing provisions, as set forth in paragraph 3. of the Agreement are being revised to tie payment amounts to completed tasks performed by the Consultant; and WHEREAS, the Consultant has developed a "Proposed Work Plan" which outlines events/tasks with completion dates which will be the basis upon which payment will be made under the Agreement; and WHEREAS, County desires to enter into this Amendment to the Agreement to allow for these services to continue and to allow for payment as set forth herein; NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows: 1. Amend Paragraph 3. PAYMENT AND BILLING to read as follows: Payments will be made upon three installments as set forth below and upon submission of an invoice in accordance with the Local Government Prompt Payment Act. One-Third (1/3) of the professional/placement fee of$75,000.00 or $25,000.00 (30% of the estimated $250,000 base salary of position) is due upon completion of the following event/task: • Needs Assessment Interviews- as set forth in the Proposed Work Plan- created by the Consultant and Attached hereto as Exhibit A. One-Third (1/3) of the professional/placement fee or $25,000.00 is due upon completion of the following events/tasks: • Develop Position Description and Marketing Plan • Gather Organization Information One-Third (1/3) of the professional/placement fee or $25,000.00 is due upon completion upon each search, such as placement of a candidate, closure of the search by client for any reason, or the client places the search on hold for more than 60 days and unless the search is placed on hold for more than 60 days, upon completion of the following events/tasks: • Prospecting and Qualifying Candidates • Review Candidate List with Search Committee • Candidate Processing of Short List • Final Candidate Information Delivered • Video Interviews • Candidate Processing of Finalist • In-Person Interviews • Offer and Negotiation • Selection and Appointment Each invoice will be submitted with supporting documentation in a form acceptable to the Monroe County Clerk of Courts and Comptroller, based on generally accepted accounting principles, and such laws, rules and regulations as may govern the Clerk's disbursal of funds. If the CONSULTANT'S duties, obligations and responsibilities are materially changed by written amendment to this Agreement after execution of this Agreement, the Agreement shall be amended in a writing signed by both parties. SearchWide Global will coordinate dates and times. To help us prepare for the Needs Assessment interviews, we will ask that you provide us with: • List of key stakeholders and staff, including name, company, email, and phone number. Develop Position Description and Marketing Plan Week of April 29—May 10 After the Needs Assessment, we will create a detailed position description/organization overview (incorporating your job description) that will act as an important sales and marketing tool. This will require final approval by Diane Schmidt, Chair of the Search Committee. To help us create the most accurate position description,the following information is requested from you: • Way of life, selling points of your destination and points of interest. • Specific details about your organization, size, scope, budget, governing structure, etc. • Details about your venues, hotels and attractions. • 5-10 relevant pictures. • Any video links to highlight the destination,the product, or organization. Gather Organization Information Week of April 29—May 10 As we begin the search, we will proactively recruit qualified candidates who are curious about this position and will want to learn more.We will request the following types of information from your organization to give to qualified candidates so they can continue to consider this opportunity: • Bylaws • Annual Report • Budget • STR Report • Sales and Marketing plans • Employee Benefits and Cost • Organization Chart • Visitor information/Economic Impact • TAP and RevPar Reports Prospecting and Qualifying Candidates Week of May 13—June 21 SearchWide Global takes a targeted approach to marketing the position and sourcing candidates. Immediately after you approve the position description, we will post the position on our website, your industry website, and any other sources defined in the needs assessments. We use our strong relationships (inside and outside the industry), solid processes, robust database, and industry expertise to provide your organization with only the best and brightest candidates. Weekly updates will be provided on candidate activity. Review Candidate List with Search Committee Week of June 24 A summary of the top 8 to 10 candidates will be available to review on our secure web portal. We will review this list with the Search Committee to select the top 5 to 6 candidates for the Committee to interview. Search Committee members will need to be present for a public meeting. Candidate Processing of Short List Weeks of June 24—July 1 Once we have all agreed on the 5 to 6 candidates advancing to interviews, SearchWide Global will complete the following steps for each candidate: • Detailed reference checks.We will speak with one supervisor and one direct report for the first round of interviews. For the finalists, we will speak with an additional three to four references. • Have candidates complete the DiSC personality assessment. Final Candidate Information Delivered Week of July 8 To prepare for the interviews,the summary, resume, DiSC profile, and checked references for each candidate will be available to review on our secure web portal. Video Interviews Week of July 8 SearchWide Global will work with you in coordinating the video interviews. If five candidates will be interviewed, a suggested format might be as follows: Day 1: Day 2: 12:00pm—12:45pm Log-in/Pre-Meeting 8:00am—8:15am Log-in/Pre-Meeting 12:45pm—1:45pm Interview 1 8:15am—9:15am Interview 4 2:00pm —3:00pm Interview 2 9:30am—10:30am Interview 5 3:15pm —4:15pm Interview 3 *An in-person wrap up meeting will be scheduled to decide what candidates will advance to in-person interviews. Candidate Processing of Finalists Weeks ofJuly8—July22 Once we have all agreed on the candidates advancing to in-person interviews, SearchWide Global will complete the following steps for each candidate: • Detailed reference checks. We will speak with an additional three to four references. • Conduct a detailed background check that covers federal, county, and state criminal history, credit, and driving and education verification. In-Person Interviews Week of July 22 This will be for the finalist(s)and should include a meal with the Search Committee.This is also an appropriate time to include other stakeholders in the process. All candidate expenses (airfare, lodging, meals, mileage, ground transportation, baggage fees, etc.) will be reimbursed directly to the candidates from your organization. We would like your assistance to secure an interview location and establish billing. SearchWide Global will facilitate logistics and timing between the selected candidates and the Committee. Offer and Negotiation SearchWide Global has extensive experience handling the hiring, negotiating and turn down process, in a way that protects the reputation and integrity of everyone involved.
