ITEM BACKGROUND: The City of Key West requested the Monroe County Land Authority convey two lots currently leased to Key West for use as recreation. The two lots are already used for this purpose. Conveyance with a Land Use Restriction Agreement (LURA) will allow Key West to develop the property without Land Authority review which will streamline their improvements. Key West has a requirement that all acquisitions be voted on by Key West voters. The referendum should occur on November 5, 2024. The resolution is written contingent upon the approval of conveyance by the registered voters. When the deed is recorded, the existing lease with the City of Key West for the subject parcels will terminate due to the doctrine of merger and as such, MCLA does not need to cancel the lease. PREVIOUS RELEVANT BOCC ACTION: 06/10/1992 - Governing Board approved the lease agreement to lease the property to the City of Key West for 30 years, with an option to renew to the lease for an additional 30 years. WHEREAS, the City of Key West is in the process of planning comprehensive reconstruction/improvements to the Martin Luther King, Jr. Community Pool, and surrounding recreation areas, including Nelson English Park and Willie Ward Park, which includes two lots commonly known as 306 Catherine Street and 307 Louisa Street; and WHEREAS, the parcels at 306 Catherine Street and 307 Louisa Street are owned by the Monroe County Comprehensive Plan Land Authority and they are immediately adjacent to the City of Key West-owned MLK Jr. Community Pool, and they are currently leased to the City of Key West and used as a portion of Willie Ward Park, which is controlled and owned substantially by the City of Key West; and WHEREAS, the Key West Commission finds that it is essential for planning and financial purposes for the City of Key West to own and control all of property within the park/recreation land within the Catherine Street/Louisa Street/Thomas Street area, and requested conveyance of the parcels, via Resolution passed on XX/xx/XXXX, from Monroe County Comprehensive Plan Land Authority to the City; and WHEREAS, Key West is required to hold a referendum of the Key West voters prior to acquiring land; and WHEREAS, the conveyance of the parcels is subject to affirmative vote by the Key West voters; NOW, THEREFORE, BE IT RESOLVED BY THE MONROE COUNTY COMPREHENSIVE PLAN LAND AUTHORITY THAT: Section 1. The above recitals are true and correct and incorporated herein. Section 2. The Authority is hereby authorized to convey the Parcels to the City of Key West, subject to a Land Use Restriction Agreement (LURA) shown in Attachment "A" 1967 Page 1 of 3 restricting use of the Parcels to recreation, in accordance with Section 380.666(3)(a), Florida Statutes. On November 5, 2024,the voters of the City of key West approved the referendum to acquire the Subject Property D. The City has agreed that the Subject Property shall only be used consistent with Florida Statutes 380.0666 (3)(a) for public recreational facilities. Page 1 of 6 1971 NOW, THEREFORE, in consideration of the mutual covenants and undertakings set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, County and Land Authority do hereby contract and agree as follows: ARTICLE I COMPLIANCE WITH LAND AUTHORITY REQUIREMENTS In order to comply with the Land Authority's requirements pursuant to section 380.0663(1), et seq., Florida Statutes and Monroe County Ordinance No. 031-1986, City hereby covenants and agrees as follows: 1.01 The restrictions contained in this Article I shall not expire, shall run with the Subject Property in perpetuity and shall be binding upon City. 1.02 Use of the Subject Property shall be restricted to public recreational facilities. 1.03 City is responsible for ensuring compliance with the restrictions in this Article I and expressly agrees to furnish, upon the Land Authority's request, written certification thereof. ARTICLE II CONSIDERATION In addition to other purposes,the Land Authority originally purchased the Subject Property for the City's use as recreation and the City has agreed to maintain such recreation use in accordance with the terms set forth herein. In consideration of said Land Authority funding for the foregoing purposes, City and Land Authority have entered into this Agreement. ARTICLE III RELIANCE In performing its duties hereunder, the Land Authority may rely upon statements by City of the Subject Property believed to be genuine and to have been executed by the proper person or persons, and upon audits of the books and records of City pertaining to occupancy of the Subject Property. ARTICLE IV TERM This Agreement shall become effective upon its execution and delivery and shall remain in full force and effect without expiration,unless modified by mutual written consent of the parties. Page 2 of 6 1972 ARTICLE V ENFORCEMENT If City defaults in the performance of its obligations under this Agreement or breaches any material covenant, agreement or warranty of City set forth in this Agreement, and if such default remains uncured for a period of thirty (30) days after written notice thereof shall have been given by the Land Authority to City, then the Land Authority may take any action at law or in equity or otherwise to address said default(s). However, if the default stated in such notice can be corrected, but not within the thirty (30) day period, and if City adopts a plan to correct or cure the default and commences the correction within the thirty (30) day period (subject to any rights of tenants in possession of units under a valid lease agreement), and thereafter diligently pursues the same to completion within such extended period, the Land Authority shall not have waived its right of enforcement if the default remains uncured after the expiration of the extended cure period. ARTICLE VI RECORDING AND FILING; COVENANTS TO RUN WITH THE LAND 6.01. Upon execution City shall cause this Agreement and all amendments and supplements hereto to be recorded and filed in the official public records of Monroe County and shall pay all fees and charges incurred in connection therewith. 6.02 This Agreement and the covenants contained herein shall run with the land and shall bind, and the benefits shall inure to, respectively, City and Land Authority and their respective successors and assigns during the term of this Agreement. ARTICLE VII GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, with respect to both substantive rights and with respect to procedures and remedies. ARTICLE VIII NOTICE AND EFFECT All notices and other communications to be made or permitted to be made hereunder shall be in writing and shall be delivered to the addresses shown below or to such other addresses that the parties may provide to one another in accordance herewith. Such notices and other communications shall be given by any of the following means: (a)personal service or(b)national express air courier, provided such courier maintains written verification of actual delivery. Any notice or other communication given by the means described in subsection (a) or (b) above shall be deemed effective upon the date of receipt or the date of refusal to accept delivery by the parry to whom such notice or other communication has been sent. Sponsor: Commissioner Clayton Lopez,District VI Introduction This Resolution is being brought to the City Commission for consideration to request that the Monroe County Comprehensive Plan Land Authority (Land Authority) transfer ownership of 2 parcels of land at 306 Catherine St. and 307 Louisa St;approximately 3,700 and 4,000 square feet each. Bac ground The two parcels in question are depicted in the attachments to the accompanying Resolution to be considered at the May 9,2024 City Commission meeting.The two parcels are immediately to the east and adjacent to the MLK Pool, and visually considered a part of Willie Ward Park. Commissioner Lopez has had recent conversations with Monroe County officials,where a desire to acquire two parcels from the Land Authority was discussed. Section 1.08 of the city charter requires approval by the voters to acquire any real property by any means. If this Resolution is approved,it will be considered by the Land Authority at their May 15,2024 meeting. There will be first reading of a companion ordinance to this Resolution at the May 9, 2024 City Commission meeting as well,optimistically contemplating approval of the Resolution by both the City Commission and the Land Authority. Assuming both Resolutions pass and the Ordinance passes second reading in June, we will meet publishing deadlines to have this considered by the voters at the November 5, 2024 general election. The parcels are in the HHDR zoning district (Historic High Density Residential), where parks are conditional uses. If the conveyance is approved, it will carry a deed restriction limiting use of the parcels to parks and/or recreation in perpetuity.There are no plans to use these parcels for anything but parks and/or recreation.Legal consideration of$10.00 for each parcel will be paid. Procurement This measure does not have any direct impact on procurement. Recommendation I recommend approval of this Resolution.If approved,it will be considered by the Land Authority on May 15, 2025.
