WHEREAS, the County's Risk Management Program desires to procure appraisal services for County properties; and WHEREAS, on April 27, 2023, CBIZ entered into a Professional Services Contract with the City of Abilene Texas, which contract was awarded after the City accepted the proposal of CBIZ in response to a Request for Proposal issued by the City for the same type of real estate appraisal services now desired by the County; and WHEREAS, the County and CBIZ have agreed that the County may piggyback on the City of Abilene Professoinal Services Agreement; and NOW THEREFORE,the Parties agree as follows. 1. The terms and conditions set forth in the Professional Services Contract by and between CBIZ and the City of Abilene Texas("Abilene Contract"), a copy of which is attached hereto as Exhibit A, shall apply,with the exception of the terms and conditions listed below. In the event of a conflict between the Abilene Contract and this Agreement, and terms and conditions in this Agreement shall control. 2. Scope of Services. The scope of services to be delivered by CBIZ will be as outlined in the Proposal for Property Insurance Valuation Services, a copy of which is attached as Exhibit B hereto, including Appendix B,the schedule of properties to be valued. 3. Compensation and Payment. Compensation is as shown in Exhibit B. The dollar amount shall not exceed $100,000.00. Payment will be made in accordance with the Local Government Prompt Payment Act, 218.70, Florida Statutes. Payments due and unpaid under the Contract shall bear interest pursuant to the Local Government Prompt Payment Act. CBIZ shall submit to the County invoices with supporting documentation that are acceptable to the Monroe County Clerk of Court and Comptroller (Clerk). Acceptability to the Clerk is based on generally accepted accounting principles and such laws, rules, and regulations as may govern the Clerk's disbursal of funds. Payment will be made by check, unless otherwise agreed to the Clerk. 4. Term: The term of this Agreement shall begin following execution of this Agreement, and shall continue until delivery of the deliverables outlined in Exhibit B. If the County utilizes the annual update service, the term of the Agreement shall continue until termination of this Agreement in accordance with the City of Abilene Contract, or until the maximum dollar amount of this Agreement as outlined in paragraph (3) above is reached, whichever comes first. 1 5. The County's performance and obligation to pay under any multi-year invoice or quote is contingent upon an annual appropriation by the Monroe County Board of County Commissioners. 6. No Taxation. The County is a political subdivision of the State of Florida and is exempt from sales and use taxes. The County can provide its Certification of Exemption upon request. 7. Indemnification. Section VIII (Indemnity) in the Abilene Contract is amended to add the following sentences: The County's indemnification is limited and subject to the sovereign immunity provisions of Sec. 768.28, Florida Statutes. Nothing contained in any agreement, quote or invoice shall be deemed a waiver of immunity, nor shall any agreement entered into by the County be required to contain any provision for waiver. 8. Maintenance of Records: CBIZ shall maintain all books, records, and documents directly pertinent to performance under this Agreement in accordance with generally accepted accounting principles consistently applied. Each party to this Agreement or their authorized representatives, shall have reasonable and timely access to such records of each other party to this Agreement for public records purposes during the term of the Agreement and for five years following the termination of this Agreement. If an auditor employed by the County or the determines that monies paid to CBIZ pursuant to this Agreement were spent for purposes not authorized by this Agreement, CBIZ shall repay the monies together with interest calculated pursuant to Sec. 55.03; FS, running from the date the monies were paid to Contractor. 9. Governing Law, Venue, Interpretation, Costs, and Fees: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida applicable to contracts made and to be performed entirely in the State. In the event that any cause of action or administrative proceeding is instituted for the enforcement or interpretation of this Agreement, the County and Contractor agree that venue shall lie in the appropriate court or before the appropriate administrative body in Monroe County, Florida. This Agreement shall not be subject to arbitration. 10. Attorney's Fees and Costs: The Parties agree that in the event any cause of action or administrative proceeding is initiated or defended by any party relative to the enforcement or interpretation of this Agreement, the prevailing party shall be entitled to reasonable attorney's fees and court costs, as an award against the non-prevailing party, and shall include attorney's fees and courts costs in appellate proceedings. Mediation proceedings initiated and conducted pursuant to this Agreement shall be in accordance with the Florida Rules of Civil Procedure and usual and customary procedures required by the circuit court of Monroe County. 11. Nondiscrimination: The Parties agree that there will be no discrimination against any person, and it is expressly understood that upon a determination by a court of competent jurisdiction that discrimination has occurred, this Agreement automatically terminates without any further action on the part of any party, effective the date of the court order. The Parties agree to comply with all Federal and Florida statutes, and all local ordinances, as applicable, relating to nondiscrimination. These include but are not limited to: 1) Title VII of the Civil Rights Act of 1964 (PL 88-352) which prohibits discrimination on the basis of race, color or national origin; 2) Title IX of the Education Amendment of 1972, as amended (20 USC ss.1681-1683, 2 and 1685-1686), which prohibits discrimination on the basis of sex; 3) Section 504 of the Rehabilitation Act of 1973, as amended (20 USC s. 794), which prohibits discrimination on the basis of disabilities; 4) The Age Discrimination Act of 1975, as amended (42 USC ss. 6101-6107) which prohibits discrimination on the basis of age; 5) The Drug Abuse Office and Treatment Act of 1972 (PL 92-255), as amended, relating to nondiscrimination on the basis of drug abuse; 6) The Comprehensive Alcohol Abuse and Alcoholism Prevention, Treatment and Rehabilitation Act of 1970 (PL 91-616), as amended, relating to nondiscrimination on the basis of alcohol abuse or alcoholism; 7) The Public Health Service Act of 1912, ss. 523 and 527 (42 USC ss. 690dd-3 and 290ee-3), as amended, relating to confidentiality of alcohol and drug abuse patient records; 8) Title VIII of the Civil Rights Act of 1968 (42 USC s. 3601 et seq.), as amended, relating to nondiscrimination in the sale, rental or financing of housing; 9) The Americans with Disabilities Act of 1990 (42 USC s. 12101 Note), as maybe amended from time to time, relating to nondiscrimination on the basis of disability; 10) Monroe County Code Chapter 14, Article II, which prohibits discrimination on the basis of race, color, sex, religion, national origin, ancestry, sexual orientation, gender identity or expression, familial status or age; 11) Any other nondiscrimination provisions in any Federal or state statutes which may apply to the parties to, or the subject matter of,this Agreement. 12. Public Records Compliance. CBIZ must comply with Florida public records laws, including but not limited to Chapter 119, Florida Statutes and Section 24 of article I of the Constitution of Florida. The County and Contractor shall allow and permit reasonable access to, and inspection of, all documents, records, papers, letters or other "public record" materials in its possession or under its control subject to the provisions of Chapter 119, Florida Statutes, and made or received by the County and Contractor in conjunction with this contract and related to contract performance. The County shall have the right to unilaterally cancel this contract upon violation of this provision by CBIZ. Failure of CBIZ to abide by the terms of this provision shall be deemed a material breach of this contract and the County may enforce the terms of this provision in the form of a court proceeding and shall, as a prevailing party, be entitled to reimbursement of all attorney's fees and costs associated with that proceeding. This provision shall survive any termination or expiration of the contract. CBIZ is encouraged to consult with its advisors about Florida Public Records Law in order to comply with this provision. 13. Non-Waiver of Immunity: Notwithstanding the provisions of Sec. 768.28, Florida Statutes, the participation of the County and the CBIZ in this Addendum or any agreement and the acquisition of any commercial liability insurance coverage, self-insurance coverage, or local government liability insurance pool coverage shall not be deemed a waiver of immunity to the extent of liability coverage, nor shall any contract entered into by the County be required to contain any provision for waiver. 14. Non-Reliance by Non-Parties: No person or entity shall be entitled to rely upon the terms, or any of them, of this Addendum/Agreement to enforce or attempt to enforce any third-party claim or entitlement to or benefit of any service or program contemplated hereunder, and the County and the CBIZ agree that neither the County nor CBIZ or any agent, officer, or employee of either shall have the authority to inform, counsel, or otherwise indicate that any particular individual or group of individuals, entity or entities, have entitlements or benefits 3 under this Agreement separate and apart, inferior to, or superior to the community in general or for the purposes contemplated in this Addendum/Agreement. 15. No Personal Liability: No covenant or agreement contained herein shall be deemed to be a covenant or agreement of any member, officer, agent or employee of Monroe County in his or her individual capacity, and no member, officer, agent or employee of Monroe County shall be liable personally on this Agreement or be subject to any personal liability or accountability by reason of the execution of this Agreement. 16. E-Verify System - In accordance with F.S. 448.095, Any Contractor and any subcontractor shall register with and shall utilize the U.S. Department of Homeland Security's E-Verify system to verify the work authorization status of all new employees hired by the Contractor during the term of the Contract and shall expressly require any subcontractors performing work or providing services pursuant to the Contract to likewise utilize the U.S. Department of Homeland Security's E-Verify system to verify the work authorization status of all new employees hired by the subcontractor during the Contract term. Any subcontractor shall provide an affidavit stating that the subcontractor does not employ, contract with, or subconstruct with an unauthorized alien. CBIZ shall comply with and be subject to the provisions of F.S. 448.095 17. Public Entity Crime Statement (required for all procurement documents and contracts by F.S. 287.133 and Monroe County Purchasing Policy): A person or affiliate who has been placed on the convicted vendor list following a conviction for public entity crime may not submit a bid on a contract to provide any goods or services to a public entity, may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids on leases of real property to public entity, may not be awarded or perform work as a CONTRACTOR, supplier, subcontractor, or CONTRACTOR under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017, for CATEGORY TWO for a period of 36 months from the date of being placed on the convicted vendor list. As used herein, the term "convicted vendor list" means a list maintained by the Florida Department of Management Services, as defined in F.S. 287.133. By entering into this Agreement, the vendor acknowledges that it has read the above and states that neither the vendor nor any affiliate has been placed on the convicted vendor list within the past thirty-six(36) months. 18. Ethics Clause (required for all contracts by Monroe County Ordinance No. 10-1990): By entering in this Agreement, the vendor warrants that he/it has not employed, retained or otherwise had act on his/her behalf any former County officer or employee in violation of Section 2 of Ordinance No. 010-1990 or any County officer or employee in violation of Section 3 of Ordinance No. 010-1990. For breach or violation of this provision the County may, in its discretion, terminate this Agreement without liability and may also, in its discretion, deduct from the Agreement or purchase price, or otherwise recover, the full amount of any fee, commission, percentage, gift, or consideration paid to the former County officer or employee. 19. Scrutinized companies (F.S. 287.135): 4 a. (Applies to contracts > $1 million): This contract is terminable at the option of the awarding body if the vendor is found to have submitted a false certification as defined below, has been placed on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List as those terms are defined in F.S. 287.135, or been engaged in business operations in Cuba or Syria. i. False certification: At the time a company submits a bid or proposal for a contract or before the company enters into or renews a contract with an agency or local governmental entity for goods or services of$1 million or more, the company must certify that the company is not on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List and that it does not have business operations in Cuba or Syria. At the time a company submits a bid or proposal for a contract or before the company enters into or renews a contract with an agency or local governmental entity for goods or services of any amount, the company must certify that the company is not participating in a boycott of Israel. By entering into this agreement, the vendor certifies that the company complies with these requirements. E-verify requirement(required by F.S. 448.095): Beginning January 1, 2021, every public employer, contractor, and subcontractor shall register with and use the E-Verify system to verify the work authorization status of all newly hired employees. By entering into this Agreement,the vendor certifies that it registers with and uses the E-Verify system. If the contractor enters into a contract with a subcontractor,the subcontractor must provide the contractor with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. The contractor shall maintain a copy of such affidavit for the duration of the contract. 21. Non-collusion Affidavit. CBIZ by signing this Agreement, according to law on my oath, and under penalty of perjury, depose and say that the person signing on behalf of the firm of CBIZ,the bidder/proposer making the Proposal/quote for the project or goods described in the Scope of Work/Invoice/Quote and that I executed the said proposal/quote with full authority to do so; the prices in this bid/proposal/quote have been arrived at independently without collusion, consultation, communication or agreement for the purpose of restricting competition, as to any matter relating to such prices with any other bidder or with any competitor; unless otherwise required by law, the prices which have been quoted in this bid/proposal/quote have not been knowingly disclosed by the bidder/proposer and will not knowingly be disclosed by the bidder/proposer prior to bid opening (if a bid opening is being held for the procurement of this project, goods or services), directly or indirectly,to any other bidder/proposer or to any competitor; and no attempt has been made or will be made by the bidder/proposer to induce any other person, partnership or corporation to submit, or not to 5 submit, a bid/proposal/quote for the purpose of restricting competition; the statements contained in this affidavit are true and correct, and made with full knowledge that Monroe County relies upon the truth of the statements contained in this affidavit in awarding contracts for said project. 22. Insurance: CBIZ is required to provide the following insurance coverages: Professional liability insurance. The minimum limits of liability are: $300,000 per Occurrence/$500,000 Aggregate Prior to or at the time of execution of this Agreement, the vendor shall provide a certificate of insurance evidencing current coverage in this Amount. The certificate shall name Monroe County as an additional insurance on all liability coverages, with the exception of professional liability insurance (malpractice) and workers' compensation. Thereafter, the vendor shall provide updated certificates whenever the coverage is renewed. A signed certificate of insurance shall provide evidence of all policies and coverage. CBIZ will notify the County in the event that a change in insurance providers occurs during the course of the appraisal assignment. 23. Unless otherwise prohibited by law or applicable professional standard, Client agrees that CBIZ, any entity related to it and their respective personnel, current or former, shall not be liable to Client for any claims, liabilities, or expenses relating to this engagement for an aggregate amount in excess of the fees paid by Client to CBIZ pursuant to this engagement, except to the extent finally judicially determined to have resulted from the bad faith, or intentional misconduct of CBIZ. Unless otherwise prohibited by law or applicable professional standard, in no event shall CBIZ, any entity related to it or their respective personnel, current or former, be liable for consequential, special, indirect, incidental, punitive, or exemplary losses or damages relating to this engagement. This limitation on liability provision shall apply to the fullest extent of the law, whether in contract, statute, tort (such as negligence), professional standard, or otherwise. Notwithstanding a shorter statute of limitation period, you agree that any claim you file based on this engagement must be filed within twenty-four(24) months after performance of a specific service. 24. The report,the final estimate of value, and the prospective financial analyses (collectively, as used in this paragraph,the"CBIZ Work Product") included therein are intended solely for the information of the person or persons to whom they are addressed and solely for the purposes stated; they should not be relied upon for any other purpose, and no party other than the Company may rely on them for any purpose whatsoever. Neither the valuation report, its contents nor any reference to the appraiser or CBIZ may be referred to or quoted in any registration statement, prospectus, offering memorandum, sales brochure, other appraisal, loan or other agreement or document given to third parties. Notwithstanding the foregoing, if the Company desires to distribute or use the CBIZ Work Product in any way not expressly contemplated by these Terms and Conditions or the Agreement, including, without limitation and by way of example, reference to CBIZ by name 6 or inclusion of any portion of the CBIZ Work Product in any regulatory filing, CBIZ, at CBIZ's sole discretion, may permit Company to do so for a fee commensurate to the additional risk associated with such distribution or use. The City is engaged in property appraisal services and desires to engage the services of Professional, as an independent contractor and not as an employee, to assist in the project and to render his or her services on the terms and conditions provided in this Contract. The Professional is a[n] qualified senior designated appraiser (ASA) with the American Society Appraisers who is in good standing and maintains the requirements of the continuing education program of the American Society of Appraisers properly certified to practice in the State of Texas. Professional desires to render professional services as further described in Attachment A to the City on the terms and conditions provided in this Contract. The Consultant must perform services with the professional skill and care ordinarily provided by competent professionals practicing in the same or similar locality and under the same or similar circumstances and professional license, and as expeditiously as is prudent considering the ordinary professional skill and care of a competent professional. THEREFORE, the City engages the services of the Professional. In consideration of the mutual promises contained in this Contract,the parties agree as follows: I. TERM In consideration of the compensation stated in Paragraph 11 and further described in Attachment B., the Professional must provide all services as described in Attachment A, which is incorporated by reference for all purposes. The City and the Professional agree to engage in services for three (3) years effective the date of this contract with two (2) one-year optional renewals for years four(4)and five(5). Such options to renew shall be in the sole discretion of the City. 11. PAYMENT For the services to be rendered under this Contract, the Professional will be entitled to a Page 1 of 39 Revised July 2019 fee as described in Attachment B, which is incorporated by reference for all purposes. ASSIGNMENT The Professional may not assign in whole or in part any rights, duties, obligations or interest arising from this agreement without the City's prior written consent. In the event of an assignment by the Consultant to which the City has consented, the assignee or assignee's legal representative must agree in writing with the City to personally assume, perform,and be bound by all the provisions of this Contract. All of the terms and provisions of this Contract are binding on Contractor's successors and assigns and may be enforced by the City against such successors and assigns. IV. STATUS OF PROFESSIONAL The Professional is an Independent Contractor. Professional and Consultant's employees are not the agents, servants or employees of the City. V. AMENDMENT OR MODIFICATION This contract, including attachments, constitutes the entire agreement of the parties. Any statements, promises, or agreements made by either party or its agent, which are not contained in this contract are of no effect.This contract may not be amended or modified except by both parties' written consent. This Contract supersedes any prior understandings or written or oral agreements between the parties respecting the subject matter of this Contract. VI. OWNERSHIP OF DOCUMENTS AND MATERIALS Ownership of Documents and Materials is according to Attachment C. VII. NONDISCLOSURE The Professional may not show to any person or entity any documents, reports, plans, programs, reports, drawings, or any other materials which Professional prepares or acquires in performing this contract, including any duplicate copies kept by Professional. The Professional may not disclose to any person or entity any information regarding the City's activities. The City may, however, specifically authorize a limited disclosure at its discretion. VIII. INDEMNITY A. Definitions For the purpose of this section the following definitions apply: "City" shall mean all officers, agents and employees of the City of Abilene. Page 3 of 39 Revised July 2019 "Claims"shall mean all third-party claims, liens, suits,demands,proceedings and causes of action brought for damages relating to the performance of this contract. "Damages" shall mean each and every injury, wound, hurt, harm, fee, damage, cost, expense, outlay, expenditure or loss of any and every nature relating to the performance of this contract, including but not limited to: (i) injury or damage to any property or right (ii) injury,damage, or death to any person or entity (iii) reasonable attorneys fees,witness fees, expert witness fees and expenses,and (iv) all other relevant costs and expenses of litigation "Premise Defects"shall mean any defect, real, which may hereafter arise upon the premises from the negligence or willful misconduct of the Professional during the Contract term. "Professional" includes the corporation,company,partnership,or other entity,its owners,officers, and/or partners, and their agents, successors,and assigns. "Professional's employees" shall mean any employees, officers, agents, subcontractors, licensee and invitees of Professional. "Proven" shall mean that a court of competent jurisdiction has entered a final unappealable judgment on a claim adjudging an entity or person liable for a monetary judgment. "Sole negligence" shall mean negligence of a party that is unmixed with the fault of any other person or entity. B. Indemnity The Professional must indemnify, hold harmless, and defend the City from third-party claims arising out of the Professional's negligence or willful misconduct in connection with this Contract. The Professional is an independent contractor and is not,with respect to its acts or omissions, an agent or employee of the City. Professional must at all times exercise reasonable precautions on behalf of, and be solely responsible for,the safety of Professional's employees while in the vicinity where the work is being done The City is not liable or responsible for the negligence or intentional acts or omissions of the Professional or Professional's employees. Page 4 of 39 Revised July 2019 The City assumes no responsibility or liability for damages which are directly or indirectly attributable to premise defects only to the extent they arise from the negligence or willful misconduct of the Professional. Responsibility for all such defects is expressly assumed by the Professional only to the extent they arise from the negligence or willful misconduct of the Professional. The City and Professional must provide the other prompt and timely notice of any covered event which in any way affects or might affect the Professional or City.The City has the right to compromise and defend the same to the extent of its own interests. PROFESSIONAL WILL NOT BE OBLIGATED TO INDEMNIFY THE CITY TO THE EXTENT THAT THE LOSS ARISES FROM THE NEGLIGENCE, WILLFULL MISCONDUCT, OR FAULT OF THE CITY. THE CITY IN NO WAY WAIVES ANY DEFENSE OTHERWISE AVAILABLE TO IT IN ANY SUCH EVENT,INCLUDING THE RIGHT TO ASSERT COMPARATIVE FAULT OF PROFESSIONAL. IX. INSURANCE A. GENERAL REQUIREMENTS The Professional agrees to maintain the type and amounts of insurance required in this contract throughout the term of the agreement. The Professional is solely responsible for providing the required certificates of insurance. The City may terminate this agreement if the Professional fails to timely comply with the insurance requirements. The required insurance must be issued by a company or companies of sound and adequate financial responsibility and authorized to do business in the State of Texas. All policies are subject to examination and approval by the City for their adequacy as to content, form of protection, and providing company. The required insurance naming the City as additional insured must be primary insurance and not contributing with any other insurance available to City, under any third party liability policy. Before the City executes the notice to proceed with any work under this agreement, the Professional must provide the City Secretary with either an original certificate of insurance or a certified copy of the insurance policy evidencing the required insurance. Thereafter, the Professional must furnish new certificates or copies of the policy before the expiration date. Texas Labor Code Section 406.096 requires a city to ensure that contractors carry workers' compensation for each employee when the city is a party to any"building or construction contract." XI. TERMINATION This contract may be terminated at any time upon 30 days written notice by City to Professional. In the event of termination, Professional will be compensated for work satisfactorily performed before the termination date. If,through any cause, the Professional fails to fulfill his obligations under this contract, or if the Professional violates any of the agreements of this contract,the City has the right to terminate the contract by giving five days written notice to the Professional. The Professional will be compensated for work satisfactorily performed before the termination date. In the event of the termination with the Professional, the Professional agrees to deliver within 30 days of notice of termination to the City via editable electronic delivery a copy of it's work product at that time. The Professional, however, is not relieved of liability to the City for damages sustained by the City because of any breach of contract by Professional. The City may withhold any payments to Professional for the purpose of setoff until the exact amount of damages due the City from the Professional is determined and paid. XII. Buildings& Structures: CVG will complete a physical inspection and valuation of buildings identified on the property addendum in attachment H. During the inspections, Construction Occupancy Protection Exposure("COPE")data will be observed and collected. Square footage will be calculated using a combination of physically measuring the buildings, conducting take- offs of blueprints, satellite imagery and information made available by the City. Digital photos will be taken of each structure inspected and incorporated into a report and work files. Descriptions shall include gallons of processed water per day. Since these types of properties typically are aggregated in value, each structure will be inspected separately to develop a representative property schedule and associated insurable value. All fixed equipment(pumps, motors, control panels, etc.) in these buildings/structures will be incorporated into the aggregate building value for each inspected structure. Contents of Buildings—Modeling Approach: CVG will apply contents valuation models based on building occupancy. CVG will also perform a limited walk-through of each facility to assist in adjusting our models, as applicable. CVG will summarize contents values on a building-by- building basis. Insurable Site Improvements as listed on the statement of value: Above-ground improvements associated with inspected structures(flagpoles,fencing,outdoor lighting,etc.)will be recorded and valued in aggregate by site. CVG will also inspect and value any buildings and structures meeting the inspection criteria that have a permanent foundation and a roof but are not currently individually listed on the attached property addendum. Tangible assets not identified above will be excluded from the engagement. CVG will provide a secure, web-based reporting system to assist with managing electronic statements of values. The system allows the ability to store and manage values and underwriting data. CVG will complete all onsite appraisal services on or before September 30,2023. No mechanic, contractor, subcontractor, materialman or other person can or will contract for or in any other manner have or acquire any lien upon any building or work covered by the contract or the land upon which the same is situated. Before final acceptance of this project by the City, the Professional shall execute and provide City with an Affidavit that all bills for labor, materials and incidentals incurred by subprofessionals, materialmen, mechanics and suppliers under this agreement have been paid in full, and that there are no claims pending of which Professional has been notified. Page 15 of 39 Revised July 2019 ATTACHMENT D STATE MANDATED WORKERS' COMPENSATION INSURANCE LANGUAGE THIS ATTACHMENT IS ONLY APPLICABLE IF WORKERS' COMPENSATION COVERAGE IS PROVIDED a. Definitions Certificate of coverage ("certificate") - a copy of a certificate of insurance, a certificate of authority to self-insure issued by the commission, or a coverage agreement (TWCC-81, TWCC- 82,TWCC-83,orTWCC-84),showing statutory workers'compensation insurance coverage for the person's or entity's employees providing services on a project,for the duration of the project. Duration of the project-includes the time from the beginning of the work on the project until the Professional's/person's work on the project has been completed and accepted by the City. Persons providing services on the project("subcontractors" in 406.096)-includes all persons or entities performing all or part of the services the Professional has undertaken to perform on the project, regardless of whether that person contracted directly with the Professional and regardless of whether that person has employees. This includes, without limitation, independent contractors, subprofessionals, leasing companies, motor carriers, owner-operators, employees of any such entity, or employees of any entity which furnishes persons to provide services on the project. "Services" include, without limitations, providing, hauling, or delivering equipment or materials, or providing labor,transportation,or other service related to a project. "Services" does not include activities unrelated to the project, such as food/beverage vendors, office supply deliveries, and delivery of portable toilets. b. The Professional shall provide coverage, based on proper reporting of classification codes and payroll amounts and filing of any coverage agreements, which meets the statutory requirements of Texas Labor Code, Section 401.011(44) for all employees of the Professional providing services on the project,for the duration of the project. C. The Professional must provide a certificate of coverage to the City prior to being awarded the contract. d. If the coverage period shown on the Professional's current certificate of coverage ends during the duration of the project, the Professional must, prior to the end of the coverage period, file a new certificate of coverage with the City showing that coverage has been extended. e. Professional shall obtain from each person providing services on a project and provide to City: (1) a certificate of coverage, prior to that person beginning work on the project, so the City will have on file certificates of coverage showing coverage for all persons providing services on the project;and Page 16 of 39 Revised July 2019 (2) no later than seven (7) days after receipt by the Professional, a new certificate of coverage showing extension of coverage, if the coverage period shown on the current certificate of coverage ends during the duration of the project. f. The Professional shall retain all required certificates of coverage for the duration of the project and for one(1)year thereafter. g. The Professional shall notify the City in writing by certified mail or personal delivery, within ten (10)days after the Professional knew or should have known,of any change that materially affects the provision of coverage of any person providing services on the project. h. The Professional shall post on each project site a notice, in the text, form and manner prescribed by the Texas Workers'Compensation Commission,informing all persons providing services on the project that they are required to be covered, and stating how a person may verify coverage and report lack of coverage. i. Our proposal has been prepared based on our understanding of your needs and our experience in assisting similar entities for similar purposes. Purpose of Engagement It is our understanding that this analysis will be used by Management of the County bo address certain property insurance valuation and underwriting data collection reporting requirements for Replacement Cost New. The effective date of the valuation will be the last day of our on-site inspection. Scope & Methodology The scope of the proposed consulting services is limited to the following tangible assets outlined in this proposal. � Buildings&Structures: CVG will complete a physical inspection and valuation of buildings and structures identified on the attached property addendum. During the inspections, Construction Occupancy Protection Exposure(COPE)data will be observed and collected. Square footage will be calculated using a combination of physically measuring, conducting take-offs of blueprints or information made available by the County. Digital photos will be taken of each structure inspected and incorporated into our reports and work files. If authorized on the fee page, CVG will also inspect and value any buildings and structures meeting the inspection criteria that have a permanent foundation and a roof and are not currently individually listed on the attached property addendum. Since these types of properties typically are aggregated in value, we believe that it ie vital to list and inspect each structure separately to develop a representative property schedule and associated insurable value. We will invoice at our quoted per-building rate for each structure.All fixed equipment(pumps, mcdons, control pano|o, etc.) in these buildings/structures will be incorporated into the aggregate building value for each inspected structure. We will also inspect and value all pump stations, lift stations, water wells,water storage tanks, and electrical substations regardless of value. � Contents—Modeling Approach: CVG will apply contents valuation models based on building occupancy. CVG will also perform a limited walk-through of each facility to assist in adjusting our models, as applicable. We will summarize contents values on a building-by-building basis. = Insurable Site Improvements:Above-ground improvements associated with inspected structures (flagpoles,fencing, outdoor lighting, etc.)will be recorded and valued in aggregate by site. Our reports will be available in approximately GO'ROdays from the completion ofthe engagement fieldwork. Standards of Value Replacement Cost New, as applicable to insurance valuatione, is the cost required to produce o property of like kind and mmteho|o ot one time in accordance with current market prices for materials, labor and manufactured equipment, contractors' overhead, profit and fees, but without provisions for overtime or bonuses for labor and premiums for materials.We will not take into consideration compliance with state or local ordinances or costs associated with demolition of property nr the removal ofdebris. Partial losses may result in higher replacement costs as partial losses often require a substantial amount of repair in conjunction with the replacement process. VALUATION GROUP Monroe County, Florida. Proposal for Services(March 1,2024 After gathering the applicable building data, we will rely on the direct cost approach to estimate the insurable value of the buildings. Our valuation will utilize a variety of sources that include the use of proprietary and third- party software, proprietary databases, engineering manuals,technical pricing subscriptions, discussions with contractors and various publications. These include Marshall&Swift/Boeckh, Design Cost Data, Engineering News-Record, and R.S. Means.As needed, we also consult with local and regional architectural and engineering firms.This process allows CVG to make regional adjustments to costs that may not be readily available through national publications and estimating systems. Deliverables Reports will be provided in an electronic(.PDF)format and delivered via e-mail to the County representative as designated on the authorization page of this proposal. Final reports will include the following and will be expressly subject to the Terms and Conditions found within this proposal: • Transmittal Letter summarizing the scope, methodology and valuation conclusions • Valuation Comparison Report comparing the County's reported values with CVG appraised values • Building Summary Report showing all inspected structures by location • Building Detail Report highlighting all data collected with digital photo of each structure inspected • Standard Master Data File(Excel format)containing the information collected for all inspected buildings and structures ServicesOptional Annual Updating Service CVG can perform an annual update of the County's insurable values to assist the County with its annual property renewal submissions.Annually,the County will be required to provide CVG with an electronic file(preferably in an Excel format)of its most current Statement of Values. CVG will develop inflation factors, considering location, increases/decreases in the cost of materials, labor and other factors related to building construction and apply the factors to the reported insurable values. Upon completion of the updating (trending) process, CVG will provide the County with an updated data file reflecting the new values for its property portfolio. The timing for the completion of annual data file development will be coordinated to coincide with the County's annual property renewal schedule. Supplemental Underwriting Data Collection Service In today's property insurance marketplace,there is often a need for supplemental (or secondary) property underwriting data. Invoices not paid within 45 days shall be considered delinquent. Disputes pertaining to billing matters must be put in writing within 20 days upon the receipt of the invoice.
