C41 Agreement for the purchase and distribution of approximately 34,000 96-gallon
garbage carts with lids for Monroe County residential units, with Wastequip and
ContainerPros, a Wastequip company, using competitively bid pricing under Sourcewell
Contract 40441521-TOT, for a total cost of$2,210,040.00. This solid waste initiative to
implement 96-gallon garbage carts will support the need for all garbage cans to have secure lids
and not tip over and will have a positive impact on the health and safety of the residents, wildlife,
and nearshore waters, by reducing neighborhood pollution.

Container Assembly and Delivery Program
Monroe County, FL
As part of its waste collection services, Monroe County, FL("The County') needs unloading, assembly,
and delivery of approximately 34,000 containers throughout homes within Monroe County, FL. New
containers will be comprised of 96-gallon Toter EVR II Universal/Nestable trash carts with pal nut
wheels.This has prompted the need for certain waste services, as outlined below. ContainerPros, LLC
("ContainerPros" or"CP") provides these professional waste services.
,0, Residential Cart Receiving,Assembly, and Delivery
ContainerPros will provide crews and equipment to receive approximately 34,000 carts; carts
will be unloaded and staged.
o ContainerPros will provide The County with a copy of all BOLs and a totals spreadsheet
detailing all carts received.
Approximately 34,000 carts will be assembled and delivered to homes over a period of
approximately 26-30 working days beginning in or around September of 2024. Carts will be
delivered curbside. Every home within the county will receive one (1)trash cart. Literature will
be attached by tucking a flyer, provided by The County, in between the cart body and the cart lid
during delivery. Carts leftover at the project's end will remain unassembled and stacked at the
staging yards for storage. A day rate for ancillary services such as work orders, hot tickets, and
cart transporting has been provided should The Town have a need for services outside of this
project's main scope.
The County will provide a suitable work area(s)for staging (large, paved, and secure area) within
the service area, that will adequately store the cart order during the project timeframe. The
staging yard locations are to be determined at this time. It is expected that the County will
provide approximately three (3) staging yard locations spread throughout the Florida Keys. If the
staging yard is not paved, leveled evenly or within the County limits, additional charges may
apply.
Distribution schedule is based on up to 12 hours per day, Monday through Saturday, excluding
Holidays, until all deliveries are completed. On-street operating window hours will be limited to
7AM to 713M unless otherwise approved by The County. Yard operating window hours will be
limited to 6AM to 713M unless otherwise approved by The County.
The County will provide copies of concise delivery/route maps which must be provided at least
four weeks prior to the project start up. These maps must include the precise delivery area(s).
Copies of concise household delivery address lists will also be provided in .xls format and
contain:
o House Number
o Street Name
o City, State, and Zip Code
o Route number
o Service Day
o Gate Codes
o Cart sizes and types and quantities per address listed
o Sequencing of all stops, if available
o Driver Notes, if available
If an account is NOT on the master list provided, CP crews will NOT drop carts, unless directed
otherwise by The County.
The County will provide monitoring services to observe and verify distribution of the carts and
also to respond to inquiries from ContainerPros and the public.
The County may periodically provide CP with 'clean-up' lists (created by The County's Service
Department)for missed deliveries, if any. If CP is responsible for the missed deliveries, as
outlined within this agreement, CP will complete the 'clean-up' deliveries as quickly as practical
to close out the 'clean-up' lists, as received, usually within one day. If missed deliveries were for
reasons outside of CP's control, as outlined within this agreement, The County will be
responsible for completing these deliveries, but may contract CP on terms set forth herein.
ContainerPros will provide at the project's end a detailed delivery report showing the total
number of carts assembled and delivered, as well as exceptions, including vacancies, and
customer refusals. Delivery data will include the cart type, cart size, and serial number
recording information of the cart delivered to each address.
ContainerPros IS NOT responsible for any missed deliveries caused by anything outside its
control, including but not limited to incorrect mapping, incorrect or incomplete delivery lists or
delivery locations not clearly marked with site addresses or lack of access or inventory.
All work will be performed within the Monroe County, FL limits.
ContainerPros may, at its own expense, use any employees or subcontractors as it deems
necessary to perform the services required by this Agreement. The County may not control,
direct, or supervise ContainerPros' employees or subcontractors in the performance of those
services.
Neither this Agreement nor any duties or obligations under this Agreement may be assigned by
either party without the prior written consent of the other.
This Agreement supersedes any and all agreements, either oral or written, between the parties
hereto with respect to the rendering of services by ContainerPros and contains all of the
covenants and agreements between the parties with respect to the rendering of such services in
any manner whatsoever.
Each party to this Agreement acknowledges that no representations, inducements, promises or
agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of
any party which is not embodied herein, and that no other agreement, statement or promise
not contained in this Agreement shall be valid or binding. Any modification of this Agreement
will be effective only if it is in writing signed by the party to be charged.
If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void
or unenforceable, the remaining provisions will nevertheless continue in full force without being
impaired or invalidated in any way.
If any action at law or in equity is brought to enforce or interpret the provisions of this
Agreement, the prevailing party will be entitled to reasonable attorneys'fees and costs.
This Agreement will be governed by and construed in accordance with the laws of the State of
North Carolina.
This Agreement can be signed in counterpart and by electronic and/or facsimile signature(s).
Delay charges may be billed for additional delivery days and/or additional labor needed due to
lack of inventory or anything outside of bid spec including but not limited to delays caused by
the hauler and unsafe conditions. Any delay charges incurred must be presented, in writing,
within five(5)working days of discovery with detail of the cause(s) and costs incurred.
