2nd Amendment 09/11/2024 SECOND AMENDMENT TO AGREEMENT WITH SEARCHWIDE GLOBAL THIS SECOND AMENDMENT TO AGREEMENT, is made and entered into this 11t" day of September 2024, by and between Monroe County, Florida, (hereinafter called the "County"), and SearchWide Global, Inc. (hereinafter called the "Consultant"). WHEREAS, the County and Consultant entered into an Agreement for Professional Consultant Services on April 23, 2024 ("Agreement") to assist with a nationwide search to hire a new Chief Executive Officer (CEO) for the TDC administrative office; and WHEREAS, the County and Consultant entered into an Amendment to the Agreement dated May 3, 2024 to revised the Agreement to tie payment amounts to completed tasks performed by the Consultant; and WHEREAS, the Consultant successfully completed the services to hire a new CEO and the CEO desires to utilize the Consultant to assist with the search to hire a new Chief Financial Officer (CFO) for the 3406 North Roosevelt Blvd. Corporation d/b/a Visit Florida Keys (VFK); and WHEREAS, County desires to enter into this 2nd Amendment to the Agreement to allow for the Consultant to provide services to assist with hiring a CFO which will be paid from Tourist Development Tax funds; and WHEREAS, The County initially obtained price quotes and Consultant was found to be the lowest responsive responsible bidder; and WHEREAS, the Consultant has agreed to fee of 30% of the base salary of the CFO and to the extent that any additional price quotes would be needed the County hereby grants a waiver to obtain additional price quotes for these professional services; NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows: 1. Amend Paragraph 1 . Scope of Service to add the following: CONSULTANT will provide such document preparation, consultations, work product and advice as may be requested to 1) Assist with Developing a Scope of Services/job description for the CFO for Visit Florida Keys in order to search and hire for the CFO position 2) Assist with a Search for CFO for VFK 3) Assist with advertising said position; creating criteria for the selection of applicants and criteria for the C E O to utilize in her selection of an applicant 4) Review and V e t applicants based upon the developed criteria; and 5) Implement a hiring schedule and process and other services as set forth in more detail in the Proposal- Attachment A and Proposed Work Plan-Attachment B. 2. Amend Paragraph 3. PAYMENT AND BILLING to add the following regarding services for the CFO hiring: Payments will be made upon three installments as set forth below and upon submission of an invoice in accordance with the Local Government Prompt Payment Act. One-Third (1/3) of the professional/placement fee of $52,500.00-$60,000.00 (30% of the estimated $175,000-$200,000 base salary of position) is due upon completion of the following event/task: • Needs Assessment Interviews- as set forth in the Proposed Work Plan- created by the Consultant and Attached hereto as Exhibit B. One-Third (1/3) of the professional/placement fee or$52,500.00-$60,000.00 is due upon completion of the following events/tasks: • Develop Position Description One-Third (1/3) of the professional/placement fee of$52,500.00-$60,000.00 is due upon completion upon each search, such as placement of a candidate, closure of the search by client for any reason, or the client places the search on hold for more than 60 days and unless the search is placed on hold for more than 60 days, upon completion of the following events/tasks: • Prospecting and Qualifying Candidates • Review Candidate List with Search Committee • Candidate Processing of Short List • Final Candidate Information Delivered • Video Interviews • Candidate Processing of Finalist • In-Person Interviews • Offer and Negotiation Selection and Appointment Each invoice will be submitted with supporting documentation in a form acceptable to the Monroe County Clerk of Courts and Comptroller, based on generally accepted accounting principles, and such laws, rules and regulations as may govern the Clerk's disbursal of funds. If the CONSULTANT'S duties, obligations and responsibilities are materially changed by written amendment to this Agreement after execution of this Agreement, the Agreement shall be amended in a writing signed by both parties. 3. This Amendment will be retroactively effective to September 3rd 2024. Immediately after you approve the position description, we will post the position on our website, your industry website, and any other sources defined in the needs assessments. We use our strong relationships (inside and outside the industry), solid processes, robust database, and industry expertise to provide your organization with only the best and brightest candidates. Weekly updates will be provided on candidate activity. Review Candidate List Week of October 28 A summary of the top 8 to 10 candidates will be available to review on our secure web portal. We will review this list with the interview panel to select the top 5 to 6 candidates to interview. Candidate Processing of Short List Weeks of October 28 — November 8 Once we have all agreed on the 5 to 6 candidates advancing to interviews, SearchWide Global will complete the following steps for each candidate: • Detailed reference checks.We will speak with one supervisor and one direct report for the first round of interviews. For the finalists, we will speak with an additional three to four references. • Have candidates complete the DiSC personality assessment. Final Candidate Information Delivered Week of November 11 To prepare for the interviews,the summary, resume, DiSC profile, and checked references for each candidate will be available to review on our secure web portal. Video Interviews Week of November 11 SearchWide Global will work with you in coordinating the video interviews. If five candidates will be interviewed, a suggested format might be as follows: Day 1: Day 2: 12:OOpm—12:45pm Log-in & Pre-Meeting 12:OOpm—12:15pm Log-in & Pre-Meeting 12:45pm—2:OOpm Interview 1 12:15pm—1:30pm Interview 4 2:15pm—3:30pm Interview 2 1:45pm—3:OOpm Interview 5 3:45pm—5:OOpm Interview 3 3:15pm—4:30pm Interview 6 (if needed) 4:30pm—5:30pm Wrap-up Meeting Candidate Processing of Finalists Weeks of November 18&November 25 Once we have all agreed on the candidates advancing to in-person interviews, SearchWide Global will complete the following steps for each candidate: • Detailed reference checks.We will speak with an additional three to four references. • Conduct a detailed background check that covers federal, county, and state criminal history, credit, and driving and education verification. In-Person Interviews December 2 This will be for the finalist(s) and should include a meal. This is also an appropriate time to include other stakeholders in the process. All candidate expenses (airfare, lodging, meals, mileage, ground transportation, baggage fees, etc.) will be reimbursed directly to the candidates from your organization. We would like your assistance to secure an interview location and establish billing. SearchWide Global will facilitate logistics and timing between the selected candidates and the panel. Offer and Negotiation SearchWide Global has extensive experience handling the hiring, negotiating and turn down process, in a way that protects the reputation and integrity of everyone involved. Selection and Appointment Our interaction with your organization and the placed candidate does not stop when the search is closed.We stay in close contact on a quarterly basis to ensure that all parties remain satisfied and productive.
