permitting office in Ocean Reef, with the new term to commence on February 1, 2025, and
terminate on January 31, 2030. Rent is $10.00 per year.

AMENDMENT NO.2 TO LEASE
BETWEEN
OCEAN REEF CLUB, INC.
AND MONROE COUNTY
THIS AMENDMENT NO. 2 TO LEASE is made and entered into this 111h day of December, 2024, between
OCEAN REEF CLUB, Inc., a Florida corporation, hereinafter referred to as "Landlord"; and MONROE
COUNTY BOARD OF COUNTY COMMISSIONERS, hereinafter referred to as"Tenant".
WITNESSETH:
WHEREAS, on December 10, 2014, the Landlord and Tenant entered into a Lease for the purpose of use
as an office facility, as properly permitted and licensed by Monroe County, and/or any other applicable
governmental agency, having an original term of five (5) years commencing on February 1, 2015, and
ending January 31, 2020("Original Lease"); and
WHEREAS, on February 19, 2020,the Landlord and Tenant entered into Amendment No. 1 to the Lease,
which added five(5)years to the lease term commencing on February 1,2021,and ending on January 31,
2025; amended the rent to $10.00 per calendar year due on February 1" of each year; and amended
Section 8.,Alterations and Repairs,to remove language relating to ADA improvements in the old building
as the new building is ADA compliant; and
WHEREAS,the Landlord and Tenant recognize the public benefit of continuing the Original Lease;and
WHEREAS,the Landlord and Tenant desire to modify and renew said Original Lease;
NOW,THEREFORE, in consideration of the mutual covenants and obligations contained herein,and other
good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the
undersigned Landlord and Tenant agree as follows:
1. The recitals contained herein are true and correct and are hereby incorporated as if fully set forth
herein.
2. Both the Original Lease and Amendment No. 1 between Landlord and Tenant are made a legally
effective part of this Amendment No. 2, except as expressly amended under this Amendment,
and the amended attached Exhibit"A-Revised",which sets forth the current leased premises and
becomes a part hereof.
3. The Term provision on the Summary Page of the Original Lease,as amended, is hereby amended
to read as follows:
TERM AMENDMENT NO. 2: Five (5) years, commencing on February 1, 2025, and ending
January 31, 2030.
