("CONSULTANT") is entered into as follows: WITNESSETH: WHEREAS, on January 21, 2022, COUNTY and Wood Environment& Infrastructure Solutions, Inc. (Wood) entered into the Agreement referenced above; and WHEREAS, on September 26, 2022, Wood was acquired by WSP Global, Inc. and was thereafter known as WSP USA Environment& Infrastructure, Inc.; and WHEREAS, on November 15, 2022, COUNTY and Wood entered into Amendment No. 1 to change the name to WSP USA Environment& Infrastructure, Inc. ("CONSULTANT"); and WHEREAS, on December 31, 2024, WSP USA Environment& Infrastructure, Inc. merged into WSP USA, Inc. ("CONSULTANT"); and WHEREAS, WSP USA Inc. is the sole surviving company; and WHEREAS, COUNTY and CONSULTANT desire to amend the Agreement in order to reflect the change of the entity. NOW, THEREFORE, in consideration of mutual promises, covenants and contracts stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, COUNTY and WSP USA, Inc. agree as follows: 1. The name of the CONSULTANT is changed from WSP Environment & Infrastructure, Inc. to WSP USA, Inc. wherever it appears in the Agreement. 2. CONSULTANT agrees to be bound by all of the terms and conditions of the Agreement. 3. This Agreement is retroactive to January 1, 2025. 4.
