WITNESSETH: WHEREAS, on February 16, 2022, COUNTY and Wood Environmental & Infrastructure Solutions, Inc. ("Wood") entered into the Agreement referenced above; and WHEREAS, on September 26, 2022, Wood was acquired by WSP Global Inc. and was thereafter known as WSP USA Environment& Infrastructure Inc.; and WHEREAS, on December 31, 2024, WSP USA Environment & Infrastructure Inc. merged into WSP USA Inc. ("CONSULTANT"); and WHEREAS, WSP USA Inc. is the sole surviving company; and WHEREAS, COUNTY and CONSULTANT desire to amend the Agreement in order to reflect the change of the entity. NOW, THEREFORE, in consideration of mutual promises, covenants and contracts stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, COUNTY and CONSULTANT agree as follows: 1. The name of the CONSULTANT is formally changed from WSP USA Environment& Infrastructure Inc. to WSP USA Inc. wherever it appears in the Agreement. 2. CONSULTANT agrees to be bound by all of the terms and conditions of the Agreement. 3. This Agreement is retroactive to January 1, 2025. 4. Both of the signatories to this Amendment have the full requisite authority to enter into this Amendment on behalf of their respective bodies. 5. In all other respects, the terms and conditions of the Agreement remain unchanged.
