Should you have any questions please feel free to contact me at(305) 292-3550. cc: County Attorney Finance File KEY WEST MARATHON PLANTATION KEY 500 Whitehead Street 3117 Overseas Highway 88770 Overseas Highway Key West, Florida 33040 Marathon, Florida 33050 Plantation Key, Florida 33070 EIGHTH AMENDMENT TO AGREEMENT FOR PROFESSIONAL BEACH CLEANING, MAINTENANCE,AND BEAUTIFICATION HIGGS BEACH, KEY WEST, MONROE COUNTY, FLORIDA THIS EIGHTH AMENDMENT TO AGREEMENT is made and entered into this 25th day of March 2025, between MONROE COUNTY, FLORIDA ("COUNTY"), a political subdivision of the State of Florida, whose address is 1100 Simonton Street, Key West, Florida 33040, and BEACH RAKER, LLC ("CONTRACTOR"), a Florida limited liability company, whose address is 220 NE 131h Street, Pompano Beach, Florida 33060. WHEREAS, the parties hereto did on December 11, 2019, enter into an Agreement to provide professional beach cleaning, maintenance, and beautification, at Higgs Beach, Key West, Monroe County, Florida, (hereinafter"Original Agreement"); and WHEREAS, on July 21, 2021, the BOCC approved a First Amendment to Agreement to amend the Original Agreement to increase payment amounts by the annual CPI-U adjustment of 1.4% as of December 31, 2020, pursuant to the terms of the Original Agreement and to revise some provisions in its contracts and/or agreements to update and/or add current revisions pursuant to its Ordinances, Purchasing Policy, and/or Federal Required Contract provisions; and WHEREAS, on May 18, 2022, the BOCC approved a Second Amendment to Agreement to increase payment amounts by the annual CPI-U adjustment of 7% as of December 31, 2021, pursuant to the terms of the Original Agreement and to revise other provisions in its contracts and/or agreements to update and/or add current revisions pursuant to its Ordinances, Purchasing Policy, and/or Federal Required Contract provisions; and WHEREAS, on December 7, 2022, the BOCC approved a Third Amendment to Agreement to exercise the County's option to renew the agreement for the first of three (3) optional one-year periods, commencing on January 1, 2023, and terminating on December 31, 2023; and WHEREAS, on April 19, 2023, the BOCC approved a Fourth Amendment to the Agreement to amend the Original Agreement to increase payment amounts by the annual CPI-U adjustment of 6.5% as of December 31, 2022, pursuant to the terms of the Original Agreement and to revise some provisions in its contracts and/or agreements to update and/or add current revisions pursuant to its Ordinances, Purchasing Policy, and/or Federal Required Contract provisions; and WHEREAS, on December 13, 2023, the BOCC approved a Fifth Amendment to the Agreement to exercise the County's option to renew the Agreement for the second of three (3) optional one-year periods, commencing on January 1, 2024 and terminate on December 31, 2024; and WHEREAS, on March 20, 2024, the BOCC approved a Sixth Amendment to the Agreement to amend the Original Agreement to increase payment amounts by the annual CPI-U adjustment of 3.4% as of December 31, 2023,pursuant to the terms of the Original Agreement; and WHEREAS, on October 16, 2024, the BOCC approved a Seventh Amendment to the Agreement to exercise the County's option to renew the Agreement for the third and final of three (3) additional 1-year term extensions for services. This renewal will begin on January 1, 2025, and will end on December 31, 2025; and 1 WHEREAS, the Original Agreement provides that the contract amount may be adjusted annually in accordance with the percentage change in the U.S. Department of Commerce Consumer Price Index for all Urban Consumers (CPI-U) as of December 31st of the previous year; and WHEREAS, Paragraph 6 of the Original Agreement provides that the contract amount may be adjusted annually in accordance with the percentage change in the U.S. Department of Commerce Consumer Price Index for all Urban Consumers (CPI-U) as of December 31st of the previous year; and WHEREAS, this Eighth Amendment is to amend the Original Agreement, as amended, to increase payment amounts by the annual CPI-U adjustment of two point nine percent (2.9%) as of December 31, 2024,pursuant to the terms of the Original Agreement; and WHEREAS, the parties have found the Original Agreement, as amended, to be mutually beneficial; and WHEREAS, the parties find that it would be mutually beneficial to amend its Original Agreement and any related amendments, and enter into this Eighth Amendment to Agreement; NOW,THEREFORE, IN CONSIDERATION of the mutual promises and covenants contained herein, it is agreed as follows: 1. In accordance with Paragraph 6 of the Original Agreement, the contract amount may be adjusted annually in accordance with the percentage change in the U.S. Department of Commerce Consumer Price Index for all Urban Consumers (CPI-U) as reported by the U.S. Bureau of Labor Statistics at December 31 of the previous year using the most recently published indicator. The CPI- U was two and one ninth(2.9%) on December 31, 2024. 2. The Contract amounts, based on two and one ninth (2.9%) CPI-U increase as of December 31, 2024, in Paragraph 5.b. of the Original Agreement, as amended, shall be increased and amended as follows: $16,105.66 per month for regular hours seven (7) days per week cleaning, maintenance, and beautification services (which includes the fenced beachside Children's Play Area on weekends (including equipment costs and dumping fees). $307.36 per hour for emergencies (ex. Post-hurricane clean-ups, including seaweed removal, equipment costs, and dumping fees). $307.36 per month for pressure cleaning the steps (five (5) sets once per month) into the water at Higgs Beach. $307.36 per month for pressure cleaning the two (2)Pavilions/Bandstands (twice per month) at Higgs Beach. $491.77 per day for a second daily service beach cleaning (optional upon Owner's request) (including excessive seaweed buildup, equipment costs, and dumping fees), not to exceed 60 days. 2 j 1 . : Total:Compensation to CONTRACTOR under:this Agreement:for monthly:cleaning,. . . . mainteia•nc•e, and beautification services.the pressut.e cleaning set�vices.of the steps and • . • ..• .
