ITEM BACKGROUND: This contract expires in June 2025. This provider took over the operation after the failure of two previous providers. Staff recommends waiving the purchasing policy and extending the contract since this operator has proven it has the financial and professional experience since taking over the contract. Extending the contract to 30 SEP 2030 also bring its expiration into line with the County's fiscal year. Changing the contract from Annual CPI adjustments is recommended because: a) 3% is approximately the recent years' experience average of CPI. The 2025 CPI adjustment will be 2.9%), b) it is more predictable for both parties' budgeting, and c) It avoids the requirement for annual contract amendments for the adjustment. This change in the annual adjustment will result in the following: The total contract amount from July 1, 2025 through September 30, 2025 will be $139,194.60. Insurance is required 241 NINTH AMENDMENT TO CONTRACT (Operation of the Marathon Animal Shelter) THIS NINTH AMENDMENT TO CONTRACT is entered into this 25th day of March, between Monroe County Board of County Commissioners (County) and Florida Keys Society for Prevention of Cruelty to Animals, Inc., a Florida not-for-profit corporation(FKSPCA/Contractor), in order to amend the agreement entered into on November 14, 2017, and as amended on May 16, 2018, May 22, 2019, June 17, 2020, July 15, 2020, July 21, 2021, June 15, 2022, June 21, 2023 and April 17, 2024 as follows; WHEREAS, as a result of the competitive solicitation issued by the County, the FKSPCA and County entered into an agreement dated November 14, 2017, whereby the FKSPCA will operate the Marathon Animal Shelter and provide animal control services from Mile Marker 16.7 to Mile Marker 70 (Agreement). The term of the Agreement, as amended and renewed on June 17, 2020, by a Third Amendment is November 15, 2017 to June 30, 2025, and; WHEREAS, the terms of the Agreement, as amended on June 17, 2020, by a Third Amendment,provides that the contract anniversary date will be July 1 st; and WHEREAS,the terms of the Agreement provide that the contract amount may be adjusted annually by the percentage change in the Consumer Price Index (CPI) for all urban consumers (CPI-U) for the most recent 12 months available ending in December of each year; and WHEREAS, the Agreement was amended by an Eighth Amendment dated April 17,2024 which adjusted the contract amount by 3.4%, increasing the contract to $541,086.89per annum; and WHEREAS, the FKSPCA has requested hours of operation for the Marathon campus branch to at a minimum,the shelter shall be open to the public from 9:30 a.m.to 4:00 p.m.,Eastern Time, Monday through Friday, and from 10:30 a.m. to 2:00 p.m. Eastern Time on Saturdays with time adjustment allowed upon mutual written consent of the County and Contractor; and WHEREAS, the County desires to extend the current contract for an additional five (5) years and three (3) month to expire on September 30, 2030; and WHEREAS, the County desires to change the annual adjustment to 3% annually rather than the current annual CPI based adjustments with the first adjustment effective July 1, 2025 through September 30, 2026 and annually beginning October 1, 2026 for the remaining contract term; and IN CONSIDERATION of the mutual promises contained herein, the parties hereby agree as follows: 1. Wilson SUBJECT: Middle Keys (MM17-MM70) Animal Control Contract Action Recommend;, f8yf purchasing policy and extend the Marathon FKSPCA contract for another five (5)years and three months while eliminating the annual CPI adjustment in favor of a fixed 3%annual adjustment. Basis for Recommendation: 1. FKSPCA has the organizational and financial strength to deliver services in the middle keys. 2. Past solicitations have resulted in two bailouts of failed providers by FKSPCA. 3. Adjusting the end date will correspond with the County's Fiscal year 4. Using a 3% annual escalator is predictable for budgeting and approximates the long-term average CPI. 5. KDPA suggested changes to the terms appear to add significant cost while not significantly improving service. Discussion: FKSPCA's contract for the middle keys expires in June 2025. FKSPCA is willing to continue providing services to the service area from MM16—MM70. Past public solicitations have resulted in contracts that ended in financial difficulties for the providers. In both cases, FKSPCA stepped in, at the County's request, to replace the failed service providers. In 2017 a contract was done on an emergency basis to enable FKSPCA to take over the failed operation. The agreement was written to finish the term of the previous contractor and provided for one (1) five (5) year extension. That extension expires in June 2025. The contract expires in the middle of the County's fiscal year and before the CPI for the coming year is available making budget forecasting for the following year difficult. Using a fixed annual adjustment of 3% and moving the anniversary date to 1 October, makes sense so that mid-year adjustments in the contract are not necessary and eliminates the need for annual contract amendments saving staff time. The County has received one recommendation from the Key Deer Protection Alliance (KDPA)for suggested changes to the FKSPCA terms. Those requests included expanded hours at the shelter, as addition ACO to patrol Big Pine Key and some requests for public records. FKSPCA estimates the increased costs for those changes is$130,000/year. The County evaluated the service increases requested and determined that they would not significantly improve service. The following are the notes requested from the meeting: Currently the "open hours" of the FKSPCA Marathon Campus reflect hours that the facility in Marathon is open to the public to walk in and conduct business such as viewing adoptable animals, dropping off donations, learning about our programs and services, or similar types of interactions. Therefore; our on site open hours at our Campus do not directly impact the issue of free-roaming dogs in any way. Conversely, our Animal Control Officers are available six days a week from 8am -5pm to conduct normal business, and respond to after-hour emergencies 24/7. To adequately keep the facility clean, care for the 50 animals currently housed at our shelter, assist the public via walk in or telephone and respond to calls it takes a minimum of 3 FT employees per day, five days a week for 8 hour shifts (outside the Director, Management and Event/Volunteer Coordinator positions). To accommodate the KDPA request of extending hours until 6:30pm it would mean changing our five day a week, 8 hour shift work week to four 10 hour days. Doing so would require hiring two more FT Animal Care staff. 2853 The average annual salary of an Animal Care staff member is $38,000. Hiring the necessary two additional FT Animal Care staff members would increase our budget by an estimated $76,000. There are two staff members trained to perform Animal Control duties that live on Big Pine Key. A third staff member is completing her training in April, and she too lives in Big Pine Key, creating a total of 3 Animal Control Officers that live in the area of concern. Those officers not only live on Big Pine, but do travel through the island to commute to work, conduct business on the island, come home on lunch breaks, and frequent stores and restaurants. This is all done on personal time outside of working hours. Between responding to citizen complaints, and conducting personal life, errands, etc... our Officers do have a finger on the pulse of what is happening on the island they live on in regards to Animal Control. To accommodate the KDPA recommendation of more patrols, while still providing the same quality of service to the remaining 50 miles of ourjustiction, the FKSPCA would need to hire an additional Animal Control Officer. The average Animal Control Officer base salary is $42,000. The average on-call shifts (3 shifts per week x$50) is$7,800. The average training is$1,500. Not factoring in overtime pay for after-hours calls, the County contract would need to see an estimated $51,300 to absorb the costs suggested by the KDPA. The total increase in the current contract amount would need to be$127,300. Furthermore; the FKSPCA does own two of our own Animal Control vehicles. There are no leased vehicles through the County. Having two vehicles ensures that if one Officer is responding to a call, or patrolling a certain area, and another call comes in simultaneously, another Officer is available to take the second vehicle and respond immediately. From January 1 st 2025 - March 27th 2025 the Marathon Campus responded to a total of 90 calls. Service calls include the following(but are not limited to); trapped or injured wildlife, noise complaints (barking dogs/crowing chickens), acts of cruelty or neglect, animals in distress, animal bites, loose/stray dogs, seizures, welfare checks and transportation. Of those 90 calls, 17 were on Big Pine Key or 18% of our total call volume. Due to all these factors, KDPA has amassed a wealth of information on the effects of free roaming dogs on endangered species,walkers,bikers,runners and the general public.
