This 7th Amendment is retroactively effective as of December 31, 2024. ITEM BACKGROUND: Star of the Sea Foundation, Inc., is the secondary food vendor which provides the meals for the Monroe County Nutrition Program operated by Monroe County Social Services and reimbursed through funding allocated pursuant to the Older Americans Act. On July 17, 2019,the County entered into the Original Agreement with Star of the Sea Foundation, Inc., and there have been six (6) subsequent amendments. Through this 7th Amendment to the Agreement, that is retroactively effective as of December 31, 2024, the parties desire to extend the term of the Agreement that ended, and provide for an emergency extension of sixty(60) days from the BOCC Meeting on June 18, 2025, to ensure continuity of services during the competitive solicitation process that is currently underway. For purposes of an emergency extension, the agreement is extended through 8/16/2025 or if earlier, the date that the BOCC votes to approve a new vendor(through the award of a new contract)pursuant to the pending Monroe County Request for Proposals (RFP-592) for Food Service Meal Catering (Senior Nutrition Program). No further notice of cancellation of the Agreement is required; such termination as described by the 7th Amendment is automatic and self-effectuating. The parties recognize that this 7th Amendment is subject to administrative review and approval by Alliance for Aging, Inc., as the Florida Department of Elder Affairs PSA-11 Designated Area Agency. WITNESSETH WHEREAS, the parties entered into an agreement dated July 17, 2019, for provision of meals for the Monroe County Nutrition Program Congregate and Home Delivered Meals program operated by the County; and WHEREAS,the original agreement and the subsequent six (6) amendments were entered into between the County and the Contractor, and are hereby ratified and confirmed as reflective of the parties' intent to continue its contractual relationship under the terms and conditions established therein; and WHEREAS, the parties desire to make this 7fh Amendment retroactively effective to December 31, 2024, and to extend the term of the Agreement that would have ended on December 31, 2024 to a new termination date of August 18, 2025 or until the Board of County Commissioners votes to approve a new vendor (through the award of a new contract)pursuant to the pending Monroe County Request for Proposals (RFP-592) for Food Service Meal Catering (Senior Nutrition Program), whichever comes first; and WHEREAS, the parties desire to adopt this 7fh Amendment on the basis that an emergency extension is required to ensure continuity of services during the competitive solicitation process that is currently underway. NOW, THEREFORE, in consideration of the following mutual promises and benefits, the parties agree as follows: Section 1. The recitations referred to above are true and correct, and are hereby adopted and incorporated as if set forth in full. The parties seek to describe changes in the existing agreement in following ways: 1) words in strike through type are deletions from existing text, 2) words in underline type are additions to existing text, and 3) asterisks (***) indicate existing text not shown. Section 2. For purposes of an emergency extension, this 7�h Amendment to the Agreement between Monroe County and Star of the Sea Foundation, Inc., as previously amended, is retroactively effective as of December 31, 2024. 1 1150 Section 3. The parties hereby replace and supersede, in its entirety, Paragraphs 6. A. and B., of the Agreement, with the below language to read as follows: 6. TERM OF CONTRACT/RENEWAL A. The Agreement shall commence on January 1, 2025 and terminate as of August 18, 2025, however, if the Board of County Commissioners votes to approve a new vendor (through the award of a new contract) pursuant to the pending Monroe County Request for Proposals (RFP-592) for Food Service Meal Catering (Senior Nutrition Program), then the date that a new contract is approved, if earlier than August 18, 2025, shall be the date that this Agreement terminates. No further notice of cancellation of this Agreement is required, such termination as described herein shall be automatic and self-effectuating, B. Reserved. Section 4. A temporary or permanent closure related to food service violations, b. Administrative Complaints regarding food safety, or c. 10 or more high priority/significant findings on sanitation inspections within the past 12 months, beginning July 1, 2018. ("an unsatisfactory inspection means that the violations were a significant threat to public health and sanitation and require correction before the next routine inspection.") 4. Contractor shall maintain a food safety management program within the facility that meets or exceeds the minimum requirements of federal, state,municipal, or other agencies authorized to inspect or accredit the food service operation and shall,upon request of the County, provide documentation of said food safety management program and the results of any inspections related thereto. 5. Within 30 days of execution of this Agreement, Contractor shall provide documentation of the three most recent food preparation inspections conducted by the state regulatory authority to the County. 6. Within 30 days of execution of this Agreement,Contractor shall provide County with a written plan of correction for any high priority or significant findings on sanitation inspections. 7. Contractor shall immediately notify the County of any closures or Administrative Complaints regarding food safety or of any sanitation inspections as referenced in the DOEA Programs and Services Handbook 1153 Chapter 3: Older Americans Act Service Requirements: Nutrition Program Policies Food Service Contract Provisions,revised February 2020,pp. 3-143. 8. This Sixth Amendment to Agreement is entered into this 1 st day of January, 2024, by and between the Board of County Commissioners of Monroe County, Florida, a political subdivision of the State of Florida (hereinafter called the "County'), and Star of the Sea Foundation, Inc., a Florida corporation whose address is 5640 Maloney Ave, Key West, Florida (hereinafter called "Contractor") WITNESSETH WHEREAS, the parties entered into an agreement dated July 17, 2019 (hereinafter called "Original Agreement"). for provision of meals for the senior citizens participating in the Older Americans Act Title Ill-C Nutrition Program (hereinafter called "Program"); and WHEREAS, on the 17" day of June 2020, the parties entered into the I" Amendment to the Agreement adding DOEA required language and extending the Agreement an additional two years; and WHEREAS, on the 3`d day of September, 2020, the parties entered in to the 2nd Amendment to the Agreement adjusting the rate the County pays for meals; and WHEREAS, on the 5" day of October, 2021, the parties entered into the Yd Amendment to the Agreement, extending the Agreement unti I December 31, 2021; and WHEREAS, on the 20"day of April, 2022, the parties entered into the 4" Amendment to the Agreement, extending the Agreement until December 31, 2022; and WHEREAS, on the 291h day of March, 2023, the parties entered into the 5`t'Amendment to the Agreement, extending the Agreement until December 31, 2023; and WHEREAS, the parties desire to extend the terms of the Agreement for an additional year. NOW, THEREFORE, in consideration of the mutual covenants and obligations contained in this amendment and in the original agreement, the parties agree as follows: SECTION 1. Sub-paragraph 6.A. of the Original Agreement is amended to read as follows; A. This contract shall be for a period of I year, commencing January 1, 2024, and terminating December 31, 2024. SECTION 2. Ali other terms and conditions of the Original Agreement dated July 17, 2019, the I" Amendment dated June 17. 2020, the 2nd Amendment dated September 3, 2020, the Yd Amendment dated October 5, 2021, the 4th Amendment dated April 20, 2022 and the 51h Amendment dated January 1, 2023 not inconsistent herewith, shall remain in full force and effect. IN WITNESS WHEREOF, the parties have caused this 6th Amendment to be executed by their respective officer or representative thereunto duly authorized the day and year first above written. 1. Contractor shall comply with all federal, state, and local food safety regulations and the Department of Elder Affairs Programs and Services Handbook, revised April 2023. Pursuant to paragraph 15 of the original Agreement and the Department of Elder Affairs Programs and Services Handbook, Chapter 5: cfl Older Americans Act(OAA) Title IIIC: Section V: Contracts with Profit-Making Organizations, the County may cancel this Agreement if any of the following occur: a. A temporary or permanent closure related to food service violations, b. Administrative Complaints regarding food safety, or c. 12 or more high prioritylsignifrcant findings on sanitation inspections within the past 12 months, beginning January I, 2022, ("an unsatisfactory inspection means that the violations were a significant threat to public health and sanitation and require correction before the next routine inspection.") 2. Contractor shall maintain a food safety management program within the facility that meets or exceeds the minimum requirements of federal, state. municipal, or other agencies authorized to inspect or accredit the food service operation and shall, upon request of the County, provide documentation of said food safety management program and the results of any inspections related thereto. 3. Within 30 days of execution of the original Agreement, Contractor shall provide documentation of the three most recent food preparation inspections conducted by the state regulatory authority to the Social Services Department. 4. Within 30 days of execution of the original Agreement, Contractor shall provide the Social Services Department with a written plan of correction for any high priority or significant findings on sanitation inspections. 5. Contractor shall maintain a food safety management program within the facility that meets or exceeds the minimum requirements of federal, state, municipal, or other agencies authorized to inspect or accredit the food service operation and shall, upon request of the County, provide documentation of said food safety management program and the results of any inspections related thereto. 6. Within 30 days of execution of the original Agreement, Contractor shall provide the Social Services Department with a description of Contractor's delivery standards and sanitation that includes holding temperatures for transporting and serving food. 7. Social Services Department, AAA, and/or Department of Elder Affairs staff shall have the right, upon 24 hours written notice, to inspect the food preparation and storage areas. 8.
