FOR PROFESSIONAL ARCHITECTURAL AND ENGINEERING SERVICES
BETWEEN MONROE COUNTY AND K2M DESIGN, INC. FOR
LESTER BUILDING RENOVATION
In accordance with the Agreement for Professional Architectural and Engineering Services, made
and entered into on January 18, 2023, between MONROE COUNTY, ("County") and K2M
DESIGN, INC., ("Consultant"), where professional services are allowed if construction costs do
not exceed $7,500,000.00, or for study activity if the fee for professional services for each
individual study under the contract does not exceed $500,000.00 ("Agreement"), the parties enter
into this Task Order("Task Order").
All terms and conditions of the Agreement apply to this Task Order, unless this Task Order
amends, adds, or modifies a provision or an Article of the Agreement, in which case,the provision
or Article will be specifically referenced in this Task Order and the amendment, addition, or
modification thereof shall be precisely described.
This Task Order is effective on the day of , 2025.
WHEREAS, the Lester Building at Jackson Square in Key West previously housed the Offices of
the Monroe County Supervisor of Elections which has been moved to the old Bayshore Manor on
Stock Island; and
WHEREAS, the County desires the Consultant to provide architectural and engineering design
services to reconfigure the office space for use by the Office of Monroe County Attorney.
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth below, the
parties agree as follows:
1. In accordance with Article II, SCOPE OF BASIC SERVICES of the Agreement, the
Consultant shall design a new floor plan to provide 19 office spaces of various sizes, a
reception area, a conference room, a library area, one or two showers in addition to the
existing restrooms, and an IT room.
The Scope of Work includes the following phases:
• Schematic Design Refinement—The Consultant previously provided a preliminary
floor plan/schematic design. The County has requested to add one or two shower
stalls and an IT room to the preliminary design. This will be discussed at project
kick-off and the preliminary design will be refined based on County input.

• Design Development —The project will be defined including further developed
drawings, preliminary code analysis, interior elevations, and typical construction
details. Building systems will be further defined into basic systems, preliminary
calculations,and major design elements. This phase further develops the design and
incorporates engineering disciplines to establish the final scope and details of the
work. Outline or short-form Architectural/Engineering specifications may be
provided. A quality control review will be conducted.
Drawings and Specifications shall include Architectural, Mechanical,
Plumbing/Fire Suppression,Electrical/Fire Alarm, and Construction Specifications
Institute (CSI) Specifications. All Documents shall be considered complete to the
level of Design Development to continue into Construction Documents.
• Construction Documents —Upon approval of the Design Development Documents
and on County's authorization of any adjustments in the project requirements and
the budget for the cost of the work, the Consultant shall prepare Construction
Documents for County's approval. The Construction Documents shall consist of
Drawings and Specifications setting forth in detail the quality levels of materials
and systems and defining the design intent. The Construction Documents illustrate
and describe the further development of the approved Design Development
Documents and other requirements for the construction of the work. A quality
control review will be conducted.
The Parties acknowledge that, to construct the work, the Contractor will provide
additional information, including shop drawings, product data, samples, and other
similar submittals as specifically requested by the Consultant,which the Consultant
shall review. During the development of the Construction Documents, the
Consultant shall assist the County in the development and preparation of the
Conditions of the Contract for Construction (General, Supplementary, and other
Conditions) and a Project Manual that includes the Conditions of the Contract for
Construction and Specifications, and which may include sample forms.
The Consultant shall provide Contract Documents to the County and receive
documented approval by the County prior to permitting and bidding.
• Permitting & Bidding — The Consultant shall assist in submitting electronically
stamped and signed PDF Contract Documents for plan approval and the building
permit. The Consultant shall respond to any plan review comments.
The Consultant shall assemble contract documents for the bidding phase. The
Consultant shall prepare and issue addenda as necessary to render interpretations
and clarifications of the Contract Documents, and issue clarifications or changes to
bidders as requested by the County. The Consultant shall attend the pre-bid
meeting. The Consultant shall review all bids with the County.

• Construction Administration & Observation — The Consultant shall provide
consultation to the Contractor and County by answering questions, responding to
inquiries, and assisting in resolving issues arising from the work. All contractors'
submittals, where applicable, are to be forwarded to the Consultant in electronic
format. During the Construction phase, the Consultant shall provide the following:
o Project Communication/Meeting Attendance: The Consultant shall attend
progress meetings with the contractors. In addition, the Consultant shall
conduct telephone conferences, etc. and maintain an open line of
communication throughout construction.
o Site Visits: The Consultant shall visit the site at intervals appropriate to the
stage of construction to become generally familiar with the progress and
quality of the portion of the work completed, and to determine, in general,
if the work observed is being performed in a manner indicating that the
work, when fully completed, will be in accordance with the Contract
Documents.
o Submittals/Shop Drawings: The Consultant shall review and approve or
take other appropriate action upon the Contractor's submittals such as Shop
Drawings, Product Data and Samples.
o Requests for Information: The Consultant shall respond to Requests for
Information from the Contractor and interpret the contract documents as
needed.
o Change Proposal Review: If necessary, the Consultant shall review the
Contractor's requests for changes in work whether such change requests are
due to unforeseen conditions, client changes, or otherwise.
o Commissioning: The Consultant shall assist the Contractor in conducting all
required commissioning exercises, including flow and balance testing of
HVAC system, adjustment of electrical equipment to achieve designed
energy efficiency, etc. Specifically, the Consultant shall:
■ Develop commissioning and test and balance (TAB) specifications,
including pre-project TAB and post-project TAB.
■ Develop Pre-functional and Functional Testing Requirements.
■ Witness pre- and post-project TAB.
■ Document issues and develop a corrective action plan.
■ Conduct final on-site review of the Contractor's corrections.
o Punch List: The Consultant shall conduct a review of the building prior to
occupancy and review the punch list for work to be completed.
o Substantial Completion: The Consultant shall complete a final site visit to
verify conformance of the work with the requirements of the Contract
Documents. The Consultant shall issue a Substantial Completion Notice to
the Contractor commencing the warranty period.

o Final Completion:Upon receipt and completion of all contract requirements
by the Contractor, the Consultant shall prepare a final completion
certificate.
2. In accordance with Article VII, Subparagraph 7.1.1 of the Agreement,the County shall pay
the Consultant a lump sum total of Fifty-Four Thousand, Seven-Hundred, Ten and
00/100 dollars ($54,710.00)paid on a percentage complete basis for the following phases:
a. Pre-Design & Concepting Services - $3,180.00 lump sum, upon document review
and approval by the Director of Project Management.
b. Design Development- $13,320.00 lump sum, upon document review and approval
by the Director of Project Management.
c. Construction Documents - $18,450.00 lump sum, upon document review and
approval by the Director of Project Management.
d. Permitting& Bidding - $3,150.00 lump sum, upon receipt of required permits and
completion of bidding phase.
e. Construction Administration - $11,120.00 lump sum, upon completion of the
proj ect.
f. Commissioning- $5,490.00 lump sum,upon completion,receipt of documentation,
and approval by the Director of Project Management.
3. The Consultant shall deliver 100% Construction Documents to the County by no later
than Octd,)ei, 31, 2025 SCI
All other Terms and Conditions of the Agreement remain unchanged and in full force and effect.
IN WITNESS WHEREOF,each parry caused this Task Order to be executed by its duly authorized
representative.
