AGENDA ITEM WORDING: Approval to Advertise Request for Proposals for Establishing and
Maintaining Sales of Digital Advertising on the Florida Keys and Key West Website.
ITEM BACKGROUND:
With more than 4.5M visitors to The Florida Keys and Key West website each year, numerous local
tourism partners previously found benefit and significant exposure by purchasing advertisements to be
placed on the website.
Two Oceans Digital—the former web agency- sold, managed and kept all revenue from sales of these
digital website advertisements. When the contract with Two Oceans Digital was ended, so did the
website advertising program.
In gathering feedback from the tourism community as part of our new website build project, website
advertising and partner ads were called out as important features to include in the future site.
As the sales of digital advertising on the TDC website would constitute a new source of non-tax
revenue, we met with the Clerk of the Court and the Office of Management and Budget in mid-July to
discuss and get their input and guidance on the attached draft RFP.
We have compiled a draft RFP for your consideration which has been reviewed by the County
Attorney's office, with the goal of choosing an agency to implement, manage, and optimize a sales
program to place brand-aligned ads on VisitFloridaKeys.com, without compromising the experience of
the website or the integrity of tourism messaging.

1.01 DESCRIPTION
The Proposer awarded an Agreement shall establish and , ain sales of di
advertising on the Florida Keys & Key West Website f Monroe County Touris
Development Council(TDC). The Agreement will provide Agency t act as a Provider
to the TDC that shall provide services as outlined withi pecificatio iSection Three
of this Competitive Solicitation.

1.06 INTERPRETATIONS, CLARIFICATIONS AND ADDENDA
No oral interpretations will be made to any Proposer as to the meaning of the Agreement
documents. Any inquiry or request for interpretation received seven(7) or more busin lays
prior to the date fixed for opening of responses will be answered. Written quests ould
be emailed to webeditor@fla-keys.com. Any interpretation, correction or of the
Bidding Documents will be accomplished by Addenda and if issued will be p Bonfire

1.08 PREPARATION OF RESPONSES
Signature of the Proposer: The Proposer must sign the response forms in the space provided
for the signature. If the Proposer is an individual, the words "doing busi as
" or "Sole Owner" must appear beneath such signature. In the of a
partnership, the signature of at least one of the partners must follow the Agency and the
words "Member of the Agency" should be written beneath such signature. If oser is a

Finalists will be notified in writing after the Selection Committee reviews and selects
finalists to make presentations during the weeks of October 20,2025—October 31,
2025 2025 via Zoom. Thereafter, the recommendation of the Selection Committee
will be made to the TDC Board and will be submitted to the Board of C
Commissioners. No contact regarding this Request for Competitive Soli ' n
will be allowed between the applicant and the TDC Board or the tion

1.15 AWARD OF AGREEMENT

for portions of the work, waive any irregularity in any res or to re-
advertise for all or part of the work contemplated.

Monroe County Board of County Commissioners Administrative Procedures, the
Bidder/Respondent/Proposer that filed the protest is responsible for providing the Clerk with

discretion. Failure to timely protest within the times and manner prescribed shall
constitute a waiver of the ability to protest the award of contract,unless the BO ermines
that it is in the best interest of the County to excuse the protest waiver. The f a rotest

that it is in the best interest of the County to do so.

employed by the County or Clerk determines that monies paid to the Contractor pursuant to

Right to Audit

7. Public Rec Complia ce: Contractor must comply with Florida public records laws,

stitution of Flo The County and Contractor shall allow and permit reasonable access
inspectio all documents, records,papers, letters or other"public record" materials
in i ss' under its control subject to the provisions of Chapter 119, Florida Statutes,

related to ntract performance. The County shall have the right to unilaterally cancel this
contract upon violation of this provision by the Contractor. Failure of the Contractor to abide
by the terms of this provision shall be deemed a material breach of this contract and the County

may enforce the terms of this provision in the form of a court proceeding and shall, as a
prevailing parry, be entitled to reimbursement of all attorney's fees and costs associated with
that proceeding. This provision shall survive any termination or expiration of the contract.
The Contractor is encouraged to consult with its advisors about Florida Public Re Law in
order to comply with this provision.
Pursuant to F.S. 119.0701 and the terms and conditions of this contrac Contractor is
required to:
(1) Keep and maintain public records that would be required by unty t rm the
service.
(2) Upon receipt from the County's custodian of records,p the County with a
the requested records or allow the records to be inspecte pied within a reasonable t
at a cost that does not exceed the cost provided in this or as othe 'se provided by law.
(3) Ensure that public records that are exempt or co tial and ex rom public records
disclosure requirements are not disclosed except as au d b or the duration of the
contract term and following completion of the contract i ctor does not transfer the
records to the County.

12. Compliance with Law: In providing all servic ds pursuant his Agreement,the
Contractor shall abide by all statutes, ordinances, and re g s� pertaining to, or
regulating the provisions of, such services, includin no ffect and hereinafter
adopted. Any violation of said statutes, ordinances, rul ations shall constitute a
material breach of this Agreement and shall entitle the Co terminate this Agreement

indebtedness. The Contractor further warrants and represents that it has igation or
indebtedness that would impair its ability to fulfill the terms of this Agre
