Administrative & Executive Operations 1. Office Operations: VFK shall administer, supervise, and maintain a full-time office located in Key West, Florida, dedicated solely and used exclusively for the promotion and marketing activities of the TDC. Regular office hours shall be 9:00 a.m. to 5:00 p.m., Monday through Friday, excluding County-observed holidays, or as modified by the CEO/President per the VFK Personnel Policies. The office shall remain open to the public and County officials during business hours and shall be staffed appropriately to conduct TDC executive business. 2. Personnel and Staffing: VFK shall provide full staff responsible for executing the day-to-day operations and administrative functions of the TDC. 3. Policy Implementation and Adherence: VFK shall implement and regularly update the operational policies and procedures outlined in the TDC Operations Manual. The TDC Operation Manual must be approved by the TDC under the direction of BOCC and subsequently approved by the BOCC before being finalized. VFK shall also be responsible for the implementation of policies and procedures into the VFK Personnel Policies and Procedures when appropriate, which are consistent with BOCC policies and procedures, including complying with and adherence to the Monroe County Purchasing Card(s) (P-Card) Policies and Procedures. P-Card Policy Adherence: VFK shall comply with the County's Purchasing Card Policy and Procedures for County issued P-cards. If the County or Clerk identify any charges that are not in accordance with P-card policies or procedures, VFK and its employees will repay the County for those charges, this includes garnishment of VFK staff wages to repay the charges. The Clerk and/or the County reserve the right to cancel a VFK employee's P-card for repeated misuse/abuse of the P-card. 4. Recordkeeping and Public Records Requirements: VFK shall prepare documents, records and reports required by the TDC and/or County and maintain all documents, records and reports in accordance with the General Records Schedule GS1-SL for State and Local Government Agencies. VFK shall provide such documentation as requested by the TDC Board and/or County. 5. Insurance & Corporate Compliance: VFK shall obtain and maintain all insurance coverage required by Monroe County. VFK shall comply with and timely file all state and federal corporate filing requirements (e.g., annual reports, IRS tax filings). VFK shall also obtain a Letter of Determination from the IRS confirming its 501(c)(3) or 501(c)(6) tax-exempt status. Scope of Services 7/16/25 6. Audit Requirements: VFK shall cooperate with the County's Auditors in their review of the TDC's Annual Report. 7. Strategic Destination Planning &Accreditation: VFK shall obtain and implement a strategic plan every 3-5 years. VFK shall obtain and maintain certification through Destination International's Destination Marketing Accreditation Program (DMAP) and ensure continued compliance with accreditation standards. VFK shall annually update and maintain a Crisis & Emergency Plan. 8. Sunshine & Ethics Training: VFK shall ensure that all staff and TDC members receive proper training on Florida's Sunshine Law, Public Records Law, and Ethics Law. II. Marketing, Sales & Promotion Program Services 9. TDC Marketing Plan & Tourism Promotion: VFK shall develop and implement an annual TDC Marketing Plan to be approved by the TDC and BOCC. VFK shall promote tourism to Monroe County in both domestic and international markets, in accordance with the approved annual Marketing Plan, F.S. 125.0104(5), and Monroe County Code Sec. 23-200 (Tourist Development Plan). 10. Marketing Oversight &Agencies of Record (AOR): VFK shall direct and supervise all TDC marketing activities and manage all Request for Proposals (RFP), contracts with Agencies of Record (AOR) in coordination with the County Attorney. These responsibilities include, but are not limited to: • Advertising • Public Relations • Sales and International Trade Efforts • Website Development & Management • Social Media • Webcams • Market Research, Analytics and Data Insights 11. Public Relations Services: Public Relations Services were implemented under VFK operations effective February 1, 2025. VFK shall continue to provide public relations services and implement public relation programs, as per the approved annual TDC Marketing Plan. This includes the following: • Provide content support for the TDC website and social media channels • Provide publicity before, during and after selected special events • Maintain appropriate records of print clippings, internet and broadcast coverage. • Perform such other public relations activities as required and directed by the TDC. 12. Media Buys: Effective April 1, 2025, VFK will, in coordination and collaboration with the advertising agency of record, be responsible for media buys as approved in the marketing plan and as directed and approved by the TDC. VFK will ensure that all insertion orders/media Scope of Services 7/16/25 buy agreements that are placed on behalf of Monroe County are approved and authorized by the VFK VP of Marketing & Communication or the President/CEO. 13. Asset Management: VFK shall ensure that all physical and digital assets developed with Tourist Development Tax (TDT) revenues (e.g., domain names, print and digital media, video and photography libraries, research, creative) are retained for the exclusive use and benefit of the TDC and Monroe County. 14. Marketing Performance Reporting: Through the VFK/TDC board reports and packets, VFK shall report regularly on key performance indicators (KPIs) and return on investment (ROI) for all marketing and advertising efforts by program area. Areas include, but are not limited to: • Advertising • Website Engagement • Public Relations • Sales and International Trade Efforts • Social Media • Market Research, Analytics and Data Insights • Film Commission Activities • Community Engagement & Partnerships, including Chambers of Commerce • Grants and Event Sponsorships • Marketing by Segments (Monroe County, DACs & Committees) III. Governance Support 15. Public Meeting Administration: VFK shall provide full administrative support for all public meetings of the TDC, including the District Advisory Committees (DACs), Umbrella Advisory Committees, and any other authorized TDC subcommittees. Responsibilities include: • Posting legally required public notices • Preparing and timely distributing meeting agendas • Recording and transcribing minutes • Attending all such meetings 16. Reporting: VFK will report regularly on the following areas to ensure transparency and data-driven decision-making: • Hotel performance metrics including Average Daily Rate (ADR), Occupancy, and Revenue Per Available Room (RevPAR) • Short-term rental data • Traveler sentiment and perception studies • Economic impact studies and visitor spending reports • Tourist Development Tax (TDT) collections and trends • Community engagement activities and participation levels 17. Committee Coordination: Support communication between DACs, Umbrella Committees, and other TDC components. Coordinate and publicly notice DAC member Scope of Services 7/16/25 vacancies, manage application intake, and facilitate nomination and appointment processes in alignment with County policy. IV. Financial Oversight 18. Annual Budget Preparation and TDC Annual Report: VFK shall develop and present an annual budget for TDC operations and programming in compliance with F.S. 125.0104, Monroe County Code Sec. 23-200, and Monroe County's adopted budget procedures. VFK shall prepare the TDC Annual Report in accordance with Sec. 23-199(c), Monroe County Code 19. Monthly Reporting: VFK shall prepare monthly Four Penny Reports and provide them to the TDC Board and County for review. 20. Quarterly Reports VFK shall continuously review expenditures of revenues from the tourist development trust fund and shall submit, at least quarterly, expenditure reports to the county governing board or its designee in accordance with Sec. 23-199(c), Monroe County Code. 21. Grant & Project Management: VFK shall develop, manage, coordinate, and oversee all County/TDC grant agreements funded with TDT revenues from the request for funding application process to award through close-out. This includes: • Handling the request for funding application process • Coordinating the award and approval of agreements • Agreement execution • Ensuring grantee compliance with insurance • Reviewing and processing amendments • Reviewing and submitting reimbursement requests • Managing agreement termination, as needed VFK shall also develop RFPs and obtain proposal/bids or price quotes in accordance with the County's Purchasing Policy and the TDC Operation Manual. Documentation Checklist for Compliance Pursuant to the Scope of Services agreement between Monroe County and Visit Florida Keys, Inc. (VFK), the following documentation shall be maintained, submitted, and made available for audit purposes upon request: Administrative & Governance Documentation 1. Annual TDC Audit report (delivered to County) 2. Expenditure reports, at least quarterly 3. Letter of Determination confirming IRS 501(c)(3) status 4. Current general liability and required insurance certificates Scope of Services 7/16/25 5. Annual corporate filings (e.g., Florida Division of Corporations, IRS Form 990) 6. Records retention plan and sample records in compliance with GS1-SL schedule 7. Documentation of Sunshine Law, Public Records, and Ethics training for staff and TDC members 8. Meeting agendas, minutes and public notices for: • TDC Board meetings • DAC meetings • Umbrella committee meetings 9. DAC member vacancy notices, nomination forms, and appointment documentation Marketing, Programs &Assets 10. Approved annual marketing plan 11. Request for Proposals, Contracts and amendments with all Agencies of Record (AORs) 12. Documentation showing retention of all TDC/County-funded assets, including domain names, digital libraries, advertising and promotional assets and research/data dashboards Strategic Planning & Certification 13.
