Nbmdptlz Bohfmjdb!Nbmdptlz Ebuf;!3136/23/13!21;11;3:!.16(11( SERVICES AGREEMENT (NOT TO EXCEED $100,000.00) 0lb THIS SERVICES AGREEMENT is entered into this __ day of December 2025, by and between MONROE COUNTY DENISE ROHRER & ASSOCIATES, 557 Heck WHEREAS, the County has employees who work remotely in states other than Florida. As a result, there is a need to administer tax, reporting, and other compliance matters for those employees in their respective states. The County does not have expertise in the employment tax, and other related requirements that are specific to those other states. Therefore, the County is retaining this Firm to perform those activities and services; and WHEREAS, the County wishes to enter into this Agreement with the Firm in order to provide those state WHEREAS, the Firm has represented that it is qualified and capable of providing the Services and that it wishes to enter into the Agreement. NOW THEREFORE, IN CONSIDERATION of the mutual promises contained herein, the parties agree as follows: 1. Term: The term of this Agreement will begin with execution of this Agreement by both parties, and run indefinitely until terminated, subject to the maximum dollar amount of the Agreement as set forth below. erformance and obligation to pay under this Agreement is contingent upon annual appropriations by the Monroe County Board of County Commissioners. 2. Scope of Services: The Firm will provide the services described in the attached proposal, Exhibit A to this Agreement. All services will be performed by the Firm under the supervision of Denise Y. Rohrer, CPA . 3. Qualifications and Licenses: Rohrer is licensed to practice as a certified public accountant in the State of Florida. Rohrer represents that at all times throughout the performance of this Agreement, she will maintain an active license with the appropriate Florida licensing and regulatory agency. If at any time the license becomes inactive or delinquent, Rohrer shall notify the County within two (2) business days, at which time the County may take such action as necessary, including termination of the Agreement. 4. Payment: The County shall compensate the Firm according to the terms set forth in the attached Proposal (Exhibit 1 Ejhjubmmz!tjhofe!cz!Disjtujof! Ivsmfz!
