ITEM BACKGROUND: The BOCC entered into an Interlocal Agreement with the Key Largo Wastewater Treatment District (KLWTD) and the Florida Keys Aqueduct Authority. Said agreement calls for the BOCC to convey title to the 21-acre wastewater treatment plant site at mile marker 100.5 to the KLWTD, subject to a conservation easement on the portion of the property not intended for development. Given that the final site plan for the treatment plant is not complete and said plant may be expanded to a regional facility at some point in the future, staff has prepared a conservation easement allowing the maximum development allowed by the County code (20% or 4.2 acres) on the most disturbed portion of the site, with the understanding that the easement area may need to be relocated in the future to accommodate the final site plan. Alternatively, the KLWTD prefers to grant the conservation easement after the development permit is issued. The KLWTD's recommended resolution is also attached. The County agrees to provide $250,425 as a grant, in addition to the $100,000 loan already provided to the District, as set forth in the Interlocal Agreement attached hereto and marked as Exhibit G and described above. Specifically, the grant shall be utilized for design, engineering, legal and all related administrative tasks required for implementation of the Key Largo Trailer Village and Key Largo Park projects. The County will forward to the District twenty percent (20%) of the $250,425, which is the amount of $50,085, upon execution of this Agreement. Upon District submission to County of written request for additional sums from this $250,425 commitment, based upon previous expenditure documentation submitted to the County, the County shall disburse additional reimbursements not to exceed the stated 20% ($50,085). 8. The County agrees to consider adopting a Municipal Services Taxing Unit ("MSTU") for the District, pursuant to the District's Amended Resolution 2003-4, attached hereto and marked as composite Exhibit I. Pursuant to this Resolution, the District requested that the County establish an MSTIJ for the District, pursuant to section 125.01 (1)(q), Florida Statutes, and requested a millage rate not-to-exceed .35. This item will be placed on the County Commission meeting agenda as a request for advertisement on February 19, 2003, and will be considered for adoption at the May 21, 2003 County Commission meeting, pursuant to the attached draft County Ordinance (attached hereto as composite Exhibit I). B. The District is required to, and has in fact established a federally-insured account for the funds at a financial institution authorized by State law to receive deposits of public funds. The District must deposit the funds in said account, and account for all expenditures as required by Florida law and accepted government accounting standards. C. Transfer of Real Property. ~~ 1. The County agrees to transfer the land known as the "Mile Marker 1 DO.5'? Parcel to the District within 90 days of execution of this Agreement for purposes of establishing a wastewater treatment plant. The parties agree that the District is obligated to meet all of the conditions contained within the U.S. Fish & Wildlife Service ("FWS") and FEMA documents, attached hereto and marked as Exhibits J and K, respectively. 2. The County will retain a conservation easement in accordance with Monroe County regulations on the portion of the property not intended for development. D. Affordability and Financing Obligations. I. FEMA requires that the County meet Environmental Justice standards relating to project affordability in order to receive FEMA funds for Key Largo Trailer Village. 2. The County believes that the Environmental Justice criteria will be necessary at a minimum throughout the County to provide grant funds to Low and Very Low Income homesteaded property owners and has adopted a policy in this regard, pursuant to 7 Wastewater RESOLUTION NO. - 2003 A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA AUTHORIZING CONVEYANCE OF REAL PROPERTY KNOWN AS THE MILE MARKER 100.5 PARCEL TO THE KEY LARGO W ASTEW ATER TREATMENT DISTRICT AND ACCEPTANCE OF A CONSERVATION EASEMENT. WHEREAS, Monroe County (hereinafter "County"), the Florida Keys Aqueduct Authority, and the Key Largo Wastewater Treatment District (hereinafter "District") entered into an Interlocal Agreement dated February 26, 2003 (hereinafter "Interlocal Agreement"); and WHEREAS, Section 2.03 (C) of the Interlocal Agreement provides for the County to convey to the District the real property known as the Mile Marker 100.5 parcel (hereinafter "subject property" and more particularly described in Exhibit A) for the purpose of establishing a wastewater treatment plant; and WHEREAS, the Interlocal Agreement provides for the County to retain a conservation easement as required by the Monroe County Land Development Regulations on the portion of the property not intended for development; and WHEREAS, the Board of County Commissioners of Monroe County deems it to be in the best interest of the health, safety, and welfare of the public to transfer said property for the purpose of a wastewater treatment plant; now, therefore BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA: Section 1. The parties recite and declare: The Grantor is the owner of certain real property commonly known as the MM 100.5 Wastewater Treatment Plant Site (the servient estate), more particularly described as follows: Parcel A: All of Lot 31 and that portion of Lots 22 and 23 lying Southeast of Old State Road 4A, MODEL LAND COMPANY, Section 28, Township 61 South, Range 39 East, according to the plat thereof, recorded in Plat Book I, Page 68 of the Public Records of Monroe County, Florida and Parcel B: all that portion of Lot 30 ofP.F. Sec. 9.5-336 of the Grantee's land development regulations requires that certain areas of the servient estate be retained as open space and preserved in their natural condition if the servient estate is to be developed as a Wastewater Treatment Facility. The parties agree as follows: 1. Grant of easement. Pursuant to that certain lnterlocal Agreement dated February 26, 2003 between Grantor, Grantee, and the Florida Key Aqueduct Authority, the Grantor hereby grants to Grantee the easement described below. 2. Character of the easement and governing law. This easement is a conservation easement under Sec. 704.06, Fla. Stat. and is to be governed by, construed and enforced in accordance with that statute and with the applicable laws of the State of Florida. 3. Location of the easement. a. The conservation easement is located as follows: All of that servient estate described above, less and except the 4.2 acre buildable area having the dimensions of208 feet by 877 feet along the property's southern boundary. b. The location of the easement is also described in the diagram attached to this instrument as Exhibit "A" and, by reference, made a part of as fully and to the same effect as ifset forth in this instrument in its entirety. c. Grantor and Grantee understand and agree that the Grantor may propose for consideration by Grantee a reconfiguration of the buildable area so as to simplifY access to the buildable area by road and by subsurface pipelines. Any such proposal will minimize the amount of land disturbed and maintain, to the extent practicable, natural vegetative screening of the "Buildable Area" from adjacent roads. Grantee will consider any such proposal, and will not unreasonably withhold its consent to the same. 4. Restraints imposed bv the Conservation Easement. The conservation easement granted by this instrument imposes the following restrictions on the future use of the servient estate within the easement area: 2 a. No removal, trimming or pruning of trees, shrubs, or other vegetation (except non-native vegetation whose removal is authorized by the Grantee's biologist). b. No acts that are detrimental to wildlife or wildlife habitat preservation. c. No excavation, dredging, or removal of loam, peat gravel, soil, rock, or other material substances is such manner as to affect the surface. d. No activities detrimental to drainage, flood control, water conservation, erosion control and soil conservation. e. No dumping or placing of soil or other substance or material as landfill or dumping or placing of trash, waste, or unsightly or offensive materials. 5. Terms and persons bound. This conservation easement is perpetual, runs with the land and is binding on all present and subsequent owners and mortgagees of the servient estate. Grantor represents that the mortgagee(s), if any, whose consent is attached hereto, is (are) the only mortgagee(s) having a security interest in the servient estate. 6. Entire Agreement. This Agreement constitutes the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this agreement is not binding upon either party except to the extent incorporated in this Agreement. 7. Modification of Agreement. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement is binding only if evidenced in writing and signed by an authorized representative of each party and by any mortgagee. 8. Attorney's fees. In the event of any controversy, claim or dispute arising under this instrument, the prevailing party is entitled to recover reasonable attorney's fees and costs. 9. Entry of Grantee's representative on the servient estate. The Grantee's representative on the servient estate, after first furnishing the Grantor no less than 24 hours notice, shall have the right of entry for the purposes of inspection to determine the Grantor's compliance with this Agreement. 3 10. Notice. Any notice provided for or concerning this Agreement must be in writing and is sufficiently given when sent by certified or registered mail, or via an equivalent service furnished by a private carrier, to the respective address of each party as set forth at the beginning of this Agreement. The District acknowledges its future obligation under the hrterlocal Agreement to convey to the County a conservation easement in accordance with Monroe County regulations on the portion ofthe parcel not intended for development (See Tnterloc.11 Agreement. Section 203.C.2) and Monroe County Code Section 9.5-337(a). Further, the District acknowledges that the parcel is subject to the open space requirement provided in Monroe C01L'"lty Code Sections 9.5- 347 and 9.5-82(g), as well as any other applicable Monroe County regulations. The District believes that granting a conserva~ion easement at this time is premature, and that the conservation easement should be developed and memorialized in the manner contemplated in Monroe County Code Section 9.5- 33i(a), i.e.) after the development permit is issued to the district and site preparation commenced. Reynolds Executive IlIllClor On 11 December 2003, the FKAA received and opened sealed bids for the water and wastewater improvements for the Conch Key and Baypoint wastewater systems. In order to satisfY our commitment to the BOCC, and so we could develop information on costs of wastewater systems in the Florida Keys, we bid a variety of combinations of wastewater treatment plants (WWTP), transmission systems, and collection systems. Because of the array of bids, they are still being tallied and thus are unofficial, however, the following summarizes some of the more salient bid results: · Conch Key · Low Bid - Douglas N. Higgins (Naples, FL): $1,458,500.00 Of the four bidders, Higgins' low bid included the transmission main to Hawk's Cay from Conch Key as requested by many Conch Key residents. As a comparison, the cost of the stand alone WWTP on Conch Key was $2,831,585.00. So, the option of sending wastewater to Hawk's Cay resulted in a cost savings of $1,373,085.00. The low bid for the stand-alone plant on Conch Key was greater than the $2.6M estimated construction cost for the stand alone WWTP option. Although we still need to determine adequate amounts for Conch Key's share of the Hawk's Cay WWTP future upgrades, it was apparent that use of an existing larger facility in this case certainly provided some financial benefits. · WWTP We included a base bid for a concrete WWTP however, we also included various bid line items for WWTPs in stainless steel, painted carbon steel. and precast concrete. Also, we included unit processes as membrane bioreactor (MBR), as well as the Modified Ludzak-Ettinger (MLE) (also known as USBF). Most bidders were very competitive, and some offered several alternate WWTPs for our consideration. Surprisingly, those bidders who did bid alternates, bid the stainless steel MBR as the cheapest WWTP alternative. ; J~. r Mr. James L. Roberts December 16. 2003 Page 2 . Baypoint · Low Bid - Douglas N. Higgins (Naples, FL): $5,078.515.27 Higgins' low bid was only approximately $77,500 lower than the second bid (1.3% difference), and for the most part, all seven bids were competitive. The low bid was greater than the $4.75M estimated construction cost. · WWTP The bid format described in Conch Key was also used in Baypoint. Several bidders bid competitive alternate WWTPs however, again bids for this very small 75,000 gpd WWTP averaged over $2.0M. The low bidder bid the USBF plant with concrete tanks not coated steel tanks. We also offered a deduct for both projects in the event that one bidder bid Baypoint and Conch Key. Two bidders offered deducts however, were not competitive as the low bidder. We received very good bidder participation, and based on the bids received and the activity during the bid period, it appeared the bidders were clear on their bid, were competitive, and considered the difficulties of working in the Florida Keys. The low bidder Higgins, also has a decent history of having completed work in the Florida Keys hence, their local experience should be of great benefit. Reynolds Executive DitecIor As you are aware, the f'K.AA entered into an Inter-local Agreement with Monroe County to prepare a design/build Request for Proposals (RFP) for a wastewater system to serve the Rockland, Geiger, and Big Coppitt Key area. I have attached a copy of the proposed RFP schedule for your review. The FKAA began preparation of the RFP upon approval of the Inter-local Agreement by the BOCC on October 15, 2003. The actual preparation of the RFP document is scheduled for completion by the beginning of May, 2004. We have provided for at least two public meetings during that time. Although the RFP documents will be complete by May, there are two issues that we must resolve with assistance from the County that could delay the actual advertisement of the bids. 1. Site selection - In order to advertise the RFP documents, we must identify and secure the sites necessary for the vacuum stations and pump stations, and the site for the sewer plant that could be installed in the area in lieu of the Key West Resort Utility (KWRU) option. The RFP will be structured to allow the bidders the option of proposing a sewer plant on Rockland Key, or pumping the sewage to the KWRU plant on Stock Island. As you are well aware, site selection is a very sensitive subject with residents, and could take some time to resolve with several public meetings. We look forward to meeting with you and your staff to plan the site selection process. 2. Trailer Parks - We need to prepare a list of all the trailer parks and identify the types of systems they have and how they should be connected to the proposed system. We anticipate meeting with each trailer park owner/association individually to discuss their unique situation. Depending on the response we get from the trailer parks, this process could delay advertisement of the RFP because it is necessary to indicate in the RFP documents how the Contractor is expected to accommodate them. Environmental Assessment - In order to remain eligible for grant funding, an Environmental Assessment (EA) must be performed for the project sites. lbis process has been initiated, but cannot be completed until the site selection process is finalized. Any delays in site selection will delay the EA and ultimately the award of the contract. If there are no significant delays, the project schedule anticipates award of a contract to construct the Big Coppitt wastewater project by October 1, 2004.
