All costs will be paid from MTH Operating Fund 403. ITEM BACKGROUND:: The current agreement with Volaire is for air service development at both airport, but an amendment is needed to add billing and expense rates for air service consulting services for MTH. PREVIOUS RELEVANT BOCC ACTION: On June 21, 2017, the BOCC awarded the first five (5) year master agreement for professional services for air service development with Volaire Aviation and on June 15, 2022, the BOCC awarded the current five (5) year agreement. DOCUMENTATION: Volaire Aviation First Amendment (MTH) FINANCIAL IMPACT: Effective Date: February 1, 2022 Expiration Date: July 31, 2027 Total Dollar Value of Contract: Based on fee for services shown in Exhibit A-2 Total Cost to County: $0 Current Year Portion: unknown Budgeted: yes Source of Funds: MTH Operating Fund 403 CPI: n/a Indirect Costs: n/a Estimated Ongoing Costs Not Included in above dollar amounts: n/a Revenue Producing: No If yes, amount: Grant: n/a County Match: $0 Insurance Required: Yes I" AMENDMENT TO MASTER AGREEMENT FOR PROFESSIONAL SERVICES THIS 1ST AMENDMENT TO THE MASTER AGREEMENT, is made and entered into this 1 lth day of March 2026, by and between Volaire Aviation, Inc., with a place of business at 8500 E. 116th Street, Suite 728, Fishers, Indiana 46038 (hereinafter called "Consultant") and MONROE COUNTY, a political subdivision of the State of Florida, represented by its Board of County Commissioners (hereinafter called "County"), collectively referred to herein as "Parties", provides as follows: WHEREAS, on the 15rh day of June 2022 the Consultant entered into an agreement with the County (Original Agreement) in order to provide Air Service Development Consulting Services for the County at the Key West International Airport (hereafter KWIA) and the Florida Keys Marathon International Airport (hereafter FKMIA); and WHEREAS, the Original Agreement between the parties contains an "Exhibit A" which specifies the Consultant's billing and expense rates for services associated with KWIA; and WHEREAS, the parties wish to amend the Original Agreement to add an additional exhibit, Exhibit A-2, to provide the billing and expense rates for services associated with FKMIA; NOW THEREFORE, in consideration of the mutual covenants and provisions contained herein, the parties amend the Original Agreement as follows: SECTION 1. Article 3.C. of the Original Agreement is amended to read as follows: C. The Consultant shall submit to the County an invoice on a monthly schedule in arrears with supporting documentation acceptable to the Clerk in accordance with billing and expense rates contained within Exhibits "A" and "A- 2". Acceptability to the Clerk is based on generally accepted accounting principles and such laws, rules and regulations as may govern the Clerk's disbursal of funds. SECTION 3. The terms of this amendment shall apply retroactively to February 1, 2026. SECTION 4. All other provisions of the June 15,2022 Original Agreement, not inconsistent herewith, shall remain in full force and effect.
