ITEM BACKGROUND: This is the on-call professional engineering services for Category A Canal master planning services as part of the County canal restoration program. All work performed under the contract is funded by EPA grants. This is a one-year renewal, authorized under the contract terms and conditions. PREVIOUS RELEVANT BOCC ACTION: 08-18-21: Approval to advertise on call professional engineering services for the resilience and canal restoration programs, including Category A - Canal Master Plan Program Planning Services, Category B -Canal Infrastructure Engineering Services for Projects and Category C - Resilience/Environmental Engineering Services. RFQ was issued in August 2021. 01/21/22: BOCC approval to contract with Wood Environment&Infrastructure Solutions,Incorporated for Category A, Canal Master Plan Program Planning Services. 11/15/22: Approval to enter into $0 Amendment No. 1 to the contract with Wood Environment & Infrastructure Solutions, Incorporated for on-call professional engineering services for the Category A - Canal Master planning Services to effect a name change from Wood Environment & Infrastructure Solutions, Incorporated to WSP USA Environment & Infrastructure, Incorporated, retroactive to September 26, 2022. 07/17/24: Ratification of a$410,498.00 Grant Agreement No. SF-03DO9924-0 from the United States Environmental Protection Agency "EPA" for five water quality projects including 1) water quality sampling and monitoring, 2) technology effectiveness evaluation and nearshore connection study evaluation, 3) gravity injection wells monitoring, 4) public outreach, and 5) seagrass restoration within canals in the Florida Keys, retroactive to April 1, 2024 with $0 local match required; and to ratify the Certificate Regarding Lobbying by Monroe County. 07/17/24: Approval to enter into a $410,498.00 Task Order #1 to the contract with WSP USA Environment & Infrastructure Solutions, Incorporated (formerly Wood) under the Category A on-call contract for five water quality projects including 1) water quality sampling and monitoring, 2) technology effectiveness evaluation and nearshore connection study evaluation, 3) gravity injection wells monitoring, 4) public outreach, and 5) seagrass mitigation evaluation to help streamline the permitting process, funded by EPA Grant Agreement No. SF-03D09924-0, retroactive to May 4, 2024. 01/15/25: Approval to enter into Amendment #2 to the contract with WSP USA Environment & Infrastructure Solutions, Incorporated (formerly Wood) under the Category A on-call canal master planning contract to effect a name change from WSP USA Environment&Infrastructure,Incorporated to WSP USA, Incorporated,retroactive to January 1, 2025. 09/10/25: Approval to enter into a$393,888 Task Order#2 to the contract with WSP USA,Incorporated under the Category A on-call canal master planning contract for a canal water quality monitoring program and ranking shoreline management practices, funded by EPA Grant#05-D37325. FOR ON CALL PROFESSIONAL ENGINEERING SERVICES FOR CATEGORY A CANAL MANAGEMENT PROGRAM AND MASTER PLANNING SERVICES THIS AMENDMENT NO. 3, dated April 15, 2026 to the Agreement for On Call Professional Engineering Services for Category A Canal Management Program and Master Planning Services ("Agreement") by and between the Monroe County Board of County Commissioners ("COUNTY") and WSP USA Inc. (collectively, "the parties") executed on January 21, 2022 as amended November 15, 2022 (Amendment #1) and amended on January 15, 2025 (Amendment #2), is entered into as follows: WITNESSETH: WHEREAS, Article 11, Section 2.4 of the Agreement executed between the parties on January 21, 2022, set forth a four-year term for the Agreement beginning on January 21, 2022, and ending on January 21, 2026; and WHEREAS, Article II, Section 2.4 of the Agreement further provides that, at the election of the COUNTY, the Agreement may be extended for one (1) additional year; and WHEREAS, the COUNTY desires to exercise the option to extend the Agreement for one (1) additional year as set forth in Article II, Section 2.4 of the Agreement; and WHEREAS, the COUNTY and CONSULTANT agree to amend the Agreement to extend the period of performance to January 21, 2027. NOW, THEREFORE, in consideration of mutual promises, covenants and contracts stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, COUNTY and CONSULTANT agree as follows: L.1 TERM OF AGREEMENT The Contract is extended retroactively from January 21, 2026 to January 21, 2027. All other provisions of the AGREEMENT shall remain in full force and effect.
