Should you have any questions please feel free to contact me at(305) 292-3550. cc: County Attorney Finance File KEY WEST MARATHON PLANTATION KEY 500 Whitehead Street 3117 Overseas Highway 88770 Overseas Highway Key West, Florida 33040 Marathon, Florida 33050 Plantation Key, Florida 33070 AMENDMENLL3rd AMENDMENT TO AGREEMENT �4'1 THIS AMENDMENT to Agreement dated this j�L"'day20th of—�IA4_2026, is entered into by and between the Board of County Commissioners for Monroe County (County), on behalf of the Tourist Development Council, and Axis Travel Marketing Limited LLC (Contractor), WHEREAS, there was an Agreement entered into on August 17, 2022, between the parties, for Contractor to provide International Travel Services, in the United Kingdom; Ireland; Scandinavia; Italy; Germany; Austria; Switzerland; and Benelux which promote tourism for the Tourist Development Council; and WHEREAS, there was an 1st Amendment to Agreement entered into on July 16, 20,25 to exercise the option to extend the Agreement for International Travel Services for an additional two (2) year period under the same terms and conditions and to to temporarily expand the scope of services to include public relations services while Visit Florida Keys prepares a competitive solicitation for these services; and WHEREAS, there was a 2nd Amendment to the Agreement entered into on November 12, 2025 to revise Attachment B to reallocate funding in the amount of $7,000 from the Monthly Service fee to the Business to Consumer Editorial Campaign, and WHEREAS, it has become necessary to revise the agreement to revise paragraph 4 of the Agreement outlining compensation to increase the monthly compensation from $9,000/ month to $10,,250/month; and NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree to the amended Agreement as follows: 1. Paragraph 4 of the Agreement shall be revised to read: Compensation: Contractor shall be compensated in an amount of $123,000, (One Hundred and Twenty Three Thousand Dollars) per year, excluding any reimbursable expenses to perform the Scope of Services. The Contractor shall submit to the TDC Administrative Office twelve (12) monthly billings for $10,250 (Ten Thousand Two Hundred and Fifty Dollars) for staff and contracted services in arrears. Payments and reimbursable costs to agency shall be sent by County via wire directly to Ms. Emma Cashmore, Axis Travel Marketing, Riverside House, River Lawn Road, Tonbridge, UK TN9 IEP, Reimbursable costs to sub- agency if applicable shall be sent by County via wire directly to Sub Agency Get It Across GmbH & Co KG, Neumarkt 33, 50667 Cologne, Germany. 2. This Amendment shall be retroactive to October 1, 2025. 3. The remaining provisions of the agreement dated August 17, 2022 and amended on July 16, 2025 and November 12, 2025 shall remain in full force and effect.
