Approval for the Administrator to send a Notice of Termination of a Lease Agreement between
Monroe County, Florida, and New Cingular Wireless PCS, LLC, a Delaware limited liability
company, successor in interest to BellSouth Mobility, Inc. ("Tenant"), effective October 17, 1995; and
to negotiate updated terms and conditions in the form of an amended and restated lease agreement in
order to facilitate AT&T's continued occupancy of the County's Plantation Key Tower; Granting
authority for the Administrator to execute any additional documents required for the lease termination.
ITEM BACKGROUND:
Monroe County entered into a lease agreement with BellSouth Mobility, Inc. for the construction of,
and tenancy on, a 300 foot self-supporting communications tower(lattice tower) located at the
Plantation Key Government Center. The original lease agreement established an initial term of ten
(10) years, with three (3) additional five (5) year renewal options. It also required a six (6)-month
notice of intent to terminate; otherwise, the agreement would automatically continue on an annual
basis until terminated by either party. The County Clerk's Office has no record of receiving the $1
annual lease payments. The lease term and any extensions have been fully realized, and the lease is in
an auto-renewal posture.
This item seeks approval from the BOCC for the County Administrator to issue a formal letter,
providing six (6) months' notice of termination in order to terminate the lease agreement. The
termination will enable County staff to negotiate a market rate lease with AT&T (Previously
BellSouth Mobility), as well as other telecommunications carriers present on the tower.
PREVIOUS RELEVANT BOCC ACTION:
On September 17, 1995, Monroe County entered into an agreement with BellSouth Mobility, Inc. for
the construction of, and tenancy on, a communications tower located at the Plantation Key
Government Center.

Dear Mr. Gannon:
Reference is made to the 1995 Lease Agreement(the "Agreement"),dated as of October 17, 1995,
by and between Monroe County,Florida("we," "us," or "our") and New Cingular Wireless PCS, LLC, a
Delaware limited liability company, successor in interest to BellSouth Mobility, Inc. ("you" or "your").
We hereby notify you that we have elected, pursuant to Sections 5, 6, and 7 of the Agreement, to
terminate the Agreement, effective immediately or as of the soonest date allowable pursuant to the
Agreement.
The County is willing to negotiate updated terms and conditions in the form of an amended and
restated lease agreement in order to facilitate your continued occupancy of the County's Plantation Key
Tower(approximately 300 foot self-supporting lattice tower and any associated building space within the
compound). Due to the age of the arrangement, significant changes and updates are required in order to
facilitate that outcome.
Pursuant to Section 5, payment of rent is due immediately, and any past due rent must be
immediately remitted, with interest as may be applicable. The County hereby requests an accounting of
all rental payments that you have previously tendered to the County pursuant to the Agreement.

COUNTY and TENANT agree that the Dismantled Tower may not be
reusable due to its current condition. TENANT shall not be
responsible for any damages to the Dismantled Tower as a result of
TENANT's dismantling thereof. Dismantling of the Dismantled Tower t

x (3) Purchasing coaxial cables necessary for Monroe
County's communications facilities and installing antennas and
coaxial cables for Monroe County's communication facilities, lt,
B. TENANT shall prepare, at its expense, all necessary IF

s` -_' reasonable discretion, and COUNTY agrees to make and file all
required applications with the appropriate zoning authority and

and/or site planning of the Tower, Building and the Property as may
be required for the use intended by COUNTY and TENANT. COUNTY
°1 shall have been deemed to have approved the drawings if COUNTY has
s�6 not given written notice of its approval, disapproval or if COUNTY
4r'4 has not delivered written objections to TENANT within ten (10) F
business days of COUNTY's receipt of such drawings; TENANT will bo
responsible for any filing fee expenses that may be associated with
the zoning and/or site plan procedure. In addition, TENANT shall
have the right to file any applications for certificates, permitsy t,tF"` rYtFns' irs� '

r and other approvals that may be required by any federal, state or
k local authorities. COUNTY agrees to cooperate, in a timely manner, . L � A

method of addressing the objections, either party shall have the
r right to terminate this Agreement.

party, both COUNTY and TENANT agree to exercise their best efforts
to properly and diligently resolve such problems after notice of
any such interference. COUNTY agrees not to modify any current use
