Ordinance 034-1993 _ f, FLED FOP R r C O R Mayor London DRAFT #6 °93 DEC 16 P OORDINANCE NO. 034 -1993 AN ORDINANCE AMENDING ORDINANCE NO. 015-1992, WHICH CREA E] , THE MARINERS HEALTH CARE SPECIAL TAXING DISTRICT JgHHAMENDING SECTION 8(6) (c) IN ORDER TO AUTHOREEZE Chi 3PEi •MPR TO EXECUTE ANY DOCUMENTS NEEDED TO EXTINGUISH THE LEASE AND OPERATING AGREEMENT BETWEEN THE DISTRICT AND MARINERS HOSPITAL AND BY AMENDING SECTION 8(7) IN ORDER TO TERMINATE THE DISTRICT TAX AND AUTHORIZING A REFUND OF TAXES PAID IF MARINERS HOSPITAL (KEYS HOSPITAL FOUNDATION, INC. ) ENTERS INTO A CON- STRUCTION AND OPERATING AGREEMENT WITH SOUTH MIAMI HEALTH SYSTEMS, INC. ; PROVIDING FOR SEVERABILITY; PROVIDING FOR REPEAL OF ALL ORDINANCES INCONSISTENT HEREWITH; PROVIDING FOR INCORPORATION INTO THE MONROE COUNTY CODE; AND PROVIDING AN EFFECTIVE DATE WHEREAS, it is anticipated that Mariners Hospital (Keys Hospital Foundation, Inc. ) will shortly enter into a construction and operation agreement with South Miami Health Systems , Inc. ; WHEREAS, if that occurs , the levy of the ad valorem tax on behalf of the Mariners Health Care Special Taxing District, and the continued possession of the revenue by the District, will no longer be needed; and, WHEREAS, it will also be necessary to extinguish any exist- ing leases or operating agreements with Mariners Hospital; now, therefore, BE IT ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, that : Section 1 . Section 8(6) (c) of Ordinance No. 015-1992 is hereby amended to read as follows : c) The facilities and equipment financed with the revenues from Mariners Health Care Taxing District shall, be owned by the District. Keys Hospital Foundation, Inc. shall enter into a 99 year lease, with the District for the real property upon which the facilities and equipment are to be located. Keys Hospital Foundation, Inc. and the District shall also enter into an agreement for the operation of Mariners Health Care Facility by Keys Hospital Foundation, Inc. , as public not for profit health care service provider and facility as authorized by Sec. 125 . 01 (1) (q) , Fla. Stat. The governing body and Keys Hospital Foundation, Inc. shall record a document giving notice of the District' s ownership and lease of the above-referenced facilities , equipment, and real property. However, upon the Keys Hospital Foundation, Inc. signing a contract with South Miami Health Systems , Inc. , for the construction and operation of Mariners Hospital, the Mayor is authorized to execute, on behalf of the District, any documents required to extinguish the outstanding lease and operating agreement. Section 2. In order to waive the District ad valorem tax for the years 1994-1996 and to provide for refund of taxes paid if a contract between the Keys Hospital Foundation, Inc. , and South Miami Health Systems , Inc. , is entered into, Section 8(7) of Ordinance No. 015-1992 is hereby amended to read as follows : 7 . The District hereby waives the power to assess a tax for 1994 and subsequent years . Upon Keys Hospital Foundation, Inc. and South Miami Health Systems , Inc. executing a contract for the construction and operation of a new facility and the Board of County Commissioners determining that the arrangement is a viable one, the Board of County Commissioner may make appropriate disposition of the funds remaining on deposit, and upon the payment of the outstanding District obligations, the governing board will undertake to do whatever may be necessary to refund the District taxes previously collected, notwithstanding anything to the contrary contained elsewhere in this Ordinance. Section 3. If any section, subsection, sentence, clause or provision of this ordinance is held invalid, the remainder of this ordinance shall not be affected by such invalidity. Section 4. All ordinances or parts of ordinances in conflict with this ordinance are hereby repealed to the extent of said conflict. Section 5. The provisions of this ordinance shall be included and incorporated in the Code of Ordinances of the County • • of Monroe, Florida, as an addition or amendment thereto, and shall be appropriately renumbered to conform to the uniform numbering system of the Code. Section 6. This ordinance shall take effect immediately upon receipt of official notice from the Office of the Secretary of State of the State of Florida that this Ordinance has been filed with said Office.
