Enclosed are two copies of the subject Agreement, now fully executed and sealed by all parties. One copy should be forwarded to the Chamber and the other copy retained for your own records. In consideration OI the mutual convenants herein contained the parties hereto agree that: 1. This agreement shall be Iunded exclusively Irom third cent tourist inIormation service Iunds. Future adJustments to the Iunding shall be derived Irom or returned to third cent Iunds. 2. The chamber shall provide personnel to respond to telephone requests during the hours OI 9:00 a.m. to 5:00 p.m. ,Monday through Friday, Iive days per week, county holidays excepted. A telephone answering service shall be provided during unmanned hours. 3. When sUIIicient materials are available, the Chamber shall respond to all tourist-related requests Ior inIormation within Iive working days OI the receipt thereoI. 4. In order to ensure that generic materials representative OI the district are used, the Monroe County Tourist Development Council, (hereinaIter TDC), shall review Ior approval all material to be included in the district IulIillment package. 5. The Board (see paragraph 6) shall pay the Chamber all reasonable and actual out-oI-pocket costs Ior providing the District tourist inIormation services as budgeted. This shall include the costs OI a designated telephone line or lines, tourist inIormation mail inquiries, and related expenses which the Chamber incurs in perIorming this agreement. 6. The amount agreed upon is Iour thousand nine hundred and twelve dollars and three cents ($4,912.03) per month payable on the Iirst OI the month to cover labor and other associated costs in an amount equal to IiIty-eight thousand nine hundred and IortY-Iour dollars and thirtY-Iour cents ($58,944.34) annually. (See Exhibit A). 7. Actual expense reports, based on budgeted percentages as reflected in Exhibit A attached hereto, shall be submitted quarterly to the TOC, which shall forward them to the Board. The first, second, and third quarterly reports shall be submitted no later than 45 days after the end of the respective quarters, and the fourth quarterly report no later than 30 days after the end of the quarter. 8. In no event will the amount paid to the Chamber exceed the contract amount unless this contract is modified to include any additional amounts. Said contract modifications shall be approved by TOC and the Board as in the initial contract. 9. The budget shall be reviewed and may be adJusted annually to a change in the contracted amount. This adJustment shall on the first day of each county fiscal year. The term of this agreement shall be from October 1, 1988 to September 30, 1989. 12. Either party may cancel or request renewal of this agreement upon 60 days' prior written notice to the other. 13. Monroe County shall not be liable for any actions of Chamber employees. 14. All questions from the Chamber concerning this agreement shall be directed to the TOC administration. Attest: DANNY L.
