Resolution 238-1989 Public Works Division RESOLUTION NO. 238-1989 A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, AUTHORIZING THE MAYOR/CHAIRMAN OF THE BOARD TO EXECUTE A CONTRACT AGREEMENT BY AND BETWEEN WILLIAMS MOBILE OFFICES AND MONROE COUNTY CONCERNING THE TEMPORARY COURTROOM FACILITIES BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE COUNTY, FLORIDA, that the Mayor/Chairman of the Board is hereby authorized to execute a contract agreement by and between Williams Mobile Offices and Monroe County concerning temporary courtroom facilities, a copy of same being attached hereto. LE LEGAL ftl~'F'F, ," ., ~ ~~ffl]- 'J-:----,II/ / ' (J ~'."~/ CONTRACT THIS AGREEMENT, made and entered into this 28th day of April, 1989, A.D., by and between Monroe County, Florida, party of the first part (hereinafter sometimes called the "Owner"), and Wil- liams Mobile Offices, party of the second part (hereinafter some- times called the "Contractor"). WITNESSETH: That the parties hereto, for the consideration hereinafter set forth, mutually agree as follows: I. SCOPE OF THE WORK A. The Contractor shall furnish all labor, materials, equip- ment, machinery, tools, apparatus, and transportation, and perform all of the work as required in the Contrac- tor I s Proposal herein attached. Scope shall include complete installation of modular temporary courtroom buildings, one each on Marathon Government Center proper- ty and one each on plantation Key Government Center property. II. THE CONTRACT SUM A. The Owner shall pay to the Contractor for the faithful performance of the Contract, in lawful money of the Uni ted States, and subject to additions and deductions as provided in the Contract Documents. ..... _"___~~"~'''''_'''_''''~_~'_'''~'''''',,,,,,,,,,_,,",,,,,....._,_..~.....,~.'"";-...-__:.-,_.;:.",:....,'".~.dj'iif.-'A~~"6\"~_~N:J.:..._~~.3l.~~~&~;~:. III. A. COMMENCEMENT AND COMPLETION OF WORK The Contractor shall commence work immediately upon receipt of Purchase Order. ..,. B. The Contractor shall prosecute the work with faithful- ness and diligence and shall complete the work not later than 30 calendar days after receipt of Notice to Pro- ceed. C. Contract time shall begin on the first actual work day after receipt of Purchase Order. IV. CONTRACTOR'S ACCEPTANCE OF CONDITIONS A. It is expressly agreed that under no circumstances, conditions or situations shall this Contract be more strongly construed against the Owner than against the Contractor. B. Any ambiguity or uncertainty in the conditions shall be interpreted and construed by the Owner, and his decision shall be final and binding upon all parties. C. The passing, approval or acceptance of any part of the work or material by the OWner, or by its agent or repre- sentative, as being in compliance with the terms of this Contract shall not operate as a waiver by the OWner of strict compliance with the terms of this Contract; and the Owner may require the Contractor to repair, replace, restore, or make to comply strictly and in all things wi th this Contract, all of the work or materials which within a period of one year after the date of the pass- ing, approval, or acceptance of any such work or ~ateri- aI, are found to be defective or to fail in any way_ to comply with this Contract. This provision shall not apply to materials or equipment normally expected to deteriorate or wear out and become subject to normal repair and replacement before their condition is discov- ered. The Contractor shall not be required to do normal maintenance work under the guarantee provisions. Fail- ure on the part of the Contractor, immediately after notification, to repair or replace any such defective materials and workmanship shall entitle the Owner, to replace or repair the same and recover the reasonable cost of such replacement or repair from the Contractor, who shall be liable to the Owner for all damage, loss, and expense caused to the Owner by reason of the Contractor's breach of this Contract or his failure to comply strictly and in all things with this Contract. V. PARTIAL AND FINAL PAYMENT A. Subject to additions and deductions as provided by for- mal change order, the Owner shall pay the Contractor as follows: 1. Upon submission by the Contractor of evidence satis- factory to the Owner that all payrolls, material bills and other costs secured by the Contractor in connection with the work have been paid in full, full payment on account of this Agreement shall be made within sixty (60) days after completion of all work covered by this Agreement and acceptance of such work by Owner. VI. HOLD HARMLESS The Contractor shall defend, indemnify and hold the County, its officials, employees and agents harmless, from any and all claims, liabilities, losses and causes of action which may arise out out of the performance of the Contract, except such claims, liabilities, losses and causes of action which may arise because of the County's negligent actions or -.. omissions. Compliance with the insurance requirements shall not relieve the Contractor from the obligations imposed by this article.
