A RESOLUTION OF THE BOARD OF COUNTY COMMIS-
SIONERS OF MONROE COUNTY, FLORIDA, AUTHORIZ-
ING THE MAYOR/CHAIRMAN OF THE BOARD TO
EXECUTE A FLEET MAINTENANCE OPERATIONS
CONTRACT BY AND BETWEEN THE BOARD OF COUNTY
COMMISSIONERS OF MONROE COUNTY, FLORIDA, AND
TRANSPORTATION CONSULTANTS, INC.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
MONROE COUNTY, FLORIDA, that the Mayor/Chairman of the Board is
hereby authorized to execute a Fleet Maintenance Operations
Contract by and between the Board of County Commissioners of
Monroe County, Florida, and Transportation Consultants, Inc.
(TCI), a copy of same being attached hereto and made a part
hereof, enabling TCI to conduct an analysis of the County's
equipment and maintenance departments.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on theJ.3,.Lday of May, A.D. 1989.

RECITALS
.,..
A. The County wishes to determine the most efficient and
cost-effective methods of providing necessary services to the
citizens of the County, which is unique because of its geography
and demography. To this end, an honest, practicable and uncom-
plicated program which will improve overall fleet maintenance,
procurement and replacement is desired.
B. At a regular meeting on 21 March 1989, the Board approved a
proposal by TCI to conduct an analysis of the County's equipment
and maintenance departments. The proposal was received pursuant
to a duly published NOTICE OF CALLING FOR PROPOSALS.
C. The successful bidder was TCI, and in consideration of the
mutual covenants expressed herein, it is agreed that:

contract
covers a period of

on March 2nd , 1990.
2. CONTRACT AMOUNT - The Board shall pay TCI the sum of
$6,000 per month, in arrears, exclusive of normal travel expenses
such as air fare, lodging and meals. Monthly statements for the
services rendered and expenses incurred hereunder shall be
submitted to the Board within thirty days after the service is
rendered or the expense is incurred, and in a form which is
acceptable to the Board. Travel shall be approved by the Board
or its representative before it is undertaken.
3. CONTRACT TERMINATION - This contract may be terminated
for any reason by the Board upon 30-day written notice.
4. SUBJECT MATTER OF CONTRACT The purpose o~ this
contract is to enable TCI to conduct an analysis of the County~s
\ equipment and maintenance departments in order to determine how
operations may be improved and cost reductions may be achieved.
5. SPECIFIC SERVICES - Specific consultant services in the
areas of equipment operation, maintenance and management include,
without limitation,
a. Equipment acquisition and specifications
b. Equipment utilization
c. Maintenance procedures
d. Maintenance shop design and equipment
e. Shop staffing/training/evaluation/wage levels
f. Warranty recovery
g. Development of computer-generated data files and
implementation of a comprehensive preventive
maintenance, analysis, and management reporting

h. Shop safety/OSHA compliance
i. Vehicle/equipment replacement schedules and
programs
6. REVIEW OF PRESENT OPERATIONS - TCI shall conduct a
comprehensive evaluation of the present operation methodology and
parameters and develop the most efficient maintenance facilities.
The evaluation shall include location and staffing of such
facilities and concise identification and factual documentation
of implementation costs, future budget impacts and cost savings.
7.
FLEET AND SUPPORT EQUIPMENT
TCI shall provide a
comprehensive analysis of the condition and usefulness of the
entire fleet and related support equipment. A program for the
immediate replacing or upgrading of critical worn out or other-
wise useless shop equipment, as well as a viable, progressive and
ongoing replacement program shall be developed. A progressive
and ongoing fleet replacement program designed to prioritize
affordable and level annual procurement of necessary fleet
equipment shall be designed. All associated implementation costs
shall be comprehensively determined.
8. MAINTENANCE SHOP OPERATIONS - The following area~ shall
be specifically addressed:

Preventive maintenance programs and procedures
b. Tires (tread selection, manufacturer, inventory,
inflation)
c. Warranties (missed recovery, variances, warranty
inhouse)
d. Training (mechanics' qualifications, new
specifications'
e. Shop hours of operation
f. Accountability (direct vs. indirect, fuel, parts,

tires, cost)
g. Staffing (too few/too many)
h. Parts and related items (volume programs,
inventory control to be coordinated with the
County's purchasing department)
i. Equipment disposition (operating life, alternative
cycles)
j. Outside repairs (shop skill levels, pricing, down
time)
k. Shop procedures (design and equipment)
9. COMPUTERIZED MAINTENANCE - TCI shall develop a program
for collecting and recording the data required to implement and
operate a computerized maintenance program. Forms development,
personnel training and followup/tickler system methodologies
shall be included. Implementation costs, special staffing, and
budgetary impacts shall be identified.
10. SHOP SAFETY AND OSHA COMPLIANCE - TCI shall establish
policy and implement procedures to assure continued full compli-
ance with fundamental OSHA shop safety rules and with the rules
governing the handling of hazardous materials. Positive fiscal
impact and liability considerations of implementing this program
shall be documented.
11. DOT COMPLIANCE - TCI shall establish policy and imple-
ment procedures to assure continued full compliance with DOT
standards and shall identify positive fiscal impacts and liabil-
ity considerations of implementing this program.
12. ANALYSIS OF EXPANDED OPERATIONS - Tel shall determine

whether absorption of maintenance responsibility is feasible,'

iJpracticable and economically viable for all County departments
and for all County vehicles and equipment.
13. VEHICLE LIABILITY INSURANCE - TCI shall provide vehicle
liability insurance for bodily injury, property damage and
required no- fault coverages in the amount of at least $1,000,000
per occurrence and professional liability of at least $500,000
per occurrence.
14. CERTIFICATE OF INSURANCE - Coverage for all exposures
shall be underwritten by an insurer rated at least "A" or higher
by the A.M. Best Company insurance rating organization. The
Board shall be provided with a certificate of insurance requiring
notification of at least 30 days for termination for any cause.
Coverage shall remain in effect for the full term of this con-
tract.
15. INDEMNIFICATION AND HOLD HARMLESS - TCI shall defend,
indemnify, and hold the County, its officials, agents, and
employees harmless from all claims, liabilities, losses and
causes of action which may arise out of the performance of this
contract except such as may arise because of actions of the
County, its officials, agents or employees.
Compliance with
insurance requirements shall not relieve TCI from the obligations
imposed by this provision.
