of April 18, 1982 states that the County no longer has an interest in
said property.

Sub-lease agreement between Monroe County and
Key Largo Volunteer Fire Dept.
As per our phone conversation on December 5, 1977, con-
cerning the sub-lease agreement with Key Largo Volunteer Fire
Department, I contacted Mr. Stephen Kapflow of Key Largo Brand
Corporation.
He advised me that there was a problem relating to the
original lease agreement 'vhich was entered into on January 4, '977,
by and between Largo Brand Corporation and the County of Monroe.
He said that before he could give his approval to the sub-lease
that certain problems relating to the original lease agreement
would have to be corrected.
He has asked that I have the county attorney contact him so
that he may explain the problem areas.
I am enclosing his telephone number for your convenience. If
you have any questions concerning this matter, please centact my
office.

Dear James:
This is a follow-up to our telephone conversation and your
letter of December 6, 1977. As I advised, it would be more
appropriate for you to have the Fire Department's attorney and
personnel to determine what they need to have done to get the
property, then for the Fire Department's attorney to draw up
what is necessary and submit to the County for approval. We
tried it the other way last time and struck out.
Please have the above accomplished. I am available to
assist in order to get this matter moving.

Leonard has forwarded your letter of August 15th to me, and
I am happy to provide you with the following information. When
our property was rezoned, there were no requirements for us to
donate land for a fire department site or for any other purpose.

Although there are no requirements for us to make such a
donation we are most anxious to be of any help that we can to
Monroe County in as much as we are large property owners in the
County and would like to be cooperate in any way that we can.
It was for this reason that I agreed to make a portioh of our
property available to the fire department for construction of a
fire station. At the time that I met with the fire department,
I advised them that Largo Brand would be happy to donate its
land or to sell its land for the sum of $1.00 but that we had a
very large mortgage on the property. Inasmuch as we have not been
able to get our mortgage holder to consent to such atlonation,
there is very little that we can do at the present time. Solarelle
is now in the process of litigation due to the fact that we filed
a law suit against our lender last year. As Soon as this litiga-
tion is resolved, I will do everything that I can to have the
fire station site removed from the present mortgage. In the mean-
time, Largo Brand Corp. has no objection to the fire station being
built on the property and will cooperate in any way that it can
but Largo Brand does not have the legal authority to release the
property from the mortgage which presently encumbers the site.

Dear Mr. Payne:
As we had discussed briefly on the telephone yesterday, on
November 28, 1979, I met with representatives of the Key
Largo Fire Department. The purpose of this meeting was
to discuss the f~re department's desire to transfer the
ownership of both fire stations over to the County and in
turn have the County assume payment of the balance of a
I
promissory note to the Islamorada Bank which had been in-
curred by the members of the Key Largo Fire Department for
reconstruction of the North Fire Station. The balance of
the promissory note as of November 5, 1979 was $9,722.27
(copy attached).
Mr. Caskill, Attorney for the Key Largo Department, advised
me that since the creation of the taxing districts, con-
tributions have dropped considerably. This, he states, has
resulted in the department not having sufficient funds to
continue to pay the monthly installments on the promissory
note. In addition to that, he advised me that if an agree-
ment could not be reached with the County it may be necessary
for the Key Largo Department to sell the South Fire Station
in order to payoff the note on the North Station. In this
case there would be no place to house the fire equipment
and I am sure you will agree that this is a situation that
should be avoided.

Station #2, which is located on Largo Brand Corporation
property, is as follows:

Fire Station #2 will have to deal directly
with the individuals who have foreclosed on
the property known as Diversified Mortgage
Investments. I suggest that they contact
Mr. Kusic who might be able to assist them.

In response to your letter of April 10, 1980, please
be advised that the status of the North Key Largo Fire
Station #2, which is located on Largo Brand Corporation
property, is as follows:
1.
The County no longer has an interest in said
property and therefore, the North Key Largo
Fire Station #2 will have to deal directly
with the individuals who have foreclosed on
the property known as Diversified Mortgage
Investments. I suggest that they contact
Mr. Kusic who might be able to assist them.

corporation of the St.ate of Florida, hereinafter called the "Suu-

ordinary: of whatever name, nature, and kind, which are or may be
during the term o~ this Sub-Lease, levied, assessed, imposed and
charged upon the premises due to the husiness operated by the Sub-
Lessee, and in additi~n, the Sub-Lessee shall assume and pay any
ad valorem tax levied on the.premises herein demised which may be

d. Permit the Sub-Lessor or the Lessor or its ap,ent,
to enter at all reasonable times upon the demised premises for the
