I am enclosing herewith a copy of a memorandum to you dated
October 31, 1977 and also a copy of a Sub-lease Agreement between
the County of Monroe and the Key largo Volunteer Fire Department,
Inc., which was the subject of said memorandum.
Our records indicate that we have not received and do not have an
executed copy of the attached Sub-lease executed by the Key largo
Volunteer Fire Department, Inc.

SUB-LEASE-
THIS INDENTURE, made and entered into this 25th day of
October, A.D. 1977, by and between the COUNTY OF MONROE, STATE OF
FLORIDA, a political subdivision of the State of Florida, herein-
after called the "Sub- Les sor", T;Jhich term shall include its s uc-
cessors and assigns wherever the context so requires or admits,
and the KEY LARGO VOLu~TEER FIRE DEPARTMENT, INC., a non-profit
corporation of the State of Florida, hereinafter called the "Sub-
Lessee", which term shall include its successors and assigns
wherever the context so requires or admits,
WITNESSETH: That it is understood and agreed by and be-
tween the Sub-Lessor and the Sub-Lessee that this Sub-Lease is
subject to all of the terms, conditions and covenants contained
in that certain Lease made as of the 4th day of January, A.D. 1977,
by and between the County of Monroe, State of Florida, and Key
Largo Volunteer Fire Department, Inc., a Florida corporation, the
\I Sub-Lessee", and is subject to approval by LARGO BRAND COR?ORATION,
hereinafter referred to as "Lessor", and
WITNESSETH: That in consideration of the mutual promises
and covenants herein contained on the Dart of the Sub-Lessee, to
be kept and performed, the Sub-Lessor does hereby lease to the
said Sub-Lessee the following described property situate in Honroe
Co~~ty, Florida, to-wit:
Lots 10, 11, 12, 13, 14, and 15 of Block 5 of Plat
No. 5 Key Largo City, Plat Book 1, Page 176 as re-
corded in the Public Records of Monroe County,
Florida.
TO HAVE AND TO HOLD the premises aforesaid unto the Sub-
Lessee for twenty-five (25) years from the date first written above
except as set forth herein, said Sub-Lease being upon the following
terms, covenants and conditions:
1. The Sub-Lessee shall yield up and pay unto the Lessor,
as rental for said premises the sum of One ($1.00) Dollar per year
in advance for each year.

2. The Sub-Lessee shall not have the rlght to assign this
Sub-Lease or sublet any portion of the demised premises without
the express consent or approval of the Sub-Lessor first obtained
in writing.
3. The Sub-Lessor hereby covenants to and with the Sub-
Lessee that it will permit the Sub-Lessee to quietly hold and
enjoy the demised premises during the term of this Sub-Lease or
extensions or renewals thereof as long 'as the Sub-Lessee fully
keeps and performs all the terms, conditions and covenants herein
contained, without any interruption by the Sub-Lessor or by any
person claiming by, through, or under the Sub-Lessor except as
hereinafter provided.
4. The Sub-Lessee hereby covenants to and with the Sub-
Lessor that it will:
a. Promptly pay the rent herein reserved at the
times and in the manner provided. In the event of default on the
part of the Sub-Lessee for a period of thirty (30) days in making
any of the payments on its part to be made, this Sub-Lease shall
immediately terminate and any and all rights which the Sub-Lessee
may have had in and to the demised premises shall thereupon immedi-
ately cease and determine.
b. Make all necessary repairs, maintenance and de-
sired alterations and improvements after first obtaining the Sub-
Lessor's approval and at the sole expense of the Sub-Lessee, The
Sub-Lessee further agrees to promptly pay for the costs thereof,
and will not allow any lien or liens to remain unsatisfied on the
demised premises hy reason of non-payment; that in the event a
lien is placed against the demised premises by reason of such
improvements or alterations, it will promptly secure the release
of such lien by either paying the same or by the posting of a
security bond therefore, as provided by the Statutes of the State
of Florida in connection with the release of statutory liens.
c. Pay and discharge all utilities, sewer, personal
property taxes, workmen's compensation coverage, assessments,

be allowed to erect a similar s~gn on the premises described
hereinabove.
4. It is further understood and agreed by and between
the Lessor and the Lessee that the Lessee will:
a. Use the premises for the purpose of a translator
tower site including the erection of a tower and
the placing upon said pre~ises of other necessary
machin~ry, equip~ent and other property required
in the operation of a translator broadcasting
system.
b. Pay the rent herein reserved at the times and in
the manner stated herein.
c. Make no improper, unlawful or offensive use or
said prem~ses.
d. ~ Permit the Lessor or its agent to enter upon the
leased premises at all reasonable times for the
purpose of viewing and inspecting the condition
thereo f .
e. During the term of this lease, take out the neces-
sary liability insurance to save and keep the
Lessor harmless against any and all liability
resulting from injuries to persons or property
on or about the leased premises by reason of /~
Lessee's occupancy or use thereof.
f. Not sublet this lease, nor encumber the leased
pre~ises in any ~anner whatsoever, without the
prior consent of the Lessor.

during the term of this Sub-Lease, levied, assessed, ip~osed and
charged upon the premises due to the business operated by the Sub-
Lessee, and in addition, the Sub-Lessee shall assume and pay any
ad valorem tax levied on the premises herein demised which may be
imposed.
d. Permit the Sub-Lessor or the Lessor or its a~ent.
to enter at all reasonable times UDon the demised premises ror the
purpose of viewing the condition thereof.
e. During the term of this Sub-Lease save and keep
the Sub-Lessor and the Lessor harmless against any and all 1iabil-
ity resulting from injuries or damages to per~on, firm, corporation
or property in or about the demised premises by reason of any
accident or claim connected in any manner with the occupancy or
use thereof by the Sub-Lessee, and to carry proper and ample
liablity insurance and fire insurance with extended coverage on
the buildings or improvements placed on the demised premises

an insurance company of recognized rating and standing and UDon
which policy the Sub-Lessor and the Lessor, shall be named as
either the insured or co-insured.
The Sub-Lessee shall rurnish
the Sub-Lessor and the Lessor with at least fifteen (15) days
notice prior to cancelling any policy of insurance.
f. At the expiration of the term of this Sub-Lease,
without demand, quietly and peaceably deliver up to the Sub-Lessor
possession of said premises in a good state of repair. ordinary
wear and tear and damage by fire and the elements only excepted,
g. Sub-Lessee accepts and agrees by the execution
of this Sub-Lease, that the premises are in all respects in gooo
and proper order and good condition and accepts the same.
h. The Sub-Lessee agrees that should the property
herein leased be needed by the Sub-Lessor for public use in
