A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS
OF MONROE COUNTY, FLORIDA, AUTHORIZING THE
MAYOR/CHAIRMAN OF THE BOARD TO EXECUTE AN
AGREEMENT BETWEEN MONROE COUNTY AND THE SOUTH
FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM,
REGARDING THE JOB TRAINING PARTNERSHIP ACT TITLE
II-A/OJT PROGRAM.
BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF MONROE
COUNTY, FLORIDA, that the Mayor/Chairman of the Board is hereby
authorized to execute an agreement between Monroe County and the
South Florida Employment and Training Consortium, regarding the
JTPA Title II-A/OJT Program, a copy of same being attached hereto.
PASSED AND ADOPTED by the Board of County Commissioners of
Monroe County, Florida, at a regular meeting of said Board held
on the Jst day of ~, A.D. 1989.

ARTICLE I
TERMS OF CONTRACTUAL AGREEMENT
MONROE COU~!TY BOARD OF COUNTY COMMISSIONERS does hereby agree to implement and
operate a program entitled "JTPA" in accordance with all regulations defined by
the United States Department of Labor and the State of Florida for programs
operating under funds generated by the Job Training Partnership Act (JTPA) of
1982. MONROE COUNTY BOARD OF COU~TY COMMISSIONERS also agrees to implement and
operate the program in accordance with all regulations defined in Article V of
this Contract.
ARTICLE II
EFFECTIVE PERIOD OF PERrORMANCE
This Contract is negotiated between the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM and MONROE COUNTY BOARD OF COUNTY COMMISSIONERS, hereinafter referred
to as the Service Provider, from the twelfth (12th) day of June, 1989, to the
thirtieth (30th) day of June, 1990 at which time all performance other than
follow-up activities for employment verification and close-out procedures which
are required of the Service Provider in this Contract shall be completed at no
additional cost to this contract. All close-out procedures stipulated in Article
IV of the Service Provider Policies and Procedures Manual shall be completed at
no additional cost to this contract within thirty (30) calendar days after the
final Benchmarks have been achieved under this contract but no later than
October 31, 1990.

ARTI CLE II I
REIMBURSEMENT COSTS
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, in consideration for the
promise of services to be rendered by the Service Provider, does hereby agree to
reimburse allowable costs incurred by the Service Provider in the performance of
this program. Maximum reimbursement shall not exceed $47,613.
ARTICLE IV
ALLOWABLE REIMBURSEMENTS
Reimbursements are allowable u~der the following stipulations;
(a) Allowable reimbursements shall be defined as those costs which are
permitted by:
(1) The United States Government in the Federal Management Circulars,
the Code of Federal Regulations, and the Office of Management and
Budget (OMS) Circulars; and
(2) The State of Florida; and
(3) The South Florida Employment and Training Consortium as documen-
ted in the Service Provider Policies and Procedures Manual which
is part of this Contract.
(B) All reimbursement costs shall be paid from federal and/or state funds.
Costs incurred by the program cannot be allocated to any other
program(s) nor can costs incurred by other program(s) be allocated to
this program.
(C) All reimbursement costs shall be charged to itemized benchmarks as
defined in the Exhibit(s) of this Contract. Reimbursement costs shall
not exceed the maximum dollar amounts allocated for each benchmark in
the Exhibit(s); except as provided in Article IV, Section D of this
Contract.
(D) Contract Amendments affecting itemized benchmarks as well as amend-
ments affecting the total amount shall be at the the sole discretion
of the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM.
(E) In the event the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, the
State (f' Florida, and/or U. S. Department of Labor disallows any funds
that were reimbursed and/or advanced to the Servi ce Provider as a
result of fiscal audits of the Service Provider's program then the
Service Provider agrees to reimburse and indemnify the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM for any disallowed funds relating
to the fiscal audits of the Service Provider's programs, upon
completion of the audit appeals. In the event that the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM is to sue the Service Provider for
breach of the terms of this contract, and/or for violation of the
regulations and/or policies and procedures incorporated in this
contract, the Service Provider agrees to reimburse the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM for reasonable costs including
atturneys I fees if the SOUTH FLORIDA HiPLOYMENT AND TRAINING
CONSORTIUM prevails in the lawsuit.

(F) The Service Provider 5hall be required to notify the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM within two (2) working days of any
actual ur pot~lltial litigatiun or grievdllce involving a participant or
funds under this cO/ltract; further, that the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM 5hall have the right to intervene in such
litigation or grievdnce.
ARTICLE V
REGULATIONS
The Servic~ Provider does hereby agree to perform all activities related to the
program as defined in this Cuntract in accordance with the following poliCies
and procedures (A through E) which are in effect at the inception of this
Contract or as may be promulgated during its life:
(A) The Job Trdining Partnership Act as amended (PL 97-300); 20 CFR Parts
626, 627, 628, 629, 630, 631, 632, 633, 634, 635, 636, 637, and 638;
and Federal regulatiuns promulgated pursuant to the Job Training
Partn~rship Act.
(B) Directives, regulations, and rules issued by the State of Florida.
(C) The Service Provider Policies and Procedures Manual as edited dnd
provided by the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM for
the JTPA Program.
(D) Prugram Directives issu~d by the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM.
(E) Assurdllces and Certifications of the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM;
All of these pulicies and procedure5 are in effect at the inception of this Con-
tract and llIay be amended during the effective period of this Contract. All re-
gulatiulls and maliuals which dppedt' in Article V, paragraphs A, B, and C of this
Contract art:: incorporated into this Cuntract by reference; thereby forming an
integral pdrt uf this Contract.
ARTI CLE V I
SERVICE DELIVERY
The Serv i ce Pravi der does hereby agree to implement and operate the program by
delivering those services listed below, in compliance with the conditions herein
stated:
(A) The Service Provider is obligated to accomplish those program
objectives which have been defined in the Exhibit(s) of this Contract.
The Service Provider is also obligated to accomplish those objectives
within tht: period of this contrac.t, June 12, 1989 through June 30,
1990, except for employnlent verification activities, which shall be
accomplished no ldter thdn September 30, 1990, at no additional cost
to this contract.

(8) The Service Provider is obligated to insure that the enrollment of
participants meets the standards established in the Service Provider's
Affirnlative Actioll Plan and the Civil Rights Act of 1964 and does not
discriminate against these participants on the basis of race, color,
f1atiollal orgin, sex, age or handicap. The Service Provider will
comply with the tenets of Equal Employment Opportunity.
(C) The Service Pruvider is obligated to illsure that all operational
documents submitted to the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM rema i n i II force du ri ng the 1 i fe of thi s Contract.
(D) The Service Provider is obligated to insure that the Personnel
Policies and Procedures developed by the Service Provider are
app 1 i cab 1 e alld are equa lly enforced fur both JTPA and non":JTPA
pe rsonlle 1 .
The Service Provider shall also insure that each employee and enrollee
under thi s contract is informed of hi s or her ri ghts and benefits in
conllectiulI with the program illcluding the right to grieve or file a
complaint. Procedures for processing grievances or complaints are
outlined in the Service Provider Policies and Procedures Manual.
(E) These obligations shall be monitored by the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM through the Morlthly Cumulative Financial
Report and the Statement of Sources and Appl i cation of Program
Generated Income. The Monthly Cumulative Financial Report and the
Statement of Sources and Application of Program Generated Income
Report shall be submitted to the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM by the twentieth (20th) calendar day of each month.
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM may cite the
Service Provider as being 0ut uf compliance when data being reported
causes the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM to judge
that the goals dnd objectives of the program may not be achieved or
when otherwise reports submitted disclose existing or potential prob-
lems. The Service Provider shall be requested to submit d Corrective
Action Plan within five (5) working days when such citations are made.
(F) The Service Provider does hereby agree to operate within the
centra 1 i zed intake system es tab 1 i shed by the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM.
(G) The Service Provider does hereby agree to prominently incorporate the
name of the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM dnd the
Private Industry Council (PIC) of SOUTH FLORIDA when developing radio
or television coverage, any form of media press release or public
infurmation materials concerning the Service Provider's program.
These materials shall include announcements and articles in newspapers
and lIIagazines, and the printing of iflformational pamphlets, flyers,
and posters. Copies of these materials shall be forwarded to the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM at the time of
distributiun. The Service Provider does hereby agree to prominantly
display a sign, the type and style of which to be approved in advance
by the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM at the
location of the project. Agency does hereby voluntarily agree to
purchase said sigrJ from the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM at the cost of the sign.

(H) The Service Provider does hereby agree to accurately complete and
submit a 11 reports requ i red by the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM in dccordance with the procedures stipulated in
the Service Provider Policies dnd Procedures Manual.
(I) The Service Provider does hereby agree to accurately report all
progrdm income generated by the Service Provider's program to the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM. All program income
shd 11 revert to the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM
unless duthorized in writing otherwbe by the Executive Director of
the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM.
(J) The Service Provider does hereby agree that the Service Provider and
the Training Agent(s) specified in Attachment A of this Contract are
the ollly agencies thdt shall provide the specified services.
ARTI CLE V II
SUSPENSION OR DE-OBLIGATION OF FUNDS
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM has the authority to sus-
pend or de-obligate fund~ dllucated to the Service Provider for breach of any
provi~ion uf this Contrdct in accorddnce with Article VIII of this Contract.
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM shall be the sole judge for
determi ni ng whether the Servi ce Provi der hc.l~ comp 1 i ed with the terms and
condit ions governi rig thi s Contract. Reasons for suspens i on or de-ob 1 i gati on
shall include, but shall not be limited to the following:
(A) When it is determined that the Service Provider has not complied with
the obligations listed in this Contract, including the Services
Delivery obligations as stipulated in Article VI of this Contract;
(8) When it is determined that the Service Provider has not complied with
the requirements for corrective dctiorl as stipulated by the SOUTH
FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM;
(C) When it is determined that the program administrator(s) representing
the Service Provider have abused the purpose of the Job Training
Partnership Act;
(0) When it is determined that there is evidence of misfeasance in con-
junction with regulatiuns established in Article V of this Contract;
or
(E) When it is determined thdt the Service Provider has not spent and will
110t spend and/or justify the total amount of funds obligated to the
program within the periud of performance.

ARTI CLE V II I
SUSPENSION AND/OR TERMINATION OF CONTRACT
(A) Suspensiun and/or Tt:rrnination Fur Cause
If, through any cause, the Service Provider shall fail tu fulfill, in
a timely and proper' manner, its ubligations under this Contract, or if
the Service Provider shall violate any of the covenants or
stipulations of this Contract, the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM shall thereupon have the right to suspend and/or
ternilllatt: this Contract; pruvided that the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM adheres to those stipulations outlined in
Article VIII, Sectiun 8 of this COlltract for suspension and to those
stipulatiolls outlined in Article VIII, Section C of this Contract for

(B) Procedu res for Suspens i un for Cause by the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM:
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM shall have thl:
right to suspend partial or total funds which have been allocated to
the Service Provider under the provision of this Contractual Agreement
in accordance with Art i c 1 e VII of thi s Contractua 1 Agreement. Thi s
suspt::llsiun may occur at dllY tillle during the effective period of
perforifldnce of the Contract and sha 11 be effecti ve immedi ate ly upon
the mailing of a notification by certified mail of said suspension or
the receipt of a hand delivered notification of said suspension. This
written notification shall be provided to the Service Provider by the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM. The procedure for
appealing a decision to suspend funds shall be the same as the
procedures for appeal outlined in Article VIII, Section C, below.
(C) Procedures for Termination for Cause or Convenience by the SOUTH
FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM:
If the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM determines to
exercise the right of termination for cause or convenience, the SOUTH
FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM shall Ilotify the Service
Provider, in writing by certified mail or hand delivered, of the
anticipated action, the reason(s) for the action, and shall indicate
that the Service Provider has the right to appeal this action.
The Service Provider shall be required to submit a written
notification by certified mail or hand delivered requesting a
De-obligation Hearing within five (5) working days after receipt of
the letter frwn the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM
indicating the anticipated action. III the event the Service Provider
does /lot request a hearing within the five (5) working day period, the
decision of the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM to
termi natl:: sha 11 become fi lIa 1.
Once the Hear-ing is completed, the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM shall notify the Service Provider of the
recommendation of the De-obligation Hearing Committee within five (5)
working ddYS after the Hearing has been conducted. The recommendation
sha 11 be presented to the Membershi p of the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM at their next scheduled meeting for final
determinatioll. The Service Provider shall be entitled to receive just
and equitable compensation for any service satisfactorily performed
hereunder through the da te of termi nat i on, whi ch sha 11 be the date of
final decision of the Consortiu"1 members. Such compensation shall not
be provided to the Service Provider until such time as the Service
Provider fulfills its obligations to the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM relative to the close-out procedures listed in
Article IV of the Service Provider Policies and Procedures Manual.
Notwithstdnding the above, the Service Provider shall not be relieved
of liability to the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM
fur any damages sustained by the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM or by a third party by virtue of any breach of Contract by

the Service Provider until the charges for ~uch damages have been paid
by the Se rv ice P rov ide r. The SOUTH FLOR I DA EMPLOYMENT AND TRA I N I NG
CONSORTIUM may withhold any payments to the Service Provider until
such t iOle dS the exact amount of daoldges due the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM from the Service Provider is
determined. This liability shall include damages awarded to a third
party by virtue of a filldl determination issued by the State of
Florida, the U.S. Department of Labor, or an Administrative Law Judge.
(D) Termination for Convenience of the Service Provider.
The Servi ce Provi der olay request to termi nate thi s contract at any
time by giving at least thirty (30) days advance notice, in writing by
certified mail, or hand delivered to the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM. Requests for voluntary de-obligation of partial
or total funds ~hdll require ratification by the Membership of the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM. Once the request
has been approved by the Membersh i p of the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIU~], the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM shall nutify the Service Provider to begin the close-out of
the Service Provider's program.
The Service Provider shall be entitled to receive just and equitable
compensation for any services satisfactorily performed hereunder
through the date specified in the notice as the effective date of such
termination. Such compensation shall not be provided to the Service
Provider until such time dS the Service Pruvider fulfills its
obl igations to the SOUTH FLORIDA E~iPLOYMENT AND TRAINING CONSORTIUM
relative to the close-out procedures listed in Article IV of the
Service Provider Policies and Procedures Maliudl.
(E) Termination for Convenience of the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM.
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM shall have the
right to terminate this Contract for convenience when it is determined
to be in the best interest of the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM; provided that the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM adheres to those stipulations outlined in Article
VIII, Section C of this Contract.
(F) Termination for Non-Award or Reductiun of Funds.
If, for any reason, the State of Florida or the U.S. Department of
Labor does not award the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM funds for distribution or if such funds are awarded at
reduced amounts, or reduced during the Fiscal Year, the SOUTH FLORIDA
EI'I;PLOYMENT AND TRAINING CONSORTIUM may terminate this Contract by
giving dt ltdst twenty-four (24) hours advance notice, in writing by
certified mdil or hand delivered, to the Service Provider. The
Service Provider has no right to appeal a termination under this
section, and the date of termination shall be the date of receipt of
the 1 etter.
The Service Provider shall be entitled to receive just dnd equitable
compensdtion for allY services sdtisfdctorily performed hereunder
through the date specified in the notice as the effective date of such
termination. Such compensdtion shall not be provided to the Service
Provider until such tin~ as the Service Provider fulfills its
obligations to the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM
relative to the close-out procedures listed in Article IV of the
Service Provider Pulicies and Procedures Manual.
ARTICLE IX
INSURANCE AND BONDING REQUIREMENTS
The Service Pruvider, operating in the capacity of a governmental jurisdiction,
shall maintain insurance and bonding specified by the SOUTH FLORIDA EMPLOYMENT.
AND TRAINING CONSORTIUM. A governmental jurisdiction shall include a public

educatiullal institution which is sponsored by a state or local governmental
jurisdiction.
ARTI CLE X
SUB-CONTRACT AGREEMENTS
The Service Provider does hereby dgree to give advance written notification to
the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM in regards to any
sub-contract agreement signed by the Service Pruvider and an independent agency
when such dn agreement involves the utilization of funds provided through this
Contract.
The writ tell notification shall include all information identified in the Service
Provider Policies and Procedures Mdnual. The notification shall include a copy
of the non-executed sub-contract agr~ement.
No sub-contract agreement shall be signed by the Service Provider until the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM provides a written notification
which approves the form and content of the sub-contract agreement. Any
expenditures incurred by the Service Provider in conjunction with a sub-contract
agreement prior to receipt of written approval from the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM shall be the responsibility of the Service Provider and
may 1I0t be rei mbu rsed wi th JTPA funds; rlur sha 11 they be reported to the SOUTH
FLORIDA EMPLOYMENT A~D TRAINING CONSORTIUM as an inclusion with subsequent
expenditures.
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM shall approve sub-contract
agreemer,ts dS to form and content unly. The SOUTH FLORIDA EMPLOYMENT AND TRAIN-
ING CONSORTIUM shall nut be considered a legal third party to a sub-contract
agreeme,.t and shdll /lot assumt any liabilities which may arise as a result of
such dgreements.
The Service Provider may not sell its assets or assign its rights under this
Agreement without prior approval from the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTI UM.
ARTICLE XI
MAINTENANCE OF RECORDS
All fillallcial participant and programmatic records pertaining to the funds pro-
vided under this Contract shall be maintained by the Service Provider during the
effective per'iad of performance of this Contract and for a period of four (4)
years subsequent to the expiration of this Contract or until all audit
exceptiu/ls, grievances, or litigatiuns which may have been presented as a result
of this Contractual Agreement have been adequately resolved to the satisfaction
of the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, whichever period is
1 onge r.
During this period, the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM, the
State of Flurida, or the U.S. Department of Labor may request copies of any and
all of these records. The Service Provider shall be responsible for providing
copies of these records at the time of the request.
In the event that the Service Provider will cease all operations as a result of
the expiration of the Contract, the Service Provider shall be required to
prepare dll records for storage in accordance with the Service Provider Policies
and Procedures Manua 1. Once these records are secured by the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM, the Service Provider shall not be liable for
the maintenance uf these records.
The Service Provider agrees and understands that it, or any of its agents or
sub-contractors, wuuld be in violation of federal regulations if it willfully
obstructs or impedes, or endeavors to obstruct or impede, an investigation or
inquiry performed by the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM in
conjunction with the regulations. This stipulation includes the withholding of
information contained ill the records maintained by the Service Provider.

The Service Provider agrees to nlaintain and to allow public access to all
documents, paper~, letters or other n,aterial subject to the provisions of
Chapter 119, F.S., and made or received by the Service Provider in conjunction
with this contract.

Federal and State requirements, except on written consent of the recipient or
his/her responsible parent or guardian when authorized by law.
ARTICLE XI I
MONITORING OF the Service Providerls PROGRAM
The SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM has the authority to moni-
tor, audit or perform an investigation of the progralll which is conducted by the
Service Provider at dny time without prior notification in accordance with its
authority provided in the federal regulations.
The records of the Servi ce Provi der sha 11 be subject at all times to inspection,
Y't:view, or audit by personnel duly authorized by the SOUTH FLORIDA EMPLOYMENT
AND TRAINING CONSORTIUM, the State of Florida, or the U.S. Department of labor.
In the event that the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM deter-
mines that the Service Provider is not in compliance with dny obligations listed
in this Contract, the Service Provider shall be required to take appropriate
corrective action. This determination /TIay be made at any time during the
effective period of the Contract.
If corrective action is required, the Service Provider shall be obligated to
establish and implement appropriate measures to insure that those areas of
non-comp 1 i a/Ice ure corrected.
Corrective action shall be completed by the Service Provider within thirty (30)
days after the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM has determined
that the Service Provider is not in cumpliance; however, the SOUTH FLORIDA
EMPLOnlENT AND TRAINING CONSORTIUM has the authority to determine that the
ti,llefranle fur cunlpletioll uf thl; corrective actiun may be reduced or extended.
The provisions of this Article in no way limit the right of the SOUTH FLORIDA
EMPLOYMENT AND TRAINING CONSORTIUM to suspend or terminate funding in accordance
with Article VIII of this contract.

ARTICLE XIII
INDEMNI FICATION
The Service Provider, dS a governmental Service Provider, agrees to indemnify
the SOUTH FLOR I DA EMPLOYfv'IENT AND TRA I N I NG CONSORTI UM for damages or payments,
and costs and expenses arising out of breach of this contract.
The Service Provider, as a governmental Service Provider, agrees to absolutely
i ndemni fy the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM for damages or
payments, inc1udillg costs and expenses arising out of the acts, omissions of the
Service Provider, its employees, clients, agents ur persons under its control to
the extent and limit provided in Section 768.28 of the State of Florida
Statutes.
ARTICLE XIV
DOCUMENTATION FOR CONTRACT INVOICES
All documentation to be submitted to the SOUTH FLORIDA EMPLOYMENT AND TRAINING
CONSORTIUM for Contract i IIvoi ces shall besubmi tted in accordance wi th the pro-
visions outlined in the Service Provider 'Policies and Procedures Manual and in
Exhibit(s) of this Contract. The State of Florida or the SOUTH FLORIDA EMPLOY-
MENT AND TRAINING CONSORTIUM sha 11 perform dudits or have audits performed on
this Contract dnd a copy of the audit findings will be supplied to the Service
Provider upon completion of said audit. Any final adjustments to be necessary

ARTICLE XV
CONTRACT AMENDMENTS
The Service Provider may request dn amendment to this Contract to conform with
any conti ngenci es whi ch may requi re such amendment. Once a contract amendmt:nt
is submitted, the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM'S Executive
Director has the authority to approve, disapprove, or to request further
justificatioll for such amendllJent. Amelidments require revit:w, approval and
execution by the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM.
After approval, the appropriate signatures of the SOUTH FLORIDA EMPLOYMENT AND
TRAINING CONSORTIUM and the Service Provider shall be ascertained and the
amendment sha 11 be written and i ncurporated into thi s Contract, thereby becomi ng
an integra 1 part of it. No amendments sha 11 be effecti ve unti 1 approved and
signed by the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM.

WAIVERS
No waiver of any provlslon hereof shall be deemed to have been made unless such
waiver be in writing signed by the Executive Director of the Consortium. The
failure of the SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM to insist upon
the ~trict perfor-mdllce of dny of the provisions or conditions of this Contract,
shall not be construed as waiving or relinquishing in the future allY such
covenants or conditions but the same ~hall continue and remain in full force and
effect.

CONTINGENCY CLAUSE
Funding for this contract is contingent on the availability of funds and con-
tinued authorization for program activities, and is subject to amendment or
terminatiun due to lack of funds or duthorization, reduction of funds, and/or
change in regulations.
ARTICLE XIX
AUDITS
MONROE COUNTY BOARD OF COUNTY COMMISSIONERS shall assure that all expenditures

ARTICLE XX
METHOD OF PAYMENT
Fixed Unit Price
The fixed unit price fee(s) comply with the provlslons of 20 CFR (Code of
Federal Regulations) 629.38(e)(2) which stipulate that costs billed as a single
unit charge need not be prorated alTlong the various cost categories but may be
charged entirely to the training cost category if the agreement is for training,
is fixed unit price, and stipulates that full payment for the full unit price
will be made only upon completion of training by a participant and placement of
the participclflt into unsubsidized emploY/llent in the occupation trained for at

EXHIBIT OJT - YOUTH
A. WORK STATEMENT
1. MONROE COUNTY BOARD OF COUNTY COMMISSIONERSt hereinafter referred to as the
Service Providert does hereby agree to provide for offender and ex-offender
i ndi vi dua 1 s from the age of 16 through the age of 21 t an On-The-Job
Training Program (OJT)t at employer worksitest under the terms of the OJT
agreements developed and monitored by the Service Provider's staff. The
occupational training area and length of each participant's training will
be determined by the terms of the OJT agreement executed by the Service
Provider and the employert with the approval of SFETC stafft subject to all
the restrictions specified in the Service Provider Policies and Procedures
Manual.
2. The number and mix of participants to be served will be approximately as
specified in the attachment to this Exhibit. The Service Provider agrees
that a minimum of thirty-one percent (31%) of the number of participants it
serves under this contract will be youth.
3. All training will be carried out in accord with the requirements of the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM (SFETC). All participants
will be prepared to meet the entry-level hiring criteria for each OJT
training area.
4. The project shall be responsible for:
o Conducting appropriate outreach and recruitment to meet the partic-
ipant mix requirements specified in the attachment to this Exhibitt on
a sufficient scale to fill all vacancies in the project.
o Assessing participants' needs for supportive services and providing
referrals for supportive services as needed at no charge to this JTPA
contract.
o Providing pre-employment skills training based on each applicant's
needs to enhance their job readiness and subsequent job retention.
o Providing job development and placement services as needed to meet or
exceed the contract's performance standards for OJT enrollments and
training-related job placements.
o Providing ongoing monitoring of training and sufficient vocational
counsel i ng to insure that parti cipants remai n sufficiently moti vated
to continue their participation in the programt receive assistance as
needed to make progresst and develop sufficient skills to enhance
their employability potential.
o Providing sufficient post-placement counseling and assistance in the
30 days following entry into unsubsidized employmentt to enhance
participants' prospects for job retention.
B. PERFORMANCE STANDARDS
The Service Provider will be required to meet the following performance
standard: at least 60 percent of the participants from the age of 16
through the age of 21 enrolledt and not fewer than 1 participantst must
complete the training, be retained by the OJT employer on an unsubsidized
basis or be placed in a training-related (as determined by the SFETC)
unsubsidized position with another employert and be retained in the unsub-
sidized position for a minimum of 30 calendar dayst at or above a placement
wage equal to or higher than the federal minimum wage as amended from time
to time.
If more participants are enrolled than reflected in the attachment to this
Exhibitt the performance standard stated above will be applied to the total
number of participants enrolled.

Future funding to the Service Provider for OJT services may be largely
dependent upon to the Service Provider's achievement under this contractual
agreement of the minimum requirements noted above, related to the
following:
a) Percentage of youth served, and
b) Percentage of the total number of youth enrolled who are placed into
the occupation for which training was provided and who are retained
for a minimum of 30 calendar days.
C. METHOD OF PAYMENT
1. Fixed Unit Price
For the OJT activity, the SFETC will provide the Service Provider with a
fixed unit price fee of $1,590 for each placement which meets the criteria
specified in Section B above, Performance Standards, up to the maximums
specified herein.
This amount will be paid to the Service Provider according to the schedule
of payment benchmarks delineated below, up to the total maximum amounts
shown. This fixed unit price fee, however, shall be reduced to $1,431 for
any placement which falls into one or both of the following categories:
a) The participant entered unsubsidized employment prior to the
completion nf training.
b) The participant is placed at a wage which is lower than the federal
minimum wage.
Benchmark 1 - Enrollment
Payments will be made for participants who meet the criteria for enroll-
ment, up to the maximum allowable payment for this benchmark. Enrollment
is defined as follows:
o The participant shall have been determined eligible for training as
per assessment by the SFETC designated Intake agency.
o All applicable MIS paperwork shall have been submitted to the Client
Services Division of the SFETC.
o A fully executed hire-first agreement shall have been received at the
SFETC office which indicates that the participant is on an employer's
payroll.
o The participant shall have attended a minimum of two (2) days of
training/employment while on an employer's payroll, after the employer
and Service Provider have completed all procedures for OJT specified
in the Service Provider Policies and Procedures Manual.
Payments for participants achieving this benchmark will be $477 per
enrollment, up to a total maximum enrollment fee of $477.
Benchmark 2 - 50% Attendance in OJT
Payments will be made for this benchmark for participants who have achieved
Benchmark 1 and who further attend at least 50% of the required number of
days of training for the appropriate OJT area, as specified in the executed
OJT Agreement for each participant, up to the maximum allowable payment for
this benchmark. Attendance shall be documented by submission of copies of

Payments for participants achieving this benchmark will be $397 per partic-
ipant, up to a total maximum of $397.
Benchmark 3 - Interim Placement/Retention
Payments will be made for this benchmark for participants who have achieved
Benchmarks 1 and 2, who have completed training and have been placed in
unsubsidized employment, in the occupation for which they have been
trained, for at least five (5) working days, at a wage rate not less than
the federal minimum wage. Placements will be verified by the employer's
return of the employment verification form that will be submitted by the
project to SFETC. SFETC reserves the right to further verify employment.
Payments for participants achieving this benchmark will be $239 per partic-
ipant for any participant who entered unsubsidized employment after
completing training and was placed at a wage equal to or higher than the
federal minimum wage, up to a total maximum of $239. Payments for
participants who do not meet both of the aforementioned criteria for full
payment of the fixed unit price fee will be reduced to $159 per
participant.
Benchmark 4 - Placement/Retention
Payments will be made for this benchmark for participants who have achieved
all of the above three benchmarks and have remained in unsubsidized
employment in the occupation for which they have been trained for a total
of at least thirty (30) calendar days including the five (5) working days
required in Benchmark 3, Interim Placement/Retention. Placements will be
verified by the employer's return of the employment verification form that
wi 11 be submitted by the project to SFETC. SFETC reserves the ri ght to
further verify employment.
Payments for participants achieving this benchmark will be $477 per partic-
ipant, up to a total maximum of $477.
2. Wage Reimbursements to Employers
A total maximum of $593 shall be paid to the Service Provider for wage
reimbursements to OJT employers.
3. Incentive Payments
Contingent upon funding availability at the end of the contract period,
incentive payments may be made.
4. Total Amount
Both parties do hereby agree that a total maximum of $2,183 may be paid to
the Service Provider to cover the costs of fixed unit price fees and wage
reimbursements, but that a lesser amount may be paid based upon the actual
number of participants from the age of 16 through the age of 21, completing
the benchmarks enumerated in this Exhibit, and that a larger amount may
result only from incentive payments as indicated above. It is understood
that incentive payments may be awarded subsequent to June 30, 1990,
depending on funding availability.

unsubsidized position for a minimum of 30 calendar days, at or above a
placement wage of $3.90 an hour.
A placement wage between the federal minimum wage, as amended from time to
time, and $3.90 per hour will be accepted only in cases where a waiver is
granted by SFETC for a specific OJT agreement for a specified participant
employed by a specified employer.

2. At least 55 percent of the participants 22 years old and older enrolled,
and not fewer than 1 participants, must complete training, must be placed
and must be retained in unsubsidized employment for a minimum of 90
calendar days, at or above the placement wage as noted above.
3. The average (mean) hourly wage at placement for all adults trained under
this Exhibit and placed into unsubsidized employment after training shall
be $4.86.
4. If more participants are enrolled than reflected in the attachment to this
Exhibit, the performance standards stated above will be applied to the
total number of participants enrolled.
5. Future funding to the Service Provider for OJT services may be largely
dependent upon the Service Provider's achievement under thi s contractual
agreement of the minimum requirements noted above, related to the
following:

Benchmark 4 - Placement/Retention
Payments will be made for this benchmark for participants who have achieved
all of the above three benchmarks and have remained in unsubsidized
employment in the occupation for which training was provided for a total of
at least ninety (90) calendar days including the thirty (30) calendar days
required in Benchmark 3, Interim Placement/Retention. Placements will be
verified by the employer's return of the employment verification form that
wi 11 be submitted by the project to SFETC. SFETC reserves the ri ght to
further verify employment.
Payments for participants achieving this benchmark will be $239 per partic-
ipant, up to a total maximum of $478.
2. Wage Reimbursements to Employers
A total maximum of $1,186 shall be paid to the Service Provider for wage
reimbursements to OJT employers.
3. Incentive Payments
Contingent upon funding availability at the end of the contract period and
the achievement of the objectives specified in this contractual agreement,
incentive payments may be made.
4. Total Amount
Both parties do hereby agree that a total maximum of $4,366 may be paid to
the Service Provider to cover the costs of fixed unit price fees and wage
reimbursements, but that a lesser amount may be paid based upon the actual
number of participants aged 22 and older completing the benchmarks
enumerated in this Exhibit, and that a larger amount may result only from
incentive payments as indicated above. It is understood that incentive
payments may be awarded subsequent to June 30, 1990, depending on funding
availability.

EXHIBIT OJT - PROJECT INDEPENDENCE
A. WORK STATEMENT
1. MONROE COUNTY BOARD OF COUNTY COMMISSIONERS, hereinafter referred to as the
Service Provider, does hereby agree to provide for Project Independence
participants, an On-the-Job Training (OJT) program, at employer worksites,
under the terms of the OJT agreements developed and monitored by the
Service Provider's staff. The occupational training area and length of
each participant's training \'till be determined by the terms of the OJT
agreement executed by the Service Provider and the employer, with the
approval of SFETC staff, subject to all the restrictions specified in the
Service Provider Policies and Procedures Manual.
2. The number and mix of participants to be served will be approximately as
specified in the attachment to this Exhibit.
3. All training will be carried out in accord with the requirements of the
SOUTH FLORIDA EMPLOYMENT AND TRAINING CONSORTIUM (SFETC). All participants
will be prepared to meet the entry-level hiring criteria for each OJT
training area.
4. The Service Provider shall be responsible for:
o ConGucting appt'opriate outreach and recruitment to meet the partic-
ipant n,ix requirements specified in thE' attachment to this Exhibit, on
a sufficient scale to fill all vacancies in the project.
o Assessing participants' needs for supportive services and providing
t'eterrals for supportive services as needed at no charge to this JTPA
contract.
c Providing pre-employment skills training based on each applicant's
needs to enhance their job readiness and subsequent job retention.
o Providing job development and placement services as needed to meet or
exceed the contract's performance standards for OJT enrollments and
tra in i ng-re 1 ated job pl aCem€llts.
o Providing ongoing monitoring of training and sufficient vocational and
other supportive counseling to insure that participants remain
sufficiently mot hated to continue HE-ir pay'ticipation in the program,
receiv~ Bssistance as neede~ to make progress, and develop sufficient
skills to erhar.ce their en,ployability potential.
o Providing sufficient post-placement counseling and assistance in the
90 days following entry into unsubsidized employment, to enhance
participants' prospects for job retention.
B. PERFORMANCE STANDARDS
The Service Provider will be required to meet the following performance
standards:
1. At least sixty percent (60%) of the participants enrolled, and not fewer
th~n 12 participants, must complete the training, must be placed and must

2. At least fifty-five percent (55%) of the participants 22 years old and

C. ~1ETHOD OF PA Yfl'iENT
1. Fixed Unit Price
For the OJT activity, the SFETC will provide the Service Provider with a
fixed unit price fee of $1,722 for each placement which meets the criteria
specified in Section B, Performance Standards, above, up to the maximums
specified herein.
This amount will be paid to the Service Provider according to the schedule
of payrr.Ent benchmarks delineated below, up to the total maximum amounts
shown. This fixed unit price fee, however, shall be reduced to $1,550 for
any placement which falls into one or both of the following categories:
a) The participant entered unsubsidized employment prior to the
completion of tt'aining.
b) The participant is placed at c; wage which is lower than $4.50 per
hour.
Bench~ark 1 - Enrollment
Payments will be made for participants who meet the criteria for enroll-
ment, up to the maximum allowable payment for this benchmark. Enrollment
is defined as follows:
o The participant shall have been detennined eligible for training as
per assessment by the SFETC designated Intake agency.
o All applicable MIS paperwork shall have been submitted to the Client
Services Division of the SFETC.
o A fully executed hire-first agreement shall have been received at the
SFETC office which indicates that the participant is on an employer's
payro 11.
o The participant shall have attended a minimum of two (2) days of
training/employment while on an employer's payroll, after the employer
and Service Provider have completed all procedures for OJT specified
in the Service Provider Policies and Procedures Manual.

Payments for participants achieving this benchmark will be $517 per
enrollment, up to a total maximum enrollment fee of $6,204.
Benchmark 2 - 50% Attendance in OJT
Payments will be made for this benchmark for participants who have achieved
Benchmark 1 and who further attend at least 50% of the required number of
days of training for the appropriate OJT area, as specified in the executed
OJT Agreement for each participant, up to the maximum allowable payment for
this benchmark. Attendance shall be documented by submission of copies of
the applicable attendance records as specified in the Service Provider
Policies and Procedures Manual.
Payments for participants achieving this benchmark will be $430 per partic-
ipant, up to a total maximum of $5,160.
Benchmark 3 - Interim Placement/Retention
Payments will be made for this benchmark for participants who have achieved
Benchmarks 1 and 2, who have completed training and have been placed in
unsubsidized employment, in the occupation for which they have been
trained, for at least thirty (30) calendar days, at a wage rate not less
than $4.50 per hour or at a rate between the federal minimum wage and $4.50
per hour for specific placed participants for whom waivers were granted as
described above in Part B, above, and in the Service Provider Policies and
Procedures Manual. Placements will be verified by the employer's return of
the employment verification form that will be submitted by the Service
Provider to SFETC. SFETC reserves the right to further verify employment.
Payments for participants achieving this benchmark will be $517 per partic-
ipant for any participant who entered unsubsidized employment after
completing training and was placed at a wage equal to or higher than the
minimum wage of $4.50, up to a total maximum of $6,204. Payments for
participants who do not meet both of the aforementioned criteria for full
payment of the fixed unit price fee will be reduced to $172 per
participant.
Benchrna rk 4 - Pl acement/Retent i o,n
Payments will be made for this benchmark for participants who have achieved
all of the above three benchmarks and have remained in unsubsidized
employment in the occupation for which training was provided for a total of
at least ninety (90) calendar days including the thirty (30) calendar days
